CONCHITA H. ALVAREZ, Village Clerk of the Village of Key Biscayne, Florida (the
"Village"), DOES HEREBY CERTIFY as follows:
The following are now, and have been continuously since the dates of beginning of their
respective terms shown below, and in particular, on May 24, 2011, the date on which Resolution
No. 2011-10 (the "Commitment Resolution") selecting the proposal for the purchase of the
Bonds (defined below), and on June 14, 2011, the date on which Ordinance No. 2011-3 (the
"Ordinance") and Resolution No. 2011-12 (the "Bond Resolution," and collectively with the
Commitment Resolution and the Ordinance, the "Bond Ordinance") authorizing the issuance of
not exceeding $4,450,000 Village of Key Biscayne, Florida, Stormwater Utility Revenue
Refunding Bonds, Series 2011 (the "Bonds"), were adopted, the duly elected, qualified and
acting members of the Council, and the dates of the beginning and ending of their respective
terms are hereunder correctly designated opposite their names.
