JOHN C. GILBERT, Interim Village Manager of the Village of Key Biscayne,
Florida (the "Village"), DOES HEREBY CERTIFY as follows:
The following are now, and have been continuously since the dates of beginning
of their respective terms shown below, and in particular, on August 30, 2011, the date on
which Ordinance No. 2011-9 (the "Ordinance") and Resolution No. 2011-26 (the "Bond
Resolution," and collectively with the Ordinance, the "Bond Ordinance") authorizing the
issuance of not exceeding $2,808,952 Village of Key Biscayne, Florida, Transportation
Tax Revenue Refunding Bonds, Series 2011 (the "Bonds"), were adopted, the duly
elected, qualified and acting members of the Council, and the dates of the beginning and
ending of their respective terms are hereunder correctly designated opposite their names.
