October 8, 2020
The Trustees of the District met in Room 109 at 2350 Market on the above date. Present at the
meeting were:

Also present were:
Trustee Yates called the closed session to order at 4:00p.m. Roll call was made, and all were present with
Trustee Singer online. Motion was made by Trustee Wilson and seconded by Trustee Fehr to go into closed
session.
At 5:05 p.m. Trustee Yates called the open session to order.
Trustee Yates then asked for the approval of the September 10, 2020 (1636th) Journal. The Journal was
approved by Trustee Fehr and seconded by Trustee Wilson.
Trustee Yates then asked for the approval of the September 29, 2020 (1637th) Journal of the Special Board
meeting proceeding minutes. The Journals were approved by Trustee Wilson and seconded by Trustee Fehr.

Report of Board Committees:
PROGRAM MANAGEMENT COMMITTEE
Trustee Evans reported that The Program Management Committee met on September 29, 2020 at 7:45 a.m. The
meeting was attended by trustees Evans, Yates, and Wilson; Fehr and Singer via online.
The minutes of the September 1, 2020 meeting were approved.
The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding
the following items:
Ordinance No. 15513 – Upper Maline Sanitary Relief Phase Four – Staff discussed this unplanned supplemental
appropriation to an existing project being constructed by J & J Boring. The funding is needed to provide an
additional $750,000 for costs related to utility relocations, additional tunnel shaft, poor soil conditions, and alternative
tunneling methods in lieu of additional dewatering.
Ordinance No. 15514 – CSO Mary Avenue Interceptor Elimination – Staff discussed the appropriation of funds as
part of an intergovernmental agreement with Missouri Department of Transportation (MODOT). The
intergovernmental agreement was previously authorized by Ordinance #15378 in March 2020. Staff gave an
overview of the project known as Brentwood Bound and the District’s coordination on the project which will allow
for the construction of portions this project to be built by MODOT and the City of Brentwood. This ordinance will
allow for the reimbursement of up to $1,300,000.00 to MODOT for constructing a portion of this project as part of
their road reconstruction work.

Ordinance No. 15519 – Lower Meramec System Improvements – Baumgartner to Fenton Tunnel – Staff provided
the details and purpose of this tunnel project being awarded to SAK Construction. The project will have multiple
appropriations over several years. There was discussion between staff and the committee regarding two of the
bidders being found non-responsive to the MWBE requirements for failure to respond to post-bid information
requests. Staff recommended proceeding with the contract to SAK.
Staff presented details of several General Services Agreement contracts for Engineering support services up for
renewal. Ordinance No.’s 15527-15529 will provide supplemental funding for three Geotechnical services
contracts, Ordinance No.’s 15536-15540 will provide supplemental funding for five Survey Services contracts, and
Ordinance No. 15530 provides funding for Landscape Design support. All of these contracts support internal design
staff with the ultimate design and delivery of consent decree and asset management projects.
Staff also presented details on new General Services Agreement contracts for Property Appraisal services.
Ordinance No.’s 15531-15534 will provide supplemental funding for four Property Appraisal services contracts.
There was a brief discussion regarding the Lump Sum payments for the contracts and previous incumbency of the
selected firms.
Ordinance No. 15545 – Emergency Repair # 064 – Staff provided detailed information on this Emergency Repair
sewer project located in University City. The Executive Director declared the emergency on September 10th and
notified the Board on September 14, 2020. Staff updated the committee on the progress of the repair work and
requested Introduction and Adoption of the contract and appropriation of $300,000 at the October 8, 2020 Board
meeting.
The next Committee meeting is tentatively scheduled for November 3, 2020. The meeting was adjourned at 8:42
a.m.
FINANCE COMMITTEE
Trustee Fehr reported that the Finance Committee met on September 29, 2020 with Trustees Fehr, Yates,
Wilson, Evans, and Singer in attendance. The minutes from the September 1, 2020 meeting were approved.
The first item on the agenda was a report by staff on the District's Operating Fund Portfolio as of September 28,
2020. Staff indicated that the portfolio is in compliance with the District’s Investment Policy.
Staff then gave an update on the Wastewater System Revenue Bonds, Series 2020A. The Series 2020A bonds
were issued for approximately $22 million and the proceeds will be used to fund the Deer Creek Sanitary Tunnel
Pump Station project. The financing rate of 1.30% on the 20-year bonds is the lowest MSD has ever received on
an SRF loan.
Next on the agenda was an ordinance that authorizes staff to issue the Wastewater System Improvement Bonds,
Series 2020B and authorizes District officials to execute necessary documents. The Series 2020B Bonds will be
issued for approximately $135-$150 million and contains parameters relating to the maximum principal amount,
purchase price, final maturity date, issuance costs and relevant terms of the issuance to reduce the need for a
special Board meeting to approve final terms. The 2020B Bonds will be sold as a competitive deal. This is
Ordinance #15546 on tonight’s agenda.
The next item discussed on the agenda pertained to a staff request to exercise the second of four optional one-
year contract extensions with Milliman to provide actuarial services. This will be Resolution #3620 on tonight’s
agenda.
The meeting adjourned at 9:10 a.m. The next tentatively scheduled meeting is Tuesday, November 3, 2020. This
concludes the Finance Committee Report.

STAKEHOLDER RELATIONS COMMITTEE
Trustee Wilson reported that the Stakeholder Relations Committee met at District Headquarters on Tuesday,
September 29, 2020 at approximately 9:10 a.m. Those present at the meeting included Chairperson Wilson,
Trustees Evans, Yates, as well as District Directors and staff, and participating via video web call were Trustees
Fehr and Singer.
Chairperson Wilson called roll and had no further comments. By motion of all Trustees, the minutes of the
September 1, 2020 Stakeholder Committee Meeting Minutes were approved.
The first agenda item was a discussion by Susan Myers regarding an Ordinance for Collection of Excess
Proceeds from Land Tax Sales. This Ordinance authorizes a contract Beck Ostrom Sweet, LLC to collect excess
proceeds from properties sold at the St. Louis City and St. Louis County tax sale auctions. This is Ordinance No.
15550 on tonight's Agenda.
The next agenda item was a presentation of the Diversity Annual Report by Shonnah Paredes. Shonnah’ s
presentation summarized the MBE/WBE utilization and workforce metrics of MSD's Capital Improvement
Replacement and Small Contractor Infrastructure Repairs Programs for Fiscal Year 2020. Shonnah then
provided an update on MSD's Community Benefits Program and status of programs and goals, as well as an
update regarding the Disparity Study and timeline of communications and meetings. There is no Board action
required at this time.
Next on the Agenda, Brian Hoelscher discussed the process for electing the Vice-Chair for the Board of Trustees.
Brian walked through the Board action that will occur at the end of tonight's meeting to vote on and elect the
Board of Trustees Vice-Chair position, which is currently vacated due to the term of Trustee Faul expiring. The
position must be held by a City Trustee and therefore the vote will be cast to the three (3) County Trustees. The
nominee appointed will hold the position until March 2021, at which time the position, along with the Board of
Trustees Chair position, will be voted on for the next two-year term.
The next agenda item was a discussion by Tim Snoke regarding an Ordinance for Bond Election Authorization.
This Ordinance authorizes the District to file the necessary paperwork with both the City and the County Board of
Elections to place a $500,000,000 bond authorization proposition before the voters on the April 6, 2021 ballot.
This is Ordinance No. 15547 on tonight's Agenda.
The last item was a discussion by Brian Hoelscher regarding an Ordinance for Charter Plan Amendment Ballot
Initiative. This ordinance will authorize amendments to be placed before the voters at an election to be held on
April 6, 2021 to modernize and streamline the District’s governing Charter (Plan). Brian reviewed the items that
were questioned in a previous committee meeting by the Trustees and discussed the revised language as
recommended by the Board. This is Ordinance No. 15548 and No. 15549 on tonight's Agenda.
The meeting was then adjourned at approximately 10:25 a.m. by Trustee Wilson. The next meeting date is
tentatively scheduled for Tuesday, November 3, 2020 and a revised date will be discussed later as this date may
conflict with the national election occurring that same day.

Mike Murphy – SEIU Local 1
Mr. Murphy addressed the board as the Union Representative for the Pump Stations and Treatment plants. Mr.
Murphy mentioned they have been in bargaining since mid-February through March 17th and have continued
bargaining through Teams after the pandemic hit. Mr. Murphy referenced the SEIU report because four(4) years
ago, the rate commission recommended a raise (Mr. Murphy was unsure of the number), but the district was
bargaining for a wellness program at that time, but stated that members were not interested in the wellness
program because there was no plan. Mr. Murphy shared that SEIU was able to bargain to get the raise the rate
commission report provided at the time and that the goal, this time, was to do the same.
Mr. Murphy stated that right now, there are 45% of the eligible district employees that have the wellness program
which is 48% on the C schedule which is roughly 167 out of 345 that take it and on the BT schedule there are 17

out of 62 which is about 27%. SEIU does not believe it is a program our members are interested in and I believe
the numbers show that a majority of the district employees aren’t interest in it.
Mr. Murphy explained that the offer the district offered was 2.2% with other program changes and changes in the
contract, which was rejected by 94% of memberships of ASCME and SEIU, we scheduled another meeting and
went back to the table. We told Msd that wellness Is not an interest and cost is about 1% and we offered to split
1% with the district and to put 2.75% into a wage increase and the District keep the other half %, we were told no.
He stated the numbers that were reported for district participation, shows the bonus program isn’t accurate. Mr.
Murphy stated they were told the numbers were 60% participation but is 45%. When SEIU bargained this time,
MSD said part of the reason they couldn’t give us more, was due to the step increase on the B schedule, but the
rate commission report showed BT and B both on the same schedule with step increases, while Trades came in 1
step below the top scale and at 6 months, they would move to the top of the scale, plus on the rate commission
report they were grouped together.
Mr. Murphy emphasized that MSD said there would be a 2% increase with aggregate of 3.3%, and people on the
steps were at about 3.6%. Four(4) years ago, when we bargained, we were able to get the rate our members
were looking for (Mr. Murphy couldn’t recall the rate), but when we reached the last bargaining session, we
thought we were braking for another scheduled session, but we received a letter from the district that further
bargaining was futile and they would be implementing their offer.

Responding to the letter from Bret, in response to the letter AFSCME sent to MSD. Mr. Homan asked the District
to come back to the table to get a deal. He stated we are .15% apart from a deal. For that nickel, or $100 bucks
a year, you get employees who aren’t upset with you for implementing an offer that they unanimously rejected, it
wasn’t just SEIU at 94%, AFSCME members were at 94% as well and we have the largest bargaining unit and
that’s a significant amount.
Mr. Homan said MSD gave the trades 2.4% and the folks AFSCME represents goes out every day on the front
lines servicing people and should be worth the same. If that’s the message you want to send that is a mistake.
Both Mike Murphy and I are asking that we sit down to figure out how to bridge this gap.

The Secretary-Treasurer asked if there were any board members who would like to pull any items

Adoption of Proposed Ordinance No. 15511 - General Services Agreement – Water Quality

Appropriating One Hundred Thousand Dollars ($100,000.00) from the Stormwater Regulatory Fund to be
used for water quality and environmental regulatory support in General Services Agreement – Water
Quality Support Services (2021) (12842) in Various Locations Within the District; and authorizing the
Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter
into Contract No. 21959 with HDR Engineering, Inc. for water quality and environmental regulatory support.

Introduction of Proposed Ordinance 15513, Making a supplemental appropriation of Seven Hundred
Fifty Thousand Dollars ($750,000.00) from the Sanitary Replacement Fund to be used for sanitary sewer
construction in Upper Maline Trunk Sanitary Relief Phase IV Section B (11791) in the Cities of Berkeley,
Kinloch, and Unincorporated St. Louis County, Missouri; and authorizing the Executive Director and
Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to appropriate additional funds
to Contract No. 21645 with J & J Boring, Inc. for sanitary sewer construction.

Proposed Ord. No. 15513 was presented and read. The work to be done under Contract #21645 consists of
the construction of approximately 45 lineal feet of 36-inch sanitary sewers and 5,950 lineal feet of sanitary sewer pipe-in-
tunnel varying in size from 36-inches to 42-inches in diameter and appurtenances. This construction is the second phase
of a multi-phase improvement project. The purpose of this project is to alleviate overcharged sewer mains and basement
backups, and eliminate one (1) constructed SSO (BP-597). This project is scheduled to be completed in 614 days.
Motion was made by Trustee Wilson, seconded by Trustee Yates, that Ordinance No. 15513 be introduced.

sanitary sewer construction in CSO – Mary Avenue South of Manchester CSO Interceptor (I-132)/Outfall (L-
106) Elimination Phase I (MoDOT) (13404) in the City of Brentwood, Missouri; and authorizing the Executive
Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into an
intergovernmental agreement under Contract No. 21967 with Missouri Department of Transportation

WWTF Tunnel (11746). Lower Meramec River System Improvements – Baumgartner to Fenton WWTF Tunnel (11746)
is a lump sum cost project for the design of approximately 35,700 feet of 96-inch diameter sanitary sewer conveyance
tunnel and appurtenances. The purpose of this project is to eliminate the interim Fenton WWTF and several pump
stations including Meramec Bottoms Pump Station P-489 and Forcemain. The construction cost estimate for this project
is $173,882,288. Construction is anticipated to begin in FY2021.

Phase II (12255) project. Lower Meramec WWTF Expansion Phase II (12255) is a lump sum cost project for the design
and preparation of construction documents to construct the expansion or addition of the following: influent pump station,
fine screen and washer compactor system, activated sludge process, primary and secondary clarifiers, trickling filters,
piping and isolation system, solids handling system, odor control system, the electrical and instrumentation controls
system, and the administration building. The purpose of this project is to increase overall plant capacity to treat future
additional flows from the interim Fenton Wastewater Treatment Facility, improve reliability of critical aging facility assets,
and to meet current and future regulatory permitting. The construction cost estimate for this project is $118.000,000.
Construction is anticipated to begin in FY2022.

Introduction and Adoption of Proposed Ordinance 15545, Appropriating Three Hundred Thousand
Dollars ($300,000.00) from the Emergency Fund to be used for emergency repair in Emergency Repair
#064 (Syracuse 738) (13567) in the City of University City, Missouri; and authorizing the Executive Director
and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into an emergency
construction contract under Contract No. 21963 with JH Berra Const. Company Inc., for the aforesaid
emergency repair services.
Proposed Ord. No. 15545 was presented and read. The work done under the emergency Contract #21963
consists of the excavation and replacement of approximately 30 feet of 39-inch segmented clay block combined sewer
pipe with the associated restoration work required to provide access to the location of the break. The existing pipe
collapsed due to deterioration of the pipe. Once repaired, the entire reach will be lined with cured-in-place pipe methods
(CIPP) to reduce the risk of further breaks in this area. Based upon recommendation from staff, the Executive Director
declared this project an emergency on September 10, 2020. The contractor, JH Berra Construction Company, Inc., was
selected per MSD Emergency Declaration Policy. The repair has started and is expected to be complete before October
15, 2020.
