A RESOLUTION: 2000-7 PRESENTED January 11, 2000 ADOPTED January_ 11, 2000 AUTHORIZING THE TOWN MANAGER TO ENTER INTO A 90-DAY CONTRACT WITH DEBORAH C. WELSH OF WELSH & LANHAM, P.C., IN THE AMOUNT OF $6,000 A MONTH TO PROVIDE LEGAL CONSULTATION AND TO FACILITATE THE TRANSITION TO A FUI J J-TIME TOWN ATTORNEY WHEREAS, Deborah C. Welsh, of Welsh & Lanham, P.C., has served as the Deputy Town Attorney since August 14, 1985; and WHEREAS, a full-time Town Attorney position was approved in the FY 2000 Budget; and WHEREAS, to ensure an uninterrupted transition to a full-time Town Attorney it is necessary to continue the services of Ms. Welsh for a period of 90 days. THEREFORE, RESOLVED by the Council of the Town of Leesburg in Virginia as follows: The Town Manager is hereby authorized to execute the attached contract, on behalf of the Town of Leesburg, with Deborah C. Clem, Mayor Town of Leesburg JA~-06-2000 THU 12:04 PM NELSH RND LRNHRM PLC FRX NO, 703 777 ~780 P, 03 Letter of Agreement This Letter Agreement will confirm' the basis upon which the Town of Leesburg has agreed to retain the services of Welsh and Lanham, P.L.C. as of January 12, 2000 and upon which Welsh and Lanham, P.L.C. has agreed to accept such employment. Terms: This Agreement shall commence on the effective date hereof and shall remain in effect for 90 days thereafter, unless terminated earlier in whole or In part, by either 'Party upon thirty (30) days written notice to the other party. Servjces: Welsh and Lanham, P.L.C. agrees to provide legal consulting services to the full-time attorney for the Town of Leesburg to transition from part-time to full- time legal services in all legal matters, except for bonding and personal Issues. Remuneration/ Invoicing: In consideration of the services to be provided hereunder, the Town of Leesburg agrees to pay Welsh and Lanham, P.L.C. a fee of Eighteen Thousand Dollars ($18,000.00), payable in monthly installments of Six Thousand Dollars ($6,000.00), for each month during the term of this Agreement, to compensate for up to thirty (30) hours of services per month rendered by Welsh and Lanham, P.L.C. Said firm will Invoice the Town of Leesburg and will be paid at the hourly rate of One Hundred Fifty Dollars ($150.00) per hour on a monthly basis for services rendered in excess of thirty (30) hours per month and will also Invoice the Town of Leesburg and be paid on a monthly basis for"out-of-pocket" and incidental expenses such as filing fees, deposition costs, copylng costs, travel expenses, J~N-06-2000 THU 12:04 PH NELSH RND LRNHRM PLC ~R× NO, 703 ??? 5?80 P. 04 Termination/ Expiration: service of process fees, long distance telephone expenses, postage, fax fees, accountant's fees, appraiser's fees, expert witness fees, fees for Commissioner in Chancery, court reporter fees and transcript costs, and legal publication costs. Upon terminatiOn prior to the expiration of this Agreement by the Town of Leesburg, Welsh and Lanham, P.L.C. shall be compensated for the remaining term of the Contract. Upon the termination or expiration of this Agreement by Welsh and Lanham, P.L.C., the total remuneration shall be limited to payment due on the monthly basis for the months prior to and including the month of termination. Files: Welsh and Lanham, P.L.C. shall transmit all active files to the Town Attorney, except as may otherwise be agreed. If the foregoing general terms accurately set forth your understanding of our arrangement, sign the original letter Indicating your acceptance of this Agreement and return the same to Welsh and Lanham, P.L.C.
