A RESOLUTION: APPROVING A SHORT-TERM EXTENSION OF THE CABLE
TELEVISION FRANCHISE
WHEREAS, cable television service is regulated by the Town of Leesburg pursuant to
Ordinance 80-0-6, Cable Television Regulations, adopted April 9, 1980; the Franchise Agreement
and Ordinance authorized October 14, 1980; Resolution 93-120, Approving Consent to Transfer
the CATV Franchise to Benchmark Acquisition Fund I, LIP., adopted on June 22, 1993;
Resolution 99-288 authorizing the transfer from Benchmark Acquisition Fund I, L.P. d/b/a
Cablevision of Loudoun to Adelphia Communications Corporation of the nonexclusive Cable
Television Franchise adopted by the Town Council on September 14, 1999; and prior
amendments to the Ordinance and Franchise Agreement; and
WHEREAS, Adelphia Communications Corporation and the Town are currently engaged
in the renewal process and negotiations regarding a Franchise Agreement; and
WHEREAS, in order to accommodate the Franchise negotiation process, the parties
desire to extend the current Franchise Agreement.
THEREFORE, RESOLVED by the Council of the Town of Leesburg in Virginia as
follows:
SECTION 1. The Cable Television Franchise transferred to Adelphia Communications
Corporation is hereby extended by the Town to June 30, 2000, subject to the conditions set forth
herein.

SECTION 2. Except for the extension specified above, all terms and conditions set forth
in Ordinance 80-0-6, Cable Television Regulations, the Franchise Agreement, and amendments
thereto including, but not limited to, Resolution 99-288 authorizing the transfer from Benchmark
Acquisition Fund I, L.P. d/b/a Cablevision of Loudoun to Adelphia Communications Corporation,
shall continue in full force and effect.
SECTION 3. That Adelphia Communications Corporation operate the cable system in the
same manner as operated previously.
SECTION 4. This Resolution shall not be construed to imply that the term of the
Franchise Agreement shall again be extended, or that Adelphia Communications Corporation shall
be approved as a Franchisee of the Town beyond the extended term of the current Franchise
Agreement.
SECTION 5.

This Resolution shall be in effect upon its passage.
