HomeMy Public PortalAboutAmendment #2 to Contract 42-2008 - Sanitary - Andrews Engineering - GHGAMENDMENT #2 TO PROFESSIONAL SERVICES AGREEMENT THIS AMENDMENT is made and entered into this 23rd day of February, 2010, by and between the City of Richmond, Indiana, a municipal corporation acting through its Board of Sanitary Commissioners, (hereinafter referred to as the "City"), and Andrews Environmental Engineering, Inc., (hereinafter referred to as the "Consultant") WHEREAS, City and Consultant entered into Contract Number 42-2008, continuing in effect until December 31, 2009; and WHEREAS, City and Consultant renewed and extended such agreement for engineering consulting services at its landfill until December 31, 2010 pursuant to Amendment #1 to Contract Number 42-2008; and WHEREAS, the City desires to retain Consultant to provide additional services beyond the scope of Amendment #1 to Contract Number 42-2008, and Consultant desires to provide such services; and WHEREAS, the parties have negotiated an additional fee for the provision of these additional services to be rendered pursuant to this amendment. NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, including the above stated recitals, City and Consultant hereby agree as follows: SECTION I. STATEMENT AND SUBJECT OF WORK of Contract 42- 2008 will be revised as follows: Consultant agrees to provide those services described in its proposal dated February 12, 2010, consisting of two (2) pages, attached as Exhibit "C" hereto and incorporated herein by reference, including monitoring data compilation, a monitoring plan, and used oil testing, for compliance related to greenhouse gas reporting rules. Amendment #2 to Contract Number 42-2008 2. SECTION III. COMPENSATION of Contract 42-2008 will be revised as follows: City shall pay Consultant for such additional services a sum not to exceed Seven Thousand Three Hundred Dollars and Zero Cents ($7,300.00), for performing all work described in Amendment # 2 to Contract Number 42- 2008 in a satisfactory and proper manner. 3 City and Consultant expressly agree that all other terms, conditions and covenants contained in Contract Number 42-2008, and in Amendment # 1 thereto, including its Term of Agreement, shall be applicable to the work performed pursuant to this Amendment, unless such term, condition or covenant conflicts with this Amendment, in which case this Amendment shall be controlling.
