THIS ADDENDUM, (Addendum Number 1 to Contract No. 149-2008, with Bonar &
Associates, Inc. d/b/a Bonar Group) is made and entered into this _1 Ith day of March, 2010,
by and between Richmond, Indiana, a municipal corporation acting through its Board of Public
Works and Safety with its office at 50 North 5th Street, Richmond, Indiana, (hereinafter referred
to as "City"), and GAI Consultants, Inc., 1502 Magnavox Way, Suite 110, Fort Wayne, Indiana,
46804 (hereinafter referred to as "Contractor").
WHEREAS, City and Contractor entered into Contract No. 149-2008 on December 18,
2008, during which time Contractor was operating under the name of `Sonar &
Associates, Inc. d/b/a Bonar Group"; and
WHEREAS, Contractor has recently gone through a merger with GAI Consultants, Inc.,
and a subsequent name change from `Sonar & Associates, Inc. d/b/a Bonar Group" to the
name "GAI Consultants, Inc." as evidenced by a letter from Steve Henschen, Director of
Land Development, GAI Consultants, Inc., which letter is dated February 9, 2010, and is
attached to this Addendum as Exhibit A; and
WHEREAS, City wishes to retain Contractor for the remainder of the term of the
Contract which expires on December 31, 2010, with the understanding that Contractor
will operate under its new name of "GAI Consultants, Inc."
NOW, THEREFORE, in consideration of the mutual promises and covenants herein
contained, including the above stated recitals, City and Contractor hereby agree as follows:
1. The City and Contractor executed and entered into Contract No. 149-2008 dated
December 18, 2008, which is attached hereto, marked as Exhibit `B" and
incorporated herein by reference.
2. Both parties agree that Contract No. 149-2008 shall remain in full force and effect
and that the 2010 rate schedule will remain in full force and effect.
3. Both parties agree that Contractor shall continue to fulfill its obligations and
duties listed within Contract No. 149-2008 and shall continue to provide
professional services associated with that Contract until the Contract expires on
December 31, 2010.
4. Both parties acknowledge that Contractor has submitted or will submit a New
Vendor Information form to the City Purchasing Department.

5. Both parties agree that City shall continue to retain the two (2) annual options to
renew Contract No. 149-2008, upon the same terms and conditions, for calendar
years 2011 and 2012 as set forth in Section IV of Contract No. 149-2008, with the
exception that Contractor will operate under its new name of "GAI Consultants,
Inc." if those options are exercised by the City for the 2011 and 2010 calendar
years.
6. Both parties agree that with the exception of the name change, Contract No. 149-
2008 shall remain intact and unchanged.
7. Both parties agree that any person executing this Contract in a representative
capacity hereby warrants that he or she has been duly authorized by his or her
principal to execute this Contract.
IN WITNESS WHEREOF, this Addendum No. 1 to Contract No. 149-2008 is executed
and approved by the undersigned representatives of the City and Contractor this _11th _ day of
March , 2010.
