HomeMy Public PortalAboutAmendment # 1 to Contract 42-2008 _Andrews EngineeringAMENDMENT #1 TO PROFESSIONAL SERVICES AGREEMENT THIS AMENDMENT is made and entered into this day of January, 2010, by and between the City of Richmond, Indiana, a municipal corporation acting through its Board of Sanitary Commissioners, (hereinafter referred to as the "City"), and Andrews Environmental Engineering, Inc., (hereinafter referred to as the "Consultant") WHEREAS, City and Consultant entered into Contract Number 42-2008, continuing in effect until December 31, 2009; and WHEREAS, such contract contains an option for the City to renew for 2010 at a price to be determined between the parties; and WHEREAS, the City desires to renew and extend such contract for an additional year pursuant to such option; and WHEREAS, the parties have negotiated a price for the provision of services to be rendered under such contract, the scope of which remains unchanged. NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, including the above stated recitals, City and Consultant hereby agree as follows: SECTION IV. TERM OF AGREEMENT of Contract 92-2009 will be revised as follows: The term of this Agreement shall continue, without interruption, until December 31, 2010. (All remaining terms of Article IV. shall remain in effect). Amendment #1 to Contract 42-2008 2. SECTION III. COMPENSATION of Contract 42-2008 will be revised as follows: City shall pay Consultant a sum based on the hourly rates and schedule of charges as set forth in Exhibit "C" attached hereto and incorporated herein, not to exceed Fifty -Five Thousand Six Hundred Fifty Dollars and Zero Cents ($55,650.00) for calendar year 2010, for performing all work described in Contract Number 42-2008 in a satisfactory and proper manner. 3 City and Consultant expressly agree that all other terms, conditions and covenants contained in Contract Number 42-2008, shall be applicable to the work performed pursuant to this Amendment, unless such term, condition or covenant conflicts with this Amendment, in which case this Amendment shall be controlling. IN WITNESS WHEREOF, the parties execute this Agreement effective the day and year first above written, although signatures may be affixed at different times.
