Chairman Henry called the meeting to order at 7:35a.m. A quorum was present at this time. The
following guests were present: Eric and Camille Weddle, 2224 Brandy Lane; Brian Bernskoetter, 1015
Los Brises; and Councilman Rick Mihalevich.
1. Introductions
Introductions were made at this time.
2. Approval of the December 8, 2016 Committee meeting minutes
Councilman Hussey moved and Councilwoman Ward seconded to approve the December 8,
2016 minutes, motion carried.
3. New Business
1. Helias Development Agreement Update (David Bange)
Mr. Bange explained staff would like the Committee to affirm its recommendation to allocate a
maximum of $500,000 to the development agreement with Helias for necessary improvements to
Myrtle Avenue a presented during the December 2016 Committee meeting. Staff requests the
Committee to recommend staff pursue the establishment of these improvements as a joint
City/County Sales Tax project.

There was discussion among Committee members and staff regarding the installation of a
pedestrian underpass, Helias pursuing private donations to cover the costs and having language in
the development agreement that Helias would be responsible for maintenance and upkeep of the
underpass.
Councilman Hussey moved and Councilwoman Ward seconded to refer the development
agreement and request to pursue these improvements as a joint City/County Sales project, motion
carried.
2. Grant for Sidewalks on Missouri Boulevard (David Bange)
Mr. Bange explained the grant application was selected for funding by the Missouri
Department of Transportation. The grant includes sidewalk along Missouri Boulevard from Chipotle to
the Sub Shop as well as improvements to four bus stops including pads, shelters and bike racks.
The agreement with MoDOT is anticipated to appear before the Council at the February 6th
meeting.
3. Release of 2016 City Tax Lien for 415 East Ashley Street (Jayme Abbott)
Ms. Abbott explained the property has been the subject of regular abatement actions by the
City's code enforcement division. The property owner has donated the property to River City Habitat
for Humanity. Staff recommends releasing the tax lien.
Councilman Hussey moved and Councilwoman Ward seconded to refer the tax lien release to
the City Council with recommendation to approve, motion carried.
4. Update on Sign Code Amendments regarding Temporary Signs (Eric
Barron/Ryan Moehlman)
Mr. Barron explained proposed changes to the sign code are related to a Supreme Court
ruling stating that a message on a sign cannot be regulated. Mr. Moehlman explained there has been
additional ruling on the case and the current sign code would be acceptable with some minimal
changes.
Mr. Barron stated staff will return to the Committee when a draft code is completed.
5. Storm Water Utility Project Example (Matt Morasch)
Mr. Morasch gave a presentation showing examples of possible projects funded by a Storm
Water Utility. He stated a sustainable and flood resilient storm water collection system will require at
least a $2 million annual funding program.
There was discussion among Committee members, staff, and those present regarding the
funding needed, the timeline for getting information to the public, and support for the issue of a storm
water utility.

6. Promotional Fare All Day Bus Pass (Mark Mehmert)
Mr. Mehmert stated JEFFTRAN is offering a promotional fare of $3 for an All Day Pass which
started January 17. The Federal Transit Administration (FTA) regulations allow promotional fares for
up to (but not exceeding) a six month period.
Mr. Morasch explained staff will return to the Committee with final recommendation after the
evaluation of the promotional period.
7. 2017 Handiwheels Bus Replacements (Mark Mehmert)

Mr. Mehmert explained JeffTran proposes replacing two Handiwheels buses which are beyond
their useful life benchmarks. Funding will be an 80/20 match with Federal funds with some
modifications to the bus floor plans.
Councilman Hussey moved and Councilwoman Ward seconded to refer the grant application
to the City Council with recommendation to approve, motion carried.

Mr. Smith referred Committee members to the report included in the packet.

2017 Street Resurfacing Program
Staff requests the committee's endorsement of the attached street resurfacing plan for
the coming year. As the committee will note, the plan includes the street scheduled for
work in the coming year as well as a working plan for streets to be considered in the
future years of FY2018 and FY2019.
In the Y2 cent sales tax the City allocates $1.2 million each year for the street
resurfacing program . To carry out this program, staff gathers information from various
sources including personal observation as well as concerns raised by citizens . The
resulting list is then evaluated against other factors such as condition; use ; ride quality;
as well as planned future projects by the city, developers and/or utility companies in an
effort to determine the most cost effective plan meeting the greatest needs.
We will also be conducting a fog sealing project as well this year. This work was bid at
the end of last year's construction season with the intent to do the work in late May to
early June of this year. The streets associated with this work are also included as an
attachment for the committee's information.
With approval from the committee, staff intends to bid the resurfacing work in the
coming weeks. Ultimately a proposed construction contract will be brought to the full
council for approval.

Helias Development Agreement
Staff is asking the Committee to review the attached development agreement with Helias , and if found
acceptable make a recommendation to move it to the City Council.
The attached agreement fleshes out the framework that has been discussed on two previous occasions
at this Committee . This document has been delivered to Helias and is being reviewed by the ir legal
counsel. Also attached are the plans for the reconstruction of Myrtle Street which will become part of
the agreement as well as an overview of the project which includes the current improvement plans and
a schematic drawing of the future roundabout at the intersection of Stadium Boulevard and Myrtle
Street. A third drawing shows a more focused view of the future roundabout at Stadium and the
associated necessary right of way .
If concurrence on the language of the agreement can be reached , and a recommendation b~ this
committee is made, it would be staff's intention to present th is to the Council at the March 61 Council
Meeting . Staff would also present a joint City/County agreement and would pursue the same w ith the
County Commission .

DEVELOPMENT AGREEMENT
THIS DEVELOPMENT AGREEMENT ("this Agreement") is made and entered into on
the last day executed by a party, as indicated on the signature pages below, by and between the
City of Jefferson, Missouri, a municipal corporation of the State of Missouri ("City") and
JOSEPH E RITTER, ARCHBISHOP OF ST LOUIS HELIAS HIGH SCHOOL 0/o
HELIAS HIGH SCHOOL, and JOHN R GAYDOS, BISHOP OF DIOCESE OF
JEFFERSON CITY (collectively, "Owner"). The City and the Owner may hereinafter be
collectively referred to as the Parties and individually as a Party.
RECITALS
The Subject Property. Owner holds title to approximately __ acres of land currently located in
the incorporated area of Cole County legally described in the attached Exhibit A (the "Subject
Property").
Proposed Project. Owner desires to develop the Subject Property as for private educational uses,
which shall require certain improvement to public facilities within the rights-of-way of the City
top provide for the public health, safety, and general welfare.
NOW, THEREFORE, in view of the foregoing Recitals and in consideration of the mutual
promises, declarations, covenants and agreements of the City and Owner as hereinafter set forth,
the Parties hereto do hereby agree as follows:
I. Agreements to Run with the Land. The provisions of this Agreement shall constitute
covenants running with the entirety of the Subject Property and each and every part of the
Subject Property, and shall bind the current Owner and all of such successors and assigns.
2. City's Obligations for Development.
a) City will provide to Owner complete engineering plans for the reconstruction of Myrtle
Street, including the roundabout at Myrtle Street and Stadium Boulevard (the
"Engineering Plans").
b) City will reimburse Owner an amount not to exceed $500,000 for work directly
attributable to Owner's reconstruction of Myrtle Street. Upon completion and successful
inspection of Owner's reconstruction of Myrtle Street in accordance with the Engineering
Plans, Owner shall submit a request for reimbursement to the City Engineer, which such
request shall include an itemized list of actual costs incurred by Owner in the
reconstruction of Myrtle Street. Costs eligible to be reimbursed by the City to Owner
shall not include costs incurred by Owner to design or construct a pedestrian tunnel under
Myrtle Street or appurtenant facilities or equipment.
c) City will approve one driveway access to the sports complex Owner is constructing on
the west side of Myrtle, provided Myrtle Street is reconstructed by Owner in accordance
with the Engineering Plan.
d) City shall inspect of all public improvements constructed by Owner in accordance with
local ordinances and codes
3. Owner's Obligations for Development.
a) Owner shall complete reconstruction of Myrtle Street in accordance with the Engineering
Plans, but Owner shall not be required to construct the roundabout at Myrtle Street and
Stadium Boulevard. This obligation shall include securing, executing, and managing a
written contract with a general contractor to complete the Myrtle Street reconstruction.
b) Upon completion and successful inspection of Owner's reconstruction of Myrtle Street~
Owner shall donate and convey by general warranty deed approved by the City
Counselor in fee simple all property necessary to allow for the realignment of Myrtle
Street in accordance with the Engineering Plans. In addition, Owner shall convey all
necessary utility easements for the same.
c) Upon request of the City, which such request shall be by made no later than forty (40)
years after the execution of this Agreement, Owner shall donate and convey by general
warranty deed approved by the City Counselor in fee simple all property owned by
Owner (or successors in interest) necessary to allow for the construction of a roundabout
at Myrtle Street and Stadium Boulevard, generally as shown in Exhibit B, but ultimately
in accordance with the Engineering Plans. In addition, Owner shall convey all necessary
utility easements and temporary construction easements for the same.
d) If Owner constructs a pedestrian tunnel under Myrtle Street and appurtenant facilities or
equipment, Owner shall have exclusive control of such pedestrian tunnel be responsible
for its operation, maintenance, upkeep, as well as its reconstruction and or removal.
Owner shall not allow the pedestrian tunnel to be become a nuisance or a danger to public
safety and shall keep the pedestrian tunnel reasonably lit and clean and free of litter,
debris, and graffiti.
e) Owner shall make all necessary changes in design and/or construction of its sport
complex west Myrtle Street in order to fully integrate the sports complex site plan to
accommodate the street design set forth in the Engineering Plans.
f) In the event that the City determines that at-grade pedestrian warning lights are in the
interest of the public health, safety, and general welfare, Owner shall install such lights
and provide adequate electrical power to same.
4. Construction and Bonding of Improvements. Except as otherwise expressly indicated
herein, all public improvements required under the regulations of the City or this Agreement
shall be constructed in accordance with the City Department of Public Works' Standard
Specifications and Drawings, as may be amended, or any successor specifications and
standards adopted by the City and the Engineering Plans. Owner shall obtain all necessary
permits and governmental permissions to perform its obligations set forth in this Agreement.
Owner shall also obtain all necessary private easements to perform its obligations set forth in
this Agreement and shall be liable for all damages to adjoining properties that maybe caused
by Owner's performance of its obligations, even where construction of improvements are in
accordance with the City Department of Public Works' Standard Specifications and
Drawings, as may be amended or succeeded, and the Engineering Plans.

5. Recording. The Owner shall cause this Development Agreement to be recorded in the Real

6. Amendments. Any amendment to this Agreement must be in writing and must be executed
by the City and the Owner, and any future owner of any part of the Subject Property who
would otherwise be obligated to perform any of the requirements imposed upon the Owner
by this Agreement. Oral modifications or amendments of this Agreement shall be of no force
or effect.
7. Remedies. The parties to this Agreement may, either in law or equity, by suit, action,
mandamus or other proceedings in court, seek declaratory relief, enforce and compel specific
performance of this Agreement, provided that in no event shall the City shall have any
liability in damages, costs (including attorneys' fees) or any other monetary liability to
Owner or any affiliate of Owner, any person claiming through Owner, or to their respective
successors, assigns, heirs and personal representatives in respect of any suit, claim, or cause
of action arising out of this Agreement or any of the actions or transactions contemplated
herein.
8. Third Party Actions. Owner shall have the right, but not the obligation to assume the costs
of defense of any action or proceeding initiated by a third party challenging this Agreement,
or any other actions or transactions contemplated by this Agreement (including, without
limitation, to settle or compromise any claim or action for which Owner has assumed the
defense) with counsel of Owner's choosing and the City and Owner agree that so long as no
conflicts of interest exist between them, the same attorney or attorneys may simultaneously
represent the City and Owner in any such proceeding. In no event shall the City have any
liability to Owner for damages or otherwise in the event that all or any part of this
Agreement, the ordinances approving is agreement shall be declared invalid or
unconstitutional in whole or in part by a final (as to which all rights of appeal have been
exhausted or expired) judgment of a court of competent jurisdiction, and, in the event Owner
elects not to assume such defense and costs, the City shall have no obligation to defend or to
assume the costs of defense of any such action.
9. Notices. All notices between the parties hereto shall be in writing and shall be sent by
certified or registered mail, return receipt requested, by personal delivery against receipt or
by overnight courier, shall be deemed to have been validly served, given or delivered
immediately when delivered against receipt or Three (3) business days after deposit in the
mail, postage prepaid, or One (I) business day after deposit with an overnight courier, and
shall be addressed as follows:

Each party shall have the right to specify that notice is to be addressed to another address by
giving to the other party ten ( 1 0) days written notice thereof.
10. Hold Harmless. Owner at its sole cost and expense, hereby agrees to indemnify, protect,
release, defend (with counsel acceptable to the City) and hold harmless the City, its
municipal officials, elected officials, boards, commissions, officers, employees, attorneys,
and agents from and against any and all causes of action, claims, demands, all contractual
damages and losses, economic damages and losses, all other damages and losses, liabilities,
fines, charges, penalties, administrative and judicial proceedings and orders, judgments,
remedial actions of any kind, and all costs and expenses of any kind, including, without
limitation, reasonable attorney's fees and costs of defense arising, directly or indirectly, in
whole or in part, from the action or inaction of Owner, its agents, representatives, employees,
contractors, subcontractors or any other person for whose acts Owner may be liable, in the
activities performed, or failed to be performed, by Owner under this Agreement or in the
development of the Subject Property, or from breach of this Agreement, or otherwise, except
to the extent arising from or caused by the sole or gross negligence or willful misconduct of
the City, its elected officials, officers, employees, agents or contractors. The
indemnification, duty to defend and hold harmless obligations set forth in this Section shall
survive for a period of five (5) years from the date of expiration or termination of this
Agreement. Owner shall cause any contract entered into with a general contractor to include
an indemnification of the City consistent with this paragraph.
11. Insurance. Owner shall provide, at its sole expense, commercial general liability insurance
with a reputable, qualified, and financially sound company licensed to do business in the
State of Missouri, and unless otherwise approved by the City, with a rating by Best of not
less than "A," that shall protect the Owner, the City, and the City's officials, officers, and
employees from claims which may arise from operations under this Agreement, whether such
operations are by the Owner, its officers, directors, employees and agents, or any
subcontractors of Owner. This liability insurance shall include, but shall not be limited to,
protection against claims arising from bodily and personal injury and damage to property,
resulting from all Owner operations, products, services or use of automobiles, or construction
equipment. The amount of insurance required herein shall be in no event less than the
individual and combined sovereign immunity limits established by § 537.610 RSMo. for
political subdivisions; provided that nothing herein shall be deemed to waive the City's
sovereign immunity. An endorsement shall be provided which states that the City is named
as an additional insured and stating that the policy shall not be cancelled or materially
modified so as to be out of compliance with the requirements of this Section, or not renewed
without 30 days advance written notice of such event being given to the City. Owner shall

cause any contract entered into with a general contractor to include an requirement that such
general contractor obtain insurance in the amounts set forth in this paragraph and name the
City as an additional insured.
12. Compliance with Laws. Owner shall comply with all applicable state, local, and federal laws
in the performance of this Agreement, including all Missouri statutes relating to the
construction of "public works," as that term may be defined in such statutes, if applicable.
13. Entire Agreement. This Agreement contains the entire and complete agreement between the
City and the Owner with respect to the requirements imposed upon the Owner for the
providing of certain interests in land, and the construction and installation of certain
improvements, all as hereinabove described in the Recitals for this Agreement and the above
numbered paragraphs of this Agreement. Parties agree that this Agreement constitutes a
lawful contract between the Parties and Owner hereby acknowledges and agrees that this
Agreement and provisions of the City's Code of Ordinances applicable to this Agreement
constitute lawful exercises of the City's authority and police power.

City/County Agreement for Myrtle and Capitol Avenue Projects
Staff is asking the Committee to review the attached City/County Agreement and make a
recommendation to move it to the City Council for consideration, and direct staff to deliver it to the
County Commission for their review and action .
This agreement is typical of the cooperative project agreements that the City has entered into for
previous joint projects . The agreement establishes the responsibilities of each party and provides an
estimate of the costs associated with each project. In this case the City is taking responsibility of all
aspects of both the Capitol Avenue and Myrtle Street Projects and seeking to share the costs in equal
parts with the County .
Also attached is a breakdown of the funds that have been spent cooperatively over the life of sales tax
F and the County's sales tax that ended in December. As can be seen the C ity and County have both
spent approximately 5 million of the 5 .5 million that each pledged for joint projects . This leaves
approximately $500,000 each to spend on the Capitol Avenue Project. With a projected budget of 1.6
million the Capitol Avenue project will require additional funds . It is proposed that these come from the
"Improve Roadway Safety" category of Sales Tax G . The County was apprised of this situation and it is
our understand in g that they concur with th is proposal.
The Myrtle Street project was also discussed with the County Commission . Information that we have
received subsequent to that meeting indicates that the County is w ill to participate in this project as
well.
If so directed by the Committee staff would take this agreement to the County Commission in the first
weeks of March .

Agreement Setting Forth Procedures for
Joint City and County Capital Improvements Sales Tax Projects
THIS CONTRACT, made and entered into this __ of------2017 by and
between the City of Jefferson, Missouri hereinafter called "City" and the County of Cole,
Missouri hereinafter called "County".
1. Projects: The following is the list of projects and the proposed year each
agency shall make funding available for the project, as well as which
agency will be responsible for administration of the project:
a. Capitol Avenue Infrastructure Improvements
i. Engineering Services -City and MECO Engineering (2017)
ii. Bidding/Construction/Inspection -City (20 17)
b. Myrtle Avenue Street Reconstruction
i. Engineering Services -City (2017)
ii. Right of Way -City (2017)
iii. Bidding/Construction/Inspection -City (2017)
2. Project Administration:
a. The City and County Public Works Directors, hereinafter called the
Project Administrators, shall administer the projects for their respective
agencies.
b. The entity administering the construction of a particular project shall
establish an account particular to that project from which all costs are
paid and tracked.
c. If any "in-house" staff services that are provided for a particular project,
such as engineering, construction inspection, etc., those services shall
not be charged to the project.
d. The project administrators shall follow their agencies' normal
purchasing, procurement and contracting procedures for the
portions of the projects within their agency's charge.
e. The project administrators shall jointly review the construction
bids for the projects and recommend the lowest and best bid
to the City Council and County Commission for approval. The
bids to be awarded by the City Council shall first receive
concurrence from the County Commission. The bids to be

f. The project administrators shall erect information signage on
each project indicating the work is a "Joint City and County
Capital Improvement Sales Tax Project".
3. Financial Contributions: Each entity's financial contribution shall be 50% of the
cost for a project, unless otherwise mutually agreed to. The following project
estimate is to be utilized to budget and prepare for project expenses by each
entity. Actual bid costs, changes orders, etc., will be split between the City and
County at 50%/50%.
a. Capitol Avenue Infrastructure Improvements, $1,600,000
b. Myrtle Avenue Street Reconstruction, $500,000
4. Notices: All notices required or permitted hereunder and required to be in writing
may be given by first class mail. If to the City, notice shall be sent to the City
Administrator at 320 East McCarty Street, Jefferson City, MO 65101. If to the
County, notice shall be sent to the Cole County Commission at the Cole County
Courthouse Annex, 311 East High Street, Room 200, Jefferson City, MO 65101.
The date of the delivery of any notice shall be the date falling on the second full
day after the day of its mailing.
5. Agreement Binding: This agreement is to be binding on the successors and
assigns of the parties hereto and is not to be assigned by either party without
first obtaining the written consent of the other.
6. Applicable Law: The Laws of the State of Missouri shall govern the
validity, performance and enforcement of this agreement.

What is a storm water utility and what will it pay for?
• A storm water utility fund is a dedicated source of money to specifically fund storm water
services that cannot be diverted .
• Jefferson City's main need is for capital funding related to the following:
1. Replacement of neighborhood storm water collection systems in an
orderly fashion that meets community expectations;
2 . Flood resiliency projects such as upsizing culverts to keep roads from flooding and promote pub lic safety;
3 . Regional detention areas to support flood control;
4 . Bridge maintenance and replacement;
5. Maintain and restore neighborhood stream corridors to improve storm
water flow;
6. Infrastructure enhancements in neighborhoods to improve storm water
collection;
7 . Cost sharing program to stabilize neighborhoods by bringing structures into compliance with storm water
codes.

RE: Ordinance Updates Pertai ning to Nighttime and After Hours Business Operations
During the De c ember 2016 Public Works and Planning Comm ittee Meeting an ord inance
update perta i ning to n ighttime and after hours business operations was presented . T he
proposed ordinance updates were a result of complaints regarding the impacts of nighttime and
after hours business operations .
(1) Noise ordinance-Chapter 21 (Nuisances), Article VII (Noise Generation Regulations).
• Moves Section 18-216 Use of sound amplifying equipment from the miscellaneous
provisions code (Chapter 18) to the noise section of the nuisance code (Chapter 21 ).
• Adds an "after hours" t ime period of 1 O:OOPM to 6 :59AM f or wee kdays and 1:30AM t o
6:59AM for weekends ;
• Changes the point of measurement from 50 feet from the sou rce of no ise to 25 feet;
• Adds a section applicable to establishments that play music. Bus inesses and other
establishments playing music or recordings, or using sound amplifying or publ ic address
equipment, shall limit the level of unreasonable or disturbing noise heard in nearby
residences . Sound levels shall not exceed 42 dB(A) as measured from inside any
nearby res idence, between the hours of 10 :00 p.m. and 7:00 a.m.
(2) Business use of sidewalks -Chapter 32, Article IX . This amendment adds a permit
requirement for all business use of public sidewal k s (not just sidewal k cafes). One of the
complaints filed about business use on East High Street was that tab les were allowed to be on
the sidewalk to collect cover charges without a permit, while other businesses were required to
obtain sidewalk cafe permits .
Information on the proposed noise and sidewalk code changes we re ci rcu lated to Downtown
Jefferson City , East Side Business Association , West Side Business Association and the
Jefferson City Area Chamber of Commerce. Comments were due to the City on or before
February 8, 201 7 . The following is a summary of comments rece ived :
Noise ordinance
Reducing the point of measurement by half or 25 feet results in a 6dB,
Crystal Tallman, which is a significant difference.
Downtown Adding additional provision in hours of operations hinderers businesses Jefferson City already operating especially music venues.
Living downtown it is understood that events will go on, parades will go
by, sirens will wail, mufflers will rumble, trains will bash and
screech, bells will ring, people will enjoy themselves.
Vicki Meyers Restricting business hours with 'after hours' is not encouraging empty
Garden Gate Group storefronts to be filled with citizens interacting.
Property Owner The commercial friendly zoning is one of the reasons we invested
1 00 block of E High downtown.
There are plenty of quiet places to live around town that are easily
accessible to the historic business district. 1 0:00 is too early!
Business use of sidewalks
Adding additional provisions to do business downtown on the sidewalk
is collecting a fee but not solving any problem.
Crystal Tellman, If there must be a permit for tables on the sidewalk, it should be
Downtown combined with the cafe permit.
Jefferson City
Seems like an overreaction to solve a problem that is no longer a
problem.
Section 0: I assume this has to do with the TOC festivals when there is
a specific district where alcohol can be consumed and that area is
Rob Agee, Owner cordoned off, correct? If correct I have no problem with that as I do not
Madison's Cafe participate in these festivals and would not have a want or need of a
"Temporary Outdoor Consumption Permit".
Staff is taking comments under consideration at this time.
