Wakefield, Charles Fred Rebozo and Mary R. Bouterse, as Successor Trustees of the Charles O. Rebozo Revocable Trust under Revocable Trust Agreement dated January 20, 1989, as modified and amended ("Seller") and the Village of Key Biscayne, a Florida municipal corporation, ("Purchaser"). WITNESSETii: WHEREAS, Purchaser and Seller entered into that certain Purchase and Sale Agreement with an effective date of July 21, 1999, as amended by letter agreement dated September 17, 1999, as further amended by First Amendment to Purchase and Sal© Agreement dated as of October 19`', 1999, as further amended by Second Amendment to Purchase and Sale Agreement dated as of March 22, 2000, as tttctlaer amended by Third Amendment to Purchase and Sale Agreement dated as of April 17, 2000, as amended by Foerth Amendment to Purchase and Sale Agreement dated as of July 17, 2000 (collectively the "Contact"); WHEREAS, Purchaser and Seller have agreed to modify certain provisions of the Contract, on the terms and conditions hereinafter set forth. NOW, THEREFORE, in consideration of the mutual covenants contained herein and in consideration of Ten and No/100 ($1000) Dollars and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Purchaser and Seller hereby agree as follows: 1. Incorporation of Recital, The above recitals are true and correct and are incorporated herein as if set forth hi full. 2. General Provisions. All defined terms in this Amendment shall have the same meaning as in the Contract except as otherwise noted. Except as amended and modified by this Amendment, all of the terms, covenants, conditions, and agreements of the Contract are hereby ratified and shall remain in full force and effect. In the event of any conflict between the provisions of the Coatract and the provisions of this Amendment, this Amendment shall control. 3. C1osi g Date. Counterparts, This Amendment may be executed in separate counterparts. It shall be fully executed when each party whose signature is required has signed at least one counterpart even though no one counterpart contains the signatures of all of the parties of this Amendment.
