The Committee met March 30t" at 5:00 pm in the Council Chambers to discuss the WorldTech
Engineering Proposal for the Phase 1 Feasibility Study & Conceptual Design for the reconfiguration of
Mount Auburn Street (copy attached). Present were: Susan Falkoff, Chair; Steve Corbett, Vice-chair;
Vincent Piccirilli, Secretary; DPW Superintendent Gerald Mee; DPW Clerk Mary Haley; Steven
Magoon, Director of Community Development & Planning; and Richard Benevento and James
Fitzpatrick from WorldTech Engineering. About 25 visitors were present, including Councilor Cecilia
Lenk, Council President Mark Sideris, and Deborah Peterson representing the East End Neighbors
Association (sign-in sheet attached). Councilor Angeline Kounelis called the chair to send regrets that
she was unable to attend.
Councilor Falkoff stated the purpose of the meeting was for the Committee to make a recommendation
on whether to proceed with the WorldTech proposal for the Phase 1 Feasibility Study & Conceptual
Design for Mt Auburn St, and not to decide on the long-term plan for its reconstruction.
Mr. Benevento presented his proposal, which includes a traffic study to collect data from School St to
Common St. The feasibility study will use the data from this study and existing traffic data collected
from the Coolidge Square study and the Summer St/Mt Auburn St intersection project. The conceptual
design will cover Mt Auburn St from the Summer St intersection, which is being reconstructed this year,
to the Cambridge line.
Mr. Mee spoke about the importance of long-term planning for the eventual reconstruction of Mt Auburn
St, which was last done about 30 years ago, and the Town's goal to use federal & state TIP funds to do
this work. As a state highway project, reconstruction would follow the latest state design specifications,
which emphasize improving safety and traffic management, not merely increasing road capacity, as
was the goal of the state standards 30 years ago. Mr. Mee cautioned that state projects take many
years to receive funding, and therefore it is important that any short-term work on Mt Auburn St fully
supports the long-term design.
There were many questions from the audience about the impact of lane reconfiguration on Coolidge
Square businesses, whether the lane reconfiguration would increase traffic congestion, when the work
would be done, when the public would get to provide input, how this relates to the conceptual design for
Coolidge Square, and what specific objectives the Town hopes to achieve.
Mr. Mee explained that no decision will be made to proceed with an engineering design until the public
approves a conceptual design that is based on actual data. Mr. Benevento explained that Mass
Highway requires him to do a "context-sensitive design" which takes into account not just the motorists'
needs, but also needs of pedestrians, bicyclists, mass transit, and the commercial, residential, and
institutional interests served by the road. Councilor Piccirilli emphasized that there will be public input
at every step of the process. Mr. Mee added that the state will not fund projects that the community
does not fully support.
The Committee voted unanimously to recommend that the Town allot $69,850 for the WorldTech study.
Councilor Corbett expressed concerns about how this specific project fits into town-wide priorities for
road construction, and without more information, does not know if he can support the long-term plan.

WHEREAS, Mount Auburn Street is a major bus route as well as a neighborhood street with
many residences, small businesses, churches,an elementary school,and an assisted living
facility;
WHEREAS,many children and adults must cross Mount Auburn Street every day to get to
school,board the bus, patronize local businesses, use the playing fields, and otherwise carry on
their lives;
WHEREAS,there have been numerous instances of pedestrians being struck or nearly struck on
Mount Auburn Street;
WHEREAS,the current four-lane configuration encourages speeding and is dangerous for
pedestrians and bicyclists,as well as motorists;
WHEREAS,a two-lane road is a safer configuration and discourages speeding;
WHEREAS, the current and projected traffic volume can be accommodated by a two-lane
configuration;
WHEREAS, many residents,including those living on Mount Auburn Street, have expressed a
strong preference for this configuration;
WHEREAS,a similar reconfiguration of North Beacon Street was achieved quickly and
economically through low-cost measures such as restriping and signage;
NOW THEREFORE BE IT RESOLVED that the Town Council of the City known as the Town of
Watertown supports reconfiguring Mount Auburn Street as a two-lane road allowing for extra
lanes at busy intersections;and
FURTHER RESOLVED,that the Town Council r3quests that the Town Manager and the relevant
Town Departments inform the ,vgncii what stefA they recommend taking to achieve the two-lane
configuration as soon as passible.

Engineering Services Agreement
Dear Mr. Mee:
As requested, WorldTech Engineering (WorldTech) is pleased to submit the attached
Engineering Services Agreement for the above referenced project. It is our understanding that the
project as proposed will proceed in a phased approach beginning with a feasibility study to
determine the limitations and opportunities of reducing the roadway cross-section culminating
with the complete rehabilitation of Mount Auburn Street utilizing State Transportation
Improvement Program (STIP) funding. The Mount Auburn Street project will provide the Town
with an excellent opportunity to improve safety, upgrade pedestrian access, enhance streetscape
amenities and provide more efficient traffic flow.
Background
Nearly 30 years ago Mount Auburn Street underwent a complete reconstruction. The work was
completed utilizing federal and State funding from the Urban Systems program, which was the
federal highway program in place at that time. The Urban Systems program provided
construction funding through a combination of federal funds (75%) and State money (25%)
During the Urban Systems era the goal of reconstruction projects was to improve capacity and
safety.
Over the last several years there has been a significant change in how local improvement projects
are viewed. In 1991 a new federal highway program called the Intermodal Surface
Transportation Efficiency Act (ISTEA) was legislated into law. As the name suggests this
landmark legislation provided funding for all means of transportation. The current federal
highway program, Safe, Accountable, Flexible and Efficient Transportation Equity Act: A
Legacy for Users (SAFETEA-LU) provided even more flexibility than ISTF,A. In addition, the
Commonwealth of Massachusetts adopted a "Communities First" policy which directed State
transportation agencies to take a more flexible and accommodating approach to cities and towns
in the design and constriction of roadways. New ideas resonated and the approach to solving
local transportation issues now incorporates a variety of methods such as traffic calming and
context sensitive designs. The notion of building wide roads that only accommodate vehicular
traffic has been replaced with new strategies that will promote the co-existence of all forms of
transportation. This approach presents a greater emphasis on community context and supports

safe travel for pedestrians, bicycles and other modes of travel. The recently adopted
MassHighway Design Guidebook provides Massachusetts cities and towns with greater
flexibility to incorporate these initiatives.
It is our understanding that the Town wishes to rehabilitate Mount Auburn Street and in doing so
explore the feasibility of revising the number of travel lanes. In order to achieve this objective
Wor]dTech has prepared a comprehensive Scope of Services that includes: (1) an initial
feasibility study and conceptual plan development; (2) preparation of a functional design report
and funding assistance; (3)the development of early action projects for near term improvements;
and (4) detailed design for long term capital improvements utilizing federal and State funding .
Based on our assessment of the project and review of recent projects of similar magnitude in the
Metropolitan Boston area it appears that, at present, the estimated construction cost to
rehabilitate Mount Auburn Street could be in the order of$9.2 million. Because the project will
be completed utilizing STIP funding the design is subject to MassDOT(formerly MassHighway)
review and concurrence.
The Mount Auburn Street project begins at the limit of the Mount Auburn Street at Summer
Street intersection improvement project and extends easterly to the Cambridge city line, a
distance of approximately 9,500 linear feet(1.8 miles).The Engineering Services Agreement and
Fee are inclusive of all project design elements necessary to complete the feasibility studs,
functional design report, funding assistance and design services associated with the development
of early action near term improvements.
Since a preferred alternative for Mount Auburn Street project has yet to be determined the fee
associated with the preparation of contract bid documents in the form of plans, specifications.
and estimates, in accordance with the requirements of MassDOT is approximate. The project
design elements include basic engineering services as well as the required supplemental services
associated with projects of this type. Basic engineering service fees for road rehabilitation
projects generally run between 10% and 12% of the project construction costs. The necessary
supplemental services, such as topographic survey, environmental permitting, geotechnical
investigations,right-of-way, etc., will increase the overall design services fee percentage to 15%
or more.
For the Mount Auburn Street project we anticipate a design fee in the range of 10% of the
estimated construction cost or approximately $900,000. It should be noted however that these
costs will vary based on the scope of the project as it becomes more clearly defined. We
anticipate utilizing the work completed as part of the feasibility study and Functional Design
Report in the design phase. Likewise, services associated with securing federal and State funding
will continue throughout the entire project. It is also important to note that the project delays,
changes in design criteria, securing funding and priority placement on the STIP as well as other
factors can all have effect on the duration of the project and the construction cost. This condition

is evidenced on the $9.3 million Pleasant Street Reconstruction Project which had an initial
construction cost estimate of$2.3 million in 1994,
Federal and State aid projects require a commitment by the municipality to fund the required
engineering and right-of-way costs. It is anticipated that the Town will leverage its State Aid
Chapter 90 money to fund this phase of the project. Many cities and towns utilize this method of
financing local projects that would otherwise be too costly to undertake with local funds.
Watertown has an excellent track record of completing federal and state aid projects without
using any local money, including Galen Street, Watertown Street, Arsenal Street and North
Beacon Street. It is expected that Mount Auburn Street will be completed in a similar manor
without using any local funds and at no cost to the Town.
The following table outlines the costs associated with Phase 1 — Feasibility Study and
Conceptual Design and Phase 2 — Functional Design Report and Design of Early Action

FOR THE STUDY AND DESIGN OF
THE REHABILITATION OF
MOUNT AUBURN STREET
This AGREEMENT, made and entered into the day of 2010 by
and between the TOWN OF WATERTOWN, MASSACHUSETTS (hereinafter referred to as the
"TOWN") and WORLDTECH ENGINEERING, LLC a limited liability company organized and
existing under the laws of the Commonwealth of Massachusetts and having a usual place of
business at 300 TradeCenter, Suite 5580, Woburn, Massachusetts (hereinafter referred to as
"WTE").
WHEREAS, the TOWN desires WTE to perform professional engineering services in
connection with conducting a feasibility study and design of traffic and safety improvements
along Mount Auburn Street.
The TOWN and WTE, for the consideration hereafter set forth, agree as follows:
I. GENERAL
For the purposes of this Agreement, WTE shall provide professional engineering services
to conduct a feasibility study and design services relative to the alteration of Mount Auburn
Street (Route 16) from a four lane bi-directional roadway to a two lane bi-directional
roadway. The study area will begin at the limit of the Summer Street intersection
reconstruction project and extend easterly to the Cambridge city line, a distance of
approximately 9,500 linear feet (1.8 miles). The study will evaluate traffic operations and
safety at key intersections within the study area considered to be high traffic volume
(turning movements) locations. Study data will be based on current and future conditions
and will utilize existing information provided by the TOWN from recently completed
projects with the study area including but not limited to the Reconstruction of Coolidge
Square, the Intersection Improvements at Three Locations, and Traffic Investigations in
Watertown Square. Recommendations will be developed for near term early action projects
as well as long term capital improvements. WTE will also assist the TOWN in seeking
federal and State funding opportunities that may be available for the project.
The project will proceed in a phased approach starting with a feasibility study to determine
the limitations and opportunities of reducing Mount Auburn Street from a four-lane bi-
directional roadway to a two lane bi-directional roadway. A conceptual design will be
included with the feasibility study to illustrate where roadway modifications are feasible
and the effects that the modifications may have throughout the Mount Auburn Street
corridor. The feasibility study results will be presented to the Town for review and
comment.
Based on the results of the feasibility study, and as directed by the TOWN, WTE will
prepare a Functional Design Report including the development of design alternatives using
information from the feasibility study. The information obtained through the feasibility
study and contained in the Functional Design Report will be the basis for the Project
Request Form and Project Justification Form required by the Massachusetts Department of
Transportation (MassDOT) to obtain funding for the improvements. Upon notification by
MassDOT that the project is eligible for federal and/or State funding the project will
proceed to the design phase. Engineering services necessary for the preparation of contract
bid documents associated with early action projects will proceed concurrently with Phase 2
work as directed by the TOWN.
The Scope of Services shall be apportioned as follows:
Phase I — Feasibility Study and Conceptual Design
Phase 2— Functional Design Report and Design of Early Action Projects
Phase 3 - Design
Phase 4— Engineering Services during Construction
The specific tasks to be performed are listed in Section 11"SCOPE OF SERVICES:'
IL SCOPE OF SERVICES
A. Phase 1 —Feasibility Study and Conceptual Design
1. Project Initiation
a. The first step in the feasibility study and conceptual design process will be to meet
with representatives of the TOWN and confirm project parameters and the overall
schedule, confirm goals and understanding of the project components. WTE will
review in detail the issues that the TOWN wishes to see addressed and confirm the
physical boundaries of the project area. WTE will schedule a series of periodic project
updates in order to report the progress of the work to the TOWN.

2. Traffic Invesligations
a. WTE will investigate existing traffic operations and safety along Mount Auburn
Street and the impacts of reducing the existing four-lane bi-directional roadway to a
two lane bi-directional roadway. WTE will prepare a Technical Memorandum to
present all traffic data related to traffic volumes, accident occurrence, turning
movements, and other pertinent information in order to assess traffic for the design
year of 2030. All information obtained in Phase 1 will be used in the Functional
Design Report (Phase 2).
b. Automatic Traffic Recorder (ATR) count data shall be obtained for a minimum of 48
hours at the following locations:
• Mount Auburn Street northeast of Common Street
• Mount Auburn Street northeast of Walnut Street
• Mount Auburn Street east of Oakley Road
• Mount Auburn Street northeast of School Street
c. Turning movement counts (TMC) will be taken in 15 minute intervals during a
typical weekday from 7:00 a.m. to 9:00 a.m. and from 4:00 p.m. to 6:00 p.m. at the
following locations:
• Mount Auburn Street at Phillips Street and Marshall Street (offset tee
intersections)
• Mount Auburn Street at Parker Street and Common Street(offset tee
intersections)
• Mount Auburn Street at Walnut Street and Bates Road (offset tee intersections)
• Mount Auburn Street at Boylston Street (tee intersection)
• Mount Auburn Street at Chauncey Street (tee intersection)
• Mount Auburn Street at School Street (four legged)
The data will be summarized for each approach during both the morning and evening
peak hours.

d. It is anticipated that traffic data collected for past projects located in the nearby area
will be reused in this project. These projects include the Reconstruction of Coolidge
Square project, the Intersection Improvements at Three Locations project, and
Investigations in Watertown Square. The traffic data anticipated to be reused in this
project includes the following locations:
• ATR- Mount Auburn Street northeast of Main Street(Watertown Sq. project)
• ATR- Mount Auburn Street southwest of Irma Avenue (Coolidge Sq. project)
• ATR- Mount Auburn Street northeast of Arlington Street (Coolidge Sq. project)
• ATR- Arlington Street northwest of Mount Auburn Street (Coolidge Sq. project)
• ATR- Arlington Street south of Wells Street (Coolidge Sq. project)
• TMC- Mount Auburn Street at Summer Street (Three Locations project)
• TMC- Mount Auburn St. at Upland St, and Dexter Ave. (Coolidge Sq. project)
• TMC- Mount Auburn Street at Melendy Avenue(Coolidge Sq. project)
• TMC- Mount Auburn Street at Lloyd Road (Coolidge Sq. project)
• TMC- Mount Auburn Street at Elton Avenue (Coolidge Sq. project)
• TMC- Mount Auburn Street at Irma Avenue(Coolidge Sq. project)
• TMC- Mt. Auburn St. at Bigelow Ave, and Kimball Rd. (Coolidge Sq. project)
• TMC-Mount Auburn Street at Templeton Parkway(Coolidge Sq. project)
• TMC- Mount Auburn Street at Arlington Street(Coolidge Sq. project)
• TMC- Arlington Street at Grove Street (Coolidge Sq, project)
• TMC- Grove Street at the Tufts Medical Center driveway (Coolidge Sq. project)

e. Accident data shall be analyzed for the most recent three years available for the
intersections included within the study limits. The analysis will be used to identify
potential roadway and intersection design deficiencies. The analysis shall be
performed using the latest available data furnished to WTE by the TOWN. Accident
trends will be established at respective intersections through comparing accident data
collected for the subject project to that previously collected for the Three Locations
Project and the Coolidge Square Project.
f The traffic data will be summarized and traffic projections will be made to include
future growth, based on a design year of 2030 using historical data recorded by
MassHighway and data collected for the Three Locations Project and the Coolidge
Square Project. The peak hour traffic volumes will be used to determine lane
requirements, level of service operation, projected traffic volumes, traffic signal
warrants and signal timing requirements, and other design criteria, The analyses

performed as part of the Three Locations Project and the Coolidge Square Project will
be reused to the maximum extent practicable. The analysis and results will be
summarized in a Technical Memorandum which shall include all of the tabulation
data.
3. Technical Memorandum
a. WTE will prepare a Technical Memorandum to present the collected data and analyses
including traffic data related to traffic volumes, accident occurrence, turning
movements, and other pertinent information in order to assess the feasibility of a lane
reduction under the design year 2030 volumes. The Technical Memorandum will
include recommendations regarding any proposed changes to the function and
character of Mount Auburn Street.
4. Conceptual Design
a. In concurrence with the collected data and analyses presented in the Technical
Memorandum, previous studies, reports or other related information and input by the
TOWN officials, WTE, will develop a design concept addressing the project's goals
and objectives for each study intersection and roadway segment. The concept plan
will implement a reduction in roadway cross section where appropriate as well as
address roadway, traffic safety, and capacity deficiencies identified as requiring
improvements in the FDR. Two additional alternatives will be developed for roadway
segments between study intersections only. Bicycle and parking accommodations will
be reflected in the concepts where feasible.
b. The conceptual designs will include a preliminary layout of improvements, general
roadway improvements, potential changes to the roadway cross-section, potential
impacts on abutting properties, or other pertinent design features. In addition, an order
of magnitude cost estimate will be prepared for the concepts. For this phase of the
work WTE will utilize the Town's existing GIS base mapping, aerial photographs
and/or record plans as the base plans used for the conceptual design. Accordingly,
conducting a topographic survey for this phase of the work is not anticipated.
5. /denlYieutfon of Early Action Projects
a. Based on the findings in the Feasibility Study, WTE will recommend several near
tern early action projects that the Town may chose to implement in order to improve
safety and operations at specific locations prior to the major reconstruction of Mount
Auburn Street. The design of these projects will be developed in Phase 2 following
approval by the Town.

6. Meetings
a. WTE will meet with representatives of the TOWN at the initiation of the project to
confirm project parameters and the overall schedule, goals and understanding of the
project components. WTE will review in detail the issues that the TOWN wishes to
see addressed and confirm the physical boundaries of the project area.
b. WTE will schedule a series of periodic project updates in order to report the progress
of the work to the TOWN.
c. WTE will meet with representatives of the TOWN to present the Feasibility Study.
The presentation will describe the project area, present the issues being addressed,
discuss the TOWN's goals and objectives for an improvement plan, illustrate the intent
and methodology of the design, identify opportunities and limitations of the findings
and establish a strategy for near term early action projects as well as long tern capital
improvements. The meeting will also provide an opportunity to discuss and review the
preferred alternative, review specific conditions, and assure an understanding of the
project process, scope and schedule.
B. Phase 2—Functional Design Report and Design of Early Action Projects
/. Traffic/nvevtigations
a. As authorized by the TOWN, WTE will prepare a Functional Design Report (FDR).
The FDR will present all data collection and analyses in the Technical Memorandum
in a comprehensive document that conforms to the standards of MassDOT, complete
with descriptions of existing conditions/ deficiencies, summary charts and figures. The
FDR will include the investigation, analysis, and will present the preferred alternative
for the Mount Auburn Street corridor.
b. The FDR will utilize the information collected and analyzed in Phase 1 and will
investigate traffic operations and safety, the impacts of reducing the four-lane bi-
directional roadway to a two lane bi-directional roadway, and will recommend
improvements. The FDR will include traffic data related to traffic volumes, accident
occurrence, and turning movements. it will also include an assessment of the existing
alignment and roadway geometry as well as other pertinent information in order to
arrive at appropriate design recommendations for a design year of 2030. The
Functional Design Report will include a review of existing traffic signal installations
and discuss proposed improvements at each location, including new traffic signal
installations where warranted.

Functional Design Report
a. WTE will prepare a Functional Design Report (FDR) to present all data collection and
analyses in the Technical Memorandum in a comprehensive document that conforms
to the standards of MassDOT complete with descriptions of existing conditions/
deficiencies, summary charts and figures. The FDR will include the investigation,
analysis, and conceptual layout of up to three alternatives for Mount Auburn Street
within the study limits and will present the preferred alternative. The FDR will be used
for funding requests.
3. .Meetings
a. Upon the TOWN's determination to proceed with Phase 3, WTE will conduct a
Public htformational Meeting with TOWN officials, local businesses and residents
and other interested parties to present the project and collect feedback as well as
project support.
b. WTE will schedule a series of periodic project updates in order to report the progress
of the work to the TOWN.
c. WTE will present the conceptual alternatives for discussion and review at a Public
Inforniational Meeting. The Functional Design Report and Conceptual Designs will
be presented for the purpose of reaching consensus on a preferred alternative. The
alternatives will be presented in an appropriate format that may include Microsoft
Power Point, presentation boards or other presentation materials. The presentation
will describe the project area, present the issues being addressed, outline the Town's
goals and objectives for the improvement plan, and illustrate the intent and
methodology of the design. It is anticipated that the public meeting will provide the
public (including key interest groups, committees, and others) with an opportunity to
thoroughly discuss and review the alternative approaches, review specific conditions,
and assure an understanding of the project process, scope and schedule.
4. FunditgAssistance
a. WTE will assist the TOWN in identifying potential funding programs for the Mount
Auburn Street improvements. This work will include efforts to secure placement on
the State Transportation Improvement Program (STIP). In addition, WTE will assist
the TOWN in identifying other Federal and/or State funding programs which may
include, but are not necessarily limited to Public Works Economic Development
(PWED), the Surface Transportation Program (STP), Transportation Enhancement
Programs or other transportation programs.
S. Design cif Early Action Projects
a. WTE will design the near term early action projects identified in Phase 2 at the
direction of the Town to improve safety and operations along the Mount Auburn
Street corridor prior to the major reconstruction of Mount Auburn Street. These
projects are anticipated to be small in scale and may be constructed by TOWN forces
or through the bidding process.
b. WTE will generate design plans, details and specifications for the implantation of
early action projects using available aerial photography or base plans provided by the
Town. This Scope of Services assumes a maximum of five locations will be identified
and designed all of which will be constructed using Town forces without the need for
bid documents or project advertisement. Topographic survey and the preparation of
contract bid documents are not anticipated in Phase 2 services and therefore are
considered outside of this Scope of Services.
C. Phase 3—Design
Following approval of a preferred alternative and with the continued support for the project,
WTE will prepare design documents in the form of plans, specifications, estimates and
relevant design elements in accordance with the TOWN and MassHighway design
guidelines as may be applicable as required. All submittals will be presented to
MassHighway for review and comment following approval by the TOWN at the 25%, 75%,
and 100% design stages. Work shall include performing a topographic survey and the
preparation of construction plans, grading plans, traffic signal plans, signing and striping
plans, details for sidewalks, curb installation, strectscape improvements, erosion control
and other design elements necessary to complete the work. The TOWN and WTE will
develop the actual Scope of Services following completion of Phase 2 services and
confirmation from the TOWN to advance the project. No work in Phase 3 shall commence
until authorized by the TOWN in the form of an executed Amendment and a mutually
agreed upon fee.
D. Phase 4— Engineering Services during Construction
I_ It is anticipated that MassHighway will advertise, administer and control the construction
phase of this project. WTE will attend prcconst-uction conferences, review and approve
shop drawings for mast arms or strain poles, provide consultation and will perform final
inspection and fine tuning of the traffic signal equipment upon completion of the entire
system installation in accordance with MassHighway Standard Operating Procedures
(SOPS).

Ill. FEES
A. The TOWN will pay WTE full compensation for the work as described in Section 11, Part A
- "Phase I —FeasibilitY Stuc/v and Conceptual Design" the lump sum fee of$69,850.00.
B. The TOWN will pay WTE full compensation for the work as described in Section 11, Part B
- "Phase 2 — Functional Design Report and Design of Early Action Projects" the lump
sum fee of$55,350.00. Phase 2 work shall not proceed until authorized by the Town.
C. The fee for the work as described in Section 1I, Part C - "Phase 3 — Design- shall be
mutually agreed upon in the form of an Amendment to this Agreement once the project
scope can be better defined.
D. The fee for the work as described in Section 11, Part D - "Phase 4 -- Engineering Services
during Construction" shall be billed to the TOWN on a time and expense basis at WTE's
Standard Billing Rates in effect at the time that the services are performed. Limits on man-
hours will be established following submission of the final design documents and will not
be exceeded without an Amendment to this Agreement.
E. Direct expenses incurred in conjunction with the performance of the work shall include,but
are not necessarily limited to, traffic counts, travel, reproductions, telephone, materials and
supplies, shipping, delivery, and postage. Direct expenses are included in the lump sum
fee.
F. Reimbursable expenses as may be required shall be billed to the TOWN on a direct expense
basis at 1.10 times cost. Reimbursable expenses incurred in conjunction with the
performance of the work shall include, but are not necessarily limited to police details,
borings, test pits, analyses of soil samples, additional printing costs unless otherwise
provided for herein, or other additional outside services as may be required and/or
requested by the TOWN. Reimbursable expenses are not included in the lump sum fee.

V. MISCELLANEOUS
A. It is understood that all information that the TOWN has available relative to the
project (i.e., existing plans, traffic study information, accident data, etc.), will be
made available to WTE so that we may properly review the project area.
B. Pees for services as described herein will be paid to WTE by the TOWN as the work
progresses, based upon the presentation of a monthly statement for services by WTE.
(See attached "WorldTech Engineering, LLC, General Terms and Conditions".)
C. Nothing contained herein shall obligate WTE to prepare for, or appear in arbitration
or litigation on behalf of the TOWN or to undertake additional work on matters not
included herein, except in consideration of additional compensation mutually agreed
upon.
D. Unless otherwise provided for hereinbefore, the attached "WorldTeclt Engineering,
LLC, General Terms and Conditions" are incorporated herein by reference, and shall
be considered a part of this agreement.

VI. ENTIREAGREEMENT
This Agreement constitutes the entire understanding between the parties with respect to the
subject matter hereof, and shall supersede all understandings and agreements between the
parties prior to the date hereof.
