COMPASS CREEK COMMERCIAL OWNERS ASSOCIATION, INC.. AND LEESBURG COMMERCIAL, L.C., FOR USE OF TOWN PROPERTY WHEREAS, Compass Creek Commercial Owners Association, Inc., (the "Association") and Leesburg Commercial, L.C., (`Leesburg Commercial") seek to install, operate and maintain underground irrigation systems, landscaping and seven street lights ('facilities") on Town property; and WHEREAS, the installation of the facilities is proposed for Compass Creek Parkway, a public street; and WHEREAS, the Association and Leesburg Commercial acknowledge that the primary use of Compass Creek Parkway is for street purposes, and that the construction and operation shall not adversely affect such property's primary use for street purposes; and WHEREAS; a License Agreement is necessary to allow installation, operation and maintenance of the facilities; and WHEREAS, the Town Attorney has negotiated a License Agreement between the Town, the Association and Leesburg Commercial to install. operate and maintain the facilities; and WHEREAS, the term of the License Agreement will run for five (5) years, with an automatic renewal for a like period; and WHEREAS, the Association and Leesburg Commercial have approved the License Agreement and any fees, if they exist, will be bome by the Association and Leesburg Commercial; and WHEREAS, the terms contained in the License Agreement are reasonable and equitable. -2- A RESOLUTION: AUTHORIZING THE MAYOR TO EXECUTE A LICENSE AGREEMENT BETWEEN THE TOWN OF LEESBURG. RESOLVED by the Council of the Town of Leesburg in Virginia that the Mayor is authorized to execute the License Agreement with Compass Creek Commercial Owners Association. Inc., and Leesburg Commercial. L.C., for the installation, operation and maintenance of underground irrigation systems, landscaping and seven street lights on Town Property, so long as approved by the Town Attorney. David Butler, Mayor Town of Leesburg Clerk of Council PO TCm LICENSE AGREEMENT THIS LICENSE AGREEMENT, made this 1 day of bec-€fll be./ 2016, by and between the TOWN OF LEESBURG, VIRGINIA, a municipal corporation, ("Town"), and COMPASS CREEK COMMERCIAL OWNERS ASSOCIATION, INC. a Virginia non - stock corporation (the "Association"), and LEESBURG COMMERCIAL L.C., a Virginia limited liability company ("Leesburg Commercial"), and their respective permitted successors and/or assigns. WITNESSETH WHEREAS, the Town owns certain property extending from Battlefield Parkway to and through the Compass Creek subdivision on which the Town maintains a street for the public's use and enjoyment known as Compass Creek Parkway and as more particularly set forth on that certain plat attached hereto as Exhibit A and made a part hereof ("Plat") such property hereinafter referred to as the "Premises"; and WHEREAS, Leesburg Commercial desires to construct for the benefit of the Association and the Association desires the right to maintain certain irrigation system facilities, landscaping and street lights and associated equipment and improvements as more particularly defined herein (the "Compass Creek Facilities") on the Premises; and WHEREAS, the location and description of the Compass Creek Facilities shall be in accordance with certain engineering plans approved by the Town, identified as TLRD-2016- 0009, Compass Creek Commercial Center Phase 1 Infrastructure Plan and attached hereto as Exhibit B (the "Plans"); and WHEREAS, Leesburg Commercial and the Association acknowledge that the primary use of the Premises is for the street purposes and that the construction and operation of the Compass Creek Facilities on the Premises shall not adversely affect such property's primary use for street purposes; and WHEREAS, Leesburg Commercial and the Association desire to establish their separate, distinct, and individual obligations and liabilities to the Town as more particularly described herein; and WHEREAS, the Town is willing to allow Leesburg Commercial and the Association to use the Premises on the terms and conditions set forth herein. NOW, THEREFORE. the Town, Leesburg Commercial and the Association, for and in consideration of the sum of One Dollar ($1.00), the receipt and sufficiency of which is hereby acknowledged, and in consideration of the mutual covenants hereinafter contained, hereby agree and the Town hereby grants unto Leesburg Commercial and the Association for the term and upon the conditions, covenants and agreements hereinafter set forth, permission to use the Premises for the purpose of installing, operating and maintaining within the Premises the Compass Creek Facilities identified as follows: (i) underground irrigation systems including pipes. valves, monitoring equipment, gauges and associated facilities and equipment; (ii) landscaping features, including, without limitation, grass, shrubs, trees, plantings and mulch; (iii) pavers within the median areas; and (iv) seven (7) street lights, including associated facilities and equipment. The locations and specifications for the Compass Creek Facilities are more particularly identified on the Plans. A. Conditions. The Compass Creek Facilities constructed on the Premises shall be, at all times, maintained and repaired by the Association as provided herein in a safe manner satisfactory to the Town. The rights and privileges herein granted to Leesburg Commercial and the Association shall be subject to the rights or interests held by others, if any, in and to the Premises as the date of this Agreement. The Town makes no warranties with respect to the Premises but gives Leesburg Commercial and the Association permission to use such rights in the Premises as are herein provided. B. Term. Unless terminated in accordance with the provisions herein, the term of the Agreement shall be five (5) years from the date hereof, and thereafter shall be automatically renewed for successive five-year periods (so long as Leesburg Commercial and the Association are not in default hereunder) until terminated as otherwise provided herein. Should Leesburg Commercial or the Association abandon or remove the Compass Creek Facilities for a six (6) month period of time (excluding periods of seasonal non use), this Agreement shall terminate forthwith at the election of the Town. The Town may unilaterally terminate the Agreement upon ten (10) days' notice in the event the Town determines the maintenance and/or operation of the Compass Creek Facilities and the continuation of such License Agreement shall adversely affect the health, safety and welfare of Leesburg. Upon termination of this Agreement, Leesburg Commercial and/or the Association shall leave the Premises in a clean condition acceptable to the Town, which condition shall include leaving the Compass Creek Facilities on the Premises. Upon said termination, Leesburg Commercial and the Association shall relinquish all right, title and interest to the Compass Creek Facilities and the same shall be and become the property of the Town. Termination of this Agreement shall not relieve or release Leesburg Commercial, the Association or the Town from any liability or obligation which may have been incurred or assumed by Leesburg Commercial, the Association or the Town hereunder prior to termination. The parties hereto agree Leesburg Commercial shall be responsible for all obligations of Leesburg Commercial and the Association hereunder in connection with the initial construction of the Compass Creek Facilities. Following receipt by the Town of a document certifying completion of the Compass Creek Facilities (and that the irrigation system is operational) the Town Director of Public Works shall inspect the installation of the Compass Creek Facilities in terms of its compliance with the Plans and as to location. Within fourteen (14) days following 2 such inspection, the Town Director of Public Works shall provide written notice to Leesburg Commercial that it either (a) approves of the location and construction of the Compass Creek Facilities, or (b) disapproves of the location and construction of the Compass Creek Facilities. If disapproved, Leesburg Commercial will correct the defect set forth in the notice and upon completion of same, shall schedule another inspection of the Compass Creek Facilities and the Town shall respond as provided hereinabove. Upon written notice to Leesburg Commercial from the Town Director of Public Works of its approval of the location and construction of the Compass Creek Facilities and compliance with the Plans (the "Approval") Leesburg Commercial shall be released in all respects from any rights, obligations, or liabilities under this License Agreement. Thereafter, all rights and obligations of Leesburg Commercial and/or the Association as provided herein shall be assumed in full by the Association. The parties agree that the irrigation system to be established across any dedicated and/or operational travelways within the Premises shall be constructed and installed by means of boring or tunneling from staging areas (bore pits) or in the case of a travelway not yet dedicated or operational by trenching; and in connection therewith, a permanent sleeve shall be installed beneath the surface of and across the travelways within the Premises to contain the irrigation system and to permit its future removal or replacement without disturbing the Premises. Leesburg Commercial and the Association hereby agree that the roadway and vehicular traffic shall not be significantly hindered or disturbed during installation, maintenance or operation of the irrigation system. Prior to construction or repair other than "Routine Repairs" as defined in paragraph G hereof, the Association shall notify the Town and, if necessary, proper traffic controls approved by the Town shall be installed. A Right of Way permit shall be issued by the Town prior to any such construction and repair. C. Construction Plans and Specification. Construction of the Compass Creek Facilities on the portion of the Premises shall be performed in accordance with approved Plans. The construction of the Compass Creek Facilities shall not deviate from the Plans approved by the Town without the Town's written approval. The Town shall cause the removal by the Association of any changes which were not approved, at the Association's sole cost and expense. D. Confining Construction Activity. During construction, Leesburg Commercial and its contractors and subcontractors shall confine all construction activity, including access and storage, within the applicable areas specified on the approved Plans. E. Excavation. Leesburg Commercial and/or the Association shall not make or begin any excavation or other subsurface activity on the Premises without first obtaining information concerning the possible location of any underground facility from each and every public utility, municipal corporation, or other entity having the right to bury underground facilities on the Premises. F. Inspection of Construction. The construction of the Compass Creek Facilities is subject to the Town's inspection at all places and all reasonable times to ensure strict compliance with the terms of this Agreement. Such inspections shall be performed in a timely manner so as not to delay the installation of the Compass Creek Facilities. 3 G. Maintenance and Operation. Following the completion of the initial construction and receipt of Approval from the Town as provided in paragraph B hereinabove, the Association shall be responsible for maintaining, repairing and operating the Compass Creek Facilities on the Premises, and shall perform such maintenance, repair and operations in a manner and at such frequency as necessary to keep the Premises safe and to protect against damage to the Premises and adjoining properties. Pesticides or other contaminates will not be used within the irrigation system. The Town shall not be responsible for such maintenance and/or repair. In addition, the Association will provide the Town's Director of Public Works with a winterization schedule. Routine maintenance shall be defined as any work which can be accomplished utilizing mechanical equipment and/or vehicles operated from a location which is entirely behind the back of curb for Compass Creek Parkway, and in such a manner as to not encroach into the traffic lanes or disrupt traffic flow along Compass Creek Parkway. Prior to commencement of any maintenance which requires disturbance of the Premises which is more extensive than generally associated with routine maintenance of the Compass Creek Facilities, the Association shall submit a proposed maintenance plan and schedule to the Town for approval. The plan and schedule, at a minimum, shall provide a description of work to be performed, a description of equipment, vehicles, work techniques and methods to be used in connection with the maintenance or operation activity, a schedule as to the length of time required to perform the work, and such other information as the Town may need in order to evaluate the proposed maintenance or operation activity. The Association shall confine all such extensive maintenance and operation activities, including access and storage, within the applicable areas specified in the approved maintenance and operation plans. In addition to any other condition which the Town may require in consideration of approval of any such maintenance plan, if any such maintenance activity of the Association would disturb or disrupt the land or any improvements on the Premises, or would interfere with the Town's or public's use and enjoyment of the Premises as determined by the Town, the Town may impose upon the Association reasonable charges and bonding (over and above any other payments required under this Agreement) to cover its costs of reviewing, approving, administering, overseeing and inspecting the maintenance activity, and to ensure the safety and wellbeing of the public and the proper and timely restoration of the Premises. The hours of permitted operation of the irrigation system shall be between 12:00 a.m. to 6:00 a.m. daily. Operation of the Compass Creek Facilities at any other time will require approval of the Town Director of Public Works. Prior to such maintenance, a Right of Way permit must be issued by the Town. The Association agrees to mow and maintain the stand of grass within the dedicated right of way comprising the Premises. Further, absent gross negligence on its part, the Town shall have no liability for damage to the Compass Creek Facilities resulting from its mowing activities (in the event such activities should occur) or from the acts of third parties who perform work on the Premises under a permit issued by the Town. The Association shall be responsible for any 4 damages to roads, sidewalks, curbs, utilities, traffic control devices, and other facilities within the control of the Town caused by the system, its operation, maintenance or repair. The Association agrees to maintain the seven (7) street lights or have an agreement in place with NOVEC for said maintenance, with a copy of the agreement with NOVEC provided to the Town Director of Public Works. In the event of a street light outage, the outage must be corrected within ten (10) working days. The Association shall make routine inspections of street light operations and report all outages to NOVEC. The Town will also make periodic inspections of street light operation and if lights are out, will be reported to the Association for reporting to NOVEC. H. Restoration. The Association shall, as soon as practicable after the completion of any extensive maintenance activities, restore all areas disturbed during such activities. These areas shall be restored in kind to a condition substantially the same as that which existed prior to The Association's performing such maintenance activities, and shall be restored to the satisfaction of the Town, taking into consideration aesthetics as well as structural or design integrity. I. General Responsibilities of Licensee. 1. Compliance with Applicable Laws and Regulations. Leesburg Commercial and/or the Association shall construct. operate, and maintain its facilities and improvements in accordance with all applicable federal, state, county and Town laws, orders, rules and regulations existing on the date of this Agreement or enacted thereafter. affecting the installation, maintenance and use of the Compass Creek Facilities. 2. Indemnification. Leesburg Commercial agrees to indemnify and hold the Town, its officers. agents. and employees. harmless from and against all claims. losses, expenses, or suits for injuries, death. or damages caused by the acts of Leesburg Commercial, its officers. agents. or employees on the Premises including the cost of reasonable attorney's fees and other costs. Upon the approval of the Town Director of Public Works of the "Compass Creek Facilities" the indemnification as to Leesburg Commercial only shall terminate and be in no further force and effect. Notwithstanding the provisions of this clause. Leesburg Commercial shall not be liable for nor shall it indemnify the Town for property damage or personal injuries caused by the acts of the Town. its officers. agents. or employees. The Association agrees to indemnify and hold the Town, its officers, agents, and employees, harmless from and against all claims, losses, expenses, or suits for injuries, death, or damages caused by the acts of the Association, its officers, agents or employees on the Premises including the cost of actual reasonable attorney's fees and other costs. Notwithstanding the provisions of this clause. the Association shall not be liable for nor shall it indemnify the Town for property damage or personal injuries caused by the acts of any third parties or the Town, its officers, agents, and employees. The Town shall not be liable for damage to the system caused by future road improvements. J. Insurance. The Association shall maintain public liability insurance in the amount of One Million Dollars ($1.000.000) and shall provide the Town simultaneously with the 5 execution hereof, and at the time of any renewal of this agreement, a certificate of insurance for such policy which shall name the Town as an additional insured thereon. K. Notices. Notices under the Agreement shall be deemed to be properly served if delivered in person or in writing by certified mail, with return receipt requested, to the following addresses or such other places as the parties reasonably designate: To the Town: Director of Public Works & Capital Projects The Town of Leesburg 25 W. L. No Waiver. Nothing contained in the Agreement shall be deemed to waive the requirement of the various codes, regulations, resolutions and statutes regarding permits, fees to be paid, or manner of construction, operation, or maintenance. M. Assignment. No assignment by Leesburg Commercial and/or the Association of this Agreement or any rights hereunder shall be made without prior written consent of the Town. N. Entire License. This Agreement (and the exhibits) embodies the entire agreement between the Town, Leesburg Commercial and the Association. It is not to be modified or terminated except as provided herein or by any written agreements signed by the authorized representatives of both parties. If any provision herein is invalid it shall be considered deleted 6 here from and shall not invalidate the remaining provisions. Time shall be of the essence in the performance of all obligations of the Town, Leesburg Commercial and the Association under this Agreement. O. Applicable Law. The parties agree that this License Agreement will be governed by the laws of the Commonwealth of Virginia and shall be binding upon the parties and their respective successors and/or assigns.
