Council Members Present: Ron Campbell, Suzanne Fox
Council Member Requesting Electronic Participation: Tom Dunn
Council Members Absent: Mayor Kelly Burk, Vice Mayor Marty Martinez and Neil
Steinberg.
Staff Present: Town Manager Kaj Dentler, Town Attorney Christopher Spera, and
Executive Associate Corina Alvarez.

a. Electronic Participation
Council Member Dunn requested to electronically participate in the
December 8, 2020, Special Town Council Meeting due to the health and safety
concerns associated with the Coronavirus; however, a physical quorum was not
present to vote to allow him to do so. Council Member Fox and Council Member
Campbell were physically present at the meeting. Mayor Burk, Vice Mayor
Martinez and Council Member Steinberg were absent.
3. RESOLUTIONS/ORDINANCES/MOTIONS
a. Boundary Line Adjustment (BLA) and Revenue Share Agreement
MOTION
I move to provide the following direction to staff regarding the Boundary
Line Adjustment (BLA) and the Revenue Share Agreement with Loudoun
County:
There was no quorum to discuss this agenda item. Therefore, per Council's
Rules of Procedure, Section 15, this item has been moved to the next regularly
scheduled meeting of the Town Council on January 12, 2021.
4. ADJOURNMENT
Council Member Fox adjourned the meeting at 6:51 p.m.

Council Member Suzanne Fox: I'll go ahead and call to order the Leesburg, Virginia Town Council
Special Meeting dated December 8, 2020. Roll call. I see that we do not yet have quorum and so I am
going to go ahead and hold the meeting open for a little while to see if we have somebody else show
up.

Corina Alvarez: Mr. Dunn, can you hear me?
Council Member Tom Dunn: Yes, I can. How am I sounding? Is it still rough? Hello?
Council Member Fox: I can totally hear you. It doesn't sound as bad as it did last night. Mr. Dunn we
still don't have a quorum.
Council Member Dunn: [unintelligible] hear?
Council Member Fox: No, you're breaking up.
Council Member Dunn: I do not have anything on the screen, though. On the video.
Council Member Fox: There is nothing there. The cameras are on, though.
Council Member Dunn: Well I don't have any picture [unintelligible]. But you can hear me okay
without [unintelligible].
Council Member Fox: You sound a little like you did last night, breaking up just a bit.
Council Member Dunn: I'm going to end and call on my phone and hopefully that will be better but
just know that will probably put me on a 5 to 8 second delay.
Council Member Fox: Okay, thank you.
Council Member Dunn: Is there a remote log in for the next meeting at 7 o'clock or is it the same
thing?
Council Member Fox: I believe we have to turn things off and turn things on with a different log in. Is
that correct? Yes, you have to log off and then log back in.
Council Member Dunn: Okay, thank you. I'm going to [unintelligible] to this meeting. If I don't make
it in time I'm just going to participate in the other meeting.
Council Member Fox: Okay, thanks.

Council Member Fox: Mr. Spera?
Chris Spera: Yes, mam?
Council Member Fox: Would you mind going over Rules and Procedures, Section 15 regarding this
agenda item?
Chris Spera: Yes, I will. So, by the procedural rules that the Council has adopted [unintelligible].
Council Member Fox: Okay.
Chris Spera: So [unintelligible]. I'll try that again. I apologize. I had my paper in front of me and did
not note that the mic was not on. I apologize. So, by operation of Rule 15 of the Rules of Procedure
that this Council has adopted, when there is not a quorum or a quorum fails to exist, the meeting shall
be adjourned and the matter continued to the next regularly scheduled meeting. That is the January
12th meeting, so that the subject matter can be properly noticed. Now that it is part of a regular meeting,
it has to be noticed like a regular meeting agenda item, which requires at least three days' notice
pursuant to the State code.
Council Member Fox: Okay.
Chris Spera: So this, by operation of the rules you've adopted, this agenda item gets rolled to the
January 12th meeting.
Council Member Fox: Automatically.
Chris Spera: Automatically. Yes, mam. Nothing else you need to do. So, basically, at this point you
can adjourn the meeting. This happens automatically. We state that on our record this evening and
the Town Manager is here and he will add it to the agenda for that meeting.
Council Member Fox: Okay. We'll hold it open for a few more minutes.

Council Member Dunn: [Unintelligible] in the next Special meeting?
Council Member Fox: I'm sorry?
Chris Spera: Mr. Dunn can't participate electronically at this point because [unintelligible] voted
[crosstalk].
Council Member Fox: Mr. Dunn at this point —
Council Member Dunn: [Unintelligible] a Special meeting.
Council Member Fox: I'll tell you what, Mr. Dunn. I'll go ahead and ask that question because at this
point you are not voted into the meeting. One moment. So, can the next meeting be a Special meeting?
Chris Spera: What the Rules of Procedure that this Council has adopted states is that if a quorum fails
to exist, the meeting shall be adjourned to the next regularly scheduled meeting.

Council Member Fox: So, Mr. Dunn. It's for the next regularly scheduled meeting. So no, it cannot
be a Special meeting.

Council Member Fox: Given the fact that we have three Council members that couldn't see fit to
participate in tonight's meeting we have no choice but to adjourn for lack of quorum. So, we are going
to move this agenda item, by operation of Rule 15 of our Town rules to the next regularly scheduled
meeting which will be January 12. So, meeting adjourned.
