Final Meeting Minutes
Meeting On May 2, 2016 at 11:00 am
MSD Headquarters, 2350 Market Street, St. Louis, MO 63103
Signatory Attendees: CBTU, CORE, MCU, MOKAN, NAACP (City Branch),
NAACP (County Branch), NSBE, UAPO and MSD
(Attendance sheet attached)
1. Roll Call
Signatories present: CBTU, CORE, MCU, MOKAN, NAACP (City
Branch), NAACP (County Branch), NSBE, UAPO and MSD (Quorum)
2. There were no public comments.
3. Meeting Minutes from April 22, 2016 were unanimously approved.
4. Signatory group discussed existing Quorum requirements to conduct CBA business.
Group acknowledged that there are currently 11 Signatories which include MSD as a
voting Signatory. A vote was put forth to use the established “Robert’s Rules of Order,”
to conduct CBA business. As such, a Quorum would require six (6) votes to conduct
business. A motion was entered, seconded and unanimously approved.
5. MSD General Counsel, Susan Myers, briefly covered the purpose of Closed Session and
the rules and responsibilities of Closed Session participants with regards to MO Sunshine
Law Section 610.021(1) Legal, Confidential or Privileged Matters.
6. Meeting attendees voted to go into Closed Session and were unanimously approved.
7. Meeting adjourned at approximately 3:00 p.m.
