HomeMy Public PortalAbout714664COMMUNITY BENEFITS AGREEMENT (CBA) AGENDA Draft Meeting Minutes Meeting On January 29, 2014 at 3:00 pm MSD Headquarters, 2350 Market Street, St. Louis, MO 63103 Signatory Attendees: CBTU, CPC, MCC, MCU, MOKAN, NAACP, and NSBE (attendance sheet attached) A. Rules and Procedures 1. Recommendations- Establish procedures for signatory group recommendations for CBA activities (i.e. single voted on recommendation, consensus, multiple majority and minority recommendations, sub -committee structure, meeting lengths, etc.) • Meeting opened with introduction of meeting participants and Signatories. CBTU suggested following Robert's Rules of Order. Signatory Group discussed and unanimously agreed to follow Robert's Rules of Order. NSBE nominated Brian Hoelscher to serve as CBA facilitator. Signatory Group unanimously agreed to proceed with Brian Hoelscher serving as the CBA meeting facilitator. 2. Selection of Oversight Committee- Establish procedures for signatory group to select three Oversight Committee members (i.e. voting, consensus, etc.) • Signatory Group nominated four (4) individuals as candidates to serve on the Monitoring Oversight Committee. Each Signatory voted by ballot resulting in the following results for three individuals to serve as the appointed three (3) members of the Monitoring Oversight Committee: Lew Moye (6 Votes), Yaphett El -Amin (6 Votes), Adolphus Pruitt (7 Votes), Charles Brown (2 Votes). It is the Signatory Group's recommendation that the remaining Signatory serve as one of the Monitoring Oversight Committee members to be selected by MSD. MSD agreed to take the recommendation under consideration. • MSD plans to announce the selection of its three (3) Monitoring Oversight Committee members at the next scheduled CBA meeting. Term of Oversight Committee- Establish term length or review period for Monitoring Oversight Committee membership • Signatory Group motioned, seconded, and voted to establish a term of two (2) years for Signatory members to serve on the Monitoring Oversight Committee. Votes were 6 yea's with 1 nay vote by NSBE. 4. Future Meeting Schedule- Determine meeting frequency to complete initial work of signatory group and after all recommendations have been addressed • Signatory Group motioned, seconded, and unanimously voted 7-0 to establish regular meeting date and times for future CBA meetings of the Signatory group to be held on the last Wednesday of each month at 3:00 pm at the offices of MSD (2350 Market Street, St. Louis, MO). 5. Expert Advisors- Establish guidelines to receive information from expert advisors regarding possible recommendations • After discussion by the Signatory Group, MSD committed to providing legal consultation, as needed, to address any conflict issues that might arise regarding the District's Charter, Ordinances, or legal topics. Signatories motioned, seconded, amended, and voted unanimously that approval by the Signatory Group is required to allow an individual to speak as a subject matter expert for any issues brought before the Signatories and/or Monitoring Oversight Committee and that MSD would consider possible reimbursement of expenses for the topic expert on a case by case basis. The Signatories motioned, seconded, and approved by a vote of 5-0 with MCU abstaining and NSBE not present to allow a representative of SLATE to present on "First Source Hiring Program" at the next scheduled meeting. The Signatories decided to table for the next meeting, the issue of whether and how public comments may be allowed. This will be the first item on next month's agenda. January 29, 2014 CBA Meeting Page 2 B. CBA Recommendations List- This are currently in the order MSD feels is needed for continuing operations 1. Section IX, Compliance Monitoring a. Paragraph A- Selection of Six (6) Monitoring Oversight Committee members: Refer to Agenda Item A.2. above. b. Paragraph C- Scope of services for Third Party Monitoring Consultant These will be the second and third items on the next agenda following the discussion on public comment. For Paragraph C, MSD staff will provide current status, thoughts on the use of an Independent Third Party Monitor, and proposed scope for a Third Party Monitoring Consultant. After the meeting, MSD research revealed that this item has no contractually required completion date. 2. Section V, First Source Hiring a. Paragraphs C and D - Scope of services for Eligibility List and First Source Hiring Program through SLATE This will be the sixth item on next month's agenda. SLATE will present information on development and implementation of "First Source Hiring" programming with a SLATE representative available for questions. After the meeting, MSD research revealed that MSD has met the contractual requirement to contract with a government entity by June 4, 2014. 3. Section VI, MWBE Enterprises a. Paragraph A- Scope of services for 5 listed activities b. Paragraph C- Scope of services for Low interest Loan Program This will be listed as the seventh and eighth items on next month's agenda. MSD staff will be prepared to discuss current practices if time allows. After the meeting, MSD research revealed that if a government entity is not selected within six (6) months (June 4, 2014), the solicitation selection process must begin for selection of a contractor to perform this work. 4. Section VII, Education and Internship Program a. Paragraph A- Scope of services This will be the ninth item on next month's agenda. MSD staff will be prepared to discuss current practices if time allows. After the meeting, MSD research revealed that this item has no contractually required completion date. January 29, 2014 CBA Meeting Page 3 5. Section IV, Job Training a. Paragraph A.3- Additional Funding b. Paragraph B- Scope of services for Government Agency or RFP These items will be the fourth and fifth item on next month's agenda. MSD staff will provide proposed scope for these services. After the meeting, MSD research revealed that funding for this item is contractually required to be available by June 4, 2014. If a government entity is not selected within six (6) months (June 4, 2014), the solicitation selection process must begin for selection of a contractor to perform this work. The Signatory Committee adjourned at 5:25 pm. The next CBA meeting is scheduled for Wednesday, March 5, 2014.
