COMMUNITY BENEFITS AGREEMENT (CBA)
Final Meeting Minutes
Meeting On April 22, 2016 at 3:00 pm
MSD Headquarters, 2350 Market Street, St. Louis, MO 63103
Signatory Attendees: CBTU, MCU, MOKAN, NAACP (City Branch),
NAACP (County Branch), NSBE, UAPO and MSD
(Attendance sheet attached)
1. Roll Call
Signatories present: CBTU, MCU, MOKAN, NAACP(City Branch),
NAACP(County Branch), NSBE, UAPO and MSD (Quorum Present).
2. There were no public comments.
3. Meeting Minutes from May 27, 2015 were unanimously approved.
4. A question was raised as to the absence of a proposed Agenda Item submitted by the
NAACP (City) on behalf of the Signatories to vote for what constitutes a quorum for
today’s meeting. MSD’s General Counsel stated that the interpretation for the request
was that it was to be on the next regularly scheduled CBA Meeting as an Agenda Item
and not today’s special Closed Session meeting. It was agreed by all that the topic of
“What Constitutes A Quorum” would appear as an Agenda for the next scheduled CBA
meeting.
5. MSD General Counsel, Susan Myers, covered the purpose of Closed Session and the
rules and responsibilities of Closed Session participants with regards to MO Sunshine
Law Section 610.021(1) Legal, Confidential or Privileged Matters Eric Vickers stated
that his interpretation of Closed Session did not require confidentiality. MOKAN stated
that information discussed in Closed Session will be shared with MOKAN’s Board of
Directors. General Counsel stated that they are held to the same standards of those
attending the Closed Session meeting.
6. Meeting attendees voted to go into Closed Session and were unanimously approved.
7. All Signatories in attendance established the next meeting date for continuation of Closed
Session discussions to be Monday, May 2, 2016 at 11:00 a.m.
8. Meeting adjourned at approximately 5:25 p.m.
