COMMUNITY BENEFITS AGREEMENT (CBA)
Final Meeting Minutes
Meeting On October 29, 2014 at 3:00 pm
MSD Headquarters, 2350 Market Street, St. Louis, MO 63103
Signatory Attendees: CBTU, NAACP, MCU and MSD
(Attendance sheet attached)
1. Roll Call
Signatories present at the opening of the meeting were: CBTU, NAACP,
MCU and MSD. (No Quorum)
2. Agenda Item 8, CBA schedule discussion for future CBA meetings” was moved forward
on the Agenda for discussion to address the topic of not being able to conduct business
when a quorum is not present. MSD (Brian Hoelscher) proposed to re-confirm
participation of CBA members. NAACP (Adolphus Pruitt) stated that a signatory’s
failure to participate regularly would indicate default on the part of the organization in
question, one of the signatories, CPC, no longer exist. NAACP referenced in the CBA
XI.A./Page 10 “Default. Failure by any party to perform or comply with any term or
provision of this CBA, if not cured, shall constitute a default under this CBA.” MSD
took action to communicate with signatories on the importance of future attendance to
achieve a quorum by email no later than January. MSD also took actions to review CBA
Agreement and rules and to approach existing signatories about future participation or
separation from the CBA Agreement by next CBA meeting. MSD (Brian Hoelscher)
proposed that future CBA meetings be held quarterly starting with the end of February,
2015 and will consist of 3:00 pm – 4:00 pm for CBA Committee Meeting followed by
CBA Oversight Committee meeting held at 4:00 pm – 5:00 pm.
3. Meeting Minutes from August 27, 2014 to be presented at next regular scheduled CBA
meeting in February, 2015.
4. Public Comments – None
5. Education and Internship Programs (Section VII)
MSD provided information on previously proposed programs to include, DEC Education
Outreach Activities (Education Opportunity), St Louis Internship Program (HS Internship
Opportunity), SIUE Environmental Resource Training Certification Program
(Scholarship Opportunity). No actions were taken. MCU (Susan Sneed) stated that the

programs being considered should be inclusive of the North County areas. CBTU (Lew
Moye) asked if MSD has had any discussions about Ferguson. MSD (Vicki Taylor)
elaborated on MSD’s internal training programs and their newly established relationship
with St. Louis Community College. NAACP (Adolphus Pruitt) inquired about the request
to reach out to St. Louis Public Schools Community Education Programs. MSD (Shonnah
Paredes) informed the group that the SLPS Community Education is now operated under
the “Full Service Schools” Program consisting of 10 schools which are all operated
independently of each other and as of the time of the meeting, she had not heard back
from any of the schools listed. NAACP (Adolphus Pruitt) offered to assist with getting in
touch the SLPS Superintendent to establish contact. Claude Brown (MSD Consultant)
offered to facilitate a meeting between MSD and SLPS. This Agenda item will move
forward to the next scheduled CBA meeting.
6. Independent Third Party Monitoring Consultant (Section IX)
MSD (Shonnah Paredes) gave a status on the selection of an Independent 3rd Party
Monitoring Consultant. NAACP (Adolphus Pruitt) requested that the successful
consultant do a presentation of their scope of services to the CBA Steering Committee at
its next meeting.
7. Job Training Program (Section IV)
MSD (Shonnah Paredes) gave a status on the selection of The St. Louis Agency on
Training and Employment (SLATE) to establish a Job Training Program. NAACP
(Adolphus Pruitt) requested that SLATE give the CBA Steering Committee a
presentation about the training program at its next meeting.
8. Prism Software Update
MSD (Shonnah Paredes) gave a status update on the progress of the Prism Software
implementation which indicated that MSD plans to go live into production with the
software as of the second week of November according to the revised project schedule. It
was explained that there is still some level of testing, validation as well as report
customization development required before the system is fully operational and ready to
roll out to contractors. Shonnah anticipates being ready to roll out to vendors within the
next 60-90 days.
