YOUNG The Village Council of the Village of Key Biscayne, Florida Key Biscayne, Florida SunTrust Bank Miami, Florida Adorno & Yoss LLP Miami, Florida Re: $1,200,000 Village of Key Biscayne Florida Water and Sewer Revenue Bonds, Series 2009 Ladies and Gentlemen: We have acted as Village Attorney for the Village of Key Biscayne, Florida Ohe "Village") in connection with the issuance of the Village's $1,200,000 Water and Sewer Revenue Ronds, Series 2009 (the "Rnnds"). Tn such capacity, we have examined the following: a. Ordinance No. 2009-10 adopted by the Village Council on September 8, 2009, and Resolution No. 2009-25 adopted by the Village Council on October 27, 2009, authorizing the issuance of the Bonds (collectively, the "Bond Ordinance"); b. The Village Charter, as amended (the "Charter"), and Chapter 166, Florida Statutes, as amended; and c. Such other documents, certificates, records and proceedings as we have considered necessary to enable us to render this opinion. (M1860706 1) The Village Council of the Village of Key Biscayne, Florida SunTrust Bank Adomo & Yoss LLP November 10, 2009 Page 2 Based on such examinations, we are of the opinion that: i. The Bond Ordinance has been duly adopted and no further action of the Village is required to authorize the issuance, sale and delivery of the Bonds. The Bond Ordinance constitutes a legal, valid and binding obligation of the Village, enforceable in accordance with its terms, except as enforcement may be limited by applicable bankruptcy, insolvency, reorganization, moratorium or other laws relating to or affecting creditor's rights generally or by general principles of equity. 2. The issuance, sale and delivery of the Bonds and the adoption of the Bond Ordinance and compliance with the provisions thereof, under the circumstances contemplated thereby, are permitted under tl~e provisions of the Charter, including, in particular, Section 4.10 thereof, and to the best of our knowledge without undertaking any independent research, do not and will not in any way constitute a breach or default under any agreement or other instrument to which the Village is a party or any existing law, regulation, court order or consent decree to which the Village is subject. 3. To the best of our knowledge, there is no action, suit, proceeding or investigation at law or in equity before or by any court, public board or body, pending or threatened against or affecting the Village, wherein an unfavorable decision, ruling or finding would materially adversely affect the Village's obligations under the Bond Ordinance or adversely affect the validity of the Bonds or the security therefor.
