MEMORANDUM OF UNDERSTANDING
This Memorandum of Understanding made and entered into this _____ day of _____________, 2009, by and between the THE CITY OF TYBEE ISLAND, STATE OF GEORGIA, (hereinafter referred to
as the “City”) and TYBEE ISLAND SCIENCE FOUNDATION, INC., operating as TYBEE ISLAND MARINE SCIENCE CENTER (hereinafter referred to as the “MSC”), and sets forth the following:
WHERAS, the City is a municipal corporation under Georgia law authorized to provide recreational, governmental, public and similar activities and facilities to citizens and is desirous
of improving its duty to do so; and
WHEREAS, the MSC is a non-profit corporation engaged in providing educational and recreational programs and facilities dealing primarily with beach marine life issues, as well as environmental
issues; and
WHEREAS, the MSC presently occupies a building owned by the City and located at the Tybrisa Strand area; and
WHEREAS, parking in the area of the MSC is limited; and
WHEREAS, the parties desire to work together in good faith so as to accommodate the needs of the public, the City and the MSC.
NOW, THEREFORE, in consideration of the mutual covenants and conditions contained herein, the City and MSC do hereby enter into this Memorandum of Understanding as follows:
Participants in programs at the MSC will use and pay for parking as available in the City.
The City will supply the MSC with three (3) reserved parking spaces and the MSC will be responsible for obtaining the signage to be installed by the City and further the MSC will be
responsible for enforcing their right to park in the designated spaces. The City reserves the right to remove all such signs if this agreement is terminated.
Full-time, permanent staff of the MSC will receive City parking decals on an annual basis. There will be five (5) decals for full-time staff, five (5) decals for seasonal staff, to
be punched for seasonal validity only. There will be five (5) MSC placards for part-time staff and two (2) MSC placards for sea turtle project volunteers. The MSC parking placards
are to be provided by the City on an annual basis and are to be placed on the driver’s side dash of the vehicle; however, the placards shall only authorize parking in the 14th Street
parking lot of the City.
Either party to this agreement may terminate participation in this agreement by providing written thirty (30) day’s notice to the other party and returning any decals, passes, or other
items as appropriate.
