BE IT ORDAINED BY THE BOARD OF TRUSTEES OF THE METROPOLITAN ST. LOUIS SEWER DISTRICT: Section One. The contract heretofore executed by the Executive Director and Secretary-Treasurer of The Metropolitan St. Louis Sewer District and Booker Associates, Inc. for the provision by Booker Associates, Inc. of design and construction management services as required to make emergency sewer repairs for the 8th Street Sewer Collapse, in the City of St. Louis, Missouri, is hereby confirmed in the form as attached hereto: The foregoing Ordinance was adopted September 19, 1984. Hagel Re:Construction Management and Design Services Repair of 8th Street Sewer Collapse St. Louis, Missouri Booker Proposal No. PE-84336 Gentlemen: We are pleased to submit this proposal for the provision of professional services in connection with the above project. OBJECTIVE The objective of the professional services to be provided by Booker Associates, Inc., hereinafter referred to as Booker, to the St. Louis Metropolitan Sewer District, hereinafter referred to as the Client, will be provision of design and construction management services as required to make emergency repairs to the collapsed combined sewer under 8th Street between Chestnut and Market Streets, St. Louis, Missouri. SCOPE OF SERVICES In order to achieve the above objectives, Booker, working in coordination with the Client and C. Rallo Company, will: 1. Determine the locations and extent of the damages to the sewer. 2.Ascertain the location of other utilities and structures in the area of the sewer which may impact on repair procedures. 3.Determine the amount of emergency pumping capacity required to provide a reasonable and prudent assurance of preventing back-up flooding due to storm water flows prior to opening of the blocked sewer. 4.Develop a concept for the rapid uncovering of the damaged area of the sewer and opening of the sewer to allow flow. Metropolitan St. Louis Sewer District Booker Proposal No. PE-84336 August 28, 1984 Page 2 5.Prepare design plans and specifications as required for the construction contractor to make effective and efficient repair of the sewer. 6.Provide coordination and on-site inspection of the construction, document the before and after repair condition of the sewer, and document/review the level of construction resources used in the repair. 7. Provide "as-built" plans of the completed construction. SUBCONTRACT SERVICES In addition to the professional services described above, Booker may arrange for the performance of vibration level recording/interpretations during sewer repair and an analysis of adjacent building demolition as actually occurred, which is the probable cause of the sewer collapse, under subcontract with approved firms which specialize in the provision of said services. The objectives of these subcontracted services are to provide documentation to protect the Client and other governmental agencies against potential claims and to ensure that repair costs are borne by the responsible parties. If the use of other subcontractor provided services are required, Booker will request approval of the Client. PROVIDED BY BOOKER In undertaking and accomplishing the work, Booker will provide: 1.The services of all professional and technical personnel required for the performance of the work described under Scope of Services above. 2.Three (3) copies of design documents, photographs and subcontractor reports. TO BE PROVIDED BY CLIENT In order to assist Booker in the provision of professional services, the Client will provide: 1.The name of a representative to whom Booker will report and from whom Booker will receive review comments, instructions, directions and authorizations. Metropolitan St. Louis Sewer District Booker Proposal No. PE-84336 August 28, 1984 Page 3 2.Such legal, accounting and insurance consulting services, if any, which may be necessary to complete the project. 3.Any and all existing data concerning the project which may be available. TIME OF PERFORMANCE Booker will commence work immediately per oral authorization given by the Client on August 28, 1984, and complete the project on an emergency basis as early as practical. The Client has authorized the use of overtime, as required. FEES AND PAYMENTS The Client will compensate Booker for the provision of the professional services described above on the basis of the direct salary cost of the actual hours of Booker personnel allocable to the project plus one hundred forty-two percent (142%) thereof for overhead (36.80% direct and 73.36% G&A) and profit (15%). Direct salary cost is defined as actual annual salary divided by 2080 hours. Overtime pay will be in accordance with Booker's standard personnel policies. Booker shall be reimbursed for the non-salary costs of subcontract services, photographs, special equipment as required and authorized by the Client, and printing (other than required for internal review by Booker) at cost plus ten percent (10%) thereof for administration and handling. In addition, Booker shall be reimbursed on a prorated basis of Three Hundred Dollars ($300.00) per month over the period of the project for one vehicle required to support construction management activities at the project. Payment shall be made monthly upon submission of a proper invoice derived as described above. All invoices shall be due and payable within thirty (30) calendar days. LIMITATION OF LIABILITY The Client agrees to release Booker from any liability associated with any back-up flooding damages caused by the sewer blockage. In addition, the Client agrees to limit Booker's liability to the Client, and to all construction contractors and subcontractors on the project, due to Booker's negligent acts, errors, or omissions associated with all other aspects of Metropolitan St. Louis Sewer District Booker Proposal No. PE-84336 August 28, 1984 Page 4 the project, such that the total aggregate liability of Booker to all those named shall not exceed $50,000 or Booker's total fee for services rendered on this project, whichever is greater. ACCEPTANCE We are pleased to have the opportunity to submit this proposal for professional services and will commence work immediately upon your authorization to do so which you may provide by signing and returning one (1) copy of this proposal.
