WHEREAS, the District has received from the Internal
Revenue Service a notice to the effect that the I.R.S. asserts the
District is liable for Federal Income Taxes alleged to be due by
Russell & Company for the years 1956, 1957, 1959 and 1960 in the
aggregate amount of One Hundred Ninety-One Thousand One Hundred
Eight Dollars and Ninety-Four Cents ($191,108.94), plus interest
thereon, and
WHEREAS, it is considered by District officers and
legal counsel of the District to be probable that the District
would be successful in defending its position that there was no
Federal Income Tax or other liability of Russell & Company, or the
District, to the Government,
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF TRUSTEES
OF THE METROPOLITAN ST. LOUIS SEWER DISTRICT that Charles B.
Kaiser, Jr. General Counsel, be and he hereby is authorized and
directed to execute and cause to be filed with the Tax Court of
the United States a petition, in the form approved by legal
counsel, relating to a March 13, 1964 notice received by the
District from the Internal Revenue Service of the United States
Treasury Department.
The foregoing Resolution was adopted June 4, 1964.
