WHEREAS, The Metropolitan St. Louis Sewer District (the
"District") has acquired all of the shares of stock of Bonfils
Service Corporation; and
WHEREAS, all of the directors of said Bonfils Service
Corporation have resigned; and
WHEREAS, it is necessary to select new directors for
said Bonfils Service Corporation; and
WHEREAS, it is desirable to transfer all of the assets
of Bonfils Service Corporation to the District against an
assumption of liabilities.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF TRUSTEES
OF THE METROPOLITAN ST. LOUIS SEWER DISTRICT:
1. That Peter F. Mattei, be authorized and directed
to vote all the shares of stock of Bonfils Service Corporation for
the election of F. Wendell Huntington, Charles B. Kaiser, Jr.,
Peter F. Mattei, Del L. Bannister, Anthony E. Cassimatis, Jack B.
Enger and Charles Clardy as directors thereof;
2. That said directors are directed to transfer all
of the assets of Bonfils Service Corporation to The Metropolitan
St. Louis Sewer District; and
3. That said directors take such other and further
action deemed necessary and appropriate to wind up the affairs of
Bonfils Service Corporation.
The foregoing Resolution was adopted December 27, 1972.
