HomeMy Public PortalAboutR2090TABLED - 5/12/93 R E S O L U T I O N NO. 2090 WHEREAS, the Board of Trustees adopted rules governing its procedures on January 23, 1974 and such rules are set forth in Resolution No. 1377; and WHEREAS, the Board of Trustees amended, clarified and supplemented its rules of procedure by order of the Board on January 9, 1991, and the Board's rules as so amended, clarified and supplemented are set forth in Resolution No. 1964; and WHEREAS, the Board is desirous of further amending, clarifying and supplementing its rules of procedure. NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF TRUSTEES OF THE METROPOLITAN ST. LOUIS SEWER DISTRICT: Section One. Rule 8 and Rule 9 of Section One, as set forth in Resolution No. 1964, described above, are hereby deleted in their entirety and the following amended rules governing the procedures of the Board are hereby adopted: RULE 8. A majority of the members of the Board shall constitute a quorum, but a smaller number present at any meeting may adjourn from day to day or to a day certain. A member of the Board may participate in a meeting of the Board by means of conference telephone or similar communications equipment whereby all persons participating in the meeting can hear each other, and any Board member participating in a Board meeting in such manner shall be considered present in person at such meeting for quorum purposes. RULE 9. The Chairman shall take the chair at the hour set for the meeting and immediately call the members to order. Upon the appearance of a quorum, the Board shall proceed with the meeting. Notwithstanding the foregoing, in the event that less than a quorum is present at the meeting, the members present may proceed 2 with the order of business and any action taken by the Board at such meeting shall be deemed an act of the Board if ratified by a majority of a quorum of the Board at a subsequent meeting occurring within ninety (90) days of the Board action being ratified. Any such action, once ratified at a subsequent Board meeting, shall have the same force and effect as if such action were taken at the prior Board meeting. Section Two. The rules of procedure adopted by the Board on January 23, 1974 as set forth in Resolution No. 1377 and the rules of procedure as amended, clarified and supplemented by the Board on January 9, 1991 as set forth in Resolution No. 1964, and all other orders and resolutions inconsistent herewith shall be superseded by the amended rules as described above. 3
