WHEREAS, Ordinance No. 11546, adopted July 10, 2003, authorized the
Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer
District to enter into a contract with Vertex, whereby Vertex would provide call center and
billing/collection services for the District, and
WHEREAS, said contract provided for an initial term of three (3) years from go-
live date of May 3, 2004 with seven (7) additional one-year renewal terms at the option of the
District, and
WHEREAS, on July 12, 2012, the District exercised its sixth (6th) option to
renew said contract for an additional one-year term, and
WHEREAS, the one-year option is about to expire, and the District desires to
exercise its seventh (7th) option to renew said contract for an additional one-year term, and
WHEREAS, Vertex was formerly known as Alliance Data Systems and Alliance
Data Systems acquired ORCOM. Vertex has assumed all duties and obligations pursuant to said
contract between the District and Vertex,
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF TRUSTEES OF
THE METROPOLITAN ST. LOUIS SEWER DISTRICT THAT, the Executive Director and
Secretary-Treasurer are hereby authorized on behalf of The Metropolitan St. Louis Sewer
District to exercise the District's option to renew for an additional one-year term the contract
with Vertex whereby Vertex will provide call center and billing/collection services for the
District; said contract renewal shall provide for a projected fee based on historical transaction
history in the amount of Three Million Seven Hundred Six Thousand One Hundred Nineteen
Dollars ($3,700,000.00), and shall be comprised of such other terms and conditions as are
approved by the Office of the General Counsel of the District.
The foregoing Resolution was adopted on May 9, 2013.
