WHEREAS, Ordinance No. 11546, adopted July 10, 2003, authorized
the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St.
Louis Sewer District to enter into a contract with ORCOM whereby ORCOM would
provide call center and billing/collection services for the District, and
WHEREAS, said contract provided for an initial term of three (3) years
with seven (7) additional one-year renewal terms at the option of the District, and
WHEREAS, on June 14, 2007 the District exercised its second option
to renew said contract for an additional one-year term, and
WHEREAS, the one-year option is about to expire, and the District
desires to exercise its third option to renew said contract for an additional one-year
term, and
WHEREAS, ORCOM has been acquired by Alliance Data, and Alliance
Data has assumed all duties and obligations pursuant to said contract between the
District and ORCOM,
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF TRUSTEES OF
THE METROPOLITAN ST. LOUIS SEWER DISTRICT THAT, the Executive Director and
Secretary-Treasurer are hereby authorized on behalf of The Metropolitan St. Louis Sewer
District to exercise the District's option to renew for an additional one-year term the contract
with Alliance Data whereby Alliance Data will provide call center and billing/collection services
for the District; said contract renewal shall provide for a projected fee based on historical
transaction history in the amount of Three Million Eight Hundred Sixty Thousand Dollars
($3,860,000.00), and shall be comprised of such other terms and conditions as are approved by
the office of the General Counsel of the District.
The foregoing Resolution was adopted June 12, 2008.
