WHEREAS, Resolution No. 2713, adopted June 14, 2007, authorized
the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St.
Louis Sewer District to exercise the District’s option to renew the contract with
Alliance Data to the District, and
WHEREAS, the District is desirous of amending, clarifying and
supplementing the language in Resolution No. 2713, relating to the terms of
payment,
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF
TRUSTEES OF THE METROPOLITAN ST. LOUIS SEWER DISTRICT THAT, the
Executive Director and Secretary-Treasurer are hereby authorized on behalf of The
Metropolitan St. Louis Sewer District to exercise the District's option to renew for
an additional one-year term the contract with Alliance Data whereby Alliance Data
will provide call center and billing/collection services for the District, said contract
renewal shall provide for a projected fee based on historical transaction history in
the amount of Three Million Three Hundred Forty Thousand Dollars
($3,340,000.00), and shall be comprised of such other terms and conditions as are
approved by the office of the General Counsel of the District.
The foregoing Ordinance was adopted July 10, 2008.
