SPECIAL COUNCIL MEETING
KEY BISCAYNE, FLORIDA
MONDAY, FEBRUARY 2, 2015
COUNCIL CHAMBER

1. CALL TO ORDER/ROLL CALL OF MEMBERS: The Mayor called the meeting to order
at 8:35 a.m. Present were Councilmembers Theodore Holloway, James S. Taintor, Vice Mayor
Franklin H. Caplan and Mayor Mayra Lindsay. Councilmembers Luis de la Cruz, Michael E. Kelly
and Edward London were absent. Also present were Village Manager John C. Gilbert, Village Clerk
Conchita H. Alvarez and Village Attorney Stephen J. Helfman (by phone).
2. PLEDGE OF ALLEGIANCE: Mayor Lindsay led the Pledge of Allegiance.
3. REQUEST BY VILLAGE ATTORNEY FOR EXECUTIVE SESSIONS: The Attorney
addressed the Council requesting an Executive Session regarding the Jose Marti Lawsuit.
Vice Mayor Caplan made a motion to hold an Executive Session regarding the Jose Marti lawsuit.
The motion was seconded by Councilmember Holloway and approved by a 4-0 voice vote. The vote
was as follows: Councilmembers Holloway, Taintor, Vice Mayor Caplan and Mayor Lindsay voting
Yes.
The Attorney will work with the Clerk on a date for the above mentioned Executive Session.
The Attorney also addressed the Council explaining that the Firm cannot represent the Village before
the City of Miami, due to the fact that the City of Miami is also their client.

Vice Mayor Caplan made a motion to hold a Special Council Meeting on Tuesday, February 3, 2015
at 6:00 p.m. The purpose of the meeting is to discuss the engagement of Special Counsel for the
Marine Stadium litigation. The motion was seconded by Councilmember Taintor and approved by
a 4-0 voice vote. The vote was as follows: Councilmembers Holloway, Taintor, Vice Mayor Caplan
and Mayor Lindsay voting Yes.
4. ADJOURNMENT: The meeting was adjourned at 8:50 a.m.
