SPECIAL COUNCIL MEETING
KEY BISCAYNE, FLORIDA
TUESDAY, FEBRUARY 3, 2015
COUNCIL CHAMBER

1. CALL TO ORDER/ROLL CALL OF MEMBERS: The Mayor called the meeting to
order at 6:00 p.m. Present were Councilmembers Luis de la Cruz, Michael E. Kelly, Theodore
Holloway, James S. Taintor, Edward London, Vice Mayor Franklin H. Caplan and Mayor Mayra
Lindsay. Also present were Village Manager John C. Gilbert, Village Clerk Conchita H. Alvarez
and Village Attorney Stephen J. Helfiilan.
2. PLEDGE OF ALLEGIANCE: Mayor Lindsay led the Pledge of Allegiance.
3. DISCUSSION REGARDING THE ENGAGEMENT OF SPECIAL COUNSEL FOR
THE MARINE STADIUM LITIGATION: Mayor Lindsay addressed the Council regarding the
proposed development for the City of Miami Marine Stadium.
The Attorney also addressed the Council regarding the conflict of interest that his Firm has in
representing the Village before the City of Miami.
John Shubin with Shubin and Bass addressed the Council. Mr. Shubin stated that the fee will
be a blended rate of $295.00 per hour for attorneys and $85.00 per hour for Paralegal time.

Vice Mayor Caplan made a motion to hire John Shubin as Special Counsel for the litigation
regarding the proposed development of the City of Miami Marine Stadium. The motion was
seconded by Councilmember Kelly and approved by a 7-0 roll call vote. The vote was as follows:
Councilmembers de la Cruz, Holloway, Kelly, London, Taintor, Vice Mayor Caplan and Mayor
Lindsay voting Yes.
Mayor Lindsay reported that Miami -Dade Commissioner Xavier Suarez would like to meet with the
Council on Friday, February 6, 2015 at 2:00 p.m. in the Council Chamber. Councilmember Kelly
excused himself from this Special Council Meeting. It was the consensus of the rest of the Council
to hold this Special Council Meeting.
4. ADJOURNMENT: The meeting was adjourned at 6:40 p.m.
