1 CALL TO ORDER/ROLL CALL Mayor Rafael Conte called the
meeting to order at 7 08 p m The following trustees were also
present Michael Hill, Luis Lauredo and Ray Sullivan, Vice
Major Trustees absent were Cliff Brody, Mortimer Fried and
Joe I Rasco
2 INVOCATION Rabbi `iakov Fellig gave the invocation
3 PLEDGE OF ALLEGIANCE Mayor Conte Led the Pledge
4 APPROVAL OF THE MINUTES - Approval of the November 19, 1991
minutes was deferred to December 3, 1991, due to questions that
arose regarding the establishment of a Village Fire/Rescue
Committee The Board concurred that further clarification was
needed in this regard, prior to approving the minutes

7 RESOLUTIONS
A RESOLUTION OF THE BOARD OF TRUSTEES OF THE

AUTHORIZING THE MAYOR TO E?ELUTE SAME ON BEHALF OI
THE VILIAGF AND PROVIDING FOR AN EFFECTIVE DATE
After lenghty debate and discussion from resident
G H Peterson, the Board voted (after a motion by
Vice Major Sullivan, seconded by Trustee Lauredo)
to deferr this item until all Trustees could be
present to vote on the matter
8 REPORTS AND RECOMMENDATIONS
1 UPDATE ON OFFICE EQUIPMENT AND FURNITURE Vice Mayor
Sullivan distributed bid summaries for office equipment After
discussion, Trustee Lauredo moved to wave the competitive bid
process for purchasing office equipment due to the urgent need
for such equipment The motion was seconded by Vice Mayor
Sullivan and passed unanimously by the Board
Trustee Lauredo recommended that the Village
purchase American made office machines whenever possible The
Board concurred, and instructed the Interim Village Clerk to
ascertain this prior to submiting purchase orders for any
equipment

Trustee Lauredo moved that the Village purchase the
Xerox 7024 Facsimile, provided that it is manufactured by an
American Company The Motion was seconded by Vice Mayor
Sullivan and passed unanimously by the Board
Trustee Lauredo moved that the Village purchase the
\erox 5046 Copier, provided that it is manufactured by an
American Company, provided that a deal an be negotiated with
respect to purchasing both machines The motion was seconded by
Vice Mayor Sullivan and passed unanimously
After further discussion regarding purchasing a
c orriputer, tree Board concurred that it would be best to have
Trustee Cliff Brody review the bids on the Computer, since he
has extensive knowledge in this area and would be able to
recommend that a particular model be purchased The Board also
deferred the question of a postage meter and office furniture
B VILLAGE ATTORNEY Richard Weiss submitted the attached
outline of the format for the December 4, 1991 special meeting
of the Board to discuss the Seaquarium issue Trustee Lauredo
suggested that the Department of State, Bill Sadowski, be
contacted and also invited to attend the meeting Richard WelE
stated that he would contact Mr Sadowski's office
Attorney Weiss also reported that an agreement has been
-igned with CAP Engineering, as directed by the Board

D COMMITTEE REPORTS
1 SEAL & MOTTO - Dr Daniel Mandri, Chair reported
that the Committee has received a number of designs for the
Village Seal & Motto He stated that the Committee has been
meeting regularly on Saturdays at St Agnes Academy, and invited
the Trustees, as well as the public to attend the meeting of
December 7th in order to become more familiar with the direction
the committee is taking He also requested that the Board
consider (in the future) providing the Committee with a budget
of $1,800 00 in order to obtain the services of an Heraldic
Artist to do the final work once a design is selected
3)r Mandr3 also reported that in addition to a Seal & Motto the
Committee is looking into what ran be done with respect to a
Village Key , proclamations, certificates, letterhead, etc
2 VILLAGE MANAGER SEARCH - Dr Steve Simon
disseminated a recruitment profile as outlined by the
Consultant, Florida Public Management Group, Inc he asked that
the Board review the information for further discussion at the
Decernbei 3, 1991 Board of Trustees Meeting
3 VILLAGE CLERK SEARCH - Interim Village Clerk Betty
Arguelles reported on behalf of Chairman Ed Stone that the
Committee has been meeting regularly at 7 00 p m at the
Sheraton Royal Biscayne She also reported that the (omrnittLL
has placed ads in the Islander News, the Miami Herald and Miami

reported that the Committee has placed ads in the Islander News,
the Miami Herald and Miami Review with a closing date of Januarj
21, 1992 as the deadline for submitting applications
(Resume's) She reported that as of November 25th the Chairman
has received approximately 15 resumes
9 OTHER BUSINESS/GENERAL DISCUSSIONS
A RICKENBACKER CAUSEWAY FUND - DISCUSSION OF THE ROADWAY
NEAR INTERNATIONAL TENNIS CENTER - Placed on the Agenda by Vice
Mayor Sullivan who reported that road deterioration is causing
problems in the area and suggested that the Causeway fund maj
be a source of funding for reparing the roadway in that area
After further discussion, the Board asked that Attornej Richard
Weiss contact the proper authorities in this regard
B INTERIM VILLAGE CLERK JOB ASSIGNMENTS - Placed on the
Agenda bi Vice Major Sullivan who suggested that the Board make
the hours of operation for the Village from 8 30 - 4 30 Mondaj
through Fridaj, with lunch from 12 00 Noon to 1 00 p rn The
Board concurred, and asked that the Interim Village Clerk be
present at the Village offices during those hours Vice Mayor
Sullivan also distributed information with regard to the general
duties of a 'Village Clerk He reported that because the
Interim Village Clerk is 'wearing many hats and is performing
various duties not necessarily related to the duties of a Citj
Clerk, he suggested that an outline of duties for the Interim
Village Clek be prepared The Board concurred
Trustee Lauredo asked that a copy of the General Duties of the
Village Clerk be submitted the Village Clerk Search Committee
for informational purposes

As a result of the recent meetings between representatives of the Florida
Public Management Group, the Village Manager Search Committee and
members of the Board of Trustees, the enclosed proposed Village Manager
Recruitment Profile has been prepared for review and consideration by the
Board of Trustees at the December 3 meeting
The proposed Recruitment Profile contains only those items in which the
consultants felt that a consensus was reached by the Search Committee
and/or Board members Although there might have been a particular
position expressed by a member of the Search Committee or Board that is
not included because it was not a consensus position, there was generally
rnuch agreement among all parties during the process regarding issues facing
the Village and the qualifications desired in the Village Manager
The purpose of the Recruitment Profile is to provide pertinent information to
prospective Village Manager candidates It allows the prospective candidate
to better understand what the Board of Trustees is looking for in a Village
Manager and also provides the prospective candidate an opportunity to learn
more about the community and the Village government The Recruitment
Profile will be provided to applicants and to individuals who we feel best
meet the candidate profile as determined by the Board of Trustees
We would request that the Board of Trustees review the proposed
Recruitment Profile at the December 3 meeting and provide the consultants
with direction concerning any issues or items that should be added, deleted,
modified or clarified After consensus has been reached by the Board of
Trustees at the meeting we will make any modifications directed by the
Board and print the final Recruitment Profile for distribution to appropriate
applicants and prospective candidates
We look forward to meeting with you and the Board of Trustees on
December 3 Please do not hesitate to contact me if I may provide additional

I THE VILLAGE OF KEY B I SCAYNE
The Village of Key Biscayne is a prestigious island residential
community located just minutes from Miami, with a permanent population of
approximately 9,000 Village i esidents are just minutes away from the
business, cultural and other cosmopolitan amenities of the greater Miami
area while enioying the quiet, unique lifestyle associated with a small
community The Key has a natural setting and beauty with a tropical
ambiance, combined with a strong sense of community and neighborliness
There are parks beaches, boating and other outdoor activities for all ages on
the Key
This small island community is unique in that the population is a mix of old-
timers and newcomers , Anglos and Hispanics , permanent and seasonal
residents and visitors Key Biscayne is separated from the mainland by a 7
mile causeway There is a county park to the North, a state park to the
South, the Atlantic Ocean on the East and Biscayne Bay on the West
A public elementary school operated by the Dade County School
System is located in the middle of the Key Public middle and high schools
are located in Coral Gables The University of Miami and other excellent
institutions of higher education are available in the area Four churches and
eight small shopping areas are also located on the Key
Key Biscayne is the newest of 27 incorporated municipalities in Dade
County, which has a population of approximately 2 million residents The
population growth of the Key is relatively stable compared to the
surrounding area Permanent population projections show slightly in excess
of 10,000 by the year 2000 and approximately 10,800 by the year 2010 In
addition, the Key serves as a tourist destination and weekend retreat for
many others During the season the population increases by approximately
3,600 on peak days

II KEY B I SCAYNE VILLAGE GOVERNMENT
Key Biscayne is the newest municipality in Florida, having recently
been incorporated in June, 1991, with initial elections for the Mayor and
Trustees being held in September, 1991 The reason for incorporation was
the desire for more responsive and cost effective services than were
perceived as being provided by the county government
The Village has adopted the Council -Manager form of government
Under provisions of the charter the Village Manager is appointed by and
responsible to a seven member Board of Trustees The Village Board of
Trustees is comprised of a directly elected Mayor and six Trustees After the
initial elections and transition period the Mayor will be elected for a two
year term and each Trustee will be elected to four year terms All are
elected at -large During the initial election and transition period the seats of
Mayor and three trustees are up tor election in November, 1993, and and the
remaining three trustee seats are up for election in 1994 The Mayor and
Ti ustees elected in 1993 will serve three year terms expiring in 1996 The
Trustees elected in 1994 will serve four year terms In 1996, the Mayor will
be elected to a two year term and the remaining three Trustees will be
elected to four year terms
The Village Attorney is appointed by and responsible to the Village
Board of Trustees
The Village Clerk is appointed by and responsible to the Village Board
of Trustees
Although the 1991-92 transition budget is only $1 8 million the
budget for the 1992-93 fiscal year is anticipated to be approximately $10-12
million, depending upon which service delivery alternatives are adopted
Th¢ Village currently has no full time employees and all services are being
provided by Dade County during the transition period The Village Board of
Trustee is currently in the process of evaluating desired levels of services
and options for the delivery of those services, including the feasibility of
contracting with Dade County or other local governments, contracting with
private providers and/or providing certain services in house One of the
immediate duties of the new Village Manager will be to deal with the service
delivery issues, in addition to developing a strong, efficient municipal
organization
Major revenue sources for the Village are anticipated to include
property, utility and gasoline taxes, intergovernmental revenues and fees
Major expenditures for the village are anticipated to include police,
fire/rescue, planning/building/zoning, parks/recreation and public works
services
III ISSUES AND CHALLENGE S
The following are major issues, opportunities and challenges currently facing
the village of Key Biscayne (not necessarily in priority order) that should be
addressed during the coming year and should continue to be addressed or
completed within the next two to five years
Year 1
o Building the organizational base, with an emphasis on efficiency
and holding the line on taxes
o Transitioning from the County, including negotiating service
delivery contracts for fire/rescue, planning/zoning/building,
and police
o Dealing with current growth /development issues, such as the
Seaquarium, Tennis Center and major hotel projects
o Preparation of a Master Plan for future growth management
o Begin development of action plans to provide for park and
recreation facilities, drainage and sanitary sewer improvements
Years 2 through 5
o Complete organizational development and maintain responsive,
cost efficient operations
o Adopt and implement the Master Plan for growth management
o Fully implement the following on -going functions Fire/rescue,
police, zoning, building and planning
o Adopt and begin implementing action plans to provide for park
and recreation facilities, drainage and sanitary sewer
improvements
o Continue to maintain or reduce taxes
o Deal with beach/coastal environmental protection
o Preserve quality of life and ambiance of the Key
o Show the positive results of incorporation to the community
IV THE POSITION
The position of Village Manager is provided for by the Key Biscayne
Village Charter The following pertinent authorities and responsibilities are
taken from the charter
A Appointment, Removal, Compensation of Village Manager
The Board of Trustees appoints a Village Manager for an
indefinite term and the compensation is fixed by the Board of
Trustees The Board of Trustees may remove the manager at
any time The manager shall be responsible to the Board of
Trustees for the administration of all Village affairs
B Village Manager Powers and Duties
(1) Be responsible for the appointment, supervision and
removal of all Village employees,
(2) Direct and supervise the administration of all
departments and offices but not Village boards or
agencies, unless so directed by the Board of Trustees
from time to time,
(3) Attend all Board of Trustees meetings and have the right
to take part in discussion but not the right to vote,
(4) See that all laws, provisions of the charter and acts of the
Board of Trustees, subject to enforcement and/or
administration by him/her or by officers subject to
his/her direction and supervision, are faithfully executed,
(5) Prepare and submit to the Board of Trustees a proposed
budget and capital program,
(6) Submit to the Board of Trustees and make available to
the public an annual report on the finances and
administrative activities of the Village as of the end of
each fiscal year,
(7) Prepare such other reports as the Board of Trustees may
require concerning the operations of Village departments,
offices, boards and agencies,
(8) Keep the Board of Trustees fully advised as to the
financial condition and future needs of the Village and
make such recommendations to the Board of Trustees
concerning the affairs of the Village as he/she deems to
be in the best interests of the Village,
(9) Execute contracts, deeds and other documents on behalf
of the village to the extent provided by ordinances, and
(1 0) Perform such other duties as are specified in the charter
or as may be required by the Board of Trustees
C Prohibitions
(1) Appointment and Removals Neither the Board of
Trustees nor any of its members shall in any manner
dictate the appointment or removal of any Village
administrative officers or employees whom the manager
or any of his/her subordinates is empowered to appoint,
but the Board of Trustees may express its views and fully
and freely discuss with the manager anything pertaining
to appointment and removal of such officers and
employees
(2) Interference With Administration Except for the
purpose of inquiries and investigations made in good
faith, the Board of Trustees or its members shall deal
with Village officers and employees who are subject to
the direction and supervision of the manager solely
through the manager, and neither the Board of Trustees
nor its members shall give orders to any such officer or
employee, either publicly or privately It is the express
intent of the charter that recommendations for
improvement in Village government operations by
individual trustees be made solely to and through the
manager No individual trustee shall give orders to the
manager
D Village Personnel System
All new employees, appointments and promotions of Village
officers and employees shall be made pursuant to personnel
procedures to be established by the manager from time to time
Such personnel procedures shall be based on principles of merit
and fitness
V THE CANDIDATE
Education
o Graduation from an accredited college or university with a
bachelors degree in business /public administration or an
equivalent degree required A minimum of 5 years of
appropriate experience and a masters degree is preferred,
although extensive experience may be substituted for a masters
degree
Experience
o Prior local government experience is required and prior Florida
local government experience is preferred
o Strong hands on management experience as a city/county
manager in a similar size or larger organization, or assistant
city/county manager in a larger organization required
o Experience in the following areas will be of particular interest
- hands on organizational development
- working directly with elected officials
- planning /growth management
- public safety (fire, police, building enforcement)
- parks and recreation
- financial management, grantsmanship, revenue alternatives
- budgetary formulation and presentation of information
- innovative approaches in management and service delivery
- tourism issues
- beach /coastal environment issues
General Management Abilities and Style
A Relations/Interaction with Board of Trustees
o The Manager should be a strong advocate of the
Council /Manager form of government and should
have a clear understanding and comfort level for the
difference between implementing and establishing policy
o The Manager should be apolitical at all times in
dealing with the Mayor and Trustees and should
never give the appearance of playing favorites
o The Manager should provide clear, concise and
timely information to the Mayor and all Trustees
consistently and should not be reluctant to use the
telephone at appropriate times to communicate
o The Manager should provide regular, oral and written
progress reports on the village s financial condition and
other issues of significance to the Board of Trustees
o The Manager should be sensitive to individual trustees s
needs for information, make every effort to keep the
Mayor and Trustees fully informed, avoid hidden
agendas and surprises in the media
o The Manager should strive to provide accurate, well
developed, timely recommendations for action by the
Board of Trustees, including alternatives and implications,
to allow the Mayor and Trustees to make the most
ini ormed policy decisions possible The Manager should
feel free to participate in policy discussions but use keen
judgement in not appearing to influence the development
of policy
o The Manager should always fully and enthusiastically
follow Board of Trustee policy decisions, even though
they may be contrary to his/her recommendations, and
should ensure that staff implements the decisions in the
best manner possible
o The Manager should always promote a team approach
between the Board of Trustees and employees
o The Manager should always project a positive,
professional image for the Village Government and assist
the Mayor and Trustees in maintaining that image
B Relations/Interaction with Employees
o The Manager should have skill in bringing out the
full potential of staff and creating an atmosphere of
teamwork, a can do approach and instilling strong
customer service attitudes and skills in all employees
o The Manager should posses strong management skills,
be comfortable in making difficult decisions, and
command employee respect through leading by
example
o The Manager should be professional at all times and
treat employees with consistency and fairness and should
never give the appearance of playing favorites
o The Manager should be able to assess employee strengths
and weaknesses, delegate authority, give credit for good
performance and hold employees accountable for
completing assignments
C Relations with the Community
o The Manager should be genuinely interested in the
community, have excellent public relations skills and be
visible as an apolitical representative of Village
Government
o The Manager should develop and maintain good
relations with other local governments in the area and
with stag and federal agencies on behalf of the Village
o The Manager should be responsive to citizen inquiries,
problems and concerns and be committed to providing
quality serTrlces to all citizens of the community
o The Manager should encourage the use of volunteers
and promote innovative methods of encouraging
community involvement in Village Government
Personal Traits/Style
o The Manager should project a strong persona of
integrity and honesty
o The Manager should be self confident without being
arrogant or an egotist
o The Manager must have a healthy sense of humor
and be willing to take criticism in a positive manner
o The Manager should be non confrontational but not a
pushover He/she should be comfortable in strongly
arguing a position but willing to be flexible in reaching
final resolution and implementing Board policy
o The Manager should project a neat, clean, well groomed,
professional appearance and be of high moral character
in business and personal situations
o The Manager should be able to provide vision, see
the big picture and avoid crisis management to the
extent possible
o The Manager should posses a high energy level, be
innovative, results oriented, a hard worker and enjoy a
hands on management style
o The Manager should be a good listener, encourage input
from others, be cooperative and not talk down to
employees or citizens
o The Manager should be people oriented, with good
communication and interpersonal skills, enjoy working
with highly motivated but diverse interest groups and
individuals and get satisfaction from helping others
Compensation
The Village of Key Biscayne is prepared to consider the following
compensation arrangements for the right candidate
o Employment agreement with severance provisions
o Competitive salary, depending upon qualifications and
experience (preferred range from 60 s to 90 s)
o Village vehicle or auto allowance
o Deferred compensation /retirement
o Insurance ( life, health, disability)
o Vacation /sick leave
o Reasonable professional membership dues, publications,
conferences, etc
o Reasonable moving costs
