L E A S E
THIS LEASE, executed at Los Altos, California, on
between B. L. S. COMPANY, a
sole proprietorship wherein Harold J. Bakke is sole proprietor
( "Lessor") , and MIDPENINSULA REGIONAL PARK DISTRICT, a public
agency organized and existing under the laws of the State of
California ("Lessee") , is made between the parties upon the
basis of the following agreement:
1. Premises. Lessor hereby leases to Lessee, and
Lessee hires from Lessor, on the terms and conditions herein-
after set forth, those certain premises with the appurtenances,
described on Lessor' s plans as Bays 8, 9, 10, 11 and 12 in
the building at 745 Distel Drive, Los Altos, California 94022.
2. Term. The term of the lease shall be for five
(5) years commencing October 1, 1973. Lessor agrees to com-
plete the alterations hereinafter referred to and to place
the premises in a condition for occupancy by said date.
3. Rent. Rent on the premises shall be payable by
Lessee to Lessor at 745 Distel Drive, Los Altos, California,
monthly in advance at the rate of Four Hundred Eighty-Six
Dollars ($486.00) per month (45 cents per square foot) , com-
mencing October 1, 1973. In the event all or a portion of the
premises should not be placed in condition for Lessee ' s use
by Lessor by said commencement date, or maintained in good
condition during the term hereof, said rent shall, at Lessee 's
option, be abated to that extent or Lessee may terminate the
lease.
4. Use. The premises are leased to the Lessee for
the purposes of Regional Park District offices. Lessee shall
not use, or permit such premises to be used, for any purpose
other than the purposes for which said premises are hereby

leased.
5. 'Waste. Quiet Conduct. Lessee shall not commit,
or suffer to be committed, any waste upon the said premises,
or any nuisance or other act which may disturb the quiet enjoy-
ment of other tenants in the building in which the demised
premises may be located.
6. Installations And Improvements By Lessor. Prior
to Lessee ' s taking occupancy, Lessor shall complete certain
installations and improvements as generally described on
Exhibit "A" affixed hereto and made a part hereof. On or,
before September 7, 1973, Lessee will provide Lessor with
plans and specifications showing the placement of interior
walls and other features to be included in said improvements.
In the event the parties are unable to agree on such specific
plans and specifications by September 15, 1973, then Lessee,,
shall have the option to withdraw from the lease.
7. Maintenance And Repairs. During the period of
this lease, Lessor shall maintain said installations and
improvements, the premises and appurtenances in good and
sanitary order, condition and repair. Should Lessor fail
to do so within fifteen (15) days of receipt of notice of any
deficiency, Lessee shall have the right to complete the work
(at a cost not to exceed one month' s rent) and deduct the
reasonable cost of such work from the ensuing month' s rent.
Without affecting the foregoing, during the term
hereof, Lessee shall have the right, at reasonable times and
in a reasonable manner, to make reasonable alterations and
changes in and about the leased premises so long as the same
do not adversely affect the structural integrity of the build-
ing; provided, Lessee shall at all times keep the demised
premises and the property in which the premises are situated
free from any liens arising out of any work performed, material

furnished or obligations incurred by Lessee.
8. Utilities. Lessor shall provide without expense
to Lessee all water, gas, heat, light, power, refuse collection
and janitorial service sufficient to serve the premises.
Lessee shall provide telephone service, and Lessor shall
permit necessary wiring and conduit work necessary for installa-
tion of Lessee ' s telephone service requirements.
9. Quiet Enloyment. Lessor shall place Lessee in
the peaceful and undisturbed possession of the demised premises
on or before the commencement day of the term hereof, and
Lessee performing and observing all the conditions and covenants
on its part to be performed, Lessor shall secure to Lessee the
quiet and peaceful possession of the demised premises during
the term hereof against all persons claiming the same.
10. Destruction Of Premises. Should the building
or a part of the demised premises or both be so badly damaged
from any cause whatsoever as to render said building or a part
of the demised premises unfit for use and occupancy by Lessee,
Lessee shall have the option, but not the obligation, to
terminate the lease. If Lessee elects to continue the lease,
the rental thereunder shall, during the period of repair and
restoration, be reduced to the extent of the damaged or
unusable area .
11. Assignment Or Subletting. Lessee shall not
assign this lease and shall not sublet the premises without
the written consent of Lessor; provided, Lessor shall not
withhold such consent arbitrarily or unreasonably.
12 . Attorney' s Fees. In the event of the bringing
of any action by either party hereto as against the other
hereon or hereunder, or by reason of the breach of any cove-
nant or condition on the part of the other party, or arising
out of this lease, then and in that event the party in whose

favor final judgment shall be entered, shall be entitled to
have and recover from the other reasonable attorney' s fees to
be fixed by the court.
13 . Notices'. All notices to be given to Lessee or
Lessor may be given in writing personally or by depositing the
same in the United States mail, postage prepaid, and addressed
to Lessee at said premises and to Lessor at his office in the
building.
14. Termination. Notwithstanding any other provi-
sion contained herein, the Board of Directors of Lessee-District
may terminate this lease at the end of the first year (September
30, 1974) or at the end of any ensuing year upon its determina-
tion, in its sole discretion, that the public interest requires
the removal of District offices to a different location and
by giving Lessor written notice of such determination at least
thirty (30) days prior to the end of such year.
15 . Adjoining New S2ace. In the event space adjoin-
ing the demised premises becomes vacant, Lessee shall be given
the right of first refusal to rent such space on the same
terms and conditions as are contained herein, at the rate of
rent then applicable to such new space.
16. Binding On Successors. The covenants and condi-
tions herein contained shall, subject to the provisions as to
assignment, apply to and bind the heirs, successors, executors,
administrators and assigns of the parties hereto.
IN WITNESS WHEREOF, Lessor and Lessee have executed
this lease on the date first hereinabove set forth.

ALTERATIONS AND IMPROVEMENTS TO BE
COMPLETED BY LESSOR PRIOR TO
OCCUPANCY
Interior walls to be installed in accordance with
floor plan to be provided by Lessee, which may provide for
removal or relocation of some or all walls now in place.
Sheetrock over 2 X 4 studs. Some walls to include tack board
or paneling to be prescribed by Lessee. Plan may include one
sliding or moveable partition.
Interior doors as per floor plan. May be new,
decorative wood, hollow core (except where inadequate for
soundproofing) .
Soundproofing to be installed on all walls adjacent
to other tenants, and possibly within one or two interior
walls of leased premises, sufficient to block transmission of
sound and provide privacy.
Carpeting, including padding, to be installed new
throughout. Type and color to be selected by tenant.
Drapes as per rest of building, in good condition.
Blackout curtains and traverse rod to be provided
in main meeting room sufficient for daytime projection.
Interior lighting and electrical outlets adequate
to tenant' s needs and according to plans.
Cabinets and shelving as per plans.
Thermostatic control, single control for entire
occupancy.
Painting and wall coverings as per plans.

Re: Budget Formulation

Background:
On June 27, 1973, the Board of Directors of the MRPD
considered a report from the General Manager entitled
"Budget for First Quarter of Fiscal Year 1973-74 . " At
that meeting the Board adopted a revised version of the
budget proposed by the General Manager. Previously, a
less detailed budget for the whole fiscal year had been
recommended by the General Manager and adopted by the
Board for submission to the County in connection with
setting the tax rate for the District. Note in regard
to these budget procedures that according to Section 5549
of the enabling legislation for the District, the General
Manager "shall: . . . (f) Prepare and submit the annual j
budget to the board. . . . "

Current status :
The first quarter of the fiscal year ends on September 30 ,
1973. During approximately the next month the accounting
system of the District will be set up, the accounting will
be done for the previous fiscal year, and the audit will
be performed. Under a system of budget accounting, the
budget for the current fiscal year (or as much of the FY
as possible) will be necessary to set up the various
accounts.
Recommendation:
It is recommended that the Board decide whether or not to
form a budget subcommittee at this time. If the decision
is affirmative this committee should be selected and
begin work immediately with staff assistance. The duties
of the committee might be the following: (1) decide upon
the time interval to be covered by a budget (for example,
the second quarter or the remainder of the FY) , and (2)
develop a proposed budget for consideration by the Board.
If a committee is not formed or is to be formed at a later
date, the General Manager should be instructed to carry
out the above steps. In either case, the budget segment
should be adopted prior to October 1, 1973, which would

imply final action by the Board at the September 26 meeting.

Subject: Assistant General Manager Job Description
Attached is a draft copy submitted to you in preliminary form for
discussion at the August 22 meeting. In singling out land acquisi-
tion duties as a primary responsibility for the Assistant General
Manager, the activities associated with the advocacy and govern-
mental liaison goals of the District would in turn be performed
chiefly by the General Manager at this time. Note that land
management has not been included in the duties of the Assistant
General Manager. It would be desirable that land management be
included, but would also further limit the number of qualified
applicants.

Job Description

ASSISTANT GENERAL MANAGER
1
Summary of Duties
Under general direction of the General Manager, assists in j
overall administration of District. Has primary responsibility
in land acquisition, including long-term acquisition planning,
negotiations, and funding. Aids General Manager in liaison
with private individuals and organizations and with public
agencies to further open space goals of the District.

Work Performed
General Administrative Tasks
1. Administers Districtin absence of General Manager.
2. Aids in representing District to the public through
speeches and attendance at public meetings, radio
interviews and speeches, and television appearances.
3. Aids in personnel management tasks such as employee
benefits, salary range specifications, job descriptions,
personnel policies, employee records, and overall employee
planning requirements.
4. Performs other miscellaneous administrative duties to aid
the General Manager in the administration of the District. €1

Land Acquisition Tasks r
1. Aids in overall planning for land acquisition priorities.
2. Develops acquisition strategies to bring to the people of
the District the maximum amount of open space at the lowest
reasonable cost.
3. Becomes thoroughly familiar with lands of potential interest
including ownership, history of recent sales, land values,
county and city land planning and zoning, and political
factors affecting same.
4. Develops comprehensive and systematic methods for main-
taining records of above factors so as to be fully
knowledgeable of present conditions and able to predict
trends.
5. Works with the General Manager and Legal Counsel in land
negotiations for various types of acquisition including
acquisition in fee, purchase of development rights, bar-
gain sales, gift-purchase combinations, purchase and lease-
back arrangements, and outright gifts.
6. Meets with maximum feasible number of landowners to explain
program of the District, to solicit gifts of land, and to
explain alternative acquisition methods.
7. Aids Legal Counsel in preparation of necessary documenta-
tion for various types of land transactions.

8. Applies for private, state, and federal grants for land
acquisition and development and assists in other fund
raising activities.
Education, Experience and Personal Requirements
The individual must be committed to the purposes of the District,
be self-directed and yet able to work as a member of a team,
and have personal qualities such as ability to meet people,
respond to them, and project goals of the District. Position
requires knowledge of tax laws relating to income and charitable
contributions, real estate law, and agricultural economics .
Position would ordinarily require a bachelor' s degree, several
year' s experience in land acquisition, and administrative ex-
perience.

Re: Proposed Allocation of 1974 State Beach, Park, Recreational
and Historical Facilities Bond Act Funds
Background:
In June 1974, the voters of the State will vote on a
State Beach, Park, Recreational and Historical Facilities
Bond proposal (copy attached) . Of the total of $250,000,000 ,
$90, 000,000 will be available for grants to cities , counties,
and certain districts. Of the latter amount, $4,915 , 633
will be allocated to projects in Santa Clara County. The
attached memorandum to the Santa Clara County Board of
Supervisors from Mr. B. V. Amyx, Director of Parks and
Recreation, and the attached resolution of the Board of
Supervisors indicate the proposed allocation of funds within
the County. Discussions between the General Manager and Mr.
Amyx have since taken place regarding the bond fund and
allocation formula. The proposed allocation formula has
been revised by Mr. Amyx since the Board of Supervisors
adopted the resolution; a copy of the revised formula
appears as Exhibit "A" of the resolution proposed for
adoption by the Board of Directors of the MRPD.
The revised formula is based upon the same principle of
allocation according to population, but the figures have
changed somewhat.
Fihdings:
The amended formula contained in the proposed resolution
appears to be an equitable allocation of funds. The
priorities for expenditure - of the entitlement to the Dis-
trict can be set toward the end of 1973, if such prioritiza-
tion is deemed to be important at that time.
Item 3 on page 2 of the memorandum from Mr. Amyx indicates
that "In the interest of equity to county residents not
within the district, projects of the county would be con-
fined to areas outside of the district. " If the County
is viewed as a whole in terms of provision of regional
parks and open space by State funds, this statement seems
valid. The overall 10-year parks acquisition and develop-
ment program of the County must, of course, continue to
include projects within the boundaries of the District,
since the open space activities of the District are not
a substitute but rather a supplement to the parks and
recreation program of the County. It is important to
note that any State Park Bond money which the County re-
ceived would add to and not substitute for monies received
from the 10� tax equivalent allocation approved by the
voters in June 1972.

Recommendation:
It is recommended that the Board of Directors adopt the
attached resolution approving and adopting a formula for
allocation of the local share of state park bond funds
among the County, cities, and park districts. When copies
of this resolution are sent to the County and cities, it
can be pointed out that the formula has been revised.

DESCRIPTION:
A letter from William Penn Mott, Director of the State
Department of Parks and Recreation, pertaining to the proposed
1974 State Beach, Park Recreational and Historical Facilities
Bond Act, was presented to the Board of Supervisors on February 27,
1973.
In his letter, Mr. Mott pointed out the following excerpt
from the Act: ""The Act requires that each County, -in consulta-
tion with all cities and park and recreation districts, develop
a priority plan for expenditures for submittal to the State by
June 30, 1975 . Two-way local approval is required: (1) by 50%
of the cities and districts comprising at least 507. of thepopu-
lation, and (:!) by the Board of Supervisors."
Mr. Mott asked that this priority list showing how the
funds would be used be submitted to his office by January 1, 1974.
He i; preparing a similar priority list for State projects at
this time also. This is not a requirement of the Act, but he
thin',,.s this would be helpful in presenting the proposal to the
public prior to the June, 1974 election.
The Board of Supervisors approved the recommendation of
the Cour..ty Executive as follows: ". . .that the County Parks and
Recreation Department be directed to prepare such a proposal in
cooperation with city parks' departments and city staffs."
As a follow-up to this directive, two meetings have been
held with park and recreation directors of the cities. The Mid-

any professional staff.

In the first meeting, it was determined that it would
riot be possible to establish an equitable single priority list
which would include county projects, and projects proposed by
each of the cities. The basis for this opinion was that the
projects of greater scope proposed by the county and the larger
cities would, by any criteria, be rated higher tha

projects, and would have: the effect of reeving the smaller cities
from any participation in the bond fund program.
The second meeting was confined to a discussion of a
formula for allocating the county"s entitlement from the fund
to the county, the Mid-Peninsula District and each of the cities
within the county. With the allocation of funds by formula,
each agency will prepare its separate priority list of projects
to be submitted to the State. Unanimous agreement was reached on
this proposal with those present representing Cupertino, Gilroy,
Los Altos, Los Gatos, Milpitas, Mt. View, Palo Alto, San Jose,
Santa Clara and Sunnyvale.
Following approval by the Board of Supervisors, each of
the representatives is prepared to present the program to his
City Council with a recommendation that it be approved.
The formula is as follows :

formula by the Board of Supervisors and the required number of
cities, each of the cities, the Mid-Peninsula District and the
county will be required to prepare its project priority list.
The cities and the District will be asked to submit their lists
to the county in order that all may be forwarded to the State

RECOMMENDATION:
The following recommendations are respectfully submitted:

1. The approval of the proposed formula by the Board
of Supervisors by resolution.
2. That the Clerk of the Board be directed to submit
this action and the formula to each of the cities
and the District with a, request that each give
consideration to its approval by resolution.

RESOL17ION APPROVING AMID ADOPTING A FORMULA FOR
ALLOCATING THE LOCAL SPARE OF STATE PARK BOLD
FUNDS AMONG COUNTY, CITIES AND REGIONAL PARK
WHEREAS, there will be presented to the voters of the State
of California in June of 1974 a State Beach, Park, Recreational
and aistorical Faci1 '_ties Bond proposal; and
WHEREAS, provisions of Chapter 912 of the Statutes of 1972
provide that $90,000,000 of the total of $250,000,000 will be
available for grants to cities, counties and districts for the
acquisition and development of- recreation, park and historical
areas and facilities; and
WHEREAS, the act further requires that each County, in
consultation with cities and park and recreation districts,
develop a priority plan for the expenditures for submission to
the State by June 30, 1975 with approval by: (1) 50%• of the

REGIONAL PA k"BISTRICT IN SUPPORT OF APPROVING
AND ADOPTING A FORMULA FOR ALLOCATING THE LOCAL
SHARE OF STATE PARK BOND FUNDS AMONG COUNTY,
CITIES AND �JUW PISTAICTS
WHEREAS, there will be presented to the voters of the State of
California in June of 1974 a State Beach, Park, Recreational and
Historical Facilities Bond proposal; and
WHEREAS, provisions of Chapter 912 of the Statutes of 1972 provide
that $90,000, 000 of the total of $250,000,000 will be available for
grants to cities, counties and districts for the acquisition and develop-
ment of recreation, park and historical area and facilities, and
WHEREAS, the act further requires that each County, in consultation
with cities and park and recreation districts, develop a priority plan
for the expenditures for submission to the State by June 30, 1975 with
approval by: (1) 50% of the cities and districts comprising at least
50% of the population, and (2) the Board of Supervisors; and
WHEREAS, the Director of the State of California, Park and Recrea-
tion Department, has requested that such a priority list be submitted
to his office by January 1, 1974 ; and
WHEREAS, the Director of Parks and Recreation of the County of
Santa Clara has conferred with the principal park and recreation officials
of the cities within the county to prepare a priority list for the alloca-
tion of the local apportionment from the Act; and
WHEREAS, a formula for such allocation has been prepared as shown
on Exhibit '!A" attached hereto (amended version of 7 August, 1973) ;
NOW, THEREFORE, BE IT RESOLVED that the Board of Directors of the
Midpeninsula Regional Park District does hereby approve and adopt said
formula; and

BE IT FURTHER RES&VED that this resolution be transmitted to the
County and to each of the cities within the ouhty with the recommendation
that each approve said amended formula by resolution.
