HomeMy Public PortalAboutILA-GC-FOOD-2003��` yC --O Uct,", l- o -04 l 0 `" 3 o a,, 1 FOOD BANK LEASE Lease, made this 23rd day of September, 2003, between the City of Moab, herein referred to as "Lessor" and Grand County and the Southeast Association of Local Governments, herein referred to as "Lessees." Section One Description and Use of Premises Lessor leases to Lessees land located at North 200 East, Moab Utah. (See Attachment A for legal description of leased parcel.) Lessor agrees to develop said property according to site plank shown as Attachment B. Section Two Terms of lease The term of the Lease is for ninety-nine (99) years, beginning on September 23, 2003, and ending the 22nd day of September, 2102. Section Three Rent The rent under this Lease is $10 dollars per year. Lessees shall pay Lessor first year's rent upon signing the Agreement. Payment thereafter shall be made on the ls` day of each year. Section Four Restrictions on Use Parcel shall only be used for offices, distribution and storage facilities of the County Food Bank and other low to moderate income assistance programs. Section Five Waste, Nuisance or Unlawful Activity Lessees shall not allow any waste or nuisance on the premises, or allow the premises to be used for any unlawful purposes. Section Six Utilities Lessees shall arrange and pay for all utilities furnished to the premises for the term of this lease, including water, sewer, telephone, electricity and gas. Water and sewer connection fees, as well as the impact fees associated with those services shall be paid by the City of Moab. Section Seven Repairs and Maintenance Lessees shall be responsible for all interior and exterior building maintenance. Section Eight Nonliability of Lessor for Damages Lessor shall not be responsibility for liability or damage claims for injury to persons or property from any cause relating to the occupancy of the premises by Lessees, including those arising out of damages or losses occurring on sidewalks and other areas adjacent to the leased premises during the term of this Lease or any extension thereof. Lessees shall indemnify Lessor from all liability, loss or other damage claims or obligations resulting from any injuries or losses of this nature. Section Nine Liability and Property Insurance Lessees shall procure and maintain in force at their expense during the term of this Lease and any extension thereof, public liability insurance. Such coverage shall be adequate to protect against liability for damage claims through public use of or arising out of accidents occurring upon the leased premises in amount of $1,000,000 dollars per each occurrence and $1,000,000 dollars aggregate. Lessor shall be notified in writing ten (10) days prior to cancellation of any said insurance coverage. Additional rent shall be assessed from the Lessees to cover the cost of required insurance premiums should such coverage be cancelled for any reason. Section Ten Assignment, sublease or License Lessee shall not assign or sublease the premises, or any right or privilege connected therewith, or allow any other person except agents and employees of Lessees to occupy the premises or any part thereof without first obtaining the written consent of Lessor. An unauthorized assignment, sublease or license shall terminate this Lease at the option of Lessor. Section Eleven Breach The failure of Lessees to comply with each and every term and condition of this lease shall constitute a breach of this Lease. Lessees shall have ten (10) days after receipt of written notice from Lessor of any breach to correct the conditions specified in the notice. Section Twelve Attorney's Fees If Lessor files an action to enforce any agreement contained in the Lease or for breach of any covenant or condition, Lessees shall pay Lessor reasonable attorney's fees for the services of Lessor's attorney in action, all fees to be fixed by the court. Drawer 1106 Price, Utah 84501 Grand County Council 125 East Center Street Moab, Utah 84532 Section Fourteen Termination of Lease This lease can be terminated within (30) days by written mutual consent of both the Lessor and Lessees. Section Fifteen Termination of County Responsibility After the Building is completed, Grand County shall be released fromalf ob igations under this agreement and shall no longer be a Lessee. Grand County is involved to procure construction grant money and has no long- term interest in the land or building once it is completed.
