HomeMy Public PortalAboutILA-GC-TOUR-200701-10 5 INTERLOCAL AGREEMENT AS TO THE COOPERATIVE DESIGN, CONSTRUCTION AND MAINTENANCE OF SEVEN LOCATOR BOARDS FOR THE DOWNTOWN AREA OF THE CITY OF MOAB, BY AND BETWEEN THE CITY OF MOAB ("CITY') AND THE COUNTY OF GRAND ("Moab Area Travel Council"), UTAH. RECITALS WHEREAS, the Interlocal Cooperation Act (Sections 11-13-1 et Seq. Utah Code Annotated) allows local governmental agencies to enter into agreements that benefit the constituencies of the agencies entering into said agreements; and WHEREAS, the Moab Area Travel Council will design and have constructed five 3-sided locator boards and two 2-sided locator boards; and, WHEREAS, the Moab Area Travel Council will fund the construction and information panels of seven locator boards; and, WHEREAS, the City will fund installation of seven locator boards at the specified locations in the downtown area of the City; and WHEREAS, the City will provide ongoing maintenance of the seven locator boards; and, WHEREAS, the City and the Moab Area Travel Council intend to collaborate on the updating of information to the panels on the locator boards, the City and Moab Area Travel Council hereby agree as follows: AGREEMENT 1. Purpose: The purpose of this agreement is to acknowledge the City and the Moab Area Travel Council as partners in a project to provide public service and other information to Moab downtown area visitors. 2. Provision of Services a. The Moab Area Travel Council agrees to contract for the construction of seven locator boards as described in Attachment A. b. The City agrees to installation of the seven -locator boards in the locations as described in Attachment B. c. The Moab Area Travel Council agrees to provide initial content for the information panels on the locator boards. Initial content and subsequent changes shall be approved by the City Manager and the Travel Council. d. The Moab Area Travel Council and the City agree to keep all information on the panels non-commercial, community services oriented, and focused on the downtown area. e. Each party hereto agrees to confer and coordinate with the other party as needed in providing the services outlined herein. 3. Financial Responsibilities a. The Moab Area Travel Council agrees to fund the construction of seven locator boards, as described in Attachment A. Any cost overruns from the fixed price contract of $28,140.00 shall be paid by the Travel Council. b. The City agrees to fund the cost of installation of seven locator boards in the locations described in Attachment B. c. The Moab Area Travel Council agrees to fund the cost of initial and subsequent content materials of the locator boards. d. The City agrees to fully maintain the locator boards, once installed, and to address maintenance, such as the need to remove graffiti, within 2 days of awareness or notice. This shall be done at the City's expense. 4. Administration of Agreement The parties agree that the City Manager, and the Moab Area Travel Council Director shall administer this agreement, with annual reporting to the City and County Councils and Travel Council. 5. Control of Locator Boards The locator boards shall become the property of the City once installation has occurred. If the City chooses to terminate maintaining the locator boards, then all locator boards shall revert back to the Travel Council and become the property of the County. 6. Effective Date and Duration of Agreement This agreement shall become effective immediately upon its approval by each party's governing body and by the execution of the agreement by the appropriate officials. This City shall maintain the boards as long as the Travel Council and County want them, with the option on the part of the City to change locations, if necessary or desirable. Either party shall provide 90 days written notice of termination of this agreement. DATED this I -1 day of A I A * , 2007. Options for reducing the price to the original bid of $3673 each would be: 1.) Eliminate the cutouts on the sides and top of sign doors OR 2.) Paint cabinets with automotive paint instead of powder coating. Note: This was bid with the understanding that the job would be tax exempt. If that is not applicable then 6% sales tax will have to be included. Between Main and 100 West at Center Street (Public Parking Lot) Ohm c__ , N CD Cs Z O ise3 0017 Resolution #19-2007 A RESOLUTION APPROVING AN INTERLOCAL AGREEMENT AS TO THE COOPERATIVE DESIGN, CONSTRUCTION AND MAINTENANCE OF SEVEN LOCATOR BOARDS FOR THE DOWNTOWN AREA OF THE CITY OF MOAB, BY AND BETWEEN THE CITY OF MOAB AND THE COUNTY OF GRAND WHEREAS, the Interlocal Cooperation Act (Section 11-13-1 et Seq. Utah Code Annotated allows local governmental agencies to enter into agreements that benefit the constituencies of the agencies entering into said agreements; and WHEREAS, the City of Moab and Grand County have determined that businesses in the downtown area will benefit from the placement of informational signage for visitors; and WHEREAS, the City of Moab and Grand County have determined that Grand County, under the auspices of the Moab Area Travel Council, has the resources to design and construct seven locator boards to be place in the downtown area; and WHEREAS, the City of Moab has approved the placement of said locator boards and has the resources to install and maintain said boards; and WHEREAS, the City of Moab and Grand County have agreed to cooperate further with respect to the updating and replacement of the signage and information on the locator boards; and WHEREAS, an interlocal agreement providing for the design, construction, installation, maintenance and further coordination for the locator boards is attached to this resolution. NOW, THEREFORE, WE, THE GOVERNING BODY OF THE CITY OF MOAB do hereby approve the aforementioned interlocal agreement in substantially the form presented to this meeting of the Moab City Council and authorize the appropriate representatives to execute and deliver said agreement to the appropriate parties.
