I have read report R 76-20 describing the recommended and possible uses of the property, and I am interested in obtaining additional information about the winery and the vinyards. I represent a group of amateur winemakers interested in estab- lishing and operating a small „commercial winery in the local. area. Although we have not inspected the ,existing Pichetti winery building, it is' of interest to us because of i';s hillside location, and because of the rich winemaking history of the area. Since the Grench report reccmmended investigating the feasability of reestablishing the winery and vinyards, we have resolved to look into the possibility of participating in such a venture. Vie would therefore lijse to know if a pl--.n for activating the o _tca b th, 0& of Director:. Our general plan is to purchase a small. vinyard with a buildi suitable for a win�.ry operation. Grapes from the vinyard, a " well as those from other areas, would be vinified and age,' I' small quantities to produce premium table wines. We would b6,- interested to learn if this plan is in harmony with the district' s plan for the ranch. In particular, vie would like to know if sale of the winery is a possibility, or if a lease arrangement -s envisioned. A long term lease would be acceptable to us, provided only that we were protected for improvements f a permanent nature. Our group would like to see Montebello Ridge saved from urban encroachment, and restored to the vine that grew there at the turn of the century. Rakich 21822 Lindy Lane Cupertino, CA 95014 Dear Mr. Rakich: At its meeting of June 8, 1977 the Board of Directors of the Midpeninsula Regional Open Space District considered your letter of May 24, 1977 regarding the Picchetti Ranch area. On May 25, 1977 the Use and Management Plan for this property was adopted by the Board. Included in the plan was a provision that staff investigate alternative agri- cultural uses and possible historic preservation of the winery facilities. This study is expected to be completed in approximately one year, at which time staff will present its recommendations when the annual review of the Use and Management Plan is considered by the Board. However, the last minute efforts to save the structure, which we realize have not yet been accomplished, have brought to our attention the need for advanced planning. So that the historical resources located on Open Space District acquisitions might be evaluated carefully and, if worthy, appro- priate sources of funding investigated, the Commission makes the following requests: 1. The Board's policy concerning historic resources be made available to the Santa Clara County Historical Heritage Commission. 2. Information about newly acquired historic resources be forwarded to the Commission as soon as possible. The preservation of both natural and man-made resources is an important ingredient in the quality of future life on the penin- sula. Even though you are an open space district, you, as a custodian of the public property, though there is more emphasis on open space, ,have a charge from the public to preserve man-made heritage aspects of our environment, also. The Santa Clara County Historical Heritage Commission is concerned with heritage resources and, as such, would be glad to assist you in any manner it can. The Board reviewed your letter at its June 8, 1977 meeting, and has asked me to reply. I am enclosing a copy of the District' s Basic Policy and draft Master Plan. The latter contains a section explain- ing Board policy on the acquisition of Open Space for the Preservation of Unique Sites. Please note that assistance in meeting the costs related to preservation and maintenance of historic resources is an important consideration, since the District's primary responsibility is to preserve open space land. The District has contributed substantially to preser- vation of historic resources through purchase of the Picchetti Ranch property, renovation of the adobe bathhouse on the Fremont Older OpenSpace Preserve, and preservation of the Grant cabin (built circa 1860) on Permanente Creek Park. We do share your interest and desire to preserve the Bay Area's historic and natural resources, and we have placed the Historical Heritage Commission on our mailing list to receive agendas of District Board of Directors' meetings. M-77-92 (Meeting 77-16, • Agenda item No. 1) MIDPENINSULA REGIONAL PARK DISTRICT MEMORANDUM June 3, 1977 TO: Board of Directors FROM: H. Grench, General Manager SUBJECT: Action Plan for Implementation of the Basic Policy of the Midpeninsula Regional Open Space District for Fiscal Year 1977-1978. Background: On May 11, 1977 the Board tentatively adopted an Action Plan for the forthcoming fiscal year subject to changes in the Public Communications Program, particularly the Media Subprogram. Discussion: A meeting was held on June 1, which included D. Wendin, H. Turner, J. Olson, C. Harrington and me, to discuss the Public Communications Program. Attached is a revised Public Communications section of Action Plan. The main kind of change from the previous draft relates to the specific emphasis which this version gives to communicating to the public the values of open space without promoting use of specific sites. THE DISTRICT WILL EDUCATE AND MAKE CLEARLY VISIBLE TO THE PUBLIC THE PURPOSES AND ACTION OF THE DISTRICT AND ACTIVELY ENCOURAGE PUBLIC COMMUNICATION AND INVOLVEMENT IN THE ACTIVITIES OF THE DISTIRCT. THE DISTRICT WILL WORK WITH AND EDUCATE PRIVATE AND PUBLIC AGENCIES TO PRESERVE, MAINTAIN, AND ENHANCE OPEN SPACE. Implementation: Public Communications Program A. Media Subprogram Summary This subprogram will continue the present system of regular communications with the press, expanding communications with the press when appropriate. Expected Results Information about the District name change, policies, programs, and other day-to-day activities will reach the public through regular contact with the media. Increased activity should be generated in the donations program. Typical Projects 1. Continue regular communications with the press, expanding communications as may be appropriate. 2. Continue development of slide presentations and expansion of slide library regarding land acquisition and land management for specific site presentations. 3. Continue the regular reading and clipping of newspaper and magazine articles. Required Staff Resources 35% of time of Public Communications Coordinator (part- time) 5% of time of Assistant Secretary B. Public Liaison Subprogram Summary The subprogram will include meetings, land tours, and contacts with other agencies, private organizations, and interested individuals. Efforts will be made to continue to acquaint citizens with the programs and policies of the District and to encourage cooperation in preserving open space. As special District projects occur from time to time, specific agencies or groups will be contacted to enlist their aid. Expected Results The District and other agencies will be acquainted with each other' s goals, programs, and concerns on a mutual basis and resolved with a minimum expenditure of time and effort. The District, private organizations, and interested individuals will continue to exchange information on programs and current issues of mutual interest. Typical Projects 1. Board and staff members will continue to make personal contact with officials of other agencies and private organizations through distribution of information, telephone contact, personal visits, luncheons at the District office, land tours, and special events sponsored by other agencies, organizations, and possibly the District. 2. Continue program of giving slide presentations and distributing materials to public agencies , private organizations, and interested individuals to explain the District' s goals and programs. 3. Maintain contacts with private organizations on a regular basis for information exchange and work on special projects. 4. Continue to work with legislators, other agencies, private organizations, and interested citizens for information regarding current legislation. 5. Advocate State and federal legislation on park and open space matters through legislative committees, State and federal administrators, and individual legislators. -2- 6. Maintain contacts with staff and officials of other regional park districts in order to cooperate on programs of mutual benefit and to exchange information and technical expertise. 7. Work on specific local issues as they occur or as it is appropriate for the District to take action. 8. Attend seminars and conferences of significance to the District and which will offer an opportunity to initiate and maintain contacts with officials of other public agencies and private organizations and which will educate District staff and Board on current issues. 9. Maintain current files of governmental officials, private organizations, interested groups and citizens to be used for distribution of pertinent materials and information. Required Staff Resources 35% of time of Public Communications Coordinator Board and other staff as available 10% of time of Assistant Secretary -3- C. Public Education Subprogram Summary This subprogram will include the general education of the public about the value of preservation of open space. Expected Results There will be an increased awareness about the objectives of the District and the importance of open space. Typical Projects 1. Conclude presentations and public hearings on the amended draft Master Plan. After the adoption of the Plan, distribute and publicize as appropriate. 2. Continue public speaking engagements program to reach civic organizations, public agencies, schools, and other groups. 3. Prepare the following materials which will focus on the values of open space: a. Slide presentation (s) . b. Audio-visual presentation. C. Photographic display. d. Publicity for national distribution to newspapers and magazines, park and recreation publications, and environmental newsletters. 4. Coordinate with the docent program and Environmental Volunteers (Open Space Management Program) in the implementation of and publicity about their education projects on District sites. 5. Begin development of communications system with radio and television stations to acquaint them with the District and its objectives. Required Staff Resources 20% of time of Public Communications Coordinator (part-time) Staff and Board as available for speaking engagements Professional consultants as needed (within budget constraints) 5% of time of Assistant Secretary -4- D. Public Participation Subprogram Summary This subprogram will stimulate input from the public regarding District programs and activities and will motivate individuals to volunteer their talents to the District. Expected Results Input from the public will be generated so that District programs are responsive to the needs of the citizens. The programs of the District will be publicized so that citizens are encouraged to participate in the volunteer, intern and docent program. Typical Projects 1. Arrange public hearings on specific land acquisitions and other important matters, inviting public comment. 2. Assist with formation of citizens ' committees. 3. Continue distribution of general information, Basic Policy, site information, and other brochures in accordance with District policy. . 4. Coordinate with Open Space Management Program regarding land use projects. JO:pl AGREEMENT I THIS AGREEMENT is made and entered into this day of 19 , by and between the CITY OF , a municipal corporation, hereinafter called "CITY" , and the MIDPENIN- SULA REGIONAL OPEN SPACE DISTRICT hereinafter called "DISTRICT. " PURPOSE. In order to provide an expanded and varied program of organized recreational activities for the citizens of the CITY, CITY has arranged with DISTRICT to use DISTRICT'S Permanente Creek Park, hereinafter "Property, " located in Los Altos Hills, ad- jacent to St. Joseph' s Seminary, for a recreational Day Camp program, hereinafter "Program, " consisting of activities such as archery, arts and crafts, hiking, picnicking, games, singing, nature study, swimming, and caring for farm animals. It is understood by both parties that the Permanente Creek Park is a semi-wilderness area with certain environmental hazards, such as uneven landscape, wooded areas, poison oak, wildlife and rattlesnakes, and that DISTRICT makes no assurances as to the safe condition of the Property. CITY shall offer no programs that in the estimation of DISTRICT have a negative impact on the environment of the area, or the future use of the Property. In consideration of the mutual covenants and conditions contained herein, the parties agree as follows: 1. DISTRICT agrees to provide the nonexclusive use of the Permanente Creek Park without charge for use by CITY to carry out a Day Camp program for the benefit of the citizens of the CITY. Said facility shall be made available to CITY for the uses intended during the times of 9:00 a.m. to 5:00 p.m. , Monday through Friday, July 11, 1977 through August 21, 1977. 2. The buildings, bridges, roads, pathways, utilities and all other improvements on the Property shall be maintained by DISTRICT, to the degree such maintenance is determined to be necessary or desir- able in the sole discretion of DISTRICT, provided that nothing here- in shall be deemed to impose on DISTRICT any responsibility assumed by CITY in paragraph 8 hereof. 3. Upon notice DISTRICT may designate certain areas unsafe or un- usable to CITY and restrict or prohibit the use of said areas to CITY until further notice. 4. CITY agrees to furnish and pay for all necessary services, supplies and materials directly related to the Program, including utilities and transportation. 5. CITY agrees to obtain all necessary permits for fire, safety, health, and other clearances required by local and state agencies necessitated by the use of the Preserve by CITY to carry out its Program. -2- 6. CITY shall be responsible for all necessary or appropriate sup- ervision and control over agents and employees of CITY, participants in the Program, and other persons on the property at the invitation of CITY or as a direct result of CITY"s Program. Responsibility for supervision and control shall include providing qualified staff members and volunteers to protect the safety of the participants and to promote, organize and conduct the various programs. 7. It is expressly understood and agreed that this agreement is not intended and shall not be construed to create a relationship of agent, servant, employee, partnership, joint venture or association between DISTRICT and CITY, but it is rather an agreement by and be- tween independent contractors. Each is to be responsible for its liabilities in the areas of responsibility designated by this agree- ment. 8. For purposes of this Paragraph (and as used elsewhere in this Agreement) "City Participant" shall mean and include supervisors, employees, staff members and volunteers for CITY, all participants in the Program, and all persons on the Property at the invitation of CITY or as a direct result of CITY's Program. CITY shall have the responsibility and bear primary liability for: a) locating and identifying any hazards, natural or man- -3- made, on the property and calling such hazards to the attention of City Participants. b) loss, damage or injury to City Participants, from any cause whatsoever, except the willful, wanton or active misconduct of DISTRICT' s officers, agents or employees. c) loss of or damage to property of CITY or of City Par- ticipants from any cause whatsoever, except the willful, wanton or active misconduct of DISTRICT' s officers, agents or employees. d) loss, damage or injury to third persons, including . employees of DISTRICT, caused by the negligence or other wrongful act or omission of CITY or City Participants. e) loss of or damage to property of third persons, in- cluding property of DISTRICT and its employees, caused by the negli- gence or other wrongful act or omission n of CITY or City Participants. ants. Nothing herein shall be construed to impose on CITY re- sponsibility for any liability for which DISTRICT would otherwise be responsible and which is in no way attributable to the conduct of CITY' s program or activities under this agreement. City Participants shall be deemed to be on the property -4- at the invitation of CITY and not of DISTRICT. 9. CITY shall carry liability, property damage, death and bodily injury insurance during the term of this agreement covering, among others, the insurable risks set forth herein, and DISTRICT shall be named as additional insured on said policy. Said policy shall be in an amount not less than $1 million per injury or death to one person, $1 million per occurrence, and $1 million property damage. CITY shall furnish DISTRICT a certificate of insurance evidencing such insurance coverage. 10. DISTRICT shall carry liability, property damage, death and bodily injury insurance during the term of this agreement covering its risks arising out of its ownership of the property in an amount not less than $1 million per injury or death to one person, $1 mil- ,lion per occurrence, and $1 million property damage. 11. CITY hereby agrees to indemnify, defend and hold harmless the DISTRICT from and against all liability for all claims, suits, dam- ages, injuries, costs, losses and expenses, including attorney' s fees, in any matter related to or occurring during the Program, pro- vided that the matter giving rise to the liability, is directly attributable to the negligent or wrongful acts or omissions of the CITY' s employees or agents, or otherwise arises out of matters which -5- by the terms of this agreement are the responsibility of the CITY. 12. DISTRICT hereby agrees to indemnify, defend and hold harmless CITY, its officers, agents and employees from and against all lia- bility for all claims, suits, damages, injuries, costs, losses and expenses, including attorney' s fees, in any matter related to or occurring during such recreational program, provided that the matter giving rise to the liability is directly attributable to the wrong- ful acts of the DISTRICT' s employees or agents, or otherwise arises out of matters which by the terms of this agreement are the respon- sibility of the DISTRICT. 13. Each party shall in good faith attempt to avoid interference with the activities and facilities of the other, in keeping with the spirit and purposes of this agreement. 14. Either party may without cause withdraw unilaterally from this agreement after notice to the other party with the result that this agreement shall be terminated at the end of five (5) days thereafter. Wendin, President SUBJECT: Board Subcommittee Structure From time to time the Board has established ad hoc sub- committees to deal with specific issues. In addition, the Budget Subcommittee has been set up as a standing committee. I have placed a discussion of the use of Board Subcommit- tees on the June 8 agenda. There is some thought that additional subcommittees, such as one on legislation, may enable the District to handle more adequately certain areas of interest without increased staff resources. More subcommittee work may also lessen the need for long, detailed discussion by the full Board.
