Sessions, Land Manager SUBJECT: Disposition of Hassler Health Home Buildings Introduction: In accordance with Board action at the May 28, 1980 Public Hearing to consider proposals for uses of the Hassler Health Home buildings, the Public Hearing has been continued to July 9, 1980. Staff has contacted the Golden Gate Council of the American Youth Hostel, Inc. (AYH) and requested that a definite response be made at the July 9 Board meeting in order to resolve the question of disposition of the subject buildings . The May 28 Public Hearing on possible building uses did not identify any new proposals for recreational uses, other than a potential for a hostel operation. The homeowners in attendance at that meeting could not comment fully on the concept of a hostel use because of a lack of information from American Youth Hostel. Some confusion existed as to the extent of notification and information that the District expected from AYH. This confusion has been clari- fied, and AYH has made contact with the Brittan Heights Homeowners Association to inform them of the extent of the hostel proposal. Staff has been notified that a representative from the American Youth Hostel will be present on July 9 (see attachments) . Discussion: As part of the planning process, you will be reviewing the American Youth Hostel proposal on July 9, 1980 and may receive input from members of the public in attendance. It is recommended that you refer the AYH proposal to staff for analysis and inclusion in the Environmental Assessment to be prepared for the demolition of the buildings, if you deem the proposal feasible and desirable. After analyzing the proposal, staff would review their findings in a follow-up report to the Board. In order to proceed with the Hassler acquisition/demolition project, exclusive of any recreational use proposal, the preparation of an Environmental Impact Report (E. I.R. ) is required. The extent of the E.I.R. would reflect the District's proposed use of the site by evaluating the removal of all existing structures , including service roads and utilities, and implementing a land management i R-30-40 Page Two recovery plan for use of the site as an open space preserve. A consultant would be required to prepared the E.I.R. document which would include a demolition/salvage assessment and a cost estimate. As part of the Environmental Impact Report, the consultant would prepare an assessment evaluating the American Youth Hostel proposal to retain two buildings and operate a youth hostel on the site. AYH would pay for this portion of the E.I.R. The assessment docu- ment would take approximately 120 days to prepare and would cost between $7,000 to $13,000. The AYH portion of the report is esti- mated to cost approximately $500 to $1000. Staff has been notified by the Office of Historic Preservation that the buildings have no historical significance, and staff has historic clearance to demolish the buildings. It is anticipated that, based on the assessment, all environmental impacts will be short term and associated with demolition of the buildings. The long term benefits should mitigate these short term impacts, and therefore, the project could receive a negative dec- laration. Recommendation: In order to proceed with the project, staff recommends that the Board of Directors refer any desirable use proposals to staff, authorize staff to solicit bids and award a contract for the services of a consultant to prepare the required environmental assessment documents, and authorize the expenditure of up to $13,000 for the preparation of the Environmental Impact Report. The funds for the E.I .R. are currently included in land acquisition' s budget for the demolition of the Hassler buildings. If a proposal on use of the buildings raises serious questions, staff may return to you before a consultant is engaged with further information or for further direction. Regional Open Space District 375 Distel Circle, Suite D-1 Los Altos, CA 94022 Dear Mr. Sessions: The Board of Directors has voted to pursue the possible use of buildings at the Hassler Health Home for a chartered American Youth Hostel. We have identified those residence structures south of the main drive con- sisting of one single family dwelling and a duplex. Depending upon the feasibility of using basement areas or the possible use of half of the duplex by a resident caretaker of MROSD we would operate a minimum of 20 and a maxi- mum of 40 beds with kitchen and commons. There would also be 2 to 4 perma- nent staff members residing in these buildings. A hostel at Hassler would be operated in a like manner to those we operate in the Bay Area (Golden Gate, Point Reyes, Sacramento, Montara Lighthouse.) Standards, practices, hours are listed in the information I will attach to this letter. Ile project that the majority of users to Hassler will be bicyclists, hikers, and possibly some automobiles. It is probable that we will require parking space for 5 to 15 vehicles including those of the staff. Some hostelers may arrive in the area by bus, but it is not projected that Hassler will be easily accessed by those using buses. Our resident staff would be responsible for hostel operations and would maintain those buildings and the adjacent grounds within a reasonable boundary. The Board has authorized the expenditure of up to �500 to participate in the reouired engineering and env'iron-nantal assessment studies. If costs exceed that figure we need to reevaluate and get additional authorization. Jean Rusmore is contacting the local homeowners association to familiarize them with hostel operation and plans. The most critical and unanswered question is the cost of utility connections to the proposed residences and the structural assessment of the buildings in question. DiGiovanni, Environmental Resource Planner SUBJECT: Determination of Public Necessity - Proposed Addition to Russian Ridge Open Space Preserve (Coplon Property) Introduction: This 217 acre property located on Skyline Boulevard in an unincorporated area of San Mateo County is adjacent to a portion of the District' s 185 acre Russian Ridge Open Space Preserve. Situated at the 2 ,572 foot summit of Borel Hill, this property is • part of the three mile long grass-covered Russian Ridge, which is • prominent Skyline landmark seen from the urban Midpeninsula. The site is a key part of the planned Skyline Corridor Trail, which will become a major recreational route linking public lands in three counties . Since the property is positioned along Mindego Creek, it could also form part of a trail connection to Pescadero Creek County Park along the creek corridor. The property affords 3600 degree sweeping vistas and any development on the ridgetop would impact the Skyline Scenic Corridor. A. Description of the Site (1) Location and Boundaries. Located on the west side of Skyline Boulevard (State Highway 35), 0 .7 miles from the Alpine Road intersection, the property is bounded by the Russian Ridge Open Space Preserve and private property to the south, Skyline Boulevard to the east, and private property on all other sides. The Mt. Melville portion of the Russian Ridge Open Space Preserve is located one mile to the north, and Los Trancos and Monte Bello Open Space Preserves are 1. 5 miles to the east on Page Mill Road. (2) Topography, Geology and Natural Landscape. A 2,572 foot benchmark is the high point on the site, and the low point is 1,400 feet near two tributaries of Mindego Creek which flow through the property. Skyline Boulevard frontage is located on Russian Ridge itself and contains the summit of Borel Hill, a prominent Skyline landmark. The western half of the property is contained on the moderately steep west-facing slope of the ridge. R-80-37 Page Two Open grassland covers the ridgetop portion of the site, and oak-madrone-Douglas fir woodland grows on the steep west-facing slopes and along the Mindego Creek tributaries. B. Planning Considerations The entire property is located within San Mateo County' s Resource Management District. A density matrix applied to the property by the San Mateo County Planning Department for appraisal pur- poses showed that there is a potential for 12 dwelling units on the property. The western 134 acre parcel is outside the District's boundary. The owner has filed a petition to legalize a previous illegal subdivision, which included the property, and has had a proposed building site designated on the ridgetop. C. Relationship to Regional Trails The planned Skyline Corridor Trail would most logically be routed on the top of Russian Ridge on the existing Preserve and would continue on through this property to connect with the Mt. Melville parcel and Windy Hill to the north. D. Current Use and Development This property is part of a 1300 acre area on Russian Ridge, including 130 acres of the Russian Ridge Open Space Preserve, that is leased by a cattle tenant. Dirt roads and trails located on the property are shown on the attached map. No structures are contained on the site. E. Potential Use and Management As previously identified, this site represents a vital section of the planned Skyline Corridor Trail. Acquisition would improve public access to the Russian Ridge Open Space Preserve, since a dirt road enters the site directly opposite a vista point on Skyline Boulevard. F. Use and Management Recommendations (1) The site should be open to hikers who can gain access from Skyline Boulevard or the existing portion of the Preserve. Equestrians should not be permitted on the site because of the incompatibility with the cattle. (2) The current lease agreement with the tenant for cattle grazing rights should be continued. G. Name It is recommended that the property become an addition to the Russian Ridge Open Space Preserve. R-80-37 Page Three H. Dedication It is recommended that this property be dedicated as public open space land. I. Terms Land Acquisition staff has been attempting to work with the Coplons since before they purchased the parcel (July 31, 1978) and staff has not been able to reach a compromise that would save this critical parcel. An appraisal has been completed and offers to acquire the property have been made accordingly. At this time, staff feels that meaningful negotiations are at an impasse, and because of the absolutely critical nature of this property, the District should take the necessary steps to acquire this property through the eminent domain procedures. Recommendation: It is recommended that the Board adopt the attached Resolution of the Board of Directors of the Midpeninsula Regional Open Space District, Finding and Requiring that the Public Interest and Necessity Require the Acquisition of Certain Properties for Public Use, to Wit: for Public Park, Recreation and Open Space Purposes, Describing the Properties Necessary Therefore and Authorizing and Directing its Retained Legal Counsel to do Everything Necessary to Acquire All Interests Therein. (Russian Ridge Open Space Preserve Coplon Property) . DiGiovanni , Environmental Resource Planner SUBJECT: Environmental Assessment to Proceed with Monte Bello Open Space Preserve Fire Breaks Introduction: Staff has been working with a consultant on a pro- posed fire management plan for the Monte Bello Open Space Preserve. A public presentation had been scheduled for Monday, June 30, 1980 to discuss the plan with neighboring property owners who were within one-half mile of the first year' s proposed burn area, and staff had planned to present the plan to you at your meeting of July 9, 1980. However, since the fire management consultant was unexpectedly called out of state to help combat a fire in Arizona, both the June 30 meeting and the July 9 agenda item were cancelled and will have to be rescheduled for a later date. Discussion: At this time, even though the presentation of the fire management plan has been postponed, staff feels that it is necessary to proceed with the cutting of fire breaks in strategic areas of the Monte Bello Open Space Preserve. Such breaks would serve to protect adjacent private property and the Preserve, and the con- struction of fire breaks would be recommended even if the fire management plan was not implemented. Staff has contacted the California Conservation Corps (CCC) and they have indicated that work on the firebreaks (which would also be a requirement of the fire management program, if approved by the Board) could begin in July and would be provided at no labor cost to the District. Environmental assessment documents for the fire breaks must be pre- pared for review by the City of Palo Alto. It is anticipated that a negative declaration would be granted the project since the re- moval of brush and forest undergrowth are insignificant negative impacts, and the long term in-pacts of improved fire protection are beneficial. Recommendation: It is recommended that the Board of Directors authorize staff to enter into contract agreements with the California Conservation Corps to construct the fire breaks on the Monte Bello Open Space Preserve pending environmental clearance from the City of Palo Alto. Sessions, Land Manager SUBJECT: Proposed Acquisition of Stevens Creek Shoreline Nature Study Area Introduction: The District has been working with Peninsula Open Space Trust (P.O.S.T. ) over the past 2k years to acquire the Crittenden Marsh parcel from Leslie Salt Company, which is now a part of Cargill Corporation. As a result of these combined efforts, Leslie Salt has donated this 54 acre parcel to P.O.S.T. , thereby allowing the District in turn to purchase the property from P.O.S.T. by utilizing previously awarded grant funds. The parcel (see attached map) is in an unincorporated area of Santa Clara County, within the Sphere of Influence of the City of Mountain View. The parcel is surrounded by a large land area owned by the Leslie Salt Company that is utilized for their salt evaporation process. Although no specific plans have been formulated for the use of this parcel, the concept is to provide a low-intensity-use nature study area, with interpretive programs. The management plan would serve to protect and enhance a valuable and vanishing natural resource of the original Bay margin, part of which is located on the parcel. A. Description of the Site 1. Location and Boundaries The property is bounded on the south and east by Moffett Field Naval Air Station. Stevens Creek is adjacent to the parcel on the west, and Mountain View Shoreline Regional Park, a large regional park planned to facilitate boating, golfing, picnicking, and hiking, bicycling and equestrian trails, is westerly of Stevens Creek. The property is within the jurisdictions of Santa Clara County, the City of Mountain View, and the Bay Conservation and Development Commission (BCDC) . The U.S. Army Corps of Engineers is currently investigating the extent of its jurisdiction. The Conservation Element of the General Plan for the County of Santa Clara recommends the provision of ecological preserves, representing such natural communities R-80-38 Page Two as the salt water and fresh water marshes, by both the County and the Midpeninsula Regional Open Space District. 2. Description of the Environment This parcel represents part of a once vast biotic community that was associated with the original Bay margin. The fresh water marsh area, which covers much of the property, supports a large bird population and provides a rich habitat for many small rodents, reptiles, amphibians, and insects. A large variety of invertebrate species may also be found in the water and mud. The higher, drier, southern portion of this property supports a small grassland area that is intolerant of salt. Distur- bances of this vegetational community often lead to intrusion by pickleweed. Along the levee, which serves as the property' s western boundary, a weedy, roadside vegetation that is typical of disturbed areas is found. 3. Natural Resources A detailed biotic reconnaissance was not performed. However, based on previous studies of the surrounding baylands, this area serves as a vital refuge for a variety of wildlife which may include endangered species, such as the clapper rail and the salt marsh harvest mouse. No historical/archeological assessment was made, although several sites have been identified in the area. As previously mentioned, this property had been part of a larger holding from which salt had been extracted by means of solar evaporation. It is no longer part of the series of ponds used for this evaporation process. 4. Existing Development and Restrictions The property is tidal land, and there are no improvements on the property. The property is separated from Stevens Creek channel by a levee, and Leslie Salt Company levees separate this property from existing salt ponds. The property is partially separated by levees from the United States Government ownerships to the east and south. No public utilities such as water, sewer, electricity, gas and telephone are on the property at the present time. An easement access to the property extends from Stierlin Road, down Crittenden Lane, across Stevens Creek channel and then on top of the east Stevens Creek levee to the subject property. Further, an avigation easement for the benefit of the Moffett Field Naval Air Station is in existence across the northeasterly corner of the property. Based on R-80-38 Page Three the formula in the restriction, no building improvements exceeding 10 feet in height at the southerly line nor 20 feet in height at the northerly line can be constructed on the subject property. B. Conformity The acquisition of this property has been found to be in conformity with the General Plan of Santa Clara County, the City of Mountain View, and the City of Sunnyvale. C. Public Access The access to this property is sufficient for patrol and maintenance only, as public access rights require an agreement with Santa Clara Valley Water District. If this purchase is approved, staff would work with the Water District to provide public access; the Board of Directors of the Santa Clara Water District adopted a resolution of intent on March 2 , 1976 to enter into a joint use agreement with the Midpeninsula Regional Open Space District which would permit public access to the property, if the District acquired the property. Sufficient access is also required for grant reimbursement and would be a necessity to complete this project. D. Use and Management Recommendations Although the property contains a segment in the proposed Bayfront Trail system, the adjacent lands are presently under private ownership or have severe restrictions. Additionally, the sensitive and fragile nature of the marsh should be protected and therefore: 1. Public access and use of this land should be limited to the levee via the easement access across Stevens Creek Channel when public rights have been obtained from the Water District. 2. Boundary markers and preserve signs should be installed as appropriate. 3. Because of the remoteness of the site from other District properties, land management activities would be limited to a random patrol frequency. Efforts would be made to effect a mutual assistance agreement with NASA/Ames and the U.S. Navy (Moffett Field) to provide perimeter security and patrol surveillance. 4. Staff would continue to coordinate with Santa Clara County Water District, Mountain View Parks and Recreation, NASA/Ames, and the U.S. Navy to plan a levee configuration and bridge location consistent with the Bayfront Trails Plan. R-80-38 Page Four The completion of the Bay Front Trail is an ongoing coordi- native effort, and the full public impact on this site would not be apparent nor addressed until completion of the trail (including securing the necessary property rights) . It is anticipated that very little public use would be made of this parcel until it is connected with the public trail system, and this interim, low-key management approach should be sufficient until the entire question is addressed. E. Dedication It is recommended that this property be dedicated as open space land. F . Name It is recommended that this property be known as Stevens Creek Shoreline Nature Study Area. G. Terms This parcel has been donated to Peninsula Open Space Trust by Leslie Salt Company, making it possible for the District to acquire the property at the bargain price of $208, 000 (the total amount of the approved grant) . This method of acquisition is widely used by land trusts throughout the country, and especially in California, to encourage landowners to make gifts of land to private foundations that would make additional open space and park lands available to public agencies at bargain prices. This method supplies land trusts with additional funds necessary to carry on their programs and simplifies normally complicated public acquisition projects. The District' s land and water grant is being matched by the value of the gift portion of the Crocker parcel purchase (North Foothills Open Space Preserve) . This purchase is budgeted in the Committed Lands category, and except for the State Grants surcharge (1. 6%) is fully reimbursable by the District' s current grant. This would be an all cash transaction, and it is assumed that escrow would close immediately. Recommendation: It is recommended that you adopt the Proposed Resolution of the Board of Directors of the Midpeninsula Regional Open Space District Authorizing Acceptance of Agreement to Purchase Real Property, Authorizing Officer to Execute Certificate of Acceptance of Grant to District, and Authorizing General Manager to Execute Any and All other Documents Necessary or Appropriate to Closing of the Transaction - (Stevens Creek Shoreline Nature Study Area) . The Board of Directors of the Midpeninsula Regional Open Space District does hereby accept the offer con- tained in the attached purchase agreement between Peninsula Open Space Trust and the Midpeninsula Regional Open Space District, dated July 2 , 1980, a copy of which is attached hereto and by reference made a part hereof, and authorizes the President and appropriate officers to execute the Agreement on behalf of the District. Section Two. The President of the Board or other appro- priate officer is authorized to execute a certificate of acceptance to any deed (s) granting title to said property. Section Three. The General Manager of the District shall cause to be given appropriate notice of acceptance to the seller. The General Manager further is authorized to execute any and all other documents in escrow necessary or appropriate to the closing of the transaction. Section Four. The General Manager of the District is authorize to expend up to $5,000 to cover the cost of title insurance, escrow fees, and other miscellaneous costs related to this transaction. Section Five. PURCHASE AGREEMENT THIS AGREEMENT, made and entered into this day of ,1980, by and between the MIDPENINSULA REGIONAL OPEN SPACE DISTRICT, a public district, hereinafter referred to as "DISTRICT" , and PENINSULA OPEN SPACE TRUST, a non-profit corporation of California hereinafter referred to as "TRUST" W I T N E S S E T H WHEREAS TRUST was organized as a non-profit,g p charitable corporation to -solicit, receive and hold gifts, legacies, devises and conveyances of real and personal property for public park, conservation and open space purposes, all in a manner complementary to activities of DISTRICT, and WHEREAS, the property, assets, profits and net income of the TRUST are irrevocably dedicated to said purposes and no part of the profits or net income of TRUST shall ever inure to the benefit of any director, officer, or member thereof or to the benefit of any individual, and WHEREAS, TRUST is the owner of certain real property which has natural beauty, open space and recreational value, and ecological significance, and WHEREAS, DISTRICT desires to purchase said property both as open space and as part of the recreational, ecological and aesthetic resources of the Midpeninsula area, and WHEREAS, TRUST, out of desire to promote public welfare, and share the natural and scenic beauty and enjoyment of their property with the citizens of the Midpeninsula area, hereby agrees to make a gift of a portion of said real property upon the conditions and for the considerations set forth herein. NOW, therefore, it is mutually understood and agreed as follows : 1. PURCHASED PROPERTY. TRUST agrees to transfer to DISTRICT, and DISTRICT agrees to acquire from TRUST, on the terms and conditions contained herein, TRUST's real property located in the County of Santa Clara, State of California, con- sisting of fifty three and seventy four one hundreths (53. 74) more or less, and commonly referred to as Santa Clara County Assessor' s Parcel No. 15-36-041, and more specifically known and described in Exhibit "A" as attached hereto and incorporated herein by this reference. 2. PURCHASE PRICE AND PAYMENT. The total purchase price for the aforesaid real property is and shall be the sum of TWO HUNDRED EIGHT THOUSAND AND N01100 DOLLARS ($208,000) . TRUST and DISTRICT understand and agree that TRUST may be entitled to receive the fair market value of the property described in Exhibit "A" , as provided for by the Federal Uniform Relocation Assistance and Real Property Acquisition Act of 1970 (Public Law 91-646) and California Government Code Section 7267, and following, as determined by an appraisal obtained by DISTRICT; TRUST acknowledges that it has obtained and familiarized itself with the applicable Federal Law and California Government Code Sections and further understands that an appraisal has been made of said property that is in excess of the purchase price being paid hereunder, and hereby waives all existing and/or future rights it may have to the fair market value of said -property, appraisals, etc. , as provided by said Federal Law and California Government Code Sections. 5. COSTS. DISTRICT shall pay and satisfy all escrow, recording and usual title insurance charges and fees incurred in this transaction. 6. COMMISSIONS. There shall be no real estate agent' s commission or related costs or fees incurred or paid by either party hereto, in connection with this transaction. 7. ACCEPTANCE AND TERM OF ESCROW: DISTRICT shall have thirty- (30) days from and after the date of execution of this agreement by TRUST to accept and execute this agreement, and during said period this instrument shall constitute an irrevocable offer by TRUST to enter into a contract with .DISTRICT on the terms and conditions set forth herein; in consideration of which DISTRICT. has paid and TRUST acknowledges receipt of the sum of ten and no/100 dollars ($10.00) . In the event DISTRICT does not deliver to TRUST a signed copy of this agreement within said thirty (30) day period, this agreement shall be automatically terminated and of no further force and effect. DiGiovanni, Environmental Resource Planner SUBJECT: Proposed Exchange of Property Rights to Provide for a Trail Easement Connecting Thornewood and Wunderlich County Park (Oswald Property) Introduction: The Midpeninsula Regional Open Space District has been offered the opportunity to acquire a public trail easement connecting Thornewood on La Honda Road in Woodside and San Mateo County' s Wunderlich Park. The easement would be acquired by a creative acquisition process of exchanging property rights and receiving domestic water for the Thornewood property at minimal cost to the District. A. Description of the Exchange of Property Rights. Ralph Oswald, who owns property across La Honda Road from Thornewood and adjacent to Wunderlich County Park, would like to extend an existing Skyline County Water District waterline by routing the pipeline over the Thornewood property. The waterline would generally be placed beneath the existing driveway from the Thornewood house to La Honda Road. The Thornewood house could be hooked up to the service at the time of construction for the normal fee. The construction would include the installation of a fire hydrant near the house. In exchange for granting a waterline easement for Oswald in favor of the Water District, MROSD would receive a trail easement across the Oswald property connecting to Wunderlich County Park. B. Description of the Trail Connection. The proposed trail easement shown on the attached map would cover approximately four acres of the 19 acre Oswald home- site and allow a trail to be routed at a 10% grade. Approxi- mately 0. 3 miles long, the trail would connect with Wunderlich Park by crossing La Honda Road near the Thornewood house, following the CalTrans road right-of-way uphill to a hairpin turn where the Oswald easement would begin, and basically R-80-41 Page Two follow the property line to Wunderlich Park. The trail would be located in a redwood forest on the steep banks of the Alambique Creek corridor. No houses would be visible from the pathway. C. Use and Management Recommendations. Since it is anticipated that the trail will not be constructed for a couple of years, or until such time as connecting trail rights are established on Wunderlich Park and Thornewood, no use and management recommendations are being made at this time. When a trails plan for this area is designed, staff will return to the Board with plans for a proposed trail route and specific use and management recommendations. D. Dedication. The parcel should be dedicated as a trail easement in accor- dance with Section 5540 of the Public Resources Code. E. Name. The parcel should be identified as a part of the Thornewood property. F. Terms. In accordance with the attached purchase agreement, this transaction, if approved, would provide for a public trail easement across the Oswald property in exchange for a water pipeline easement in favor of the Skyline County Water District across the Thornewood property. Additionally, MROSD would contribute $12 ,000 towards the construction of the waterline facility, including a fire hydrant. The entire project is expected to cost Oswald in excess of $50,000, and the District's share is considered to be very reasonable as a part of the terms of this exchange agreement. If and when the District decided to hook up to this waterline and install a meter, the customary charges would be required by the Water District ($1255 - $2105 depending on the size of the meter) . It is anticipated that no decision would be required on the hook-up until the disposition of the Thornewood buildings is determined. Recommendation: It is recommended that you adopt the proposed Resolution of the Board of Directors of the Midpeninsula Regional Open Space District Approving and Authorizing Acceptance of an Agreement to Exchange Interest in Real Property, Authorizing Officer to Execute a Water Pipeline Easement in favor of Skyline County Water District, Authorizing Officer to Execute Certificate of Acceptance of Grant of Trail Easement to District and Authorizing General Manager to Execute Any and All Other Documents Necessary or Appropriate to Closing of the Transaction (Thornewood Property) . RESOLUTION OF THE BOARD OF DIRECTORS OF THE MIDPENINSULA REGIO14AL OPEN SPACE DISTRICT APPROVING AND AUTHORIZING ACCEPTANCE OF All AGREEMENT TO EXCHANGE INTEREST IN REAL PROPERTY, AUTHORIZING OFFICER TO EXECUTE A WATER PIPELINE EASEMENT IN FAVOR OF SKYLINE COUNTY WATER DISTRICT, AUTHORIZING OFFICER TO EXECUTE CERTIFICATE OF ACCEPTANCE OF GRA14T OF TRAIL EASEMENT TO DISTRICT AND AUTHORIZING GENERAL MANAGER TO EXECUTE ANY AND ALL OTHER DOCUMENTS NECESSARY OR APPROPRIATE TO CLOSING OF THE TRANSACTION (THORNEWOOD PROPERTY) The Board of Directors of the Midpeninsula Regional Open Space District does resolve as follows : Section One. The Board of Directors of the Midpeninsula Regional Open Space District does hereby accept the offer con- tained in the attached agreement to exchange interests in real property between Ralph J. Oswald, et ux and the Midpeninsula Regional Open Space District dated July 2, 1980, a copy of which is attached hereto and by reference made a part hereof, and authorizes the President or other appropriate officers to execute the Agreement on behalf of the District. Section Two. The President of the Board or other appropriate officer is authorized to execute a certificate of acceptance to the deed granting a public trail easement to the Midpeninsula Regional Open Space District. Section Three. The President of the Board or other appropriate officer is authorized to execute the Deed granting a water pipeline easement to the Skyline County Water District. Section Four. The General Manager of the District shall cause to be given appropriate notice of acceptance to Oswald. The General Manager further is authorized to execute any and all other documents in escrow necessary or appropriate to the closing of the transaction. Section Five. The General Manager of the District is authorized to expend up to $1, 000 to cover the cost of title insurance, escrow fees, and other miscellaneous costs related to this transaction. Section Six. The Board of Directors finds that the granting of this water pipeline easement is in accordance with the Basic Policy of the District and is not detrimental to the open space character of the Thornewood Property. GREEMENT TO EXCHANGE IU1 STS IN REAL PROPERTY THIS AGREEMENT is made and entered into the day of , 1980 by and between RALPH J. OSWALD, and BAR'BARA A. OSWALD, his wife, hereinafter referred to as "OSWALD" and the MIDPENINSULA REGIONAL OPEN SPACE DISTRICT, hereinafter referred to as "riROSD" . WITNESSETH: WHEREAS, 14ROSD is the owner of San Mateo County Assessor's Parcel Nos. 075-052-010, 075-010, 075-123-040, 075-140-020 and 075-140-050, shown and identified on Exhibit "A", as attached hereto and by this reference made a part hereof, and; WHEREAS, OSWALD is the owner of San Mateo County Assessor's Parcel No. 075-051-050 shown and identified on Exhibit "B", as attached hereto and by this reference made a part hereof, and; WHEREAS, it is the desire of OSWALD and MROSD that an easement, along the alignment shown on said Exhibit "A" over aforesaid lands of MROSD be granted to the Skyline County Water District (hereinafter referred to as "DISTRICT") for the con- struction, installation, operation and maintenance of a pipeline for the supply and distribution of domestic water, and that MROSD have the right to attach and connect to and use the domestic water supply and distribution facilities constructed in connection with this agreement for the benefit of MROSD, its successors and assigns and said lands of MROSD, and; WHEREAS, OSWALD desires to grant to MROSD an easement for use by the general public for pedestrian and equestrian trail purposes over, the aforesaid lands of OSWALD, along the alignment approximately as shown on said Exhibit "B" and within the area described in Exhibit "C" as attached hereto and by this reference made a part hereof, NOW THEREFORE, IT IS MUTUALLY U14DERSTOOD AND AGREED as follows: 1. Property Interests to be Conveyed by MROSD. MROSD agrees to grant and convey to DISTRICT an easement upon, over, under and across said lands of MROSD for the construction, installation, operation And maintenance of a pipeline for the supply and distribution of domestic water, together with the Right of Possession and a Right of Entry of and onto the lands of the aforesaid easement together with the lands as may be additionally and temporarily required for construction and/or restoration purposes as of the date of execution of this agreement by MROSD. Said easement shall be in the approximate location as shown on said Exhibit "A". An exact legal description shall be provided by OSWALD, subject to approval by MROSD, after the installation of said water distribution facilities are completed by OSWALD in accordance with clause 2 herein. 2. Construction of Facilities by Oswald: OSWALD, at its sole cost and expense, except as hereinafter provided, agrees to construct or cause to be constructed, according to the requirements and specifications of DISTRICT, all installations, facilities, and equipment necessary to complete the domestic water supply and distribution system, together with any necessary fire protection facilities. All work done under this agreement shall conform to all applicable building, fire and sanitary laws, ordinances, and regulations relating to such work and shall be done in a good and workmanlike manner, subject to inspection. by DISTRICT and MROSD. Any roads, structures, improvements. or other facilities removed, relocated, or reconstructed by OSWALD or its agents, employees or contractors shall be restored or resurfaced and left in at least as good a condition as found. i 3. I4ROSD Use of Facilities. OSWALD agrees that MROSD, its successors and assigns, without cost, expense or considera- tion, except as hereinafter provided, shall have the right to attach and connect to and use the domestic water supply and distribution system to be constructed under the terms of this agreement, including, but not limited to, the right to install and utilize water meters and other devices and connections as may be considered necessary by MROSD, its successors and assigns, but according to the rules and regulations of DISTRICT. Q MROSD shall be responsible for and pay for any and all connection fees, meter fees or other costs or expense ordinarily..levied by ; DISTRICT incident to MROSD's connection to or use of said water " supply and distribution system. 4. Property Interests to be Conveyed by Oswald. OSWALD shall grant and convey to MROSD without cost or consideration, except as hereinafter provided, and MROSD agrees to accept, an easement for public pedestrian and equestrian trail purposes in, over, upon and across said lands of OSWALD, within the area described in said Exhibit "C" , including, but not limited to, as of the date of execution hereof by MROSD, a Right of j Entry and Immediate Possession in, over, upon and across the aforesaid public trail easement area, required for the con- struction, improvement and maintenance of said trail. i f 2-- 4 ' I 1 1 5. Consideration and payment. As its full and complete share of any and all cost and expense for the construction, installation, restoration or maintenance of said domestic water supply and distribution system, MROSD will pay to OSWALD at the close of escrow, as provided in clause 11 herein below, the sum of TWELVE THOUSAND AND N0/100 DOLLARS ($12,000.00) . 6. Title. The interests in the subject real properties herein shall be conveyed and exchanged at the close of escrow, free and clear of all liens, encumbrances, easements, assess- ments, leases, recorded or unrecorded, restrictions, rights, covenants, and conditions of record except: a. Any and all taxes for the fiscal year in which the escrow closes shall be cleared and paid for in the manner required by Section 4986 of the Revenue and Taxation Code. b. Easements or rights of way, if any, in, over, under or across said lands for utility, street, or access purposes. c. Any and all interests that may be excepted, reserved, or retained in conveying the interests as provided herein. d. Such covenants, conditions, restrictions, and reservations as may be deemed acceptable by MROSD and OSWALD. 7. Costs. OSWALD and MROSD shall divide and share equally all escrow, recording and other customary charges and fees in- curred in this transaction, OSWALD shall be responsible for and pay any and all costs of any partial reconveyance of Deed of Trust, release of mortgate,- subordination, or other fees or costs for legal or other services incurred in connection with the delivery of clear and acceptable title to the property interest being conveyed . to MROSD. 8. Hold Harmless. OSWALD will hold MROSD free and harmless and will reimburse MROSD for any and all costs, liability, damage, ' loss or expense, including costs for legal services; occasioned by the conveyance or possession of the easement in MROSD lands, or the use thereof by OSWALD, its agents, employees or contractors. 9. Commissions. MROSD shall have no obligation to pay any real estate agent's -commission or other related costs or fees in connection with this transaction. -3- 1 . 10. Leases or Occupancy of Premises. OSWALD warrants that there are no oral or written leases or rental agreements affecting all or any portion of the property or interests therein being conveyed to MROSD or any person lawfully occupying the property and OSWALD further warrants and agrees to hold MROSD free and harmless and to reimburse MROSD for any and all costs, liability, loss or expense, including costs for legal services, occasioned by reason of any such lease, rental agreement or occupancy of the property (including, but not limited to, relocation payments and expenses provided for in section 7270, et seq. of the California Government Code. ) 11. Acceptance and Term of Escrow. MROSD shall have thirty (30) days from and after the execution hereof by OSWALD to accept and execute this agreement, and during said period this agreement shall constitute an irrevocable offer by OSWALD to enter into a contract with MROSD on the terms and conditions set forth herein; in consideration of j which MROSD has paid and OSWALD acknowledges receipt of the f sum of ten and No/100 dollars ($10. 00) . This transaction shall close within ten (10) days after completion of construction of facilities as outlined in clause 2 hereinabove, including acceptance of said facilities by DISTRICT and the ,receipt of a proper legal description and "as built" drawings from OSWALD. This transaction shall be completed through an escrow conducted by First American Title Insurance Company, 555 Marshall Street, Redwood City, California 04064 . 12. The provisions hereof shall accrue to the benefit of and bind the respective successors, heirs, and assigns of the pasties hereto. DiGiovanni, Environmental Resource Planner SUBJECT: Proposed Addition to Manzanita Ridge Open Space Preserve (Bell Property) Introduction: The Midpeninsula Regional Open Space District has been offered the opportunity to purchase approximately 83 acres of land off Kennedy Road in the Town of Los Gatos as an addition to the Manzanita Ridge Open Space Preserve. A. Description of the Site. The property is similar in character to the Kennedy Trails portion of the Preserve which is located 0. 1 miles to the east (see attached map) . Elevation on this steep, chaparral, hillside parcel ranges from 1, 000 to 1,854 feet. Several dirt roads and trails, principally used by equestrians, cross the property and connect with private property and the Preserve. B. Conformity. This acquisition has been found to be in conformity with the Los Gatos General Plan. C. Use and Management. (1) The property is inaccessible to the general public; however, it should be open to those who can gain access from adjacent private property with the permission of the property owners. (2) Fences, gates, and boundary signs should be placed where appropriate. ro riate D. Dedication. It is recommended that this site be withheld from dedication as open space land since it is separated from the existing portion of the Preserve and so as to allow for the possibility of transfer of property rights, either fee or easement. These property rights could include: density transfer, retention of open space easements, or theoretically, disposal of a major portion of the property. Foster, Controller SUBJECT: Appointment of Auditor for 1979-1980 Fiscal Year Background: Last year, the District switched auditors to Deloitte, Haskins and Sells (DHS) in order to gain the benefit of their greater experience in auditing government agencies and obtain a thorough review of our financial procedures. The result was very positive. The audit went smoothly, the financial statements were clear, and DHS made several worthwhile recom- mendations which led to improvements in our cash controls. Given reasonsable fee quotations, the District should maintain audit continuity with DHS for several years. Proposed Terms: DHS has proposed fees of $3600 for the 1979-80 audit, a $400 increase over last year. I consider this a com- petitive quote. Recommendation: I recommend that the Board appoint Deloitte, Haskins and Sells as the District' s auditors for the fiscal year 1979-1980.
