The regular meeting of the City Council of Riverdale, Iowa will be conducted according to the following
order and actions will be considered on the items listed. The notice of this meeting is not considered
final until 24 hours prior to the meeting and may be further modified if 24 hours' notice is impossible or
impractical for good cause.
In compliance with the Americans with Disabilities Act (ADA) and other applicable federal and state
laws, all public hearings and meetings held or sponsored by the city of Riverdale, IA will be accessible to
individuals with disabilities. Persons requiring auxiliary aids and services should contact City Hall at
(563) 355-2511 five (5) days prior to the hearing or meeting to inform of their anticipated attendance.
The requirement that an Ordinance be read three times before passage may be waived by council upon
an affirmative vote of four (4) of the five (5) council members. The public is advised to take note of this
process and be prepared to speak either for or against any ordinance at the time of first reading.
Per Chapter 21 of the Iowa Code, more specifically described in sections 21.2 and 21.8, a
member of the Council may attend the meeting either in person or by electronic means,
as defined in said sections.

NOTE: The Regular Meeting of the City Council was held in -person at the appointed time and day in
accordance with open meeting laws set and defined by the State of Iowa (Sections 21.2 and 21.8).
1. WELCOME -CALL TO ORDER -The meeting was called to order at 7:02 pm by Mayor Mike
Bawden, ROLL CALL -Council Members Present: DCamp, Littrel, Krell, Heddlesten arrived at
7:03pm. Absent: Adams. Also present: Mayor Mike Bawden, Engineer Chris Cooper, City
Administrator Kent Royster, Riverdale Fire Chief Chris Bernard, and other residents and visitors.

Company for Luminarie Wire Replacement at US 67 and Manor Drive. Littrel made a motion to
amend the resolution by adding "not to exceed $2500" and was seconded by DCamp. Roll Call: All

6.2.2 Resolution 2021-25-A Resolution Accepting the Sanitary Sewer, Storm Sewer, and Street
Paving Improvements for Phase II of Woods Estates of Riverdale. Littrel made a motion to amend

3. Planning and Zoning
Planning and Zoning is tentatively scheduled for July 20th. There are still open
issues that need to be resolved. I am working on making sure that questions are
resolved in time.
4. S & R Lawn Mowing
Scott Community College is no longer mowing. And, plowing their own lots. SCC
has contracted with S & R to do both. I would like to have some feedback
regarding the service they have provided us not only for winter but mowing

season as well. I hope to have concrete issues that we can discuss at meeting. The
big complaint seems S & R didn't plow close enough to the curb for some
residents.
5. Road Maintenance
Bettendorf has received the bids for sealcoating but hasn't award the contract yet.
On George's to-do list is Sycamore Ct. I do not have a schedule of when he
intends to complete that.
6. Facade Improvements for 4405 State Street
In this year's budget is ro,000 for a facade improvement. The Mayor and I met
with Bruce Boyler and Jaime long regarding improvements to the property. There
seemed to be some interested. I have not heard from Bruce. So, I have contacted a
contractor and Andrew Dasso to put something in front of Bruce to attempt to kick
start this project.
7. Iowa American's Presentation
When Fenno Drive had its watermain break. We began working with Iowa
American to solve the problem, Mr. Frank Grage had approached the Mayor and
myself to discuss the purchase of Sanitary Sewer System. I have asked Mr. Grage
here to give a brief description and plot a course of action for your consideration to
purchase the sanitary sewer system.
There is no need for action tonight; however some guidance on your interest level
is needed if the City is to proceed. There are many issues and problems that will
need to be worked out before this could ever take place, but if you have no interest
in proceeding we can end negotiations now.
8. Resolution 2021-27
This Resolution calls for the approval of Engineering Services Agreement to begin
the design, planning and bidding in the Winter of 2022 for the Emergency Access
to Woods or to Circle Dr. The scope of work calls for Public Input sessions for
residents to discuss. I request this because with the fast tracking of Woods Phase
III, we need to inform Seth what type of product that we are going to request.
9. Resolution 2021-28
This resolution is setting salary for FY22 and will need to be published. If you want
this can be moved and placed after staff reviews are completed or tabled until next
week. Either way it needs to be done.

10. Resolution 2021-29
This resolution to establish a Procurement Policy that will meet the minimum
standards required to receive State and Federal grants. I ran into issues securing
the FEMA State grant. The City has an existing Resolution that the State or
Federal agencies will not accept as valid.
11. Ordinance 02-2021
We had the first reading at the last council meeting. I haven't heard of any
questions yet.
12. Ordinance 03-2021
This Ordinance is increasing the Mayor's salary of 5,000 to 6,000 that is
currently in the Ordinance. It is at the request of the current Mayor and will not
take affect until 01/2022.

Dear Mr. Schoonmaker,
With last Tuesday night's passage of the City of Riverdale's Resolution 2021-25, the City has now
formally accepted the public improvements for the second phase of the Woods Estates of
Riverdale Subdivision. Included in the material submitted for review and acceptance by the City
Council were maintenance bonds to guarantee the payment of repair/rehabilitation costs for any
deficiencies in the infrastructure accepted last night for a period of two years.
The only exception to this is the outstanding engineering fees that lie outside the City's
obligation to pay as per the addendum to the Development Agreement signed by Seth and
passed by the City Council at the beginning of 2020. The actual amount of these fees are less
than $9,000 (per our engineer). We expect that all outstanding issues will be resolved by July
5th, 2021. At that point we will have a precise number and will notify Seth (and copy you) on how
we can all move forward with making sure those costs are covered under the terms of that
contract addendum.
As a result, while the City no longer needs to hold the entire Irrevocable Letter of Credit
(Number 50005796) provided by your institution as an interim performance guarantee on
behalf of the developer, Woods Construction and Development, we would ask you reserve
$10,000 of that amount for possible use once the engineering fees are reviewed and discussed
with Seth. I believe you have had preliminary discussions with Kent Royster, our City
Administrator on this matter and I was assured this wouldn't present a problem. If I've
misunderstood this, please let me know so we address any concerns or confusion.
Please also advise as to how you would like us to handle the physical document (i.e. would you
like it returned or destroyed).

SANITARY SEWER REHABILITATION PROJECT — PHASE 2
MSA has submitted the plans, specifications, an opinion of the probable construction cost
($240,400.00), and Iowa Department of Natural Resources Permit application forms to the City.
When the signed forms are returned with a check in the amount of $100 made out to the Iowa
Department of Natural Resources, MSA will submit this project to be permitted.

SOUTH BELLINGHAM STREET INTAKE
As requested by the City Administrator, MSA evaluated the broken intake that Mr. Miller located
on South Bellingham Street. While onsite, MSA noted that the adjacent field intake also does not
have a top or grate. For safety reasons, MSA recommends the tops to both of these structures
should be replaced.
WATER MAIN BREAK ON FENNO ROAD
MSA submitted their plan review comments. MSA also participated in a few conversations relative
to this project with Iowa American and Administrator Royster.

Submission of the permit application to the IDNR is required in order to obtain a permit to construct the
proposed rehabilitation project. It is MSA's understanding the City of Riverdale intends to bid and, if the
lowest responsible bid is reasonable, award this project. If the lowest responsible bid is not reasonable,
submission for a permit does not obligate the City to award this project.
In order to submit the plans and specifications to the Iowa Department of Natural Resources, a check
from the City of Riverdale in the amount of $100, made out to the Iowa Department of Natural Resources
is required. In addition, the Mayor is to sign the permit application at the designated location.
It is our opinion the probable construction cost for this project will be around $240,400.00. This cost is
slightly less than the probable construction cost that was prepared as part of MSA's study. However,
please be aware that initial opinions of probable construction cost almost always include a greater
amount of contingency cost associated with them. Secondly, the lowest bid cost, prepared by a
Contractor, is the best cost to be utilized to determine the cost of this project. MSA's opinion of probable
construction cost is prepared in order to assist the City in budgeting efforts. MSA utilizes submitted unit
costs from prior projects.

SCOPE OF WORK
UNDERSTANDING:
The State of Iowa adopted and enforces the 2015 International Fire Code. Part D107.1
of the 2015 International Fire Code indicates that for one or two family dwellings where
the number of dwelling units exceeds 30 units, the development shall be provided with
two separate and approved fire apparatus roads. The exceptions to this requirement
are to install automatic fire suppression sprinkler systems in the houses, or to limit the
number dwelling units until the fire apparatus road is connected to the development.
Currently, Woods Estates has about 10 constructed homes that appear to be occupied
or could be occupied at any moment. Addition 2 of Woods Estates added about 30 new
building [ots. Many of these building lots already have homes started on them. When
new homes are constructed on those lots the City does not want to be the party holding
up occupancy.
Project execution time will likely take about three months. Construction time for a
second fire apparatus is estimated to be about two to three months after Contractor
procurement is complete and the Contracts have been executed.
SCOPE OF WORK
1. MSA will discuss possible routes and "roadway" materials with the City
Administrator and/or a committee in order to determine feasible options for
entrances and routes for the fire apparatus access
2. MSA will prepare concept drawings for two possible routes and /or entrances.
3. MSA will submit the proposed routes/entrances to the City Council for
consideration.
4. Upon Councils acceptance of a proposed route, MSA will move forward
preparing project plans.
5. MSA will survey the proposed route of the fire apparatus access road. Included
in the area to be surveyed will be other areas that may be impacted. For
instance, if the existing parking lot or picnic shelter are to be relocated, MSA will
survey those areas identified as the relocated assets.
6. MSA will prepare a base drawing based on the completed survey.

7. MSA will identify the minimum turning radii, the minimum vertical clearances
(pavement to bottom of vehicle), and the maximum vertical clearances (above
vehicle) of the Riverdale Fire Department vehicles.
8. MSA will identify and map in the base drawing the minimum areas of disturbance
that will be required to accommodate fire emergency vehicles access to the fire
apparatus access road.
9. Design plans will include the following design considerations:
a. Identifying what park amenities will have to be relocated and by whom
they will be relocated,
b. Creating a vertical profile that will accommodate the minimum vertical
clearances of the Fire Department's vehicles,
c. MSA will create a vertical profile that accommodates the maximum
vertical clearance of the Fire Department's vehicles.
d. Creating a horizontal alignment and roadway width that will
accommodate the minimum turning radius of the Fire Department
vehicles.
e. MSA will design to alternative roadway cross sections (i.e. pavement
materials, including the appropriate aggregate base).
f. MSA will prepare details for the project plans.
g. MSA will prepare demolition plans.
h. MSA will prepare restoration plans.
i. MSA will prepare erosion control plans.
10. MSA will chair a project open house. The open house will be held at City Hall.
11. MSA will prepare an opinion of the probable construction cost.
12. MSA will submit final contract documents to the City.
13. MSA will prepare a draft copy of a suggested request for bids advertisement.
The City is responsible for placing the advertisement.
14. MSA will chair a non -mandatory pre -bid meeting to be held at City Hall.
15. MSA will prepare responses and, if necessary, addendum, to respond to
contractor requests for information.
16. MSA will lead a bid opening.
17. MSA will assist the City and the Contractor in getting the construction agreement
executed by both parties.

18. When this construct agreement is executed by both parties, the Professional
Services Agreement shall be considered complete.
Assumptions:
1. Bidding has been included in this Professional Services Agreement because
of the rate of new home starts in Addition 2. If the City decides to hold off on
bidding until 2022, this Professional Services Agreement could likely be
modified to account for new calendar year MSA billing. rates.
2. Construction Engineering services are not included in this scope of work. A
construction engineering services agreement will be prepared and submitted
when this phase of the project is ready to begin.
3. MSA has analyzed the land needs for a few different routes. In reviewing
those land needs, the total disturbance appears to be less than 1 acre.
Therefore, MSA has not included NPDES project permitting at this time. If the
route selected ends up with a disturbance greater than 1 acre, or if permitting
requirements change to be more restrictive, MSA can prepare the NDPES
Permit Application for an additional fee.

Procurement Policy
PURPOSE
The purpose of a procurement policy is to ensure that sound judgement is utilized in all
procurement transactions. That supplies, equipment, construction and services are obtained
efficiently and economically, and in compliance with applicable federal and state law, and
executive orders, and to ensure that all procurement transactions are conducted in a manner
that provides full and open competition. These procedures will ensure that all solicitations
incorporate clear and accurate descriptions of the technical requirements for the goods or
services being procured. Chapter 26 and Section 331.341 of the Iowa Code will be followed
on all applicable purchases. All other appropriate sections of the Iowa Code shall also apply.
APPLICATION
This policy applies to the procurement of all supplies, equipment, and construction and
services of and for City of Riverdale that include any federal program funding. In regards to
any such federal programs, all procurement will be done in accordance with Title 2 Code of
Federal Regulations (CFR) Grants and Agreements; Part 200. 2 CFR references are noted. All
other appropriate sections of Iowa Code and Local Code shall also apply. When federal
requirements conflict with local or state requirements, the federal requirement, or most
restrictive requirement will be followed.
POLICY
METHODS OF PROCUREMENT
Procurement under grants shall be made by one of the following methods: (a) micro -purchase
procedures; (b) small purchase procedures; (c) sealed bids (formal advertising); (d)
competitive proposals; (e) noncompetitive proposals.
Micro-Nurchase Procedures 1UU.32U(a)
i. The acquisition of supplies or services, the aggregate dollar amount of which does
not exceed the micro -purchase threshold - $10,000 (200.67)
ii. To the extent practicable, must distribute micro -purchases equitably among qualified
suppliers
iii. May be awarded without soliciting competitive quotations if the non -Federal entity
considers the price to be reasonable
B. Small Purchase Procedures 200.320(b)
i. Are those relatively simple and informal procurement methods for securing services,
supplies, or other property that does not cost more than the simplified acquisition

ii. Price or rate quotations are to be obtained from an "adequate number" of qualified

D. Competitive Proposals 200.320(d)
i. Used when conditions are not appropriate for the use of sealed bids
ii. The appropriate method when more than one source is expected to submit an offer
and either a fixed -price or cost -reimbursement type contract is awarded
iii. Awards will be made to the responsible firm whose proposal is most advantageous
to the program, with price and other factors considered
iv. Requests for proposals must be publicized and identify all evaluation factors and
their relative importance
v. Proposals must be solicited from an adequate number of qualified sources
vi. Must have written method for conducting technical evaluations of the proposals
received and for selection of the contract
E. Noncompetitive Proposals 200.320(f)
i. Procurement through solicitation of a proposal from only one source and may be
used only when one or more of the following circumstances apply:
a. One Source: the item is available only from a single source
b. Exigency/Emergency: an exigency or emergency will not permit a delay
resulting from competitive solicitation
c. Awarding Agency Approval: the Federal awarding agency or pass -through
entity expressly authorizes noncompetitive proposals in response to a written
request from the non -Federal entity
d. Inadequate Competition: after the solicitation of a number of sources,
competition is determined inadequate
CONTRACT PRICING (200.323)
A. The cost plus a percentage of cost and percentage of construction cost method of contracting
shall not be used.
B. City of Riverdale shall perform some form of cost/price analysis for every procurement action,
including contract modifications, amendments, or change orders. City of Riverdale shall make
an independent estimate prior to receiving a bid or proposal.
C. City of Riverdale shall negotiate profit as a separate element of the price for each contract in
which there is no price competition and in all cases where cost analysis is performed. In
determining a fair and reasonable profit, City of Riverdale must consider the complexity of the
work to be performed, the risk borne by the contractor, the contractor's investment, the amount
of subcontracting, the quality of its record of past performance and the industry profit rates in the
surrounding geographical area.
PROCUREMENT RECORDS
City of Riverdale shall maintain records sufficient to detail the significant history of a procurement,
including the rationale for the method of procurement, selection of contract type, contractor selection or
rejection, and the basis for the contract price.
(200.324)
(a) City of Riverdale must make available, upon request of the Federal awarding agency or pass -
through entity, technical specifications on proposed procurements where the Federal awarding agency
or pass -through entity believes such review is needed to ensure that the item or service specified is the
one being proposed for acquisition.
(b) City of Riverdale must make available upon request, for the Federal awarding agency or pass -
through entity preprocurement review, procurement documents, such as requests for proposals or
invitations for bids, or independent cost estimates, when:
(1) City of Riverdale's procurement procedures or operation fails to comply with the procurement
standards in this Part;
(2) The procurement is expected to exceed the Simplified Acquisition Threshold and is to be awarded
without competition or only one bid or offer is received in response to a solicitation;
(3) The procurement, which is expected to exceed the Simplified Acquisition Threshold, specifies a
"brand name" product;
(4) The proposed contract is more than the Simplified Acquisition Threshold and is to be awarded to
other than the apparent low bidder under a sealed bid procurement; or
(5) A proposed contract modification changes the scope of a contract or increases the contract amount
by more than the Simplified Acquisition Threshold.
(c) City of Riverdale is exempt from the pre -procurement review in paragraph (b) of this section if the
Federal awarding agency or pass -through entity determines that its procurement systems comply with
the standards of this Part.
(1) City of Riverdale may request that its procurement system be reviewed by the Federal awarding
agency or pass -through entity to determine whether its system meets these standards in order for its
system to be certified. Generally, these reviews must occur where there is continuous high -dollar
funding, and third party contracts are awarded on a regular basis;
(2) City of Riverdale may self -certify its procurement system. Such self -certification must not limit the
Federal awarding agency's right to survey the system. Under a self -certification procedure, the Federal
awarding agency may rely on written assurances from City of Riverdale that it is complying with these
standards. City of Riverdale must cite specific policies, procedures, regulations, or standards as being
in compliance with these requirements and have its system available for review.
AWARDED CONTRACTS
A. City of Riverdale will not award a contract to a party listed as debarred, suspended, or
otherwise excluded in the System for Award Management (SAM). www.sam.gov

B. Contracts awarded shall contain the applicable contract provisions described in 2 CFR
200.326 and Appendix 11 to Part 200.
C. City of Riverdale will maintain written standards of conduct covering conflicts of interest
and must provide for disciplinary action to be applied for violations of such standards as
defined in 2 CFR 200.318 (c) (1). No officer, employee, or agent of the City of Riverdale
shall participate in the selection, award, or administration of a contract supported by
federal grant funds, if a conflict of interest, real or apparent, would be involved. Such a

WHEREAS, the City of Riverdale has within its boundaries certain real estate and
buildings which are abandoned or otherwise considered a public nuisance.
WHEREAS, the City of Riverdale should have the option of either abating the nuisance or
taking title to the real estate as provided by Chapter 657A of the Iowa Code.
WHEREAS, the provisions of Iowa Code Chapter 657A.1A through 657A.10 shall only
apply to cities that have, by ordinance, provided that said provisions shall apply.
WHEREAS, the aforestated sections provide the City with alternatives in respect to
properties that are either abandoned or are a nuisance or both;
NOW, THEREFORE, be it ordained by the Mayor and City Council of the City of
Riverdale, Iowa, as follows:
SECTION 1. INCORPORATION OF PREAMBLES
The City finds that the aforestated recitations are true and correct and incorporate them
herein by this reference.
SECTION 2. ADOPTION OF IOWA CODE CHAPTER 657A
Chapter 657A of the Iowa Code is hereby adopted by the City of Riverdale, Iowa, and
said Chapter, including but not limited to Sections 657A.1A through 657A.10, shall apply to the
City of Riverdale, Iowa
SECTION 3. SEVERABILITY
If any section, paragraph, clause or provision of this Ordinance is held invalid, the
invalidity of such section, paragraph, clause or provision shall not affect any of the other provisions
of this Ordinance.
SECTION 4. REPEALER
All Ordinances, resolutions or orders, or parts thereof, which conflict with the provisions
of this Ordinance, are, to the extent of such conflict, hereby repealed.
SECTION 5. EFFECTIVE DATE
This Ordinance shall be in full force and effect onor after its passage, approval and
publication as provided by law.

AN ORDINANCE AMENDING SECTION 15.04 OF THE CITY CODE OF THE CITY OF RIVERDALE,
IOWA FOR THE PURPOSE OF INCREASING THE COMPENSATION OF THE MAYOR, EFFECTIVE
JANUARY 1, 2022.
BE IT ENACTED BY THE CITY COUNCIL OF THE CITY OF RIVERDALE, IOWA:
SECTION 1. Section 15.04 hereby amended by deleting the strike through text and adding
the underline text.
15.04 COMPENSATION:
The salary of the Mayor is $5,000.00 per year. The Mayor shall be paid six thousand dollars
($6,000.00) per year of service payable once a month, plus reimbursement for actual
expenses incurred while in the performance of Mayor's duties.
SECTION 2. Severability. If any section, subsection, sentence, clause, phase, or portion of
this ordinance be held invalid or unconstitutional by any court of competent jurisdiction,
such portion be deemed a separate, distinct, and independent provision, and such
holding shall not affect the validity of the remaining portion hereof
SECTION 3. Repealer. All Ordinances or parts of ordinances in conflict with the provisions
of this ordinance are hereby repealed.
SECTION 4. Effective Date. This ordinance shall take effect at noon on January 1, 2022.

A RESOLUTION APPROVING AN AGREEMENT WITH BOHNSACK AND

WHEREAS, the City of Riverdale, Iowa ("City") is a Municipal Corporation, organized and
operating under the laws of the State of Iowa;
WHEREAS, the City Council must assure that the financial work of the City is completed
by a competent employee or firm, and;
WHEREAS, the Mayor and Administrator have reviewed the qualifications of the
accounting and auditing firm Bohnsack and Frommelt who perform pubic accounting
and auditing work in the State of Iowa, and;
WHEREAS, the firm of Bohnsack and Frommelt have presented a proposal attached as
Exhibit A to complete the work of accounts payable, bank reconciliation, financial
reporting, utility billing and payroll until June 30, 2021.
NOW THEREFORE, BE IT RESOLVED, that the City Council of the City of Riverdale, Iowa
authorizes the Mayor, Clerk and City Administrator to execute the agreement and take
appropriate action to allow the firm Bohnsack and Frommelt to begin performing the
accounting and financial work of the City as soon as possible.

We are pleased to provide you with the professional services described below. This letter confirms our
understanding of the terms and objectives of our engagement and the nature and limitations of the services
we will provide. The engagement between you and our firm will be governed by the terms of this
Agreement.
Engagement Objective and Scope
We will provide technical advice and assistance to the City of Riverdale, Iowa as requested by you during
the year. This service includes all calls and meetings as well as specific tasks and projects requested for
the City to enter, reconcile, report and maintain the financial records and systems of the City. Specifically,
we will provide:
• Disbursements/Accounts Payable: The City will receive all invoices, review invoices for propriety
and account code expenditures. We will obtain the coded invoices, enter the invoices into the
financial system and generate checks for each board meeting. The checks and supporting invoices
will be provided to the City Administrator for the Mayor and/or members of Council to review and
to sign. The City will distribute the invoices for payment after approval. Our understanding is the
City pays bills twice a month.
• Payroll: The City will maintain all personnel files including approved hourly rates and benefits. The
City will gather completed and approved timesheets of all hourly employees. We will process
payroll for the City. All City payroll checks will be provided to the City Administrator for the Mayor's
signature and distribution. We will prepare payroll reports from the City's financial system and
electronically file the necessary payroll returns. Our understanding is the City does not currently
have a payroll calendar. We will work with the City Administrator to establish a payroll calendar.
• Utility Billing and Accounting: The City will obtain the sanitary sewer consumption reports from
Iowa Water. Quarterly, we will generate sanitary sewer bills for the City to mail. We will also
establish a process to maintain utility billing records to report accounts receivable and delinquent
accounts. All utility billing receipts will be receipted by the City.
• Bank Reconciliations: We will prepare monthly bank reconciliations of the City's depository and
investment accounts. The City Administrator will review the bank reconciliations.

Our engagement cannot be relied upon to identify or disclose any financial statement misstatements,
including those caused by fraud or error, or to identify or disclose any wrongdoing within the entity or
noncompliance with laws or regulations.
You agree that you are not and will not be entitled to rely on any advice given to you by us unless it is
requested and provided in writing.
Client Responsibilities
The engagement to be performed is conducted on the basis that management acknowledges and
understands that our role is to prepare financial statements in accordance with U.S. generally accepted
accounting principles or in accordance with a basis of accounting you have specifically requested.
Management has the following overall responsibilities that are fundamental to our undertaking the
engagement to prepare your financial statements in accordance with SSARS:
• the selection of the financial reporting framework to be applied in the preparation and fair
presentation of the financial statements;
• designing, implementing, and maintaining internal control relevant to the preparation and fair
presentation of the financial statements that are free from material misstatement, whether due to
fraud or error;
• preventing and detecting fraud, including the design and implementation of programs and controls
to prevent and detect fraud;
• ensuring that City of Riverdale, Iowa complies with the laws and regulations applicable to its
activities;
• ensuring the accuracy and completeness of the records, documents, explanations, and other
information, including significant judgments, that you provide to us for the preparation of financial
statements; and
• providing us with:
o access to all information of which management is aware that is relevant to the preparation
and fair presentation of the financial statements, such as records, documentation, and
other matters;
o additional information that may be requested for the purpose of the preparation of the
financial statements; and
o unrestricted access to persons within City of Riverdale, lowa of whom we determine
necessary to communicate.
Your management is also responsible for:
• making all management decisions and performing all management functions;
• designating an individual who possesses suitable skill, knowledge, and experience, preferably
within senior management, to oversee our services;
• evaluating the adequacy and results of the services performed; and
• accepting responsibility for the results of the services.
During the course of the engagement, we may assist management with judgments regarding amounts or
disclosures to be reflected in the financial statements. We will discuss any such judgments with you, and
you accept responsibility for those judgments.

You also acknowledge that independence is not required in order to provide financial statement preparation
services in accordance with the SSARS. The performance of the preparation services may impair
independence unless safeguards are met. We are available to discuss these safeguards with you if you
anticipate the need for services that require independence, such as an audit or review of financial
statements.

• Other Services: We will assist the City with ensuring the City's chart of accounts follows the state
of Iowa municipal chart of accounts requirements. We will prepare a financial reporting packet for
the City Administrator to use for reporting to City Council. We will assist the City Administrator with
quarterly financial analysis. We will prepare a City external financial reporting calendar to ensure
compliance with state requirements. We will have a Partner of the Firm on site during the annual
review from the State Auditor. In addition, when the State Auditor staff discuss the report and
findings from the procedures performed a Partner of the Firm will be present.
As a condition to our performing the services described above, you agree to:
• make all management decisions and perform all management functions
• designate an individual who possesses suitable skill, knowledge, and/or experience, preferably
within senior management, to oversee the services;
• evaluate the adequacy and results of the services performed;
• establish and maintain internal controls and monitor ongoing activities with respect to the
services provided; and
• accept responsibility for the results of the services;
You agree that management is responsible for the proper recording of transactions in the records, the
safekeeping of assets, and the accuracy of the financial statements.
This engagement is limited to the professional services outlined above and on Attachment A. Bohnsack
& Frommelt LLP, in its sole professional judgment, reserves the right to refuse to take any action that
could be construed as making management decisions or performing management functions.
The professional services will be performed based on the information that you and others provide to us.
We will not verify or audit the information that you and others provide to us. Our engagement cannot be
relied upon to disclose errors, theft, fraud, or illegal acts. However, we will inform the appropriate level of
management of any material errors, and of any evidence or information that comes to our attention during
the performance of our engagement that fraud may have occurred. In addition, we will report to you any
evidence or information that comes to our attention during the performance of our engagement regarding
illegal acts that may have occurred.
In the event we are requested to prepare financial reports or financial summaries, we will prepare the
requested reports from information the City provides. The engagement approach and client responsibilities
are included in Attachment A if we are requested to provide financial reports or summaries. By signing this
Agreement, you acknowledge and agree to Attachment A requirements for financial statement preparation
services. The objective of our engagement is to prepare financial statements based upon information that
you provide to us, We will utilize information provided to us as the representations of management, without
undertaking to obtain or provide any assurance that there are no material modifications that should be made
to the financial statements in order for the statements to be in conformity with U.S. generally accepted
accounting principles or the prescribed basis requested.

Timing of Engagement
This agreement will become effective upon City Council approval in January 2020 and remain in effect
through June 30, 2021. This agreement may be renewed and extended on a year-to-year basis on the
terms and conditions as set forth herein as agreed to by both parties annually. Should the City wish not
to renew this agreement, written notice shall be given to Bohnsack & Frommelt LLP not less than thirty
days prior to the expiration date.
Bohnsack & Frommelt LLP and the City both may voluntarily resign from this agreement before the
expiration of this contract.
Professional Fees
Our professional fee for the services described above is $2,500 per month. Services outside of the scope
of this agreement will be billed at $75 per hour. This fee is based upon the complexity of the work to be
performed, and our professional time to complete the work, as well as out-of-pocket expenses. In addition,
this fee depends upon the timely delivery, availability, quality, and completeness of your records. You agree
that you will deliver all records requested and respond to all inquiries made by our staff to complete this
engagement on a timely basis.
We will track the hours incurred to perform the procedures above. Both parties agree to meet in Spring
2021 to determine the hourly plan and associated billing to prepare for the possible renewal of the contract.
We appreciate the opportunity to be of service to City of Riverdale, Iowa. Please date and sign the enclosed

In the event we are requested to prepare financial reports or financial summaries, we will prepare the
requested reports from information the City provides. The objective of our engagement is to prepare
financial statements based upon information that you provide to us. We will utilize information provided to
us as the representations of management, without undertaking to obtain or provide any assurance that
there are no material modifications that should be made to the financial statements in order for the
statements to be in conformity with U.S, generally accepted accounting principles or the prescribed basis
requested.
The prepared financial statements and summaries will not be accompanied by a report.
Engagement Approach
We will conduct our engagement in accordance with the Statements on Standards for Accounting and
Review Services issued by the American Institute of Certified Public Accountants ("SSARS") and comply
with the AICPA's Code of Professional Conduct, including the ethical principles of integrity, objectivity,
professional competence, and due care.
Financial statement preparation differs significantly from an engagement to compile financial statements,
or a review or audit of financial statements. Compilation procedures require the accountant to consider
whether the financial statements appear to be appropriate in form and free from obvious material
misstatements. A financial statement preparation does not include such procedures. In addition, a financial
statement preparation also does not contemplate performing inquiry, analytical procedures, or other
procedures ordinarily performed in a review. Finally, a financial statement preparation does not
contemplate obtaining an understanding of the entity's internal controls, assessing fraud risk, testing
accounting records by obtaining sufficient appropriate audit evidence through inspection, observation,
confirmation, or the examination of source documents (for example, cancelled checks or bank images), or
other procedures ordinarily. performed in an audit.
We are not required to, and will not, verify the accuracy or completeness of the information you will provide
to us for the engagement or otherwise gather evidence for the purpose of expressing an opinion or a
