RESOLUTION NO. 82 -2045
A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF TEMPLE CITY APPROVING THE INTERNAL CORPOR-
ATE REORGANIZATION OF FALCON COMMUNICATIONS
WHEREAS, the City of Temple City has granted a cable tele-
vision franchise to Falcon Communications and said franchise has
commenced the construction of facilities to provide cable tele-
vision service to residents of this City; and
WHEREAS, Falcon Communications is a limited partnership and
the partnership consists of three closely held and family related
corporations; 'and
WHEREAS, the death of one of the family members of one of
the closely held corporations requires that certain partnership/
corporate changes take place in Falcon Communications for estate,
tax and other personal reasons; and
WHEREAS, the City has received a communication from Falcon
Communications dated January 18, 1982, outlining the change in
its organization; and
WHEREAS, the change which is to take place will not affect
the management policies nor management personnel of Falcon; and
WHEREAS, the City's franchise agreement provides for the
approval of the City Council to a reorganization in the franchise
and Falcon Communications has requested that this City approve of
the proposed reorganization; and
WHEREAS, all terms and conditions specified in the franchise
resolution, including but not limited to all bonds and insurance
policies, shall be made to conform to reflect the action taken
herein; and
WHEREAS, the City is satisfied that the change in the cor-
porate /partnership organization will not affect the manner in
which cable television service is to be provided to the residents
of the City.
NOW, THEREFORE, the City Council of Temple City does find,
determine and declare as follows:
SECTION 1. The communication dated January 18, 1982, from
Falcon Communications is received.
SECTION 2. The City Council approves the reorganization of
Falcon Communications as is proposed, subject to the terms and
receitals herein.
SECTION 3. That a copy of this Resolution shall be forwarded
to Falcon Communications and Firemen's Fund Bonding Co. to be
effective at such time as acknowledged and agreed to in writing
by Firemen's Fund as to Bond #SMR 709- 04 -08.
PASSED, APPROVED and ADOPTED this 2nd day of February, 1982.

City Council of the City of Temple City at a regular meeting held on
the 2nd day of February, 1982, by the following vote:
AYES: Councilmen - Atkins, Dennis, Gillanders, Tyrell, Merritt
