Also present: Town Administrator Mike Embury, Assistant Town Administrator Jillian Douglass, Attorney Sarah Turano-Flores, and Kim Bourgea from HECH. The Chair called the meeting to order at 4:34 pm Recording or Taping Notification `As required by the Open Meeting Law we are informing you that the Town will be videotaping and/or audio taping this public meeting. In addition, if anyone else intends to either video or audio tape this meeting they are required to inform the chair.-We request that all cell phones be turned off or to vibrate. 1. Discussion and vote on Brewster Historical Society's request for a waiver to section 9c of the grant agreement in order to release the remaining $20,000 of the Cobb House rehabilitation project's award. Paul Ruchinskas reviewed the request to release the remaining $20,000 for the Cobb House rehabilitation project award by Sally Gunning of the Brewster Historical Society specifically, Section 9c regarding a waiver of the grant agreement award. Sarah Turano-Flores stated that historic restriction version is almost ready to go to the state and should be available by the end of the month. Once the state reviews it, it will be sent back to the town to record. Motion made by Peter Johnson to grant the Brewster Historical Society's request for a waiver to section 9c of the grant agreement in order to release the remaining$20,000 of the Cobb House rehabilitation project's award. Roland Bassett seconded. VOTE: 8-0-0 CPC MIN 1012 2016 Page 1 of 5 The meeting then reviewed Item 2b on the agenda. 2.a) Discussion and vote on whether the final budget for Cape Repertory Theatre's Crosby Barn rehabilitation project satisfies section 4 of the grant agreement and condition#6 of the CPC award letter. Paul Ruchinskas referred to the final budget for the Cape Repertory Theatre's Crosby Barn rehabilitation project that was distributed to the Committee at the meeting. This final budget satisfies section 4 of the grant agreement and condition#6 of the Community Preservation Committee's (CPC) award letter. Peter Johnson as CPC liaison for this project reviewed the Cape Repertory Theatre's Phase 1 budget for the Crosby Barn rehabilitation project. Changes to the project budget from when it was originally approved at the spring town meeting were reviewed. Many of the budgeted items went up in price from the original budget and this is outlined in this budget. They still have the money to get the job done and the revenue sources are also outlined. The quotes for the esthetics of the back stairway came in higher than expected and a less expensive alternative for the rear staircase was agreed upon by all of the parties involved. The chimney was determined not to be historical as it was not on the original building and for this reason the chimney has been removed. The only piece of information missing to date is the proof of the $100,000 line of credit with Cape Cod Five. Motion made by Joan Carstanjen to approve the final budget for Cape Repertory Theatre's Crosby Barn rehabilitation project that satisfies section 4 of the grant agreement and condition 96 of the CPC award letter subject to proof of the $100,000 line of credit with Cape Cod Five. Roland Bassett seconded. VOTE: 8-0-0 The meeting then moved to Agenda item 3. b) Update on the status of the memorandum of agreement with the Department of Conservation and Recreation for the recapture provision/condition for Cape Rep's Crosby Barn project. Paul Ruchinskas reviewed the status of the memorandum of agreement with the Massachusetts Department of Conservation and Recreation that has been signed by the Massachusetts Department of Conservation and Recreation today. This memorandum of agreement provides for a recapture provision/condition for the Cape Rep Crosby Barn project. Appreciation was expressed to Sarah Turano-Flores for her work in bringing this memorandum of agreement with the Massachusetts Department of Conservation and Recreation to fruition. The meeting then referred back to Agenda Item 2a. CPC MIN 1012 2016 Page 2 of 5 3. Discussion and vote on the proposed changes to the award conditions and programmatic elements for the 2016 Harwich Ecumenical Council for the Homeless' homeowner rehabilitation program. Kim Bourgea of HECH, Attorney Sarah Turano-Flores and Paul Ruchinskas reviewed the proposed changes to the award conditions and programmatic elements for the 2016 Harwich Ecumenical Council for the Homeless' (HECH) homeowner rehabilitation program. Town approval will now not be required on each loan and HECH will do all of the work in qualifying and administering these loans. HECH will be reporting on the program to the town. There was discussion on the housing cost and debt to income ratio that should not exceed 43% of gross income when determining whether an applicant can afford to finance the repairs themselves. There was explanation that the loan/debt(including the HECH loan) to home value ratio should not exceed 90% of the total assessed value of the property. There will be no reversed mortgages allowed. There was discussion about the proposed requirement that no municipal employees or municipal volunteers for the Town of Brewster are allowed to apply for these funds. The concerns were that there is full disclosure, that the Massachusetts ethics statute prohibits any direct or indirect financial benefit in a Town contract by an employee, and there was a review of the potential for violations or the appearances of a conflict. Following further discussion,the Committee voted 5-3 to keep the clause in. There was discussion on the 15-year loan term at zero percent interest with a declining balance and with that balance being paid back if the property was sold within that time period. In some towns, within the 15-years the total loan is paid back if the house is sold, and after 15-years the loan forgiven. The poll of Committee members resulted in 7 in favor and 1 opposed to keep the declining balance language as it currently is in the revised award letter. There was discussion about HECH being able to foreclose on a property if the note were to be called. Sarah will research how the previous program mortgages and the promissory notes were written with regard to recapturing funds and whether HECH could reconfigure a repayment plan should someone lose their income eligibility. Other minor changes from the 2015 HECH program were briefly reviewed. Motion made by Roland Bassett to give the Chair authorization to approve the amended HECH project award letter subject to Town Counsel review of changes as CPC MIN 1012 2016 Page 3 of 5 of today's discussion. Peter Johnson seconded. VOTE: 7-1-0 4. Update and discussion for October 26th public hearing on community preservation needs and potential spring 2017 Town Meeting funding requests. The Chair reviewed the status of the public hearing on October 26, 2016. The advertising has been submitted to the Cape Cod Times and The Cape Codder .. The public hearing notice has been posted and e-mailed to about 50 potentially interested entities. 5. Update on meetings with Board of Selectmen and Finance Committee on GPC Town Meeting articles. Paul Ruchinskas stated that the Board of Selectmen unanimously approved the two CPC Town Meeting Warrant articles. CPC will review the articles in the Warrant at the Finance Committee meeting on November 2, 2016 at approximately 7:15 pm. 6. Treasurer's report. Elizabeth Taylor stated that there are no changes to the Treasurer's report from last month. 7. Vote to approve minutes of September 28, 2016 CPC meeting. Motion made by Roland Bassett to accept the September 28, 2016 meeting minutes as presented. Jean Boehm seconded. Vote: 7-0-1 8. Items that the chair could not reasonably anticipate. The Chair reviewed the changes to the Cape Cod Village project reduction in units from 16 to 15 units and Town Counsel does not feel that this is a substantial change that would need approval at Town Meeting. Bob Jones has been so notified and Mr. Jones has been asked to supply a letter outlining the reasons for the reduction in the units, requesting CPC approval for keeping the same funding, and for the approval of the necessary amendments to the grant agreement and award letters to be made. Town Counsel is reviewing the Brewster Housing Authority $600,000 award for Brewster Woods and the reduction from 50 to 30 units for a determination if this project needs to go back to Town Meeting. The November 2016 deadline for this award is approaching and Town Counsel will offer an opinion if this request needs to be resubmitted by either the CPC MIN 1012 2016 Page 4 of 5 Housing Authority or the Developer. We should be getting a historic representative on our committee soon. 9. Next meeting: Wed., Oct. 26 @ 4:30 p.m. at Town Hall. The next meeting will be the CPC public hearing to be held on Wednesday, October 26, 2016 at 4:30 pm at Town Hall. Motion made by Peter Johnson to adjourn the meeting at 4:30 pm. Absent: Monika Woods, Maureen Callahan The meeting was called to order by Chairman Ralph Marotti at 4:05, who informed the Counci.I of the sad news that member Monika Woods's father recently passed away. The members expressed great sympathy for her loss. • By a vote of 5-0, the minutes of the May 16, 2016 meeting were accepted. • By a vote of 6-0, the Treasurer's Report was accepted. Expenditures to date: $187 for Cape Cod Poetry Review, $374 for Meeting House Chamber, and pending: Cultural Center of Cape Cod. • October 25 at 7PM: date for Literary Evening at the Brewster Ladies Library. The deadline to submit applications is October 12. There will be twelve readers, limited to five minutes each. They will be selected on a first come, first served basis. Flyers advertising the Council sponsored-event will be posted and applications will be available at the Town Hall, the Brewster Ladies Library, and the Brewster Council on Aging. An author (to be determined) with name recognition will be invited to be the featured reader. • At the appropriate times, Sharon Leder will send Press Releases to the Cape Codder regarding reading at the Literary Evening. • A meeting of Lower Cape Cultural Council chairpersons is tentatively planned for mid September. Ralph will keep the Council informed. • Monika Woods, Milton Teichman, & Sharon Leder will take the MCC Ethics Test. • FLOT (For Love of Tap), a program sponsored last year, has offered to present its program a second time, this time at the library, because so few people attended the original presentation at the COA. Council members agreed it was a gracious offer. It is not clear at this time whether the library can accommodate the request. • A discussion of major points of information presented at the recent MCC Webinar regarding on-line applications ensued. By a vote of 6-0, motion moved by JoAnn Phillips and seconded by Annie Gerrity, the Council voted NOT to accept paper applications for grants. • At the appropriate times, Sharon Leder will send Press Releases to the Cape Codder regarding online applications for annual Cultural Council Grants. • Members collaboratively edited "About Your Council" and "Council Priorities" to better reflect the mission and guidelines of the Brewster Cultural Council, as it enforces the MCC's new policy of accepting on-line grant applications.
