CONDITIONAL GIFT AGREEMENT
THIS AGREEMENT made and entered into by and between the
CITY OF FULLERTON, a Municipal Corporation, hereinafter called
"CITY, " and FULLERTON HOST LIONS CLUB, a Non-Profit Organization,
as donor, hereinafter called "LIONS CLUB. "
W I T N E S S E T H
THAT WHEREAS the LIONS CLUB requested permission to erect
at its own expense a multi-purpose community recreation building in
the Lions Field area of the City's Hillcrest Park, which building
would become the property of the CITY upon completion of its con-
struction; and
WHEREAS, the CITY COUNCIL of the City did GRANT said re-
quest on condition that the LIONS CLUB agree to the terms and
conditions provided herein and obtain a building permit therefor
from the CITY; and
WHEREAS, said building has been constructed in accordance
with all of the requirements of the City Building Code.
NOW, THEREFORE, in consideration of the premises and the
respective and mutual covenants and promises contained herein and
made, said parties hereby agree further as follows:
1 . Transfer to City. In accordance with the promises
between the parties hereto, the LIONS CLUB does hereby dedicate,
assign, transfer and deliver to the CITY the full ownership of
said building.
2. Supervision. The CITY and its Parks and Recreation
Department shall have the exclusive control, possession, and
supervision of said building and shall have the sole right to
schedule its use by the public without any requirement to give any
preference in its use to the LIONS CLUB.
3. Fixtures . All fixtures installed by the LIONS CLUB
at their own expense, upon being fastened to said building, shall
become a part thereof, whether or not removable, and shall be
and remain at all times a part of said building and the property
of the CITY.
IN WITNESS WHEREOF, the parties hereto have caused this
Agreement to be executed by their duly authorized officials this
