The purpose of the meeting is to review the Open Space Acquisition Program and Communications Program budgets. The Comprehensive Use and Management Plan Review for Russian Ridge Open Space Preserve is tentatively scheduled for consideration at the meeting of February 13, 1991. Please send your written comments, ideas, and concerns to David Hansen, Land Manager, by February 1 so that they can be considered in drafting the staff report. I enjoyed the trails of E1 Sereno as a resident of Sheldon road for over S years and now as an adjacent neighboring property owner on La Mirado Rd. for the last 12 years, I am concerned that the Board of Directors has not taken advantage of the offer "of property exchange" to provide access to El Sereno . Perhaps you are not aware of the numbers of hikers, striders, as well as Mountain Bikers who were using the E1 Serena area as an exercise area. As a close neighbor I can testify to large numbers of citizens hiking and riding by to use the trails that are now removed from their access by the Sheldon road residents blockade. These are wholesome activities. These are citizens who should be encouraged to exercise and who have a right to enjoy the property under your governance for their use. Please make this a priority item for your agenda. As owner and operator of Los Gatos Athletic Club, I am aware of the ground swell of public sentiment who are frustrated by your lack of positive movement on this matter. Sincerely, cc: T. Burke, The District ' s Board of Directors reviewed your January 14 letter concerning the Sheldon Road access to our El Sereno Open Space Preserve at our regular meeting last night . First, we appreciate your interest in the recreational benefits , as well as the public accessibility, of our preserves . Although we are also concerned about providing access to our lands , recreational use is not always the primary reason for acquiring and preserving these properties . El Sereno Open Space Preserve was originally acquired to provide a scenic backdrop to the Los Gatos and Saratoga area. In addition, the protection of the native flora and fauna and watershed preservation were crucial . Recreational use was considered limited due to the poor access , lack of trails , and the steepness of the site . The Board is aware of the increase of bicycle and pedestrian use of Sheldon Road, the conflict with the neighbors , and subsequent fencing which has occurred. Our staff and Board have worked to : 1) Locate an affordable regional access point along the northern boundary of the preserve , and 2) Encourage a reasonable compromise between COSA and the Sheldon Road neighbors . You refer to an offer of "property exchange" which we assume refers to a recent article in the San Jose Mercury News . The parcel in question would not create safe regional public access to the site. The trail route that would utilize this parcel would simply transfer public use to Overlook Road, another private road. In addition the high cost to complete the project P g P P J precluded District ' s ability to pursue the exchange . If We continue to hope that solutions are found to resolve this issue but the District feels caught in the middle on this matter . Grench, General Manager RESPONSIBILITY AND PREPARATION: C. Britton, Land Acquisition Manager; R. Blanchard, Real Property Representative SUBJECT: Architect Selection - 330 Distel Circle Office Building Recommended Actions: 1) Approve the hiring of The Steinberg Group as architects to design the office remodel at 330 Distel Circle. 2) Authorize the General Manager to negotiate and execute a professional services contract with The Steinberg Group. 3) Authorize the General Manager to contract directly or through the architect with the various consultants required for completion of the plans for the office remodel , based on the recommendations of The Steinberg Group. 4) Authorize the expenditure of up to $55, 000 for architectural services and up to $25, 000 each for consultants (not to exceed a total of $50 , 000) . Introduction• On September 12 , 1990 , the Board approved the final aspects of the purchase of the 12 , 150 square foot office building at 330 Distel Circle in Los Altos for use as the District ' s future headquarters (see report R-90- 103 dated September 7 , 1990) . You also approved leasing a portion of the building on a short term basis to provide for future growth of District staff , with the remainder to be remodelled for District use. On December 1 , 1990 , a three-year lease began with a tenant for approximately 3 , 600 square foot of the building, leaving approximately 8 , 600 square feet. Upon completion of the lease negotiations and construction of the tenant improvements necessary to create this space , efforts turned to the selection of an architect to create plans for the remodel of the space to be occupied by the District. R-91-12 Page 2 Selection Process : A list of recommended architects was compiled from phone calls to other public agencies , from contractors , and from staff experience. A formal "Request for Proposal" was mailed to 17 companies on the peninsula. Thirteen companies responded with proposals that included a description of the services they were prepared to offer, resumes of key personnel , a description of other projects designed, and an estimate of fees for the District ' s office remodel . Each of these proposals was reviewed by R. Blanchard for quality and completeness of presentation, the firm' s previous experience with the permitting process of the City of Los Altos , their experience with other public agencies , the type of projects they have worked on, and the estimate of fees . This preliminary selection process was reviewed and ratified by D. Hansen. Five companies were recommended for interview by a selection committee comprised of C. Britton, D. Hansen, J. Fiddes , and R. Blanchard. The five groups interviewed were The Steinberg Group, Hawley Peterson & Snyder, Comprehensive Architectural Services , DES Architects , and Reel Grobman. Each company offered a different emphasis in its proposal , cost control , innovative design, full service company, etc. Prior to the interviews , references for each company were called, and R. Blanchard visited one or two projects designed by each firm. Following the interviews, the selection committee agreed The Steinberg Group was their first choice . A detailed discussion of the reasons for this choice included: 1) they appeared to be the most sensitive to the District ' s purpose and, therefore, their visions for the remodel showed the most thought; 2) they appeared to be the most sensitive to cost savings; 3) they had the most public agency experience; 4) their proposed project coordinator, Ann Allwein, seemed to be very knowledgeable, capable, and personable; and 5) their references supported the staff impressions that their reputation for creativity is excellent. Ratification On January 15 The Steinberg Group made a presentation to the Office Space Committee, (including Director Hanko substituting for Director Duffy, and Directors Henshaw and Babbitt) . The committee ratified the recommendation of the selection committee to contract with The Steinberg Group to design the remodel of 330 Distel Circle. Potential Fees : At this time, The Steinberg Group ' s fees for this project are estimated between $45, 000 and $55, 000 . Additional consultants will be needed to provide mechanical , electrical and structural engineering advice , design criteria to install a new efficient heating and air conditioning system, R-91-12 Page 3 landscape design, and cost estimates . In some cases , these contracts may be direct contracts between the District and the consultant to avoid a handling mark-up fee normally charged by the architect when contracting with a consultant on the District ' s behalf . The decision to contract directly with the consultant or to have the architect contract with the consultant will be made based on the cost and scope of work being done. These consultant ' s fees could total an additional $50 , 000 . Next—Step_•_ After the initial phase of "programming" , i . e. determining District needs through an interview and questionnaire process , staff will be better able to estimate the cost of the entire project and consider additional project elements , such as building exterior treatment, new landscaping plans , and furniture. It may be that costs will dictate that portions of the overall project be "phased" over a period of years . Staff will be convening the Office Space Committee at regular intervals to discuss and obtain direction. The committee has suggested that architect questionnaires dealing with the public areas of the project , namely the reception and Board room design, be provided to the individual Board members . This data will then be compiled by the committee and articulated to the architect. Open Space MIDPENINSULA REGIONAL OPEN SPACE DISTRICT R-91-08 (Meeting 91-02 (January 23, 1991) REPORT January 16, 1991 TO: Board of Directors FROM: N. Hanko, President SUBJECT: Appointment of Board Committees Recommended Actions: 1 . Approve appointments to existing standing and ad hoc committees (attachment A) 2. Disband the following ad hoc committees and/or eliminate Board representation: a. 1990 Open Space Conference Committee b. "Ring Around the Bay, " advisory representation C. 2020 Task Force, advisory representation 3. Approve representation on 1990 Open Space Conference Follow-up Committee 4 . Consider compensation for all existing non-compensable Board representation except for the Docent and Staff Recognition Committee Discussion: Our Rules of Procedure call for the President to appoint, with consent of the Board, all committees of the Board. The two standing committees are the Budget Committee (appointed the first meeting of January) and the Legislative Committee (appointed the second meeting of January) . Appointment changes in all other existing (Ad Hoc) committees have historically been made at the second meeting in January. According to our Rules of Procedure, attendance at committee meetings is compensable, unless the Board indicates otherwise as noted on attachment A. A list of 1990 standing and ad hoc committees (attachment B) is provided for your information. Bishop This committee was involved in the purchase of the Distel Circle property and will review staff ' s selection of an architect and will review plans and specifications for the building. Babbitt The Board has charged the committee with continuing to meet and returning to the Board with a general policy concerning dogs on District preserves for review and consideration. Traffic impacts have not, so far, been a strong issue; however, the committee should meet and report to the Board on any issues in need of District attention or recommend disbandment of the committee. Open Space MIDPENINSULA REGIONAL OPEN SPACE DISTRICT R-91-11 (Meeting 91-02 January 23 , 1991 ) REPORT January 16 , 1991 TO: Board of Directors FROM: H. Bruins , Administrative Assistant SUBJECT: Authorization to Purchase a Full Size Dump Truck Recommended Action: Authorize the General Manager to execute a purchase contract with Mission Valley Ford of San Jose for a full size dump truck at a cost of $43 , 160 . 59 Discussion: At your November 14 , 1990 meeting, you authorized staff to solicit competitive bids for one full size dump truck (see report R-90-118 dated October 10 , 1990) . Staff estimated that the cost would not exceed $45 , 000 . After finalizing specifications , staff solicited competitive bids from Bay Area dealerships . The District received the following bids (tax included) : 1) GMC Truck and Coach of Oakland $42 , 644 . 85 2) Mission Valley Ford of San Jose a) F-800 truck , Heil dump body $43 , 050 . 38 b) F-800 truck, Sonora Crysteel dump body $43 , 160 . 59 c) F-800 truck , Dailey Crysteel dump body $44 , 210 . 26 3) Garden State International Truck of San Jose $43 , 864 . 65 Staff reviewed the bids , comparing each truck ' s specifications to the District ' s bid specifications . All bids met the District ' s general specifications . Although GMC Truck of Oakland submitted the lowest bid figure , Mission Valley Ford' s F-800 truck with the Sonora Crysteel dump body ($43 , 160 . 59) is considered the best value. For an additional $500 . 00, this truck offers a shorter turning radius , five percent more horsepower , and heavier duty drive train components . The engine in this truck also has a much higher torque rating, which results in improved performance while pulling loads in mountainous terrain. Mission Valley Ford ' s location will also be convenient to the District for service and repair needs . Foster, Controller SUBJECT: Amendment of Rules of Procedure and Revision of Authorized Signatories for District Accounts and Safe Deposit Boxes Recommended Actions : (1) Adopt the attached Resolution of the Board of Directors of the Midpeninsula Regional Open Space District Amending Rules of Procedure (2) Adopt Resolution of the Board of Directors of the Midpeninsula Regional Open Space District Establishing Financial Instrument Signatories of the District for Santa Clara County Accounts (3) Adopt Resolution of the Board of Directors of the Midpeninsula Regional Open Space District Authorizing Signing and Endorsing Checks and Other Instruments for Checking Account (First Interstate Bank of California Los Altos) (4) Adopt Resolution of the Board of Directors of the Midpeninsula Regional Open Space District Authorizing Signing of Payroll Checks for Payroll Checking Account (First Interstate Bank of California - Los Altos) (5) Adopt Resolution of the Board of Directors of the Midpeninsula Regional Open Space District Establishing Signatories for Entering Safe Deposit Boxes (First Interstate Bank of California - Los Altos) Discussion: In accordance with your Rules of Procedure and as a follow-lip to your January 9 election of 1991 Board officers , it is necessary to revise the authorized financial instrument signatories for the District ' s accounts and safe deposit boxes. The appropriate financial institutions will. be informed of the signatory changes . Section 5552 of the Public Resources Code states that "a minimum of two signatures shall be required on all checks and warrants . " The Code also states: "The board of directors shall by ordinance or resolution authorize signatories for checks or warrants drawn in payment of obligations and demands against the district . Authorized signatories shall be selected from members of the board of directors of the district , the general manager of the district, the administrative secretary, or any other officers and employees which may be designated by the board. " District legal counsel has determined R-91-10 Page 2 that two signatures are required for all payroll checks, but has also stated that one maybe a facsimile signature. In October 1990, staff requested and you approved a separate payroll checking account and a change in your Rules of Procedure to allow for one signature on payroll checks (see report R-90- 114 dated October 16, 1990) . The requested change to one signature for payroll checks was in error. Numbered paragraph two below discusses the new recommendation regarding the two-signature requirement for payroll checks . The following changes are proposed in the District ' s signatory procedures and are reflected in the attached resolutions. 1) Signatures of designated Board members would no longer be required for any check, warrant, withdrawal application, or Santa Clara County claim form. In the past, the Board president , vide-president, treasurer, and secretary have been designated signatories . The change is proposed for the following reasons: (1) it is not common public sector practice to have elected officials manually sign checks , warrants, etc. and (2) difficulty in obtaining a designated Board member ' s signature when required. This change relates solely to the physical signing of checks, warrants , etc. and does not alter in any way the Board' s authority in reviewing and approving financial claims against the District . The five District employees authorized to sign checks would be 1) the General Manager; 2) the Land Acquisition Manager; 3) the Land Manager; 4) the Administrative Services Manager; and 5) the Public Communications Coordinator. The "primary" reviewer and signer of checks would be the Administrative Services Manager. The Public Communications Coordinator is proposed as an added signatory for the rare occasion when three of the other four signatories are away from the office at the same time. 2) A facsimile signature of a designated signatory could be used for one of the signatures for payroll checks or for checks in amounts less than $1 , 000 . The facsimile signature to be used would be that of the General Manager. Again, the Administrative Services Manager would be the District ' s primary check signer and would have over-all responsibility for affixing the General Manager ' s facsimile signature. This proposed change would improve the efficiency of the procedure for signing checks, warrants , etc. The proposed conceptual changes in the signatory procedure were discussed with the Budget Committee at their November 28 meeting. The Committee approved of the proposed changes. The specifics of the changes will be reviewed with the Budget Committee prior to your January 23 meeting. The District ' s lobbyist is doing research on signatory requirements for other types of special districts and agencies to see if there is a precedent for requiring only one signature. (a) RESOLUTION NO. RESOLUTION OF THE BOARD OF DIRECTORS OF THE MIDPENINSULA REGIONAL OPEN SPACE DISTRICT AMENDING RULES OF PROCEDURE Section 2 . 40 of the Rules of Procedure of the Board of Directors of the Midpeninsula Regional Open Space District is her amended to read as follows : Section 2 . 40 Financial Instrument Signatories (a) The authorized signatories to checks, warrants, withdrawal applications and Santa Clara County claim forms of the Midpeninsula Regional Open Space District for payroll or for amounts less than $1, 000 shall be those of any two, one of which may be a facsimile signature, of the following five employees : M the General Manager, (ii) the Land Acquisition Manager, (iii) the Land Manager, (iv) the Administrative Services Manager, or (v) the Public Communications Coordinator. (b) The authorized signatories to checks , warrants , withdrawal applications and Santa Clara County claim forms of the Midpeninsula Regional Open Space District in amounts of $1 , 000 or greater (excluding payroll) shall be two of the following employees: (i) the General Manager, (ii) the Land Acquisition Manager, (iii) the Land Manager, (iv) the Administrative Services Manager, or (v) the III Public Communications Coordinator. This Resolution supersedes Resolution 90-54 , adopted on October 24, 1990 . (b) RESOLUTION NO. RESOLUTION OF THE BOARD OF DIRECTORS OF THE MIDPENINSULA REGIONAL OPEN SPACE DISTRICT ESTABLISHING FINANCIAL INSTRUMENT SIGNATORIES OF THE DISTRICT FOR SANTA CLARA COUNTY ACCOUNTS WHEREAS, the Board of Directors of the Midpeninsula Regional Open Spa ce District has passed Resolution 91- dated January 23, 1991 , than the i signatories authorized to make disbursements on behalf of the District. NOW, THEREFORE, the Board of Directors of the Midpeninsula Regional Open Space District does resolve as follows : Section 1 . The signatures of the present holders of said offices are as follows , and the Director of Finance of Santa Clara County is authorized to make disbursements on behalf of the District based on any two signatures as set forth below: GENERAL MANAGER LAND ACQUISITION MANAGER LAND MANAGER H. As a special district formed by voter initiative in 1972 , MROSD now owns and manages more than 32 , 000 acres of land in southern San Mateo and northern Santa Clara counties . The District ' s 24 open space preserves include Purisima Creek Redwoods (2522 acres ) and Pulgas Ridge (293 acres) , both adjacent to San Francisco watershed lands . An additional adjacent 1300 acre area , the Phleger estate, is under negotiation and may eventually be managed by MROSD. The District land management philosophy encourages low intensity public recreational use of the preserves , including hiking, horseback riding, bicycling, nature study, etc. The emphasis is upon leaving the land in its unaltered state , for preservation of the natural flora and fauna . We support the development of regional trail connections such as the Ridge Trail . The San Francisco watershed land is the largest remaining block of undisturbed land on the peninsula . Public use of this land will , of course , have to be planned carefully to protect this priceless natural resource. The San Mateo County and MROSD trail systems and uses of nearby park and open spacelands relate strongly to the uses of the watershed. We urge that a Master Plan be prepared for the watershed that takes into account the public uses of adjacent lands , before decisions are made on use of particular areas . It is an interesting story and I believe you will enjoy reading it. "The most striking features of Palo Alto's new Foothill Annexation No. 3 are the Monte Bello Ridge and it's high spot, Black Mountain. The Spanish ex- plorers called it the Sierra Morena, the dark mountain. The early American settlers, deeply affected by the loftiness and beauty of this great rock looming against their western sky, named their cross-road hamlet, Mountain View. "Lifting its crown nearly three thousand feet above the Bay, Black Moun- tain is the highest point on the Peninsula. Even blue Tarnalpais must look up to it. Of the peaks rimming the Santa Clara Valley only three are closer to the stars. From its summit, thirteen counties and a broad stretch of the Pacific may be seen. On clear days the San Francisco skyline and both its bridges are plainly visible. "In the afternoons of summer and in other seasons too, the white sea fogs pour through the Golden Gate to be snatched by the trade winds and hustled south along the eastern rampart of the valley. By midnight the whole basin is covered by a white blanket five hundred to one thousand feet thick, its lower side five hun- dred feet above the valley floor. The top side seldom rises above the two thousand foot level, thus the Monte Bello Ridge is fog free from the Page Mill Road eastward for a distance of more than three miles. "Smog also finds its upper limit at this level, the heavy vapor spilling out of the valley like water over the lower ridges. "Although Palo Alto is only five air miles distant, the climate along this high backbone is very different. Humidity is usually one-third of that at the valley floor. Temperature is higher or lower by ten degrees. Outside water pipes freeze unless wrapped. Rainfall averages forty inches a year. One season we had sixty inches. Snow falls from two to six times a season. Sometimes there is only a trace, but usually the storms bring from one to four inches, occasionally twelve inches. Drifts then make the roads impassible, except for caterpillar treads, filling the cuts and piling the snow up to the windows. "From two to four times each year gales of hurricane force thunder against the ridge. Winds attain a velocity of ninety to one hundred miles or more per hour. They can be terrifying. At the peak of their violence it is impossible to travel except on hands and knees. Frame buildings, unless in sheltered spots, cannot withstand the maximum onslaught of these storms. "At times the weather is delightful, even more pleasant than that on the valley floors but when clouds envelope the ridge it can be extremely wet, cold and dismal for weeks at a time. "The Monte Bello Road follows the ridge easterly from the Page Mill Road a distance of over three miles before plunging downward to the Stevens Creek Reservoir. This road was first roughed out a century ago by the ranchers though whose holdings it passed. In the early years much of the wine from the vineyards along the ridge was hauled down this road by oxtearn to the then best market, La Honda. "In the late seventies a sled road was built from the end of the Stevens Creek Road up the stream to Crazy Horse Spring on the Morell Ranch. Over this -3- road, during the next twenty years, supplies were hauled to the miners and the few isolated homesteaders along the creek. Washouts destroyed the road in the nineties. The roadway thereafter became a dim brush clogged trail used only by the bandits for access to their hideout in an old cabin on the Morell ranch and by ranchers searching for stray stock. "Stevens Creek, called on the old Spanish maps, Cupertino, meanders through the area for nearly three miles, its course roughly paralleling the Monte Bello Ridge a thousand feet above it. The headwaters mre on the Yates, Woodward and Burns ranches. Most of the flow builds up from springs and streams on the Johnson and Morell ranches. "There are many perennial springs in the area, seventeen on the Morell Ranch alone. Several are within two hundred feet of the top of the ridge. "Along the creek and on the slopes above it there spreads the only remaining virgin stand of Douglas Fir in the county. It contains many magnificent specimens. A state forester counted over three hundred rings on the stump of a half-grown tree cut this spring on the Burns ranch. '!The great San Andreas Fault crosses the area, its main rift closely following the creek. Rock formations on the two sides of the creek are radically different. The 1906 earthquake caused a spectacular lateral displacement of half the width of the Page Mill Road where it passes the Burns corral. Minor quakes frequently affect the springs, augmenting or decreasing their flow temporarily. "Geologists state that oil possibilities exist in that part of the area west of the fault. Much of it has been under lease during recent years to major oil companies. "Brown Coal" was once mined by the Indians in a gulch on the Burns ranch. "Gold has been mined from the creek bed and the canyon slopes for over a century. The yields, whether from placer or pocket mining have apparently been small. The gold is coarse. Prospectors still search the-Morell ranch for a "lost mine" from which a lone Indian extracted a livelihood for many years. It is probable that this mine was a pocket and has long since been covered by slides or washed away. "Two quicksilver prospects have been found in the area. One was worked commercially several years ago. '!Black Mountain and the ridge radiating from it are rich in limestone of high quality similar to that which Permanente is processing nearby. A mining engineer's estimate places the quantity in the quarter section which includes the mountain's top at eight million tons. Contiguous areas seem to be equally rich. -4- "It is assumed that this stone when quarried will be carried down by belt to a railroad, as in the Permanente operation, thus relieving the roads of truck traffic. It is also assumed that removal of the stone would be followed by refores- tation, a project which would enhance both the beauty and the value of the area. An abundance of top soil for such an operation is available. "The most cursory glance at a contour map discloses the spectacular ruggedness of this area. Any development requiring the use of earth-moving machinery, unless carefully supervised, will lead to swift and damaging erosion. Rainfalls of cloudburst proportions are common along the ridge. The destructive- ness of the ensuing torrents is fearful in its savageness and extent. '.'This is a very primitive area, kept so because of its inaccessibility either by road or trail. On the Morell, Winship, Johnson properties no destructive mark of fire or axe can be found. The land remains much as it was a century-ago. Wild life abounds. A magnificent coyote chorus greets the rising moon from a bald promontory. Coons, wild cats and foxes seem to be everywhere. Mountain lions have been in residence during most of the years since 1940, when I bought the ranch. Last year a female raised two cubs and exercised them almost daily within a quarter mile of the ranch buildings. Rattlesnakes are plentiful. We average fifteen killed yearly around the ranch buildings. "It is to be hoped that the primitiveness of this core area, the Johnson, Winship, Morell ranches may be preserved. Wilderness areas such as this are becoming more rare and consequently more precious each year. "Here is an ideal spot for the establishment of a live, wild animal museum to include all the native inhabitants on view in their native and natural environment. Such a museum near Tucson, Arizona has proven a great and popular success. "Should anyone who reads this report wish to view first-hand the "wonders" here described, I will be glad to make the necessary arrangements so far as my own ranch is concerned. All are welcome. Britton announced that land acquisition negotiations concerning Santa Cruz County assessor ' s parcel number 088-221-04 owned by Sempervirens Fund and being negotiated by Verlyn Clausen would be discussed. H. Grench stated that personnel and labor negotiation matters would also be discussed in closed session.
