NOTICE OF PUBLIC MEETING
The Trail Use Committee will bold a field workshop in two sessions on
Saturday, September 28, 1991 beginning at 10:00 A.M. at Long Ridge Open Space
Preserve Grizzly Flat parking area, and at 1:00 P.M. at St. Josepb 's Hill Open
Space Preserve Lexington Reservoir boat launch lot. The purpose of the
workshop will be to discuss trail use guidelines.

MINUTES
I. ROLL CALL
President Nonette Hanko called the meeting to order at 7 : 37 P.M.
Members Present: Katherine Duffy, Nonette Hanko, Richard Bishop,
Robert McKibbin, Ginny Babbitt, and Betsy Crowder. Teena Henshaw
arrived at 8 : 55 P.M.
Personnel Present: Herbert Grench, Craig Britton, Mary Hale,
Del Woods, John Escobar, Stanley Norton, and Emma Johnson.
II . APPROVAL OF MINUTES
August 14, 1991
B. Crowder noted that the informational report on page six
regarding the Town of Woodside should be amended to read that the
Town had "rewritten the proposition it has placed on the November
ballot as an advisory measure to read that the principal amount
not exceed $2, 850, 000 . 11'
Motion: R. Bishop moved that the Board approve the minutes of
August 14 , 1991 as corrected. R. McKibbin seconded the
motion. The motion passed 6 to 0.
III . WRITTEN COMMUNICATION i
E. Johnson stated that a letter had been received from Donna and
Earl Harris , 22802 Prospect Road, Saratoga , regarding the
excessive speed of bikers on the trails at Fremont Older Open
Space Preserve, and asking that something be done . E. Johnson
said a reply to the letter had been drafted for the Board ' s j
approval . N. Hanko, with the Board' s concurrence, approved
sending the reply.
N. Hanko reported she had received a letter from William Penn
Mott inviting District participation in a special anniversary
sailing of the Schooner Alma on September 21 . R. McKibbin said
that he might like to participate.
N. Hanko said she received a letter from the Business School of
San Jose State regarding use of the facility at the top of Mt .
Umunhum. She noted that staff is preparing a response.

N. Hanko stated that the agenda was adopted by Board consensus.
VI . BOARD BUSINESS
A. Selection of Contractor for Rancho San Antonio Open Space
Preserve Access Bridge Construction Project (Report R-91-103
dated September 3, 1991)
D. Woods reported that out of the twelve contractors who
submitted bids, Collishaw Construction submitted the lowest
bid among a wide range of bids. He said that staff has met
with the bidder and the District ' s engineer to review the
bid item by item, and Collishaw confirmed that they can
complete the contract at the bid price. He added that the
Cities of San Jose, Santa Clara, and Sunnyvale gave positive
references for the firm.
D. Woods noted that the local carpenters ' union suggested
that the builder will not be able to hire employees at
prevailing wages , and that staff is reviewing the prevailing
wage penalty that is carried in the District ' s general
conditions to ensure it is consistent with other agencies .
He said the District will require a weekly wage statement so
staff can ensure that prevailing wages are being paid. He
said there will be engineering inspections three times a
week.
Motion: R. Bishop moved that the Board accept the lowest
responsible bid of $64, 378 from Collishaw
Construction for the Rancho San Antonio Open Space
Preserve Access Bridge Construction Project and
authorize the General Manager to enter into a
contract for performance of the work. K. Duffy
seconded the motion. The motion passed 5 to 1 on
the following vote:
Ayes : K. Duffy, R. McKibbin, N. Hanko, B.
Crowder, and R. Bishop.
Noes : G. Babbitt.
G. Babbitt said she voted against the motion
because she felt the bid was too low to be
realistic for the job.
B. Conversion of Accounting Specialist Part-Time Position to
Full-Time (Report R-91-102 dated September 5, 1991)
Motion: R. McKibbin moved that the Board convert the part-
time accounting specialist position to a regular
full-time position effective October 1, 1991 . B.
Crowder seconded the motion. The motion passed 6
to 0.
C . Approval of Plans and Specifications for Remodel at 330
Distel Circle (Report R-91-104 dated September 6 , 1991)
C . Britton reported that the Office Space Committee and
staff had reviewed the plans . He said that changes to the

plans based on zoning and other restrictions , had been made
and resulted in increased costs. He added that if the
project is over budget after bids are received, staff will
make recommendations to the Office Space Committee and the
Board about either exceeding the budget or cutting items or
both. Ann Allwein of the Steinberg Group reviewed the plans
with members of the Board.
Motion: R. Bishop moved that the Board authorize staff to
advertise for bids for the remodel of 330 Distel
Circle. K. Duffy seconded the motion.
Discussion: R. Bishop proposed that the entire
Board consider the bids and plans at a special
meeting of the Board. The Board agreed to
consider the suggestion at its second meeting in
October.
The motion passed 6 to 0.
VII . INFORMATIONAL REPORT
K. Duffy reported that the Santa Clara County Board of
Supervisors voted unanimously to send a letter to the Santa Clara
Valley Water District opposing the road easement across the water
district ' s land for the proposed college near St. Joseph ' s Hill
Open Space Preserve. She said she will monitor further
proceedings .
R. McKibbin said the Budget Committee P
expects to resent its

recommendations on Board appointees ' salaries at the September 25
regular Board meeting.
B. Crowder reported she had attended an open house at Moffett
Field but did not get any information regarding the Bay Trail at
that site.

N. Hanko proposed that the Board schedule a date for the Public
Communications Workshop and approve a committee that would
propose an agenda for the workshop. The Board agreed to schedule
the Special Meeting for Tuesday, October 29 at 7 P.M. N. Hanko
said she would be contacting prospective committee members .
H. Grench reported that the District and Monterey Peninsula
Regional Park District are no longer included in Senate Bill 164
that would create the South Santa Clara County Open Space
Authority. He suggested returning to the legislature along with
other regional park and open space districts to propose
legislation during the next session which starts in January 1992.
H. Grench said that the Santa Cruz County Local Agency Formation
Commission had not requested jurisdiction in the District ' s
annexation of the Saratoga Gap land. He said the District will
be the first three-county regional District in the state, perhaps
in the nation, if the annexation is approved.

H. Grench said that staff had proposed four sessions for the
California Park and Recreation Society' s annual meeting next
March and that three had been accepted. He added that the Open
Space America Conference will be in New Jersey next May and that
he has requested that someone from the District be invited to
speak. He added that he had been invited to Santa Barbara County
to speak to their citizens ' advisory committee on open space. He
said they are particularly interested in preserving open space
for non-developed kinds of uses.
D. Woods suggested that a public workshop be held in March at the
Kings Mountain Fire Station before staff presents the El Corte de
Madera Open Space Preserve Use and Management Plan. The Board
concurred that March would be acceptable for the Good Neighbor
Meeting.
C. Britton reported that 12 applicants out of the 145 who had
applied for the real property representative position had been
interviewed and that he will complete interviews of the 5
finalists later this week.
C. Britton said that the District was notified that the
District ' s federal Land and Water Conservation Fund grant
application was not funded, adding that grants are focusing on
development projects .
C . Britton reported that a committee for the County of Santa
Clara voted to reduce trail easement widths , eliminate the
ability of the county to request trail easements on projects
relating to architectural review, or eliminate the ability of the
county to request trail easements where the subdivision is set
back from the road. He said staff feels that these proposals
place severe limitations on the county' s ability to require
dedications . C. Britton added that there may not be a strong
turnout for the September 19 Planning Commission meeting and
asked if any Board member would speak on behalf of the existing
policies . R. McKibbin said he may be able to attend.
J. Escobar reported that there was an alleged assault by a
property owner to a bicyclist on September 1 on Mt . Umunhum Road.
He said the sheriff was called and staff is working with the
sheriff ' s department for standing orders .
J. Escobar reported that one bike and two jogging accidents
occurred at Rancho San Antonio Open Space Preserve and three bike
accidents occurred at Fremont Older Open Space Preserve during
the past month. He further reported that the Thornewood House
Tour is scheduled for October and the Fremont Older House Tour
will be in November.
VIII . CLAIMS
Motion: R. Bishop moved that the Board approve Revised Claims
91-16 dated September 11 , 1991 . G., Babbitt seconded
the motion. The 'motion passed 7 to 0 .

IX. CLOSED SESSION
S . Norton announced that litigation matters to be discussed in
Closed Session fell under Government Code Section 54956 . 9 (a) ,
existing litigation (Ringo and Vidovich matters) , and (c) whether
to initiate litigation. C . Britton said assessor ' s parcel
numbers to be discussed under land negotiations in Closed Session
were San Mateo County 072-331'-020, -030, negotiating with Tom
Stafford of Skywood Realty, and Santa Clara County assessor ' s
parcel numbers 544-140-11 and 544-150-01 U.S . Forest Service,
negotiating with Audrey Rust of Peninsula Open Space Trust .
The Board recessed to Closed Session at 9 : 07 P.M.
X. ADJOURNMENT
The Board reconvened to adjourn the meeting at 11: 55 P.M.

Dear Ms. Hanko:
More than five years ago the College of Business at San Jose State University
contested Midpeninsula's acquisition of Almaden Air Force Station on Mount
Umunhum based on your development plan which in our belief did not fulfill the
"highest and best use" criteria required for transfer of federal property. The director of
III the Congressional Oversight Committee sustained our position and withheld the
transfer of title to Midpeninsula on the Almaden Air Force Station property until
Midpeninsula and the College of Business reached a Letter of Agreement giving our
College the right of first refusal on the use of facilities existing as a part of the Almaden
Air Force Station property.
As you may recall, no use of the property and its attendant facilities can be undertaken
until completion of the toxic cleanup is done and certified by the appropriate
environmental pollution and health related agencies. Until this is done, the College of
Business is effectively forestalled from completing its development plan for the use of
site facilities including any renovation and upgrades necessary to make the site
usable for educational purposes.
I have had no correspondence from Midpeninsula related to the status of the site
cleanup or to Midpeninsula's obligations under our Letter of Agreement for the last five
years. The delay in achieving a certified clean site required for the College to pursue
its education development plans is unacceptable. The Army Corp of Engineer site
cleanup completion date originally estimated five years ago was within a two year time
frame. We have gone three years beyond that date as far as I know with no fulfillment
of the cleanup requirements. I am at this time formally requesting that you provide me
with complete information on the status of the toxic and pollution testing already
undertaken at the site and the calendar currently projected for completion of site
cleanup.
I would also suggest that you review the title transfer requirements originally set forth
by the Congressional Oversight Committee which enabled you to obtain title to the
Almaden Air Force Station property. Included among these obligations and
responsibilities is Midpeninsula's need to demonstrate that the use of this property fills
the "highest and best use" criteria established under the transfer agreement. I do not
believe that Midpeninsula has thus far met its obligations and responsibilities under
the terms and conditions associated with the transfer of title for this property. Further,
Midpeninsula has not performed in a good faith manner its agreement with the
College of Business to expeditiously complete the site cleanup thereby enabling our
College to present its plan for site use.
If, if fact, there has been no good faith effort on the part of Midpeninsula Regional Open
Space District to fulfill its obligations related to receiving title to Almaden Air Force
Station, then I believe the question of your retaining title to this property reeds to be
revisited. It should be obvious to everyone that the buildings and housing on Almaden
Air Force Station property continue to deteriorate over time. Allowing such
deterioration to continue is wasteful and a testimony to poor management. The
responsibility of your Board is to preserve valuable resources which includes the
facilities existing on the Almaden Air Force Station property.
I look forward to your quick response concerning my need for information on the
cleanup status of Almaden Air Force Station and related to your intentions of fulfilling
the agreement signed between Midpeninsula and the College of Business for site use.

Dear Mr. Burak:
At our Regular Meeting last night, the District ' s Board of
Directors reviewed your September 4, 1991 letter regarding the
former Almaden Air Force Base. Our staff has researched the
items questioned in your letter. Although cleanup of toxic
materials on the site has not progressed as we expected, the
District has acted in good faith. We have not reneged on our
agreement with San Jose State, nor have we prevented the
university from initiating its study of the site.
The District shares your frustration with the Army Corps of
Engineers ' apparent lack of attention to this matter. The Corps
of Engineers has not released any information to the District,
although we have contacted its various representatives regularly.
Enclosed is a copy of our most recent letter to the Corps . To
date, we have received no response. I have also enclosed other
background material related to this project, including an
internal memo to Herb Grench, the District' s general manager,
which clarifies issues raised in your letter to us .
The federal government will not reimburse the District for any
cleanup we undertake. Considering District-wide obligations
relative to public open space acquisition and management, coupled
with the District ' s limited funds , we will continue working with
the federal government to accomplish the promised cleanup of the
former Air Force base. In the interest of expediting progress
toward this goal, I encourage you to contact the Army Corps of
Engineers to express your concern about this matter.

SUBJECT: Letter from Mr. Thomas Burak, San Jose State University
re. Lack of Progress in Toxics Clean-up on Mt. Umunhum.
Attached is a letter from Marshall J. Burak, Dean of the School
of Business at San Jose State University (SJSU) . The letter
accuses the District of failing to act in good faith relative to
an agreement with SJSU which allowed SJSU to study the site for
possible use as a conference center. His primary concern is that
clean-up of toxics has not progressed according to the original
timetable. He suggests that there is a basis for questioning our
right to continue to own the property, but I can find no basis
for this contention.
Mr. Burak ' s ire is misdirected. Our files indicate that San Jose
State University withdrew its interest in acquiring the property
by a memo dated May 28 , 1982 . Three years later San Jose State
wrote General Services Adminsitration (GSA) asking to acquire the
property. GSA responded by noting that withdrawal and informing
SJSU that the application period had passed and that the District
was in final negotiations for the property. The District,
nevertheless , entered into negotiations to allow SJSU an
opportunity to make a more complete investigation as to the
feasibility of their proposal.
Mr. Burak' s letter, however, mirrors the frustration of many at
the lack of progress toward cleanup on the former Almaden Air
Force Station. The delay is troubling, but hardly shocking as it
took three years just for the purchase . Mr. Burak has sent no
inquiries to which we have failed to respond. The District ' s
efforts to push the progress of the clean-up have been, for the
most part, unavailing. The Corps moves at its own pace and has
been essentially unimpressed by communications from either the
District or its Congressional Representative. The Corp' s primary
rationale is lack of funding and changing policies and
procedures .
The Corps will not release any information from the current
report until it has been finally approved, a process that has
taken over a year. The District has been in regular telephone
contact with various members of Army Corps of Engineers .
Enclosed is a copy of our most recent letter to the Army Corps of
Engineers wherein the District requested the an update, progress

report and time-line for completion of toxics clean-up. To date
there has been no response.
I cannot account for the comments referring to the Congressional
Oversight Committee which suggests that there is some basis for
challenging the District' s right to title. I am not aware of any
basis for Mr. Burak' s claim. I have no records relating to
requirements imposed by a Congressional Oversight Committee and
no such requirements appear in our title documents. Perhaps Mr.
Burak can provide copies of documents on which he bases his
claims .
In any event that information has no bearing whatever on the
District' s obligation to SJSU. (copy attached) The District
merely agreed to allow SJSU to make a study to determine the
feasibility of using the existing facilities for a conference
center. The District also agreed to evaluate the proposal
relative to visual and other impacts on the open space and other
proposed uses in making site use and management decisions . The
District has done nothing to prevent SJSU from making the study,
and has complied with the agreement to the extent possible given
the lack of progress in the toxics clean-up.
I am unclear whether Mr. Burak recognizes the magnitude of the
problems involved in the proposed use. Just a few of the more
significant problems suggest that the proposed use will not be
cost effective. The roads serving the site are not to county
standards and the cost of upgrading them is very high. Water
service terminated when the property was conveyed to the District
because it was a lease, not a perpetual interest. San Jose Water
has expressed alarm at the prospect of contamination of the water
in the event that the septic system is restored to use. Finally,
there is some indication that the clean-up itself may exacerbate
the deterioration of the existing buildings .
I have been informed that the federal government will not
reimburse landowners who undertake their own clean-up. With due
consideration for District wide obligations, policies and
priorities the present tactic is to continue working with the
Federal Government toward the promised clean-up of the former Air
Force Station. In the interest of expediting that goal , however ,
I see no reason to discourage interested parties from contacting
the responsible departments in the Federal Government to express
concern over the lack of timely progress toward clean-up of the
toxics on the former Almaden Air Force Station.

The District has recently learned that some of the transformers
left behind after the closing of the former Almaden Air Force
Base have leaked small amounts of fluid, posssibly as a result of
the Loma Prieta earthquake. As the District has not received a
full report on the toxics study there is no way of knowing
whether these particular transformers contain PCBs .
The District is becoming quite concerned over the length of time
that has passed since the initial toxics study was completed.
The District purchased the property in good faith. The presence
of the toxics requires that the District continue to keep the
entire base closed, which inhibits access to other public lands .
The District is eager to open these and other adjoining lands for
public use and enjoyment . Our inquiries by telephone have always
resulted in assurances that the next step will be a couple of
I months , with the suggestion to check back later. Please outline
the process and a time-line for the removal of the toxics so that
the District can make appropriate plans to open the area for
public use . Also, please let us know if there is any
information or assistance that you require to ensure smooth and
timely progress .

Recommended Actions : Schedule a Special Meeting workshop for

workshop on the District ' s public outreach program.
Discussion: At your meeting of June 1 , 1991 , during your
discussion of Strategic Planning for the Nineties (see report R-
91-66 dated May 14 , 1991) , you discussed the desirability of
forming a Board committee to help plan the District' s Twentieth
Anniversary in 1992. You also indicated your interest in
discussing a means by which the District might promote public
support for a funding measure. Public outreach and District
visibility were also major issues you indicated you wished to
discuss further in a future meeting, possibly with a workshop
format.
At your July 10, 1991 meeting, staff submitted a list of 13
projects for your consideration in planning the District ' s
Twentieth Anniversary events . These project ideas were submitted
as an informational item; no discussion of these ideas has yet
been scheduled by the Board. Staff would like to receive your
ideas , and your comments about the proposed projects as part of
your discussion on public outreach. Staff would also like to
encourage coordination of planning for the Twentieth Anniversary
events with any proposed District visibility campaign such as
that for a possible funding measure. A special media campaign is
another visibility project that might be planned, either in
conjunction with the Twentieth Anniversary and the funding
measure, or separately.

Under the Compensation Review Procedure, the commitee has met with Herb
Grench (General Manager) , Stan Norton (Legal Counsel , and Mike Foster
(Controller) to evaluate their performances for the past fiscal year and to
discuss any increases in compensation. It was determined at that time that
increases in compensation were deserved.
The Budget Committee offers the following recommendations:
1 . General Manager: $91 , 208 (5% increase over the present salary of
$86, 865) ;
2. Legal Counsel : $70, 560 (5% increase over the present salary of
$67 ,200) and an increase in the litigation fee from $125/hr. to
$130/hr.
3. Controller: A bonus of $1 , 000 for the excellent handling of the
note issues which occured in 1990.

SUBJECT: Proposed Second Amendment to the Deer Hollow Farm Lease
Agreement with the City of Mountain View
Recommended Action: Authorize the General Manager to sign the
attached Second Amendment to the Deer Hollow Farm Lease Agreement
modifying the lease area boundaries to exclude the new farm bypass
trail.
Discussion: On November 12, 1981 , the District and the City of
Mountain View entered into an agreement which allowed the city to
operate and maintain the Deer Hollow Farm complex at Rancho San
Antonio Open Space Preserve. On June 12, 1986, the District and
the city amended the agreement by extending the terms of the
agreement from one year to ten years. The District and the city
are now proposing a second amendment to the 1981 agreement.
At your March 28, 1991 meeting, you adopted the Access Elements of
the Comprehensive Use and Management Plan for Rancho San Antonio
Open Space Preserve (see report R-90-35 dated March 30 , 1990) .
This plan included construction of a trail bypassing Deer Hollow
Farm and connecting the main preserve road to Wildcat Canyon Trail .
During construction of this trail , the City of Mountain View
notified District staff that the trail was passing through the
southern portion of the Deer Hollow Farm lease area. The trail
parallels the deteriorating fence along the southern side of the
pig yard. It is located north of a small meadow, which is within
the lease area (see attached undated Exhibit A) . This meadow is
currently not used by the city.
The city supports construction of the new bypass trail . However,
it does not want to be held liable for public use of the trail or
responsible for trail maintenance. To insure this , the city has
requested that the lease agreement be amended to include the
following changes:

1. Modify the beer Hollow Farm lease area boundaries as shown on
the revised Exhibit A, dated May 24, 1991 to exclude the new
farm bypass trail from the lease area.
2. Amend Paragraph 6 of the 1981 agreement to include: "If
DISTRICT desires to develop trails and/or structures within
the lease area boundary, DISTRICT will notify CITY of its
intentions and solicit comment from CITY prior to
implementation and construction of the project. DISTRICT
shall act in good faith to avoid negatively impacting CITY' S
lease area. "
Staff concurs with these changes. A copy of the proposed amendment
is attached. District legal counsel has reviewed and approved the
amendment as to form.

SECOND AMENDMENT TO AGREEMENT
BETWEEN THE CITY OF MOUNTAIN VIEW AND
THE MIDPENINSULA REGIONAL OPEN SPACE DISTRICT
THIS AMENDMENT TO AGREEMENT made by the CITY OF MOUNTAIN
VIEW, a municipal corporation, whose address is 500 Castro Street, Mountain View,
California, 94041 (hereinafter referred to as "CITY") and MIDPENINSULA
REGIONAL OPEN SPACE DISTRICT, a public district under the laws of California,
whose address is 201 San Antonio Circle, Suite C-135, Mountain View, California,
94040 (hereinafter referred to as "DISTRICT").
RECITALS
A. On November 12, 1981, CITY and DISTRICT entered into an Agreement
allowing CITY to provide activities for its citizens at DISTRICT's Rancho San
Antonio Open Space Preserve and amended said Agreement on June 12, 1986,
(hereinafter referred to as "Agreement").
B. DISTRICT has constructed a public trail that passes through the southern
portion of the Deer Hollow Farm lease area, adjacent to the fenced pig yard.
DISTRICT has removed the deteriorating fencing along the southern side of the pig
yard and replaced it with a new fence.
C. CITY has requested that the lease area boundaries as shown on Exhibit A
of the Agreement be modified to exclude the new trail from this lease area. The
new boundary reduces the size of the City's management area and provides the
District with a new trail for public use.
NOW, THEREFORE, in consideration of the recitals and mutual promises
contained herein, CITY and DISTRICT agree to amend the Agreement as follows:
1. Exhibit A of the Agreement is amended to reflect the new Deer Hollow
Farm lease area boundaries. The revised Exhibit A, dated May 24, 1991, and attached
hereto, excludes the new trail from the lease area, as requested by CITY, and shall be
substituted for the former Exhibit A to the Agreement.
2. Paragraph 6 of the original Agreement is amended to include: "If
DISTRICT desires to develop trails and/or structures within the lease area boundary,
DISTRICT will notify CITY of its intentions and solicit comment from CITY prior to
implementation and construction of the project. DISTRICT shall act in good faith to
avoid negatively impacting CITY's lease area."
3. All other terms and conditions of the Agreement shall remain in full
force and effect.
