Resolution Authorizing Engagement of Dorsey & Whitney, LLP, as Bond
Counsel for a 2023 General Obligation Corporate Purpose Note
WHEREAS, the City of Riverdale, Iowa (City), is a Municipal Corporation, organized and operating under
the laws of the State of Iowa; and,
WHEREAS, on July 11, 2025, in resolution 2023-049, Resolution Authorizing the Mayor to Sign a
Construction Agreement with KE Flatwork for the City Hall Parking Lots Reconstruction Project, City Council
authorized the City Hall Parking Lots Project to proceed; and,
WHEREAS, on July 11, 2025, in resolution 2023-055, Resolution Authorizing the Clerk to Initiate Loan
Proceedings with Quad City Bank & Trust for the City Hall Parking Lots Reconstruction Project, City Council
authorized the Clerk to initiate loan proceedings with Quad City Bank & Trust to partially fund the
project; and,
WHEREAS, in order to secure said loan, the City must adhere to general obligation corporate purpose
note guidelines; and,
WHEREAS, City staff met with Dorsey & Whitney, LLP, to discuss the project and the bonding process;
and,
WHEREAS, Dorsey & Whitney, LLP, has submitted a Letter of Engagement with an estimated fee of
$4,000; and,
WHEREAS, the funding source for this project is line item #301-650-6411 Capital Improvement, City
Hall & General Buildings, Legal Expense.
NOW THERE FOR IT BE RESOLVED that:
Section 1. The Mayor is authorized to sign a letter of engagement with Dorsey & Whitney, LLP, for
the City Hall Parking Lots Reconstruction Project.
Section 2. Upon execution of the letter of engagement, Dorsey & Whitney, LLP, is authorized to
begin the bonding process for the City Hall Parking Lots Reconstruction Project.
