Denotes Express Item NOTICE OF PUBLIC MEETINGS There will be a Budget Committee Meeting on Wednesday, October 23, 1991 beginning at 5:30 P.M. The purpose of the meeting is to review budgetary guidelines for land management. There will be a Public Communications Workshop Committee meeting on October 24, 1991 beginning at 5:30 P.M. in the District Office. The purpose of the meeting will be to plan for the October 29 Public Communications Workshop. There will be a Public Communications Workshop Meeting Tuesday, October 29, 1991 beginning at 7:00 P.M. at the District Office. The purpose of the meeting will be to discuss the District 's public outreach program. RESCHEDULED MEETINGS The Trails Committee meeting originally scheduled for Tuesday, Nov. 5, 1991 has been rescheduled for Thursday, November 19, 1991 beginning at 7:30 P.M. in the District Office. The Regular Meeting of November 27, 1991 has been rescheduled. The second meeting in November will be on November 20, 1991. i . Open Space 2 MIDPENINSULA REGIONAL OPEN SPACE DISTRICT Meeting 91-30 REGULAR MEETING BOARD OF DIRECTORS OCTOBER 9 , 1991 MINUTES I- ROLL CALL President Nonette Hanko called the meeting to order at 7 : 08 P.M. Members Present: Robert McKibbin, Teena Henshaw, Ginn Y Babbitt, Nonette Hanko, Betsy Crowder, and Richard Bishop. P Personnel Present: Herbert Grench, Craig Britton, Mary Hale, Jean Fiddes, David Topley, Sheryl Marioni-Cochran, and Kathleen Hart. II. APPROVAL OF MINUTES N. Hanko noted that the vote for the second to last motion on page 3 should be corrected to show that the motion passed 6 to 1 , with N. Hanko voting no. September 25, 1991 Motion: G. Babbitt moved that the Board approve the minutes of September 25, 1991 as amended. R. McKibbin seconded the motion. The motion passed 6 to 0. K. Duffy was not present for the vote. III. WRITTEN COMMUNICATIONS K. Hart stated that the Board had received no written communications. IV. ORAL COMMUNICATIONS There were no oral communications. V. ADOPTION OF AGENDA N. Hanko stated that the agenda was adopted by Board consensus. VI. BOARD BUSINESS A. Proposed Addition of Vidovich Property rt y to Ra ncho ho Sa n Antonio Open Space Preserve (Report R-91-118 dated October 3 , 1991) C. Britton described the settlement proposal on the eminent domain action for acquiring 280 acres of the Vidovich property adjacent to Los Altos Hills. He showed on the map the 78-acre lower quarry area Meeting 91-06 Page 2 which Vidovich proposes to develop with approximately 24 home sites . He said there will be no home sites on the ridge. C. Britton discussed the seven main conditions of the proposed settlement, including the potential formation of an assessment district to help finance the purchase price of $8 , 500, 000; $2, 000 , 000 of the purchase price is payable upon approval of the settlement proposal . He said the settlement proposal calls for escrow to close on December 31 , 1992, after all terms and conditions are met. He noted that the District has an option to extend this deadline to May 1 , 1993, if necessary, for purposes of completing the formation of an assessment district. He said that all court actions are suspended, and when escrow closes , they will be dismissed. In response to a question from B. Crowder, C. Britton said that the agreement calls for the District to support the development proposed for the quarry area in a manner acceptable to the District and that the District would monitor the development process. Robert Johnson, council member, Town of Los Altos Hills , congratulated the negotiators on a superb job. He introduced Les Jones II , the new city manager for Los Altos Hills, who will be working with staff on issues connected with this property. Rex Lindsay, Santa Clara Land Title, 50 W. San Fernando, Suite 420 , San Jose , Mr. Vidovich' s negotiator, said he enjoyed working with C . Britton. Ry Smith, 23230 Ravensbury Avenue, Los Altos said he had been exploring the possibility of forming an assessment district in Los Altos Hills. He said that assuming a 51% vote is needed for approval he feels there a possibility for success . R. McKibbin commended Ry Smith, Rex Lindsay, Craig Britton, and others who have worked hard on this agreement. Motion: R. McKibbin moved that the Board adopt Resolution 91-33, a Resolution of the Board of Directors of the Midpeninsula Regional Open Space District, Authorizing Acceptance of Contingent Purchase Agreement - Bargain Sale, Authorizing Officer to Execute Certificate of Acceptance of Grant to District, and Authorizing General Manager to Execute Any And All Other Documents Necessary or Appropriate to Closing of the Transaction (Rancho San Antonio Open Space Preserve Lands of Vidovich) . B. Crowder seconded the motion. The motion passed 7 to 0 . Meeting 91-06 Page 3 Motion: R. McKibbin moved that the Board reaffirm the tentative adoption of the Preliminary Use and Management Plan recommendations , including naming the property as an addition to Rancho San Antonio Open Space Preserve, and reaffirm its intention to dedicate the property as public open space. N. Hanko seconded the motion. The motion passed 7 to 0. B. Coordinated Design (Report R-91-115 dated September 30, 1991) M. Hale introduced Deborah Mills, who displayed the new District pin, the final piece in the coordinated design program. D. Topley spoke in favor of using the California state seal on District badges , noting Santa Clara County park rangers, the Highway Patrol and other law enforcement agencies use the seal . He said field staff feels the seal is recognized by the public as a symbol of authority, which would aid in enforcement of District regulations . Motion: K. Duffy moved that the Board adopt the design for the District pin and approve use of the California state seal for the badge worn by District rangers. T. Henshaw seconded the motion. The motion passed 7 to 0 . C. Amendment to the Use and Management Plan for Fremont Older Open Space Preserve to Accommodate a Neighborhood Trail Connection (Report R-91-117 dated October 1 , 1991) G. Babbitt said this trail seemed to be getting top priority and she questioned whether it impacted other trails scheduled for construction. B. Crowder expressed concern about building a trail for private use. S. Marioni-Cochran said it would take one to two days to build the approximately 300 feet of trail on District property, adding that staff would post private property signs at the edge of the preserve and encourage the Regnart Ridge Homeowners ' Association to gate the trail. C. Britton said the District would include a hold harmless clause in the agreement with the association. R. McKibbin commented that working on the trail was in keeping with the District ' s Good Neighbor Policy. Motion: K. Duffy moved that the Board adopt the amendment to the Use and Management Plan for Fremont Older Open Space Preserve to allow construction of a trail connecting private open space lands owned by Regnart Meeting 91-06 Page 4 Ridge Homeowners ' Association to the preserve ' s public trail system. R. McKibbin seconded the motion. The motion passed 7 to 0. VII . INFORMATIONAL REPORTS N. Hanko reminded the Board to turn in their questionnaires by October 14 for the Public Communications workshop. B. Crowder reported on the meeting she and C. Britton had with the Woodside committee formed to support the Woodside ballot measure to purchase the development rights for approximately 70 acres in the Teague Hill Open Space Preserve. She said that in response to chairperson Barbara Sietle ' s request for a hike on the property, C. Britton, with the help of several staff members , organized a very successful informational hike for October 8 . N. Hanko reported on the meeting she and C. Britton had with the city manager of Palo Alto and three city council members regarding a multiuse trail which would go through the perimeter of Foothills Park and connect Los Trancos Open Space Preserve to the Arastra preserve. H. Grench said that there will be a Woodside candidates ' night Thursday, October 17 , where the Teague Hill development rights purchase will be discussed. He reported R. Bishop will attend as the District ' s representative. H. Grench reported on his recent trip to Washington D.C . to testify before the National Parks and Public Lands House Subcommittee, in support of the Peninsula Open Space Trust. He said the subcommittee was considering a bill for the expansion of Golden Gate National Recreation Area to include the Phleger property and two other associated bills . H. Grench said that the California Office of Historical Preservation is giving an award to the District at a reception on October 15. He said he, C. Britton, and C. Bruins would attend. It was determined that N. Hanko would also probably attend, and T. Henshaw said she could attend if N. Hanko could not. H. Grench reported that tapes and corresponding map are available from Ken Fisher ' s history tour of Purisima Creek Open Space Preserve with the docents . B. Crowder said she continues to follow the proposal to run a train across the Dumbarton Bridge. She said Tom Nolan was the only committee member present at a recent meeting. She said the train would go right by the proposed Bay Trail alignment. Meeting 91-06 Page 5 , D. Topley reported that over 200 people attended the Thornewood tour. He said there had been a bicycle accident at St. Joseph' s Hill Open Space Preserve and an equestrian accident on Purisima Open Space Preserve. VIII. CLAIMS Motion: R. Bishop moved that the Board approve Revised Claims 91-18 . G. Babbitt seconded the motion. The motion passed 7 to 0. IX. CLOSED SESSION N. Hanko stated that the Board would meet with George Sipel in closed session to discuss personnel matters . The Board recessed to Closed Session at 8 :10 P.M. X. Grench, General Manager RESPONSIBILITY AND PREPARATION: C. Britton, Land Acquisition Manager; R. Blanchard, Real Property Representative SUBJECT: Award of Contract for Remodel of 330 Distel Circle Recommended Actions: 1 . Accept the lowest responsible bid for completion of the remodel of 330 Distel Circle per The Steinberg Group plans and specifications . 2. Authorize the General Manager to enter into a contract for performance of the work. Discussion: At your meeting of September 11 , 1991 , you authorized staff to solicit bids for the remodel of 330 Distel Circle, to be the new administrative offices for the District (see report R-91-104 dated September 6 , 1991. ) A notice requesting bids for the project was published on September 18 and 23 in the San Jose Mercury. The public bid opening is scheduled for October 17 , 1991 . Approximately 37 contractors (both general and subtrades) have picked up copies of the plans and specifications. Although we do not have the numbers to include in this report, we are scheduling this item for the October 23 meeting to avoid delay of the project. A complete itemization of the bids received and of staff ' s review of the bids will be presented to you at the Board meeting. Grench, General Manager SUBJECT: Scheduling of Special Meetings Recommended Actions: 1 . Schedule a Special Meeting for Monday, October 28 , 1991 beginning at 7 :00 P.M. at the District office for the purpose of holding a closed session - personnel matters to discuss the general manager 's performance goals. 2. Schedule a Special Meeting for Tuesday, November 5, 1991 from 3:00 P.M. to 10:00 P.M. at the District office for the purpose of holding a closed session - personnel matters to discuss Board-management relationships. Grench, General Manager RESPONSIBILITY AND PREPARATION: C . Britton, Land Acquisition Manager, R. Blanchard, Real Property Representative SUBJECT: Award of Contract for Remodel of 330 Distel Circle Recommended Actions • 1 . Confirm the finding of the General Manager that the bid of E.W. Thorpe, Inc. , was not responsive to the invitation for bids in that it omitted a list of subcontractors , and that the omission was material and substantial . 2 . Find that the bid of Roma Construction Corporation was responsive to and in conformity with the proposal for bids , was the lowest responsible bid, and, therefore , order that the contract be awarded to Roma Construction. 3 . Approve an increase in the project budget of $63, 000 for a contingency fund. 4 . Authorize the General Manager to sign individual change orders to the base contract with Roma within the approved budget amount. Discussion: At your meeting of September 11 , 1991 , you authorized staff to advertise for bids on the remodel of 330 Distel Circle in accordance with the plans and specifications by The Steinberg Group. Bids were opened on October 17 . The lowest bid (in the amount of $619 , 470) was presented by E.W. Thorpe, Inc. However, the bid package was incomplete in that it did not include a list of subcontractors . The Bid Instructions state that "The General Manager of the . . . District reserves the right to reject any or all bids . . . and to waive any . . . irregularity in the bids or bidding. " After discussion with legal counsel and the architectural team, I decided that this omission was material and the Thorpe bid was rejected. The next two bids were Roma Construction at $628 , 700 and L.R. Free at $629 , 553 . These bids were sufficiently close that staff researched and interviewed both companies . The conclusion was that both companies qualify as "responsible" bidders . one difference between the two bids was the number of days estimated to complete the job. Roma ' s bid stated 98 days and Free ' s bid stated 77 days . The most likely factor to impact completion time will be the delivery time for the heating and ventilating unit . Roma had flagged a long lead time for this item, Free had not. Additionally, the stated job completion time tends to be a much more flexible number in a contract than the total project price. Accordingly, staff is recommending approval of Roma Construction as the lowest responsible bidder with a complete bid package. On May 8 , 1991 , you approved an overall project budget of III $900 , 000. This budget included the amount of $574, 850 for the items covered by the public bid and $10 , 800 for installation of fire sprinklers . That budget also recommended a 10% contingency fund. Therefore, the total approved budget for these items with contingency is $644 , 215 . The Roma bid is $628,700 and the low bid for the fire sprinklers is $13 , 946 . With a 10% contingency fund, these numbers total $706 , 910. Accordingly, staff is recommending approval of an additional $63 , 000 to provide for adequate construction contingencies. It will be staff ' s intent to monitor this project closely to maintain costs at budget, however, in any project of this size there are always some surprises , minor omissions , or last minute changes required by the City. Therefore, it is prudent to have a contingency fund so that change orders can be signed promptly when necessary without holding up the job schedule. Accordingly, staff recommends that the General Manager be authorized to make the determination that a requested change order is necessary and sign the documentation with the general contractor. Any contingency so approved will be reported to you at your regular Board meeting as the project progresses . Adopt the accompanying Resolution of the Board of Directors of the Midpeninsula Regional Open Space District Authorizing Acceptance of Purchase Agreement, Authorizing Officer to Execute Certificate of Acceptance of Grant to District, and Authorizing General Manager to Execute Any and All Other Documents Necessary or Appropriate to Closing of the Transaction (La Honda Creek Open Space Preserve - Lands of Jones et al . ) . 2. Tentatively adopt the Preliminary Use and Management Plan recommen- dations contained in this report, including naming the property as an addition to La Honda Creek Open Space Preserve. 3. Indicate your intention to dedicate the property as public open space at this time. Introduction The proposed acquisition consists of two five-acre parcels adjacent to Skyline Boulevard and La Honda Creek Open Space Preserve. The parcels are located within the Skyline Scenic Corridor and extend westerly to include La Honda Creek corridor. i i R-91-116 Page 2 I 1. Location and Boundaries (see attached map) Regional setting: Northwest of Sky Londa, between La Honda Creek and El Corte de Madera Creek Open Space Preserves Road access: Skyline Boulevard (Highway 35) Boundaries : Bordered by Skyline Boulevard to the northeast, La Honda Creek Open Space Preserve to the southeast, a small parcel of land owned by CalTrans to the north, and private property to the south. Nearby public lands: La Honda Creek Open Space Preserve touches the southeast corner of the subject property, El Corte de Madera Creek Open Space Preserve is located approximately one-half of a mile west, Wunderlich County Park is located one-fifth of a mile to the northeast. Nearby landmarks: Sierra Morena is located approximately two miles northwest 3. Topography and Hydrology Elevation range: 1, 680 feet at the point where La Honda Creek exits the property, to 1, 800 feet along Skyline Boulevard and at the southeastern corner Slope steepness: La Honda Creek parallels Skyline Bouleva rd, forming a steep-walled canyon that bisects the property Slope exposure: Northeasterly and southwesterly-facing Watershed: La Honda Creek 4. Visual Qualities Viewshed: Within Skyline Scenic Corridor, making protection of viewshed an important consideration 7 . Existing Improvements An easement for overhead power lines crosses the western corner of the property. Access to the property is via a road easement across an adjacent piece of property. 8 . Existing Use The property is vacant land. 9. Planning Considerations Political boundaries : Unincorporated San Mateo County, within District boundaries Zoning: RM - Resource Management Master Plan rating: Low rating for composite open space resource value Use and Management Plan review: Anticipate review in summer, 1994 Regional plans: Within trail corridor proposed by the Bay Area Ridge Trail Council 10 . Potential Use and Management This acquisition may allow future connections between La Honda Creek and El Corte de Madera Creek Open Space Preserves . The property is located within the Skyline Scenic Corridor; therefore, protection of the viewshed is an important consideration. 11. Public Safety Review Staff ' s cursory inspection of the property did not reveal any hazards. A more detailed inspection will be conducted following close of escrow, but before your final adoption of the Preliminary Use and Management R-91-116 Page 4 Plan. If any hazards are identified, they will be brought to your attention in the final adoption report. The site should remain closed until then. 12. Preliminary Use and Management Recommendations Signs: Install boundary plaques 13 . Name The property should be named as an addition to La Honda Creek Open Space Preserve. 14. Dedication I recommend that you indicate your intention to dedicate this property as public open space. 15. Terms These parcels constitute two separate, legal building sites with an average value of $175, 000 each. The total of $350, 000 is payable in cash at close of escrow. The attached agreement is the District ' s standard form. The purchase price is fair and reasonable, based upon current real estate market conditions in the area. 16. Funding The full explanation of this funding summary is contained in report R- 89-109 dated July 3, 1989. The District 's 1991-1992 fiscal year budget includes $14 .5 million for new open space acquisitions; $10.0 million in cash outlay and $4. 5 million in notes. Section Two. The President of the Board of Directors or other appropriate officer is authorized to execute a Certifi- cate of Acceptance on behalf of the District. Section Three. The General Manager further is authorized to execute any and all other documents in escrow necessary or appropriate to the closing of the transaction. Section Four. The General Manager of the District is authorized to expend up to $5, 000 to cover the cost of title insurance, escrow fees , survey, and other miscellaneous costs related to this transaction. " { I WITNESSETH WHEREAS, Seller is the owner of certain real property which has open space and recreational value, located within an unincorporated area of the County of San Mateo, and being more particularly described within the body of this Agreement; and WHEREAS , District was formed by voter initiative to solicit and receive { conveyances of real property by purchase, exchange, gift, or bargain purchase for public park, recreation, scenic and open space purposes; and WHEREAS, District desires to purchase said property for open space preservation and as part of the ecological and aesthetic resources of the midpeninsula area; and WHEREAS, Seller wishes to sell and convey the entirety of said property to District, and District wishes to purchase said property upon the terms and conditions set forth herein. Escrow. A fully executed copy of this Agreement shall be deposited with Escrow Holder to serve as escrow instructions to Escrow Holder; provided that the parties shall execute such additional supplementary or customary escrow instructions as Escrow Holder may reasonably require. This Agreement may be amended or supplemented by explicit additional escrow instructions signed by the parties , but the printed portion of such escrow instructions shall not supersede any inconsistent provisions contained herein. Escrow Holder is hereby appointed and instructed to deliver, pursuant to the terms of this Agreement, the documents and monies to be deposited into the escrow as herein provided, with the following terms and conditions to apply to said escrow: (a) The time provided for in the escrow for the close thereof shall be on or before November 8 , 1991, provided, however, that the parties may, by written agreement, extend the time for Closing. The term "Closing" as used herein shall be deemed to be the date when Escrow Holder causes the Grant Deed (as defined below) to be recorded in the Office of the County Recorder of San Mateo County. I (b) Seller and District shall , during the escrow period, execute any and all documents and perform any and all acts reasonably necessary or appropriate to consummate the purchase and sale pursuant to the terms of this Agreement. l (c) Seller shall deposit into the escrow on or before the Closing an executed and recordable Grant Deed covering the Property. (d) District shall deposit into the escrow, on or before the li Closing: I (i) The required Certificate of Acceptance for the Grant Deed, duly executed by District and to be dated as of the Closing. (ii) District' s check payable to Escrow Holder in the j amount of Three Hundred Seventy Five Thousand and No/100 Dollars ($375, 000.00) . (e) Seller shall pay for the escrow fees , the CLTA Standard Policy of Title Insurance, if required by District, and all recording costs and fees . All other costs or expenses not otherwise provided for in this Agreement shall be apportioned or allocated between District and Seller in the manner customary in San Mateo County. All current property taxes on the Property shall be handled in accordance with Section 4986 of lil the Revenue and Taxation Code of the State of California. i (f) Seller shall cause First American Title Insurance Company, I Purchase Agreement Hahn and Jones Page 3 or other title company acceptable to District and Seller, to be prepared and committed to deliver to District a CLTA standard coverage Policy of Title Insurance, dated as of the Closing, insuring District in the amount of $375, 000. 00 for the Property showing title to the Property vested in fee simple in District, subject only to: (i) current real property taxes , and (ii) such additional title exceptions as may be acceptable to District. In the event District disapproves of any additional title exceptions and Seller is unable to remove any District disapproved excep- tions before the time set forth for the Closing, District shall have the right either: (i) to terminate the escrow provided for herein (after giving written notice to Seller of such disapproved exceptions and affording Seller at least twenty (20) days to remove such exceptions) and then Escrow Holder and Seller shall, upon District' s direction, return to the parties depositing the same, all monies and documents theretofore delivered to Escrow Holder or; (ii) to close the escrow and consummate the purchase of the Property. (g) Escrow Holder shall, when all required funds and instruments have been deposited into the escrow by the appropriate parties and when all other conditions to Closing have been fulfilled, cause the Grant Deed and attendant Certificate of Acceptance to be recorded in the Office of the County Recorder of San Mateo County. Upon the Closing, Escrow Holder shall cause to be delivered to District the original of the policy of the title insurance if required herein, and to Seller Escrow Holder ' s check for the full purchase price of the Subject Property (less III Seller ' s portion of the expenses described in Section 3 (e) ) , and to District or Seller, as the case may be, all other documents or instruments which are to be delivered to them. In the event the escrow terminates as provided herein, Escrow Holder shall return all. monies, documents or other things of value deposited in the escrow to the party depositing the same. 4 . Rights and Liabilities of the Parties in the Event of Termination. In the event this Agreement is terminated and escrow is cancelled for any reason, all parties shall be excused from any further obligations hereunder, except as otherwise provided herein. Upon any such termination of escrow, all parties hereto shall be jointly and severally liable to Escrow Holder for payment of its title and escrow cancellation charges (subject to rights of subrogation against any party whose fault may have caused such termination of escrow) , and each party expressly reserves any other rights and remedies which it may have against any other party by reason of a wrongful termination or failure to close escrow. 5. Leases or Occupancy of Premises . Seller warrants that there exist no oral or written leases or rental agreements affecting all or any portion of the Subject Property. Seller further warrants and agrees to hold District free and harmless and to reimburse District for any and all costs, liability, loss , damage or expense, including costs for legal services , occasioned by reason of any such lease or rental agreement of the Property being acquired by District, including, but not limited to, claims for relocation benefits and/or payments pursuant to California Purchase Agreement Hahn and Jones Page 4 I I i Government Code Section 7260 et 'see . Seller understands and agrees that the provisions of this paragraph shall survive the close of escrow and recordation of any Grant Deed(s) ; provided, however, that the obligations of Seller hereunder shall be unenforceable after six months from Closing. g I 6 . Seller' s Representations and Warranties . This Agreement and all other documents delivered by Seller to District now or at the Closing have been or will be duly authorized and executed and delivered by Seller and i are legal, valid and binding obligations of Seller sufficient to convey to g g Y g I District the Subject Property described therein and are enforceable in J P Y , accordance with their respective terms and do not violate any provisions of any agreement to which Seller is a party or by which Seller may be bound or any articles, bylaws or corporate resolutions of Seller. i 6 . 03 Good Title. Seller has and at the Closing date shall have good, marketable and indefeasible fee simple title tq the Subject Property and the interests therein to be conveyed to District hereunder, free and clear of all liens and encumbrances of any type whatsoever and free and clear of any recorded or unrecorded option rights or purchase rights or any other right, title or interest held by any third party except for the exceptions permitted under the express terms hereof , and Seller shall li forever indemnify and defend District from and against any claims made by any third party which are based upon any inaccuracy in the foregoing representations . 7 . Integrity of Property. Except as otherwise provided herein or by express written permission granted by District, Seller shall not, between the time of Seller ' s execution hereof and the close of escrow, cause or allow any physical changes on the Property. Such changes shall include but not be limited to grading, excavating or other earthmoving activities , cutting or removing trees, shrubs , brush or other vegetation, and damaging or demolition of improvements or structures on the Property. 8 . Hazardous Substances . "Hazardous substance" as used herein means and includes polychlorinated biphenyls (PCBs) , benzene, asbestos or any other substance the placement, storage or removal of which is prohibited or regulated by federal , state or local law. (a) Seller warrants and represents that: i Purchase Agreement - Hahn and Jones Page 5 (i) During Seller' s ownership of the Property Seller has not placed or stored or allowed to be placed or stored any hazardous sub- stance on the Property. (ii) Seller has no knowledge of the presence on the Property of any hazardous substance, whenever or however placed or stored. (b) If hazardous substances are subsequently found to exist on the Property, District may exercise its right to bring an action if necessary to recover cleanup costs from -Seller or any other person or persons who are ultimately determined to have responsibility for the hazardous substances on the Property. However, under no circumstances shall Seller be held liable for costs other than those incurred in the cleanup of the hazardous substances resulting from Seller' s ownership and operation of the Property. 9. Waiver of Statutory Compensation. Seller and District understand and agree that Seller may be entitled to receive the fair market value of the Property described in Exhibit "A" , as provided for by the Federal Uniform Relocation Assistance and Real Property Acquisition Act of 1970 (Public Law 91-646) the Uniform Relocation Act Amendments of 1987 (Public Law 100-17) , Title IV of the Surface Transportation and Uniform Relocation Assistance Act of 1987 (101 Statutes , 246-256 , and California Government Code Section 7267 , and following. Seller hereby waives any and all existing and/or future rights Seller may have to the fair market value of said Property, appraisals, etc. , as provided for by said Federal Law and any corresponding California Government Code Sections . 10. Miscellaneous Provisions. 10 . 01 Choice of Law. The internal laws of the State of California, regardless of any choice of law principles, shall govern the validity of this Agreement, the construction of its terms and the interpretation of the rights and duties of the parties . 10 .02 Attorneys ' Fees . If either' party hereto incurs any expense, including reasonable attorneys ' fees, in connection with any action or proceeding instituted by reason of any default or alleged default of the other party hereunder, the party prevailing in such action or proceeding shall be entitled to recover from the other party reasonable expenses and attorneys ' fees in the amount determined by the Court, whether or not such action or proceeding goes to final judgment. In the event of a settlement or final judgment in which neither party is awarded all of the relief prayed for, the prevailing party as determined by the Court shall be entitled to recover from the other party reasonable expenses and attorneys ' fees . 10 .03 Amendment and Waiver. The parties hereto may by mutual written agreement amend this Agreement in any respect. Any party hereto Purchase Agreement - Hahn and Jones Page E may: (i) extend the time for the performance of any of the obligations of the other party; (ii) waive any inaccuracies in representations and warranties made by the other party contained in this Agreement or in any documents delivered pursuant hereto; (iii) waive compliance by the other party with any of the covenants contained in this Agreement or the perfor- mance of any obligations of the other party; or (iv) waive the fulfillment of any condition that is precedent to the performance by such party of any of its obligations under this Agreement. Any agreement on the part of any party for any such amendment, extension or waiver must be in writing. 10.04 Rights Cumulative. Each and all of the various rights, powers and remedies of the parties shall be considered to be cumulative with and in addition to any other rights, powers and remedies which the parties may have at law or in equity in the event of the breach of any of the terms of this Agreement. The exercise or partial exercise of any right, power or remedy shall neither constitute the exclusive election thereof nor the waiver of any other right, power or remedy available to such party. 10.05 Notices. All notices, consents, waivers or demands of any kind which either party to this Agreement may be required or may desire to serve on the other party in connection with this Agreement shall be in writing and may be delivered by personal service or sent by telegraph or cable or sent by registered or certified mail, return receipt requested, with postage thereon fully prepaid. Nothing contained in this Agreement shall excuse either party from giving oral notice to the other when prompt notification is appropriate, but any oral notice given shall not satisfy the requirement of written notice as provided in this Section. j 10 .06 Severability. If any of the provisions of this Agreement are held to be void or unenforceable by or as a result of a determination of any court of competent jurisdiction, the decision of which is binding upon the parties , the parties agree that such determination shall not result in the nullity or unenforceability of the remaining portions of to replace such void or Agreement. The parties further agreep this g unenforceable provisions which will achieve, to the extent possible, the economic, business and other purposes of the void or unenforceable provisions. 10 .07 Counterparts. This Agreement may be executed in separate j counterparts , each of which shall be deemed as an original, and when executed, separately or together, shall constitute a single original instrum ent, effective in the same manner as if the parties had executed one and the same instrument. 10 .08 Waiver. No waiver of any term, provision or condition of this Agreement, wh otherwiseether by conduct or in any one or more instances , shall be deemed to b , e or be construed as , a further or continuing waiver of any such term, provision or condition or as a waiver of any other term, provision or condition of this Agreement. 10 . 09 Entire Agreement. This Agreement is intended by the parties to be the final expression of their agreement; it embodies the entire agreement and understanding between the parties hereto; it constitutes a complete and exclusive statement of the terms and conditions thereof , and it supersedes any and all prior correspondence, conversa- tions, negotiations , agreements or understandings relating to the same subject matter. 10 .10 Time of Essence. Time is of the essence of each provision of this Agreement in which time is an element. I 10.11 Survival of Covenants . Except as expressly permitted herein, neither party to this Agreement shall assign its rights or obligations under this Agreement to any third party without the prior written approval of the other party. 10.13 Further Documents and Acts . Each of the parties hereto agrees to execute and deliver such further documents and perform such other acts as may be reasonably necessary or appropriate to consummate and carry into effect the transactions described and contemplated under this Agreement. 10.14 Binding on Successors and Assigns . This Agreement and all of its terms , conditions and covenants are intended to be fully extent permitted b law, on the successors to the , 'n Y d binds P effective an g, and permitted assigns of the parties hereto. 10.15 Broker ' s Commission. District shall not be responsible for any real estate commission or other related costs or fees in this transaction. Britton, Assistant General Manager SUBJECT: Support for Woodside ' s Measure "G" - Advisory Election to Provide Funding Support for Teague Hill Open Space Preserve and the Phleger Property Recommended Action: Adopt the accompanying Resolution of the Board of Directors of the Midpeninsula Regional Open Space District Supporting and Urging Voter Passage of Measure "G" on the November 5, 1991 Town of Woodside Ballot and Committing Proceeds of Any Assessment District formed by the Town Toward Acquisition of the Phleger Property for Permanent Public Open Space and Recreation Enjoyment. Background• In 1988 , the District acquired the "Summit Springs Property" which became the Teague Hill Open Space Preserve. This 625-acre property was acquired from Willen Corporation and Block Bros. Industries at a total cost of $7 , 500, 000 (see reports R-88-59 dated May 15, 1988 and R-88-87 dated July 18 , 1988) . Located within the Town limits of Woodside, the property had a development density of 81 residential lots with a practical potential for development of 48 residential lots. Because of the extremely high cost of this property, even with the owners selling the property for $1 , 000 , 000 below the appraised market value, you determined that a portion of the property should be sold for development to recapture part of the purchase price to help fund other critical open space acquisition projects throughout the District. The following excerpt from the report R-88-59 summarizes the basis of that decision: "Staff has been tracking this critical open space property for the last 12 years . During that time, this property has been sold twice; the first transfer ending in a foreclosure by Willen Corporation and the second resulting in the tenancy in common situation that currently exists (Willen Corporation and Block Bros . Industries) . The price of the property has always been out of reach of District resources. However, Proposition 70 has made this acquisition a possibility. Even with these funds, the partial development option R-91-124 Page 2 (with a maximum of 10 home sites divided between Pinto Way and Summit Springs Road) might be an ideal situation. This would not only reduce the overall cost of the property by a minimum of $1 , 000, 000 or more, but would also provide security and well-defined neighborhood access to the property at the end of these restricted access points . This entire acquisition package, including Bond Act funding, possible non-profit assistance, and partial development potential make this a very attractive project for the District at a below market price. " A planning consultant and an engineering firm identified two approximately 35-acre parcels, one at the end of Summit Springs Road and the other at the end of Patrol Road, that would be suitable for development of five residential lots each. District staff attended Town of Woodside public hearings that resulted in the rezoning of the proposed development parcels to a ten-acre lot requirement, for a reduction from the initial ten lot development to six residential lots . The two parcels were appraised in December 1989 , with a total estimated value of $3 , 600 , 000. From the initial interest in these parcels , staff anticipated that the final net auction sales price would probably be in the $4 , 000 , 000 range. Although real estate values have sagged in the last year or two, Woodside property continues to be popular. I would still expect an auction to yield $4, 000, 000 or more for these prime sites. Discussion: In order to prepare for the auction of sale, state law (Government Code Section 54222) requires that the public agency selling surplus land notify specific local jurisdictions to give these agencies a priority to purchase the lands at fair market value for low-income housing or for parks and recreation use. Accordingly, the District notified the Town of Woodside, the County of San Mateo, and the State of California Resources Agency. The Town of Woodside responded and questioned whether the District would consider a lower price if it were possible to raise funds to acquire only the development rights. After many meetings, it was agreed that for $2, 500 , 000 the District would: 1. Sell the development rights on both surplus parcels totaling approximately 70 acres to the Town of Woodside. 2. Forever dedicate the surplus parcels as public open space as a part of the Teague Hill Open Space Preserve. 3. Manage the property as public open space at no cost to the Town of Woodside. 4. Maintain local trail access from the ends of Summit Springs Road and Patrol Road, but not designate these access points for regional public access to the Teague Hill Open Space Preserve. R-91-124 Page 3 5. Contribute the funds received from the Town toward the purchase of the Phleger property. The District received an official request from Peninsula Open Space Trust for a $6, 000, 000 contribution toward purchase of the 300-acre Phleger property. It was anticipated that $4, 000, 000 of this amount would come from the anticipated proceeds of the auction of these surplus parcels. After being approached by the Town of Woodside, it was determined that if the development rights were sold for $2, 500, 000, the District would have to contribute an additional $1, 500, 000 out of its general fund to make up the entire commitment to the Phleger purchase. Staff feels that both projects are of great importance and significance to the residents of Woodside and the District constituency in general , and that the additional expenditure of $1, 500, 000 from the District general fund for this purpose is a wise and prudent decision. It will mean additional belt tightening for the District, especially at a time where revenues are mildly declining, and the District ' s debt capacity is at its cap. I RESOLUTION NO. RESOLUTION OF THE BOARD OF DIRECTORS OF THE MIDPENINSULA REGIONAL OPEN SPACE DISTRICT SUPPORTING AND URGING VOTER PASSAGE OF MEASURE "G" ON THE NOVEMBER 5, 1991 TOWN OF WOODSIDE BALLOT AND COMMITTING PROCEEDS OF ANY ASSESSMENT DISTRICT FORMED BY THE TOWN TOWARD ACQUISITION OF THE PHLEGER PROPERTY FOR PERMANENT PUBLIC OPEN SPACE AND RECREATION ENJOYMENT WHEREAS, the Midpeninsula Regional Open Space District acquired the 625-acre Teague Hill Open Space Preserve at a price of $7, 500 , 000 in 1988 , and WHEREAS , in order to make said acquisition possible, resulting from extraordinarily high costs and resulting strain on District funding availability, a decision was made by the District to sell two 35-acre areas of said land as surplus land for partial development, in anticipation of receiving as much as $4, 000, 000 from the sale of said surplus property, and WHEREAS, the District has been approached by the Town of Woodside with an offer of $2, 500, 000 from the formation of a landscaping and lighting assessment district, which is to be the subject of an advisory vote of its citizens in the form of Measure "G" on the November 5, 1991 ballot, and WHEREAS, District received a request from Peninsula Open Space Trust and is hereby formalizing its commitment to contribute $6, 000 , 000 toward acquisition of the Phleger property for permanent use as public open space and recreation land, and WHEREAS, if Ballot Measure "G" is successful, the District will pledge the $2, 500 , 000 net proceeds from the resulting assessment district together with $3 , 500 , 000 in District general fund revenues toward acquisition toward said Phleger property land, and WHEREAS, if Ballot Measure "G" is unsuccessful, the District will auction said surplus property for an anticipated r $4 , 000, 000 and pledge that amount together with $1 , 500 , 000 in District general fund reserves towards acquisition of said Phleger property. Stanger, published by the San Mateo County Historical Association.) In Spanish times pre-sawmill lumbering octurred at the fringe of the forests around Portola Valley and Woodside to provide hand made shingles, hand hewn logs, and hand cut lumber for the- construction of the Presidio, Mission of San Francisco, Mission Santa Clara and the pueblo of San Jose. Sawmilling in the Bear Gulch area, just to one side of Teague Hill was started by San Mateo County's first really large lumbering enterprise: the Baker & Burnham Gang Mill. This highly mechanized operation was set up in 1852. The exact site of the mill is not known but it was Tripp Cour t where small pieces of heavy equipment have been found. perhaps near the upper end of P vY � P was sur rounded b large redwoods in both Bear Gulch and Appletree Gulch (on the preserve) to It y g the north. A financial crash and legal trouble ended this operation in 1855. The former creditors of Baker & Burnham became the owners and, headed by M.S. Gibbs, moved the mill to Squealer Gulch Creek, just to the other side of the current preserve. The area continued to be lagged under timbered out about 1865. The mill was later acquired by Dr. Tripp, l a prominent Woodside merchant (and the town dentist), who for some time operated the small lumber yard. He made shingles with machinery; an innovative new process in the 1850s. Lumber went out via Old La Honda Road and past Woodside's Whiskey Hill, heading for Redwood City. Woodside reached its peak as a lumbering center about 1859-60. The County of San Mateo was formed by separation from San Francisco County in 1856, and the { lumber port of Redwood City was chosen as the seat of county government. Andrew Teague was j elected San Mateo County District Attorney in 1869. Presumably Teague Hill was named after Andrew Teague. Teague Hill, in addition to its historical significance, is valuable for the watershed; viewshed and wildlife habitat it provides. Current use of the property is limited to hiking and equestrian use. Local residents gain access from nearby Woodside roads. Please call Midpeninsula Regional Open Space District (415) 949 October 9, 1991 HISTORY OF TEAGUE HILL OPEN SPACE PRESERVE ACQUISITION In 1988 the Midpeninsula- Regional Open Space District acquired 624 acres of land in Woodside from Willen Corporation and Block Brothers Industries for $7 . 5 million. The property had been variously referred to over the years as the Summit Springs property, Kings Mountain property or Erickson property. In order to fund such a large project in the short time available, the District temporarily relied upon a combination of a $6 . 5 million state Proposition 70 grant and regular District revenues , primarily property tax income. This one grant project used all but $2 . 5 million that was available in the proposition for six projects District-wide. As part of the decision to acquire the property while attending to other high priority acquisition projects , the District also decided to recapture a portion of the purchase price through sale of two 35 acre parcels that were determined through a planning study to be the most developable without destroying the integrity of the 554 acre remainder. The District ' s appraisal for the 70 acres was $3 . 6 million, a figure substantiated by offers to purchase by private parties (even after the 1990 rezoning by the Town) . Subsequently, the District agreed to sell the 70 acres to the Town of Woodside at a bargain price of $2 . 5 million provided the land was guaranteed as permanent open space. Another challenging opportunity arose this year as the Peninsula Open Space Trust put together a proposed funding package for the $30 million Phleget estate property in Woodside . The District pledged $6 million toward the purchase of this 1 , 300 acre site with the understanding that the sale of the 70 acres to Woodside or a private party would help meet that obligation. Thus , proceeds from an assessment district would not only protect the remaining 70 acres and contribute to the Teague Hill Open Space Preserve purchase , but would also help insure the preservation of the 1 , 300 *acre Phleger property.
