NOTICE OF PUBLIC MEETINGS
The Twentieth Anniversary Committee will meet Thursday, February 27, 1992
beginning at 1:00 P.M. at the District office. The purpose of the meeting
will be to plan events for the District 's twentieth anniversary celebration.
The Budget Committee will meet Thursday, February 27, 1992 and Monday, March
2, 1992 beginning at 3:30 P.M.in the District office. The purpose of the
meetings will be to discuss the budget for the 1992-1993 fiscal year. The
Budget Committee will also meet on Tuesday, March 10, 192 beginning at 4:00
P.m. at the District Office.

Dear Ms . Kaplan:
Thank you for your February 8 , 1992 letter regarding dogs on
Windy Hill Open Space Preserve. The District ' s Board of
Directors considered your request to allow dogs on Hamm' s Gulch
Trail at our regular meeting last night. I understand your
frustration about the limited number of places open to dogs .
However, some dogs , especially off leash, can be threatening to
wildlife and other preserve visitors . We prefer to keep dogs on
wide trails in open grassland areas. The Hamm ' s Gulch Trail is
narrow and heavily wooded.
Your suggestion will be forwarded to our Dog Committee, which
will be developing policies regarding dogs on District preserves .
In the meantime, you may take your dog on the Spring Ridge,
Anniversary, and Eagle Trails at Windy Hill Open Space Preserve.

Completion of Annexation to the District of Land in Santa Cruz
County
GENERAL MANAGER'S RECOMMENDATION
Adopt the attached Resolution of the Midpeninsula Regional Open
Space District Annexing Certain Property to the Midpeninsula
Regional Open Space District (Midpeninsula Preserves 1991 - Long
Ridge).
Introduction: On June 12, 1991 you passed a resolution
initiating annexation of 778 acres of land in Santa Cruz County
(please see report R-91-67 dated May 24, 1991).
Discussion: Santa Clara County Local Agency Formation Commission
(LAFCo) referred the matter to Santa Cruz County LAFCo for
review, and the latter decided not to request jurisdiction,
whereas it had in an earlier similar submittal. Santa Clara
County LAFCo gave final approval unanimously on February 12,
1992.
The annexation has been referred back to the District as the
final conducting authority for the annexation. Santa Clara
County LAFCo has authorized the District to proceed without
further notice and hearing. Nonetheless, the public will have an
opportunity to speak on this agendized item at your meeting.
When the annexation is complete, Midpeninsula Regional Open Space
District will become the first park or open space district in
California to include territory in three counties. This event
will occur as the District approaches the twentieth anniversary
in November 1992 of the successful ballot measure that created
the District in Santa Clara County alone.

RESOLUTION OF THE BOARD OF DIRECTORS OF THE
MIDPENINSULA REGIONAL OPEN SPACE DISTRICT
ANNEXING CERTAIN PROPERTY TO THE MIDPENINSULA
REGIONAL OPEN SPACE DISTRICT (MIDPENINSULA
PRESERVES 1991 - LONG RIDGE)
WHEREAS, the Midpeninsula Regional Open Space District filed
with the Local Agency Formation Commission, County of Santa
Clara, its Resolution No. 91-25 requesting initiation of
annexation procedures of District property, listed as Santa Cruz
County Assessor ' s Parcel Numbers 88-011-01 , 88-011-06, 88-011-07 ,
88-011-08 , 88-011-09 , 88-011-10 , 88-021-07 , 88-051-32, 88-051-36 ,
88-221-04 , as shown on Exhibit "B" affixed hereto, to the
Midpeninsula Regional Open Space District; and
WHEREAS , at the time and in the form and manner provided by
law the Local Agency Formation Commission of said County has made
its determination, by its Resolution No. 92-42 dated February 12,
1992, that said annexation is proper and that proceedings may be
conducted by the Board of said District without notice and
hearing, or election, or both; and
WHEREAS, the Board of Directors of the Midpeninsula Regional
Open Space District nonetheless gave the public an opportunity to
speak on this item which was noticed in advance in its publicly
distributed agenda; and
WHEREAS, all of said property, including that of the
Midpeninsula Regional Open Space District, has the consent of the
property owners for annexation; and
WHEREAS , the Board of Directors has found that it is in the
best interests of both the District and the land that said
annexation should occur;
NOW, THEREFORE, BE IT RESOLVED by the Board of Directors of
the Midpeninsula Regional Open Space District that the property
described on Exhibits "A" and "B" attached hereto and made a part
hereof is hereby annexed to and made a part of the Midpeninsula
Regional Open Space District.

The primary plant community is mixed evergreen forest on the
north-facing slopes , and chaparral on the south and east-facing
slopes . Black cottonwoods near springs , and California nutmeg on
steep north-facing slopes were some of the more unusual trees
observed. Non-native eucalyptus appear to be spreading in the
cabin area. Feral pig tracks and wallows were particularly
abundant on the old connecting trail between the plateau and
Barlow Road. Recently, an immature golden eagle has been
repeatedly seen resting on transmission towers in the plateau
area .
USE AND MANAGEMENT PLAN
Planniqg_g���2qs
The property is in unincorporated Santa Clara County, outside
District boundaries but within its Sphere of Influence. Zoning
is Hillside (HS) , requiring a 20 to 160-acre minimum lot size ,
depending on slope.
Woods Road is identified in the Bay Area Ridge Trail Plan as a
route for the Ridge Trail between Hicks Road and El Sombroso . It
is a key link in connecting Almaden Quicksilver County Park with
Sierra Azul Open Space Preserve and Lexington Reservoir County
Park.
The interim Use and Management Plan review for the Mt. Umunhum
Area is planned in the second quarter of 1994 .
Prelimin ry Use and ManaggMent Plan Recommendations
Dedication: Withhold the property from dedication . This will
allow the trade of development rights , or sale of a portion or
all of the property, if the District is not successful in
acquiring other necessary land in the area .
Name : Name the property as an addition to the Mt . Umunhum Area
of Sierra Azul Open Space Preserve .
Signs : Tnstall private property signs , area closed, and preserve
boundary signs where appropriate .
Roads : Maintain roads for patrol .
Cleanup: Remove cabin, outbuildings , shed and other debris .
Clean up the entire plateau area, including the portion already
on District property.
Site Emphasis Designation: Conservation Management Unit (CMU)
Public Safety Review: Staff has inspected the site and
determined that it should be posted as a closed area until the
cabin and other debris are removed.

TERMS AND FUNDING
The purchase price is $350 , 000 , payable in cash at close of
escrow. The purchase price is fair and reasonable based upon
current real estate market conditions and appraisals of the
subject property.

RESOLUTION
RESOLUTION OF THE BOARD OF DIRECTORS OF THE
MIDPENINSULA REGIONAL OPEN SPACE DISTRICT
AUTHORIZING ACCEPTANCE OF PURCHASE AGREEMENT,
AUTHORIZING OFFICER TO EXECUTE CERTIFICATE OF
ACCEPTANCE OF GRANT TO DISTRICT, AND
AUTHORIZING GENERAL MANAGER OR ASSISTANT
GENERAL MANAGER TO EXECUTE ANY AND ALL OTHER
DOCUMENTS NECESSARY OR APPROPRIATE TO CLOSING
OF THE TRANSACTION (SIERRA AZUL OPEN SPACE
PRESERVE - LANDS OF QUAKE ET AL. )
The Board of Directors of the Midpeninsula Regional
Open Space District does resolve as follows :
Section One. The Board of Directors of the Midpeninsula
Regional Open Space District does hereby accept the offer
contained in that certain Purchase Agreement between Michael
Thomas Quane et al . and the Midpeninsula Regional Open Space
District , a copy of which is attached hereto and by reference
made a part hereof , and authorizes the President or appropriate
officers to execute the Agreement on behalf of the District.
Section Two. The President of the Board of Directors or
other appropriate officer is authorized to execute a Certificate
of Acceptance on behalf of the District .
Section Three . The General Manager or Assistant General
Manager of the District shall cause to be given appropriate
notice of acceptance to the seller . The General Manager or
Assistant General Manager further is authorized to execute any
and all other documents in escrow necessary or appropriate to the
closing of the transaction.
Section Four. The General Manager of the District is
authorized to expend up to $25, 000 to cover the cost of title
insurance , escrow fees , site clean-up, and other miscellaneous
costs related to this transaction.
Section Five . It is intended and hereby authorized that the
District ' s General fund will be reimbursed in the amount of
$350 , 000 from the proceeds of the next long term District note
issue .
This Resolution is intended to be a declaration of official
intent within the meaning of IRS Regulation 1 . 103-18 .
PURCHASE AGREEMENT
This Agreement is made and entered into by and between MICHAEL THOMAS
QUAKE and SUZANNE QUAKE, husband and wife and KATHLEEN STINE, an unmarried
woman, hereinafter called "Seller" and the MIDPENINSULA REGIONAL OPEN
SPACE DISTRICT, a Public District formed pursuant to Article 3 of Chapter
3 of Division 5 of the California Public Resources Code , hereinafter
called "District. "
WITNESSETH
WHEREAS , Seller is the owner of certain real property which has open space
and recreational value , located within an unincorporated area of the
County of Santa Clara, and being more particularly described within the
body of this Agreement; and
WHEREAS , District was formed by voter initiative to solicit and receive
conveyances of real property by purchase, exchange, gift, or bargain
purchase for public park, recreation, scenic and open space purposes; and
WHEREAS , District desires to purchase said property for open space
preservation and as part of the ecological and aesthetic resources of the
midpeninsula area; and
WHEREAS , Seller wishes to sell and convey the entirety of said property to
District , and District wishes to purchase said property upon the terms and
conditions set forth herein.
NOW, THEREFORE, IT IS MUTUALLY UNDERSTOOD AND AGREED as follows :
1 . Purchase and Sale. Seller agrees to sell to District and
District agrees to purchase from Seller, Seller ' s real property located
within an unincorporated area of the County of Santa Clara, State of
California, containing approximately One Hundred One and Eighty-Nine
Hundreths (101 . 89) acres , more or less , and commonly referred to as Santa
Clara County Assessor ' s Parcel No. 562-07-003 said property being further
described in the legal description attached to Preliminary Title Report
Number 0588006 , dated March 13 , 1990 , from Ticor Title Insurance; said
title report attached hereto as Exhibit "A" and incorporated herein by
this reference . Said property to be conveyed together with any easements ,
rights of way, or rights of use which may be appurtenant or attributable
to the aforesaid lands , and any and all improvements attached or affixed
thereto. All of said real property and appurtenances hereinafter called
the "Subject Property" or the "Property. "
2 . Purchase Price . The total purchase price ( "Purchase Price" ) for
the Property shall be Three Hundred and Fifty Thousand and No/100 Dollars
($350 , 000 - 00) , which shall be paid in cash at the Closing (as defined in
Section 3 hereof) .

3 . Escrow. Promptly upon execution of this Agreement, in accord-
ance with Section 11 herein, an escrow shall be opened at Valley Title
Company, 300 South First Street, San Jose, CA 95113 , Attn: Marilee Smith,
escrow officer (escrow no. 204262) phone number (408) 492-7150 , or other
title company acceptable to District (hereinafter "Escrow Holder" ) through
which the purchase and sale of the Property shall be consummated . A fully
executed copy of this Agreement shall be deposited with Escrow Holder to
serve as escrow instructions to Escrow Holder; provided that the parties
shall execute such additional supplementary or customary escrow
instructions as Escrow Holder may reasonably require . This Agreement may
be amended or supplemented by explicit additional escrow instructions
signed by the parties , but the printed portion of such escrow instructions
shall not supersede any inconsistent provisions contained herein. Escrow
Holder is hereby appointed and instructed to deliver, pursuant to the
terms of this Agreement, the documents and monies to be deposited into the
escrow as herein provided, with the following terms and conditions to
apply to said escrow:
(a) The time provided for in the escrow for the close thereof
shall be on or before March 31 , 1992 , provided, however, that the parties
may, by written agreement, extend the time for Closing. The term
"Closing" as used herein shall be deemed to be the date when Escrow Holder
causes the Grant Deed (as defined below) to be recorded in the Office of
the County Recorder of Santa Clara County.
(b) Seller and District shall , during the escrow period,
execute any and all documents and perform any and all acts reasonably
necessary or appropriate to consummate the purchase and sale pursuant to
the terms of this Agreement.
(c) Seller shall deposit into the escrow on or before the
Closing an executed and recordable Grant Deed covering the Property.
(d) District shall deposit into the escrow, on or before the
Closing:
(i) The required Certificate of Acceptance for the Grant
Deed, duly executed by District and to be dated as of the Closing.
(ii) District ' s check payable to Escrow Holder in the
amount of Three Hundred Fifty Thousand and No/100 Dollars ($350 , 000 . 00) .
(e) District shall pay for the escrow fees , the CLTA Standard
Policy of Title Insurance, if required by District, and all recording
costs and fees . All other costs or expenses not otherwise provided for in
this Agreement shall be apportioned or allocated between District and
Seller in the manner customary in Santa Clara County. All current
property taxes on the Property shall be handled in accordance with Section
4986 of the Revenue and Taxation Code of the State of California .

(f) District shall cause Valley Title Company, or other title
company acceptable to District , to be prepared and committed to deliver to
District a CLTA standard coverage Policy of Title Insurance , dated as of
the Closing, insuring District in the amount of $350 , 000 . 00 for the
Property showing title to the Property vested in fee simple in District,
subject only to: (i) current real property taxes , (ii) title exceptions
numbered 3 and 4 as shown in said Preliminary Title Report (Exhibit A) ,
and (iii) such additional title exceptions as may be acceptable to
District. in the event District disapproves of any additional title
exceptions and Seller is unable to remove any District disapproved excep-
tions before the time set forth for the Closing, District shall have the
right either : W to terminate the escrow provided for herein (after
giving written notice to Seller of such disapproved exceptions and
affording Seller at least twenty (20) days to remove such exceptions) and
then Escrow Holder and Seller shall , upon District ' s direction, return to
the parties depositing the same , all monies and documents theretofore
delivered to Escrow Holder or; (ii) to close the escrow and consummate the
purchase of the Property.
(g) Escrow Holder shall , when all required funds and
instruments have been deposited into the escrow by the appropriate parties
and when all other conditions to Closing have been fulfilled, cause the
Grant Deed and attendant Certificate of Acceptance to be recorded in the
Office of the County Recorder of Santa Clara County. Upon the Closing,
Escrow Holder shall cause to be delivered to District the original of the
policy of the title insurance if required herein, and to Seller Escrow
Holder ' s check for the full purchase price of the Subject Property (less
Seller ' s portion of the expenses described in Section 3 (e) ) , and to
District or Seller, as the case may be, all other documents or instruments
which are to be delivered to them. In the event the escrow terminates as
provided herein, Escrow Holder shall return all monies , documents or other
things of value deposited in the escrow to the party depositing the same.
4 . Rights and Liabilities of the Parties in the Event of
Termination. In the event this Agreement is terminated and escrow is
canceled for any reason, all parties shall be excused from any further
obligations hereunder, except as otherwise provided herein. Upon any such
termination of escrow, all parties hereto shall be jointly and severally
liable. to Escrow Holder for payment of its title and escrow cancellation
charges (subject to rights of subrogation against any party whose fault
may have caused such termination of escrow) , and each party expressly
reserves any other rights and remedies which it may have against any other
party by reason of a wrongful termination or failure to close escrow.
5 . Leases or Occupancy of Premises . Seller warrants that there
exist no oral or written leases or rental agreements affecting all or any
portion of the Subject Property. Seller further warrants and agrees to
hold District free and harmless and to reimburse District for any and all
costs , liability, loss , damage or expense, including costs for legal
services , occasioned by. reason of any such lease or rental agreement of
the Property being acquired by District, including, but not limited to,

claims for relocation benefits and/or payments pursuant to California
Government Code Section 7260 et seq. Seller understands and agrees that
the provisions of this paragraph shall survive the close of escrow and
recordation of any Grant Deed (s) .
6 . Seller ' sjR�resentations and Warranties . For the purpose of
consummating the sale and purchase of the Property in accordance herewith,
Seller represents and warrants to District that as of the date this
Agreement is fully executed and as of the date of Closing:
6 . 01 Authority.' Seller has the full right, power and authority
to enter into this Agreement and to perform the transactions contemplated
hereunder .
6 . 02 Valid and Binding Agreements . This Agreement and all
other documents delivered by Seller to District now or at the Closing have
been or will be duly authorized and executed and delivered by Seller and
are legal , valid and binding obligations of Seller sufficient to convey to
District the Subject Property described therein, and are enforceable in
accordance with their respective terms and do not violate any provisions
of any agreement to which Seller is a party or by which Seller may be
bound or any articles , bylaws or corporate resolutions of Seller.
6 . 03 Good Title . Seller has and at the Closing date shall have
good, marketable and indefeasible fee simple title to the Subject Property
and the interests therein to be conveyed to District hereunder , free and
clear of all liens and encumbrances of any type whatsoever and free and
clear of any recorded or unrecorded option rights or purchase rights or
any other right, title or interest held by any third party except for the
exceptions permitted under the express terms hereof , and Seller shall
forever indemnify and defend District from and against any claims made by
any third party which are based upon any inaccuracy in the foregoing
representations .
7 . Integrity of Property. Except as otherwise provided herein or
by express written permission granted by District, Seller shall not,
between the time of Seller ' s execution hereof and the close of escrow,
cause or allow any physical changes on the Property. Such changes shall
include but not be limited to grading, excavating or other earthmoving
activities , cutting or removing trees , shrubs , brush or other vegetation,
and damaging or demolition of improvements or structures on the Property .
8 . Hazardous Substances . "Hazardous substance" as used herein
means and includes polychlorinated biphenyls (PCBs) , benzene , asbestos or
any other substance the placement, storage or removal of which is
prohibited or regulated by federal , state or local law.
(a) Seller warrants and represents that:

(i) During Seller ' s ownership of the Property Seller has
not placed or stored or allowed to be placed or stored any hazardous sub-
stance on the Property.
(ii) Seller has no knowledge of the presence on the
Property of any hazardous substance, whenever or however placed or stored.
(b) If hazardous substances are subsequently found to exist on
the Property, District may exercise its right to bring an action if
necessary to recover cleanup costs from Seller or any other person or
persons who are ultimately determined to have responsibility for the
hazardous substances on the' Property. However , under no circumstances
shall Seller be held liable for costs other than those incurred in the
cleanup of the hazardous substances resulting from Seller ' s ownership and
operation of the Property.
9 . Waiver of Statutory Compensation. Seller and District
understand and agree that Seller may be entitled to receive the fair
market value of the Property described in Exhibit "A" , as provided for by
the Federal Uniform Relocation Assistance and Real Property Acquisition
Act of 1970 (Public Law 91-646) the Uniform Relocation Act Amendments of
1987 (Public Law 100-17) , Title IV of the Surface Transportation and
Uniform Relocation Assistance Act of 1987 (101 Statutes, 246-256 , and
California Government Code Section 7267 , and following. Seller hereby
waives any and all existing and/or future rights Seller may have to the
fair market value of said Property, appraisals , etc . , as provided for by
said Federal Law and any corresponding California Government Code
Sections .
10 . Miscellaneous Provisions .
10 . 01 Choice of Law. The internal laws of the State of
California, regardless of any choice of law principles , shall govern the
validity of this Agreement, the construction of its terms and the
interpretation of the rights and duties of the parties .
10 . 02 Attorneys ' Fees . If either party hereto incurs any
expense , including reasonable attorneys ' fees , in connection with any
action or proceeding instituted by reason of any default or alleged
default of the other party hereunder, the party prevailing in such action
or proceeding shall be entitled to recover from the other party reasonable
expenses and attorneys ' fees in the amount determined by the Court,
whether or not such action or proceeding goes to final judgment. In the
event of a settlement or final judgment in which neither party is awarded
all of the relief prayed for , the prevailing party as determined by the
Court shall be entitled to recover from the other party reasonable
expenses and attorneys ' fees .
20 . 03 Amendment and Waiver . The parties hereto may by mutual
written agreement amend this Agreement in any respect. Any party hereto
may: M extend the time for the performance of any of the obligations of

the other party; (ii) waive any inaccuracies in representations and
warranties made by the other party contained in this Agreement or in any
documents delivered pursuant hereto; (iii) waive compliance by the other
party with any of the covenants contained in this Agreement or the perfor-
mance of any obligations of the other party; or (iv) waive the fulfillment
of any condition that is precedent to the performance by such party of any
of its obligations under this Agreement. Any agreement on the part of any
party for any such amendment, extension or waiver must be in writing.
10 . 04 Rights Cumulative. Each and all of the various rights,
powers and remedies of the parties shall be considered to be cumulative
with and in addition to any other rights , powers and remedies which the
parties may have at law or in equity in the event of the breach of any of
the terms of this Agreement. The exercise or partial exercise of any
right , power or remedy shall neither constitute the exclusive election
thereof nor the waiver of any other right, power or remedy available to
such party.
10 . 05 Notices . All notices , consents , waivers or demands of
any kind which either party to this Agreement may be required or may
desire to serve on the other party in connection with this Agreement shall
be in writing and may be delivered by personal service or sent by
telegraph or cable or sent by registered or certified mail , return receipt
requested, with postage thereon fully prepaid. All such communications
shall be addressed as follows :

above) to the addressee . Service of any such communication made only by
mail shall be deemed complete on the date of actual delivery as shown by

earlier in time. Either party hereto may from time to time , by notice in
writing served upon the other as aforesaid, designate a different mailing
address or a different person to which such notices or demands are
thereafter to be addressed or delivered. Nothing contained in this
Agreement shall excuse either party from giving oral notice to the other
when prompt notification is appropriate, but any oral notice given shall
not satisfy the requirement of written notice as provided in this Section.
10 . 06 Severability. If any of the provisions of this Agreement
are held to be void or unenforceable by or as a result of a determination
of any court of competent jurisdiction, the decision of which is binding
upon the parties , the parties agree that such determination shall not
result in the nullity or unenforceability of the remaining portions of
this Agreement . The parties further agree to replace such void or
unenforceable provisions which will achieve , to the extent possible, the
economic , business and other purposes of the void or unenforceable
provisions .
10 . 07 Counterparts . This Agreement may be executed in separate
counterparts , each of which shall be deemed as an original , and when
executed, separately or together, shall constitute a single original
instrument, effective in the same manner as if the parties had executed
one and the same instrument .
10 . 08 Waiver . No waiver of any term, provision or condition of
this Agreement, whether by conduct or otherwise, in any one or more
instances , shall be deemed to be, or be construed as , a further or
continuing waiver of any such term, provision or condition or as a waiver
of any other term, provision or condition of this Agreement.
10 . 09 Entire Agreement. This Agreement is intended by the
parties to be the final expression of their agreement; it embodies the
entire agreement and understanding between the parties hereto; it
constitutes a complete and exclusive statement of the terms and conditions
thereof , and it supersedes any and all prior correspondence , conversa-
tions , negotiations , agreements or understandings relating to the same
subject matter .
10 . 10 Time of Essence. Time is of the essence of each
provision of this Agreement in which time is an element.
10 . 11 Survival of Covenants . All covenants of District or
Seller which are expressly intended hereunder to be performed in whole or
in part after the Closing, and all representations and warranties by
either party to the other , shall survive the Closing and be binding upon
and inure to the benefit of the respective parties hereto and their
respective heirs , successors and permitted assigns .

10 . 12 Assignment. Except as expressly permitted herein,
neither party to this Agreement shall assign its rights or obligations
under this Agreement to any third party without the prior written approval
of the other party.
10 . 13 Further Documents and Acts . Each of the parties hereto
agrees to execute and deliver such further documents and perform such
other acts as may be reasonably necessary or appropriate to consummate and
carry into effect the transactions described and contemplated under this
Agreement.
10 . 14 Binding on Successors and Assigns . This Agreement and
all of its terms , conditions and covenants are intended to be fully
effective and binding, to the extent permitted by law, on the successors
and permitted assigns of the parties hereto.
10 . 15 Broker ' s Commission. District shall not be responsible
for any real estate commission or other related costs or fees in this
transaction. Seller agrees to and does hereby indemnify and hold District
harmless from and against any and all costs , liabilities , losses , damages ,
claims , causes of action or proceedings which may result from any broker ,
agent or finder, licensed or otherwise, claiming through, under or by
reason of the conduct of Seller in connection with this transaction.
10 . 16 Captions . Captions are provided herein for convenience
only and they form no part of this Agreement and are not to serve as a
basis for interpretation or construction of this Agreement , nor as
evidence of the intention of the parties hereto.
10 . 17 Pronoun References . In this Agreement, if it be
appropriate , the use of the singular shall include the plural , and the
plural shall include the singular, and the use of any gender shall include
all other genders as appropriate.
11 . Acceptance . Provided that this Agreement is signed by Seller
and returned to District on or before January 24 , 1992 District shall
have until midnight February 26 , 1992 , to accept and execute this
Agreement and during said period this instrument shall constitute an
irrevocable offer by Seller to sell and convey the Property to District
for the consideration and under the terms and conditions herein set forth.
As consideration for the tender of said offer, District has paid and
Seller acknowledges receipt of the sum of Ten Dollars ($10 - 00) . Provided
that this Agreement is accepted by District , this transaction shall close
as soon as practicable in accordance with the terms and conditions set
forth herein.

Proposed Staffing Reorganization Plan
GENERAL MANAGER' S RECOMMENDATION
Approve in concept the staffing reorganization plan. Staff will
review the proposed staffing reorganization plan in detail at
your February 26 meeting, soliciting your questions and/or
comments . Staff will return at your March 11 meeting with a
detailed implementation report for your approval .
INTRODUCTION
This proposed staffing reorganization plan (see attached chart)
is the culmination of efforts in response to changing staffing
and growth needs at the District , the formulation of the
Strategic Plan for the Nineties , and the organizational
improvement program that was launched by the Board last year.
This is a transitional staffing reorganization plan intended to
meet the District ' s general staffing needs (excluding additional
field positions and consultants) for approximately the next three
years . During that time, the District should seek additional
funding to allow the District essentially to complete the
greenbelt over the next ten years in accordance with decisions
you made in connection with the Strategic Plan discussions .
The proposed plan is intended to allow for organizational
structure changes with minimal disruptions to staff and
respective programs once additional funding is secured.
Structural changes could include shifting emphasis to acquisition
activities during the period necessary to expedite the greenbelt
acquisition program. For example, a separate operations program
could be created or all or a portion of the program could be
combined with public affairs , while keeping the planning and
acquisition together. Depending on the amount of funding
secured, acquisition staff may have to be added and planning
staff may need to temporarily shift their focus from site
development to acquisition support tasks .
Benefits of the proposed staffing reorganization plan include:
1) Increased administrative staff to implement organizational
goals and human resource goals ;

2) Tmplemenkation of the successf"I new relationship between
land-based acquisition, planning, and operations programs;
3) Assistance to the generaj manager from the public affairs
manager with external legislative and political affairs and
securing Tong-range funding; and
4) Potential expansion of the proposed public affairs department
without serious impact on the acquisition, planning , and
operations programs .
jgYPIPITION, PLANNTNG. AND OPERATTONS PROGRAM
The current open space acquisition program, headed by the land
acquisition manager, and the current open space management
program , which inclAdes both planning and operations , are to
combined into one program. The vacant land manager ' s position
will be split into two positions , planning manager and operations
manager, with both positions reported to the assistant general
manager/land acquisition manager . This proposed structure has
been in place since the former land manager left the District in
May 1991 and has proved to be very effective during the nine
month Lest period . Placing all the District ' s land-basod
functions under one program, the structure provides a balance
between the District acquisition, planning , and operational needs
and efficient use of staff time during this period of dwindling
acquisition funding . In addition , the proposed staffing
reorganization plan solidifies the geographical area concept for
providing planning and operations services for the foothills and
skyline areas .
To facilitate your review of proposed staffing changes in this
land-based program, the following discussion is split into
acquisition, planning, and operations sections .

general manager/land acquisition manager will have
overall responsibility For planning , directing , superviaing , and
coordinating the activities of the planning and operations
programs , while continuing to he rosponsible for the District ' s
acquisition activities and the acquisition program itself . The
assistant general manager /lana acquisition manager will supervise
the planning manager , the operations manager , an administrative
analyst (new position) , the real property representative , the
legal assistant , and the land acquisition secretary. In
addition , this position will formally be assigned the duties of
assistant general manager.
2) Administrative Assistant (New Full-Time Position) : This
position will provide administrative support to the assistant
general manager/land acquisition manager . Duties and
responsibilities of this position include, but are not limited
to, coordinating and monitoring action plans and budgets in all,
three departments; preparing and editing Board reports , letters ,
and other communications; assisting with land use policies and
guidelines ; assisting with the orientation and training of new

acquisition, operations , and planning staff; participating in and
coordinating portions of the Distrdct ' s grants and contract
administration programs; and special events (dedications and use
and management plan workshops) .

No major changes proposed in these three position in the
acquisition program . The real property representative would also
be responsible for all building and landscape maintenance at the
new District Circle, Los Altos . headquarters at 330 Distel.

OPERATTONS
Largest of the District ' s departments in terms of number of
staff , currently 29 , operations began building the
geographically-based maintenance and operations arya management
concept in 1984 with the opening of the Skyline field office .
The reorganization staffing plan continues to build on the
concept , and each geographical area would have a supervising
ranger responsible for all maintenance and operations functions;
two senior rangers (one in charge of patrol functions and one ill
charge of maintenance and construction activities) ; and an
equipment mechanic-Operator . Tn addition, the plan currently
calls for five patrol rangers , four open space technicians , and
two seasonal open space technicians in the skyline area . Tn the
foothills area , there will be six patrol rangers , three open
space technicians , and three seasonal open space technician
positions . The additional ranger position that the Board
authorized be added to the staff by April 1992 is included in the
position count for the foothills geographical area .
The overall reorganization structure in the operations program is
intended to foster the team concept in the geographical areas ,
provide increased supervision for the field staff and strengthen
the docent and volunteer programs . The plan also allows far
potential growth based in the number of field positions and the
potential addMon of a third geographical area incorporating the
District ' s southern preserves .
Based on experience needs in the field , additional field
pocitions (ranger, open space technician and/or seasonal open
space technician) may have to be added . The requests to fund any
additional positions will , as in the past , be addressed during
budget preparatiODS for future fiscal years . The second
equipment mechanic-operator position is included in the plan
since it directly ties to the geographical management concept for
the foothills and skyline areas .
Changes in some of the position titles in the operations section
below may be recommended at a later date to reflect better the
duties and responsibilities of the position .
STAFFING:
1 ) Operations Manager: The existing operations supervisor will
be reclassified to operations manager and will report directly to
the assistant general manager/land acquisition manager . The
operations manager will have overall responsibility for
planning, directing, supervising , and coordinating all aspects of

the District ' s field operations and volunteer program activities .
The visitor services supervisor , the support services supervisor,
and the two geographical area supervising rangers will be
supervised directly by the operations manager . The position will
continue to he qualified as a uniformed , designated peace officer
position .
2) Visitor Services _gjWervis aor: The current position of
administrative assistant - open space management will be
reclassified to visitor services supervisor. The focus of this
position will be two-fold : 1) to continue to provide
administrative support to the operations manager and the entire
department , and 2) to provide supervision and coordination of
the docent and volunteer programs .
3) Docent Coordinator (Increase to Full-Time Position) : This
position is to be increased to full-time from one-half time to
better meet existing needs . The docent training program will be
expanded, a wider variety of interpretive events will be
developed, and docent recruiting efforts will be increased .
4) Volunteer Coordinator: The plan calls for a probable full-
time volunteer coordinator, beginning in 1993 , in lieu of a one-
half time position. No increase is recommended in the position
at this time since growth in the volunteer program and its field
activities has a direct impact on the field staff which must be
evaluated. In addition, before any increase is recommended, the
role of the District ' s program, vis a vis that of the Trails
Center, needs to be revised .

position will be reclassified to support services supervisor .
This position continues to be responsible for coordination and
management of all support functions for the maintenance and
operational activities in the two geographical areas . Duties
will include procurement , fleet management , coordinating the

secretary . At this time, this position will continue to be

6) Operations Secretary: The operations program will have a
full-time secretary . The previously budgeted one-half time field
secretary, which has not been filled, will be eliminated .
7) Supervisinng Rangers and jenior Rangers There are no major
changes in the duties and responsibilities of these positions .
As reported to the Board in August , 1991 when you approved the
creation and filling of a second senior ranger (maintenance and
construction) position, the senior rangers will become the
supervisors-of-record for the open space technicians and rangers
and will conduct performance evaluations . The supervising
rangers have been the supervisors-of-record for these positions .

PLANNING
The roorganization changes in the planning department are
designed to meet more effectively four objectives of the planning
program at the Dis(;:rict : planning for acquisition , access ,
enhancement , and regional influence (advanced planning and
external planning with other. agencies) . Area open space planners
and planning technicians will focus on site planning in specific
geographical areas , either foothills or skyline . Increased
attention will be given to enhancing the preserve visitor ' s
experience by providing improved signs and maps . The plan calls
for the dedication of more staff time to comprehensive
acquisition planning, advanced planning and oxternal planning ,
areas where the District has been in a reactive mode rather than
a proactive one due to limited staff resources .
STAFFTNG:
I) Planning MUMM {New.-FAKTime Positionk The planning
manager will plan, direct , supervise, and coordinate all of the
District ' s planning activities and will directly supervise the
senior planner , the two area open space planners , the resource
planner , and the proposed one-half time secretarial position .
The planning manager would oversee budget and action plan, land
use policy development , the use and management planning process ,
preserve development and restoration, comprehensive acquisition
planning , and advance and external planning , and represent the
District on program matters with other public agencies ,
organizations , and the public . This position will be supervised
by the assistant general manager/land acquisition manager .
2) Senior Planner: The current posttion of principal open space
planner will be reclassified to senior planner, a position
designed to enhance the District ' s planning needs in the areas of
comprehensive acquisition planning, external planning issues , and
land use policy development . Typical duties of the position
would include : conducting acquisition studies ; pursuing
interagency acquisition and development projects; maximizing open
space in conjunction with the subdivision and development
processes ; conducting property research; performing
intergovernmenLal planning liaison (regional trails task forces) ;
reviewing and commenting an advanced and external planning issues
(general plans , subdivision, ordinance , use permits , development ,
and redevelopment) ; developing land use policy; special project
work; and assisting all planners as needed .
3) Qppp_jp,ce_ fanners: The title of open space planner remains
unchanged, but the area planning concept is invoked . The current
associate open space planner position will be eliminated after
the incumbent in that position moves into an open space planner
position . Each area open space planner will be responsible for a
specific geographical area , either foothills or skyline , and each
will supervise as planning technician. The open space planners
will be responsible for all site planning activities in their
respective planning areas and will be spending less time on
acquisition matters . only minor modifications in the current

open space planner job specification are required to reflect,-, the
geographic,-°al focus of these positions and the supervisorial
duties .
4) Resource Planner: The position of environmental analyst will
be retitled resource planner . No major changes are proposed for
this position . Tncreased attention will be given to resource
inanageiiient and grants ; less time will be spent on acquisition
matters .
5) Planninq Technicians (Two New Full-Time Positions) : Two new
full-time planning technician positi(-)ns are proposed. A planning
technician will be assigned to each geographical area and
supervised by the open space planner. Duties of the planning
technician position include: researching issues for 11se, and
managemenI plans; drafting elements of use and management plans ;
participating in data gathering and monitoring for use and
management plans and resource management plans ; condUC-tAIIg
inspections for site improvements ; preparing plans and
specifications for minor improvements ; assisting with grant
application pr,eparation; preparing graphic materials for
District presentations and brochures ; field investigations
relating to planning and brochure maps ; and field research and
preparation of trail. signs .
Over the years , the District has provided for planning technician
and drafting support. through the filling of temporary positions .
There has been frequent turnover in these positions because (I-A
the temporary status . To meet site planning needs with staff
becoming well acquainted with District lands , two full-time
positions are, needed .
6) Secretary (One-Half Time) : This one-half times secretarial
position replaces the portion of the current open space
management secretary' s time dedicated to the planning department .
The new planning manager will need to determine if a one-half
time secretary adequately meets both his/her needs , as well. as
the secretarial support needs of the other members of the
planning staff .
PUBLIC AFFATRS PROGRAM
The current public communications program will be renarfied the
public affairs program. The expansion of the current program is
intended to facilitate implementation of the recor(Ime-ndat,-.1ons
presented in the public communications committee -report that
summari7,ed the October 29 , 1991 public communications workshop
(see report R-91-144 dated December 5, 1991) . Tn addition,
though the specific structure of this public affairs department
has not yet been defined, program emphasis will be placed on
building awareness of the. District ' s programs and opportunities
and expanding the District ' s public outreach programs .
STAFFING:
1 ) Public Affairs Man�k�er_ (New Full-Time Position) : A new
position of public affairs manager, would be created to head this
program, and it is anticipated to take three to four months to
fill this position. One of the duties of this positions will be

to provide assistance to the general manager on external affairs
and potential funding measures .
2) Other Staff Positions : Specific staffing recommendations for
other positions in the department will be made after the public
affairs manager is hired and has had an opportunity to determine
staffing needs . The current position of public communications
coordinator will be eliminated effective May 31 , 1992 . The
current public communications secretary position has been
temporarily upgraded by the general manager to a public affairs
assistant position . At thip time, the public affairs program is
anticipated to include four to five staff members . These figures
include the receptionist position that currently falls under the
general administration program.
GENERAL ADMINTSTRATTON PROGRAM
The focus of staffing reorganization in this program is 1) to
allow the general manager to place greater emphasis on the
District ' s external affairs and potential funding measures
and 2) to place a greater emphasis and corresponding additional,
Staff time on human resource management at the District .
STAFFING•
1) Administrative Services Manager/District Clerk: The
administrative services manager will plan, direct , supervise, and
coordinate the District ' s administrative services, including
personnel management , budget preparation and monitoring, and
accounting. The administrative services manager will continue to
serve as personnel officer, will perform the duties of District
Clerk, and will coordinate various activities with the General
Manager and other District managers . As convener of the
District ' s management team, the administrative services manager
provides leadership in conceiving and implementing organizational
improvement programs and monitoring organizational health and
effectiveness . The position will continue to be supervised by
the general manager. With the addition of the administrative
analyst position, the administrative services manager will assume
some day-to-day administrative duties that the general manager
has been handling.
2) Administrative Analyst (New Full-Time Position) : You approved
the creation and filling of an administrative analyst position in
December (see report R-91- 143 dated December 5, 1991) . This
position has been filled, and the new administrative analyst will
join the District ' s staff OD March 4 . A primary focus of the
position is professional personnel work related to recruitment
and selection, classification, compensation, and employee
relations. Tn addition and depending on time available , the
analyst will perform a wide variety of general administrative
tasks and special projects-studies . The position will be
supervised by the administrative services manager .
3) Secretary to the General Secretary,

and Accounting QecialistL No major changes are proposed in
these positions . The secretary to the general manager-office
manager will take the majority of Board meeting minutes , with

the personnel secretary providing back-up. Minute taking will
not continue as a general shared secretary responsibility.
4) g1prinTypist (Mew One-Half Time Polition)l The clerk-typist:
will provide general clerical support such as word processing,
filing, photocopying, and clerical accounting support for the
department and for other departments as time allows and if
needed. The administrative analyst will supervise the clerk-
typist .

public affairs department after the public affairs manager
determines how tho position should he filled. The position is
currently a regular one-half time position . The position has
been filled on a tomporary bdSi t S for the of half time after it
was no longer feasible for District secretaries to cover the
phones and the receptionist ' s desk in the afternoons .
COST TMPLICATTONS FOR ALL DEPARTMENTS:
Estimated maximum additional salary and related benefit costs Lo
implement the staffing changes discussed in thin report are
$460 , 200 . This figure is based upon salariem at the Lop of the
salary ranges but does not include future salary range cost of
living or market adjustments . Because of hiring and other
implementation schedules and because not everyone will be at the
top of his or her range , the initial costs will not be as great .
The current 1991-1992 salary range structure was used as the base
for the cost estimates . Specific salary ranges for reclassified
p(mitigees or upgraded positions will be presented for your,
consideration during the implementation portion of the staffing
reorganization .

Discussion: At your meeting of January 22 , you approved the
budget for purchase of office furniture and casework for the new
office building . A notice requesting bids was published in the
San Mateo Times , Peninsula Times Tribune, and the San Jose
Mercury. The public bid opening was Friday, February 21 .
This item is on your agenda for consideration in the event the
bid evaluation process for the office furniture and/or the
casework is completed by February 26 .

Interiors as the low bidder on this portion of the furniture
bid.
4 . Award the bid for all remaining furniture in the furniture
bid to Corporate Environments , Inc .
5 . Authorize the General Manager to siin contracts with each of
the above companies . The appropriate furniture contracts
will not be signed until the Office Space Committee has
given final approval of the chair fabrics and occasional
table .
Discussion : At your meeting of January 22 , 1992 , you authorized
staff to advertise for bids on the furniture and casework for the
new office building at 330 Distel Circle . Bids were opened on
Friday, February 21 , 1992 .
Three bids were received for the casework , $42 , 100 , $47 , 020 , and
$56 , 203 . The lowest bid was by Westwood Design of San Jose.
Staff called several references for this company and concluded
that Westwood is the lowest responsible bidder for this work.
only one supplier bid on the Herman Miller chairs in the bid
package . This is not unusual as this manufacturer deals with
only a limited number of distributors . However , the bid price is
very competitive when compared with list prices .
Two companies bid on the Allsteel file cabinets to be installed
under the casework desktops , one at $25 , 070 and one at $22 , 822 .
These numbers do not include tax and shipping. The low bidder
was Business Interiors .

There were six bids on the remainder of the furniture : boardroom
chairs , conference tables , kitchen furniture , etc . These bids
ranged from $19 , 025 to $27 , 889 . The highest bid included freight
and so could not be compared with the others , which separated
shipping expenses as requested in the bid instructions . The
lowest bid was receive from Corporate Environment , Tue .
The bid instructions for the furniture stipulated that the
"District reserves the right to award on an ' all-or-nothing '
basis or to accept any portion of the items bid" . Accordingly ,
staff recommends splitting the award into the three sections
stated to provide the lowest cost to the District .
The above furniture amounts do not include tax or shipping, which
would add approximately 15% to the stated numbers . including
this estimate of extra charges brings the total furniture costs
to approximately $71 , 000 . When the casework is added, the total
is about $113 , 000 . The budget approved for all furniture for the
building was $202 , 000 . However , the bid numbers above do not
include appliances needed for the kitchen, two new drafting
tables needed for the planners , meeting tables for two managers '
offices , three chairs needed for the reception area, and
furniture for the general manager ' s office . Staff estimates
these additional items may cost $35, 000 to $40 , 000 . Therefore ,
it appears at this time that the furniture will be acquired for a
total amount well below budget .

Adopt the Relative Site Emphasis Plan and Use and Management Plan
Target Review Schedule as contained in this report .
Discussion: You tentatively adopted the Relative Site Emphasis
Plan and Use and Management Plan Target Review Schedule at your
December 18 , 1991 meeting (report R-91-148 dated December 9 ,
1991) . Since that time there have been revisions made to the
Relative Site Emphasis Plan based on revised construction
schedules and estimated construction costs . There have been no
changes made in the Use and Management Target Review Schedule .
The attached Relative Site Emphasis Plan is revised to reflect
changes that have been occuring since December 18 , 1991 . Many of
these changes are due to refined scheduling and cost estimating
that occur in the normal budget preparation process . There are
also changes that have resulted from recent contract negotiations
and bidding processes associated with the projects at both field
facilities and the historic preservation project at the Picchetti
Ranch. A more detailed description of these changes will be
presented by staff at your meeting.
An analysis of the anticipated capital improvement expenditures
for fiscal year 1991-1992 indicates approximately $477 , 000 will
be carried over into the 1992-1993 fiscal year. Some of the
projects that are carried over are currently in the bidding
process but are not due to be completed until after the beginning
of the new fiscal year. Other delays are attributed to permit
problems , contract negotiations and staffing limitations .

Authorization to Purchase Vehicles
GENERAL MANAGER ' S RECOMMENDATIONS }
1 . Approve the attached Resolution of the Board of Directors of
the Midpeninsula Regional Open Space District Authorizing
the Department of General Services Administration of the
State of California to Purchase Certain Items for the
Midpeninsula Regional Open Space District.
2 . Direct the General Manager to execute a purchase contract
with the State Department of General Services Administration
for one full size patrol truck and one five passenger
utility vehicle.
DISCUSSION
The District ' s five year capital equipment schedule provides for
one replacement and one additional patrol vehicle in fiscal year
1992-1993 . Staff has recommended the additional patrol vehicle
be a small utility type vehicle. This would provide the Skyline
supervising ranger a vehicle capable of carrying small groups of
contractors , field staff , and office staff on land tours ,
training, and other field activities , while still being suitable
for patrol . A small utility vehicle has lower maintenance,
repair, fuel , and tire costs than a full size patrol truck.
Purchase orders for vehicles acquired through the state General
Services Administration (GSA) must be placed in early March if
the vehicles are to be received in the District ' s 1992-1993
fiscal year.
Purchasing vehicles through GSA results in a considerable savings
to the District. Staff time normally required to write detailed
specifications and conduct the formal bid process is greatly
reduced. GSA fleet purchasing using a statewide bidding process
insures the best possible price.

RESOLUTION OF THE BOARD OF DIRECTORS OF THE
MIDPENINSULA REGIONAL OPEN SPACE DISTRICT
AUTHORIZING THE DEPARTMENT OF GENERAL
SERVICES ADMINISTRATION OF THE STATE OF
CALIFORNIA TO PURCHASE CERTAIN ITEMS FOR THE
MIDPENINSULA REGIONAL OPEN SPACE DISTRICT
The Board of Directors of the Midpeninsula Regional Open Space
District does resolve that the Office of Procurement , Department
of General Services Administration of the State of California is
hereby authorized to purchase vehicle (s) for and on behalf of the
Midpeninsula Regional Open Space District pursuant to section
14814 of the Government Code, and that Herbert Grench, General
Manager, or his duly authorized representative, is hereby
authorized to sign and deliver all necessary requests and other
documents in connection therewith for and on behalf of the
Midpeninsula Regional Open Space District.

Final Adoption of the Preliminary Use and Management Plan for the
White et al . (Beneficial) Property Addition to Sierra Azul Open
Space Preserve
GENERAL MANAGER' S RECOMMENDATIONS _ p
1 . Adopt the Preliminary Use and Management Plan for the White
et al . property addition to the Cathedral Oaks Area of
Sierra Azul Open Space Preserve , including the naming, as
contained in report R-92-13 .
2 . Indicate your intention to dedicate the property as public
open space.
Discussion: At your January 22 , 1992 meeting, you approved the
acquisition of the 9-acre White et al . (Beneficial) property
addition to Sierra Azul Open Space Preserve (see report R-92-13
dated January 22, 1992) . You tentatively adopted the Preliminary
Use and Management Plan for the addition, including naming the
property as an addition to the Cathedral Oaks Area of Sierra Azul
Open Space Preserve . You also indicated your intention to
dedicate the land as public open space .
In accordance with your adopted Land Acquisition Notification
Procedures, final adoption of the Preliminary Use and Management
Plan was deferred until after close of escrow to allow further
time for public comment. Escrow on the property closed on
February 4 , 1992 . Staff has received no further public comment.

Dear Robert:
Thank you for contacting my office in support of the County's current
strong trail policies. I agree with you that maintaining these policies will
allow us to establish the countywide trail system envisioned by our
General Plan.
After a five hour public hearing on January 28, 1992, the Board of
Supervisors voted to support the trail easement policies without the
restrictive amendments added by the Planning Commission.
The Board received thousands of postcards, letters, and phone calls
supporting the County's trail policies. I personally want to thank you for
your advocacy on behalf of our county's trail system.

MEMORANDUM

SUBJECT: Remodel of 330 Distel Circle
Potential Cost Overruns
We have been informed by Roma, the General Contractor for the
Distel remodel , that they discovered several serious problems
with the roof at Distel when they opened the roof for the new
heating system ducts and the skylights .
1 . They found evidence of dryrot in the roof structure.
2. The plywood under-layment is improperly installed.
3 . The crickets , structures under the roof cover which help to
direct water drainage , are constructed of a cellulose material
instead of wood or plywood. They have become wet over time and
are decomposing.
The Steinberg Group has recommended that we have the structural
engineer and a roof specialist investigate these problems .
These issues regarding the roof are the most serious problems we
have encountered since the start of construction, in terms of the
potential cost to repair . On a worst case basis the delay to the
job could be as much as two weeks and the additional costs could
be in the $20-25, 000 range. As a minimum, the structural issue
needs to be corrected, which will cost in the range of $5, 000 .
Due to this new problem, we have serious concerns regarding our
budget . Since the memo of January 30 , 1992 , regarding the status
of the project budget , we have received tentative costs on
several change orders . Some of the largest are :
1 . To correct the structural insufficiency along the back wall
of the new boardroom $4 , 300
2 . To incorporate the rainwater leads into the ceiling design
$5, 500
3. To build a coffee bar for the tenants (Alternate #1
mistakenly removed from the bid package) $5 ,700 .
I have also received a request from Steinberg to approve fees to
them for additional services necessary to address the structural

and building code problems with the building, revealed when we
opened the walls . These are issues which they could not have
anticipated and should rightly be considered outside the scope of
their contract . Additionally, there are daily small charges
which get debited from the "Contingency" account .
As of the January 30 memo, the amount remaining in the
Contingency account was $45, 857 . If the worst case costs for the
roof repair come true , this will fully deplete the Contingency
account .
We hope to have more definite information regarding the scope of
the roof problems and the possible cost to repair after the
Thursday meeting with the contractor and the architect . However ,
at this time it appears very likely we will need to request
additional funds from the Board.
