I. ROLL CALL
President Robert McKibbin called the meeting to order at 7 : 45
p.m. at the District office.

The Board recessed to Closed Session to conduct the performance
evaluation for the general manager.

MINUTES
I . ROLL CALL
President Robert McKibbin called the meeting to order at 7 : 35 P .M.
Members Present: Ginny Babbitt , Richard Bishop, Betsy Crowder, Kay
Duffy, Nonette Hanko, Teena Henshaw, and Robert McKibbin.

II . ORAL COMMUNICATIONS
H. Grench announced that a new agenda format was being used for the
meeting and that according to the agenda format oral communications
was the public ' s opportunity to request that the Board remove an
item from the consent calendar.
There were no oral communications .
III . ADOPTION OF AGENDA
H. Grench requested that a special order of the day be added to the
agenda .
H . Grench requested that the Board remove the minutes of March 24 ,
1992 from the consent calendar .
N. Hanko requested that the Board remove the minutes of March 25 ,
1992 from the consent calendar.
R. McKibbin stated that the agenda was adopted by consensus with the
addition of the special order of the day and the removal of minutes
of March 24 and March 25 from the consent calendar.
IV. SPECIAL ORDER OF THE DAY
H. Grench stated that the Special Order of the Day was to celebrate
the District ' s becoming California ' s first tri-county regional open
space district . R . McKibbin recognized the District ' s twentieth
year and the occasion of the District ' s becoming the first tri-
county regional open space district in California by its annexation
of lands in Santa Cruz County.
V. ADOPTION OF CONSENT CALENDAR
Motion : T. Henshaw moved that the Board adopt the items on the
consent calendar as amended. R. Bishop seconded the motion .
The motion passed 7 to 0 .

The Board made various recommendations for the appearance of consent
items on the distributed agenda for the benefit of the public. R.
McKibbin stated that the Board would first try the new
format . agenda
Recommendations were also made concerning the standardized postcard
response to written communications, including having a statement
that the Board reviewed the written communication, adding a brief
handwritten response, and having the president ' s signature on the
printed cards . R. McKibbin stated that he would work with staff on
changes as needed.
VI . APPROVAL OF MINUTES
March 23 , 1992
H. Grench stated that minutes dated March 24 , 1992 were incorrectly
dated and should be dated March 23 , 1992 .
Motion : B . Crowder moved that the Board approve the minutes of March
23 , 1992 as corrected . T. Henshaw seconded the motion . The
motion passed 7 to 0 .
March 25 , 1992
N. Hanko stated that in the discussion of streamlining District
procedures the Board did not agree to discontinue serving cookies at
Board meetings since T. Henshaw had agreed to provide cookies . She
stated that page 5, item C . 3 . showed consensus for items (E)
through (J) , and that the minutes should be corrected to state for
item (G) that "the Board agreed that serving cookies at Board
meetings should not be eliminated and T. Henshaw stated that she
would provide cookies . "
Motion : B. Crowder moved that the Board approve the minutes of March
25 , 1992 as corrected . G. Babbitt seconded the motion. The
motion passed 7 to 0 .
VII . BOARD BUSINESS
A. Review of Comprehensive use and Management Plan for Skyline
Ridge Open Space Preserve (Report R-92-47 )
D . Woods stated that the format of the report was streamlined
for ease of reference showing all of the recommendations at the
beginning of the report . He stated that the report also showed
the resources in staff time and money necessary to implement the
recommendations .
M. Gundert showed slides exhibiting projects on Skyline Ridge
Open Space Preserve. She stated that the development project
totalled about $1 million dollars and that $820 , 000 of the
project costs were funded by grant and donations . She stated
that the improvements made in the project included a left-turn
lane on Skyline Boulevard , a tunnel under Alpine Road, whole
access parking and equestrian parking, trail development
including a whole access trail at Alpine Pond, and restrooms .
She explained that a problem with the parking lot surfacing
material that caused the lots to become very slippery after rain
was probably due to a vein of the quarried material used that
decomposed in such a way to cause the slippery condition . She

added that new gravel material spread over one of the lots
seemed to correct the problem and that new material would also
be spread over the other lot . -
M. Gundert highlighted features of a $28 , 380 Land and Water
Conservation Fund grant project including completion of a spur
trail at Horseshoe Lake built by District staff , a consultant ,
and volunteers from The Trail Center . She stated that there
would be grading and drainage improvements to the road crossing
Horseshoe dam to the southeast border of the preserve and an
additional 3/4 mile section of trail . She indicated other
proposed sections of trail to be completed, including a segment
of the Bay Area Ridge Trail .
In a review of completed projects , M. Gundert showed slides of
corporation yard improvements including installation of an
underground gasoline tank and a hazardous materials storage
shed . She indicated that the construction and dedication of the
David C . Daniels Nature Center building was complete and that a
focus committee of five members representing Peninsula Open
Space Trust , the District ' s Board of Directors , field staff ,
planning staff , and docents , would work with a consultant to
design the interior of the building.
M. Gundert explained that the cost of modifications to existing
structures at the building compound of Skyline Ridge Open Space
Preserve for Skyline field office space expansion would likely
exceed construction costs for a new building that would include
additional office space , adequate employee restrooms , and
meeting space . She stated that the new building would not be
visible from Skyline Boulevard and would include a public
contact area . M. Gundert noted that water well storage tank
improvements were necessary. She added that the A-frame house
located near the field office would be converted from an
enterprise rental to a ranger residence in order to increase
surveillance to the corporation vard and nature center. She
stated that occupancy by a ranger would also decrease the amount
of traffic through the corporation yard .
Reviewing restoration projects M. Gundert showed slides of
volunteers planting native shrubs and native oaks . She
indicated that the maintenance of the plantings was being done
by the volunteers and that records of the project were also
being maintained and would be useful for future projects .
M. Gundert stated that the California State Division of the
Safetv of Dams had determined that the Alpine Pond dam was
within its jurisdiction . She said that in order to comply with
state standards all vegetation may have to be removed from the
face of the dam and that the spillway may have to be enlarged .
She stated that a study of the various options to alter the dam
or meet state standards would be prepared by a consultant and
presented to the Board.
M. Gundert stated that because of siltation and erosion due to
cultivation of Christmas trees on Skyline Ridge Open Space

Preserve near Horseshoe Lake, staff recommended that there be no
extension of the existing 100-acre agricultural lease that would
terminate in 1999 . She added that a biological study of the
impact of fishing at Alpine Pond had been done by Dr. Sam
McGinnis . She said he concluded that in general fishing was not
compatible with the emphasis on the environmental education
program. She stated that Dr. McGinnis discouraged bank fishing
because the shores of the pond would be trampled and that there
would be litter from cans and paper debris as well as discarded
fishing line . M. Gundert noted that a proposal from Richard
Izmirian , Federation of Fly Fishers was contained in a letter to
the Board dated April 7 , 1992 , recommending a "catch and
release" fishing program utilizing float tubes . She stated that
although Dr. McGinnis ' study concluded that the fish population
would benefit from a population reduction due to fishing, staff
would not propose such a program because of the impact on staff
and the use conflicts that would arise.
D . Woods exhibited the new Skyline Ridge Open Space Preserve
trailhead sign and map produced utilizing computer-based
mapping. He distributed the new carry-along fact sheet and map
to the Board . He explained that the fact sheet map was
identical to the trailhead sign map and that permitted trail
uses and contours were more clearly marked on the maps . He
pointed out that regulations were placed prominently on the
trailhead sign and that an area wide map of the District , key
features of the various preserves , and District general
information was also provided on the sign . He stated that a
sign for Russian Ridge Open Space Preserve would be completed in
two weeks and that the next signs to be prepared utilizing
computer-based mapping would be for Fremont Older and Monte
Bello Open Space Preserves . He stated that sign development for
a single sign includes about 40 hours of field staff time ,
including input , measurements , sign installation , and revisions .
He stated that the process involves about 120 hours of planning
staff time for mapping, consultant direction , revisions , and
production time including contracting with the sign company. D .
Woods noted that computer time cost was about $1 , 000 and
materials cost was about $3 , 000 for each sign . B . Crowder
suggested that a date appear on the map. N . Hanko suggested
that "Midpeninsula Regional Open Space District" be prominently
displayed on the trailhead sign . D. Woods pointed out that the
main preserve signs emphasized the District ' s name .
Staff responded to questions and received comments from the
Board concerning the entire use and management plan. N. Hanko
asked about plans for installation of pay telephones at Skyline
Ridge . M. Gundert responded that telephones previously
installed at Los Trancos Open Space Preserve were vandalized but
that the District would install one if CalTrans did not install
one . K. Duffy commented on the need for hiker svmbols where
hiking trails crossed horse trails and also stated that she
received a complaint that there was not enough room to turn
horse vans around in the Horseshoe Lake parking lot . M. Gundert
stated that removal of some of the log barriers was planned .

R. McKibbin suggested that the first paragraph of section 4 . 0 of
the Use and Management Plan be revised to state " . . staff may
have to remove the platforms on a temporary or permanent basis"
in order to give staff the option of permanent removal of the
platforms if necessary. R . McKibbin stated his objection to the
killing of anything, including fish, on the District ' s preserves
and commented on the potential -degradation of Alpine Pond if a
fishing program was instituted . He cited as an example the
litter and degradation to the banks of Stevens Creek Reservoir
that was observable in just three weeks of recent use since the
resumption of fishing activity. Board discussion followed
concerning fishing at Alpine Pond .
R. McKibbin asked for public comment on the Comprehensive Use
and Management Plan for Skyline Ridge Open Space Preserve and
drop any further study of it . There was no public comment .
Motion: N. Hanko moved that the Board tentatively adopt the
revised Comprehensive Use and Management Plan for
Skyline Ridge Open Space Preserve and express its
intention to dedicate the 54-acre former Bullis
property as public open space . T. Henshaw seconded the
motion .
Motion R . McKibbin moved that the Board amend the motion to
to prohibit fishing on Skyline Ridge Open Space Preserve .
Amend: R. Bishop seconded the motion . The motion to amend
passed 7 to 0 .
Motion N. Hanko moved that the Board amend the motion to
to allow staff to remove the floating platforms on
Amend Horseshoe Lake and Alpine Pond on a temporary or
permanent basis if necessary. G. Babbitt seconded the
motion. The motion to amend passed 7 to 0 .
Motion K. Duffy moved that the Board amend the motion to add
to Section 1 . 8 - The possibility of a trail on the old
Amend roadbed from the bend in the road near the ranger yard
returning to the Horseshoe parking lot will be
evaluated . N . Hanko seconded the motion. The motion
to amend passed 7 to 0 .
The original motion as amended passed 7 to 0 .
B . Adoption of Revised Interim Guidelines to Distribute Brochures
from Other Organizations on the District ' s Preserves (Report R-
92-46)
C_. Britton stated that the recommendation to reinstate interim
guidelines for distribution of brochures by other organizations
was made because Peninsula Open Space Trust requested a one-year
trial period extension for distribution of its brochures . He
stated that at each site designated the brochures would be in a
distribution box with a sign apart from the main District sign.
He stated that three potential sites for distribution were Windy
Hill Open Space Preserve , the David C . Daniels Nature Center at
Skvld.ne Ridge Open Space Preserve , and the Redwood Trail at

Purisima Creek Redwoods Open Space Preserve . Board members
discussed the possibility of other organizations requesting on-
site distribution and emphasized their desire that staff return
to the Board for reconsideration of the guidelines and the
program at the end of the one-year trial period.
Motion : K. Duffy moved that the Board approve the revised
interim guidelines for distribution of brochures from
other organizations on the District ' s preserves on a
one-year trial basis , and direct staff to return to the
Board with an evaluation of the guidelines at the end
of the trial period. G. Babbitt seconded the motion .
The motion passed 7 to 0 .
C . Scheduling of Special Meeting for Performance Evaluation of
Controller and Legal Counsel (Report R-92-48)
By consensus the Board scheduled a Special Meeting for the
purpose of conducting performance evaluations of controller and
legal counsel in closed session on Thursday, April 23 , 1992
beginning at 7 : 30 P .M. at the District office .
VIII . INFORMATIONAL REPORTS
H. Grench stated that Senator Mello' s Senate Bill 2027 passed in the
Senate Local Government Committee . Concerning the formation of the
Santa Clara County open Space Authority, he stated that the Board ' s
Legislative Committee recommendation was to exclude all lands within
the District ' s sphere of influence from being within the boundaries
of the Santa Clara County Open Space Authority.
N. Hanko stated that the rationale for the Legislative Committee ' s
recommendation was to have jurisdiction over the territory within
the District ' s sphere of influence and that the boundaries of the
Santa Clara County open Space Authority and District boundaries
should not overlap. The Board concurred with the recommendation.
C . Britton reported that the Long Ridge Open Space Preserve
annexation final filing was made in Santa Clara County on March 25 ,
1992 and in Santa Cruz Countv on March 28 , 1992 . He said Santa
Clara County Local Agency Formation Commission was scheduled to
consider the annexation of lands in San Mateo County on April 8 ,
1992 . He stated that the District arrived at a settlement with Alan
Hosking that included Mr . Hosking ' s payment of $4 , 500 per month for
four months tenancy and $6 , 000 for legal fees . He stated that the
amount of the settlement will be deducted from money owed to Mr .
Hosking by the District .
M. Hale reported that $1 , 115 in donations and many compliments had
been received by the District since the last issues of Walks and
Hikes and the District newsletter were distributed .
N . Hanko reported on the 20th Anniversary Committee ' s progress . She
stated that Peninsula Times Tribune had chosen the Midpeninsula
Regional Open Space District as the recipient for its subscription
promotion. The promotion offer would be a 13 week subscription to
the Peninsula Times Tribune for $20 . 35 , of which $7 . 35 would be
donated to the District. The offer was being made by the newspaper

to urge support for the District ' s 20th anniversary.
R. McKibbin stated that he made a presentation and conducted a brief
hike at Rancho San Antonio Open Space Preserve for the Los Altos
League of Women Voters .
C . Britton reported that he and D. Woods made a presentation to the
Santa Clara County Parks Commission on the proposed joint project
acquisition of Jacques Ridge . D. Woods showed the slide
presentation to the Board.
Ix. CLOSED SESSION
S . Norton announced that existinglitigation , MROSD vs . Los Gatos ,
and potential litigation to be discussed in closed session fell
under Government Code Section 54956 . 9 (a) and (b) . C . Britton
announced that the acquisition matter to be discussed was being
negotiated with Ryland Kelly, owner, San Mateo County .assessor ' s
parcel numbers 076-350; -150 ; and -240 . The Board recessed to
Closed Session on litigation and acquisition matters at 10 : 10 P .M.
X. ADJOURNMENT
The Board reconvened to adjourn the meeting at 11 : 15 P .M.

President Robert McKibbin called the meeting to order at 4 :40 P.M.

BOARD-MANAGER WORKSHOP
The Board held a closed personnel session for the performance
evaluation of the general manager and management team, including the
Board-management team relationship. The session was facilitated by
consultant George Sipel .
The meeting was recessed at 6:10 P.M. for dinner and reconvened at
6 : 30 P.M.

Appointment of Peace Officer - The Board adopted Resolution 92-12
appointing District ranger Brian Malone as a peace officer.
Proposed Addition of Green et al . Property to the Mt . Umunhum
Area of Sierra Azul Open Space Preserve - The Board adopted
Resolution 92-13 to purchase the 20-acre Green et al . property.
The property is located on Sierra Azul ridge between Mt. Umunhum
and Mt . Loma Prieta. The Board tentatively adopted the
Preliminary Use and Management Plan including naming the property
as an addition to the Mt . Umunhum Area of Sierra Azul Open Space
Preserve and indicated its intention to withhold the property
from dedication as public open space at this time .
Completion of Annexation to the District of Lands Adjacent to
Skyline Ridge Open Space Preserve and Long Ridge Open Space
Preserve - The Board adopted Resolution 92-14 annexing 1.14 . 42
acres of Long Ridge Open Space Preserve and 229 . 49 acres of
Skyline Ridge Open Space Preserve.
Appointment of Auditor for 1991-1992 Fiscal Year - The Board
appointed Deloitte and Touche as the District ' s auditors for the
fiscal year 1991-1992 .

Re: Use and Management Plan: Skyline Ridge Open Space
Preserve.
Dear Mr. McKibbin and Directors:
We have reviewed the referenced use and management plan
regarding fishing at Horseshoe and Alpine Lakes. We believe that
our proposal for low impact float tube fishing in one or both lakes
resolves your staffs concerns about opening the lak-e(s) to fishing. I
regret that I cannot attend the April 8 meeting, but would be happy
to attend another meeting to discuss this issue.
Your staff characterizes our proposal as a "'catch and release' fishing
progra.m for adults". Although we do propose "catch and release", it
is not our desire to exclude any age group from fishing at the
preserve.
Staff objects to the float tube as a "swimming aid", and believes it
violates the District's swinuning ordinance. The float tube is not a
swimming pool toy. Body contact with the water is hinited to the
occasional hand splash, with the waders keeping the angler dry.
Float tubes are durable, safe, and a highly popular method of fishing
small lakes and ponds. Thousands of float tubers fish throughout
California - from farm ponds to high Sierra lakes. Two years ago I
offered to take any members of the Board or staff float tube fishing.
The offer still stands, but you will have to get us permission to float
and fish on Horseshoe Lake (fishing should be at its peak right now).

We agree with staff that fishing from the banks should not be
allowed. Staff points Out potential problems of bank- erosion, litter,
and hazards to wildlife from discarded fishing line. "Catch and
Release" float tube fishing-requiring single barbless artificial flies or
lures eliminates these concerns. These regulations will attract
anglers with a conservation ethic, and no special ranger supervision
will be necessary. Specially regulated "catch and release" trout
waters are effectively self monitored by those who cherish the
opportunities provided. Bait containers and beer cans will not be a
problem, unless the illegal night fishing continues. Float tubers
generally drink very little while fishing (for reasons I hope I don't
have to explain), so beverage container litter will not come from
anglers. Finally, float tubers do not have to sacrifice hazardous
quantities of line to avoid getting wet, even if using spinning gear.
The Horseshoe Lake vicinity will be heavily utilized by hikers,
equestrians, picnickers, wildlife observers, and other park users. it
is inconceivable that a modest amount of fishing activity will require
any additional staff time over what will otherwise be in place. The
very open view of the lake will inevitably discourage those who
would disregard the regulations.
We hope that the Board agrees that lifting the ban on fishing would
fill a recreational need in San Mateo County, and enhance the value
of the Midpenhisula Regional Open Space lands to the citizens of the
District.

Dear Mr . Izmirian:
At our April 8 meeting, the Board of Directors of the
Midpeninsula Regional Open Space District considered your April 7
letter regarding fishing at Horseshoe Lake . This item was
discussed in conjunction with the review of the Comprehensive Use
and Management Plan for Skyline Ridge Open Space Preserve . After
a lengthy discussion, we decided that fishing will not be
permitted at the preserve .
Although fishing may be a compatible open space recreational use ,
the Board of Directors feels that it is not an appropriate use at
Horseshoe Lake or Alpine Pond. We agree that if such a program
were ever contemplated by the District, a "catch and release"
fishing program would be desirable , but a "float tube" program
would not serve the broad population of preserve users . In
addition, the lake ' s fragile environment , coupled with management
problems associated with any fishing program, are sound reasons
for not approving the proposed use at this location. It is our
feeling that any fishing program in Horseshoe Lake would
encourage uncontrollable shoreline fishing and swimming, in
addition to associated problems with litter and erosion.
Our goal is to provide a safe and enjoyable experience to all
preserve users while protecting our natural resources . The lakes
at Skyline Ridge Open Space Preserve will remain available for
everyone to enjoy, as a scenic area, wildlife habitat, and fish
sanctuary.

This 20-acre property straddles Sierra Azul ridge between Mt .
Umunhum and Loma Prieta Mountain. Loma Prieta Road crosses the
property . A 10-acre private parcel adjoins the subject property
on a portion of its northern boundary . District land surrounds
the property on its remaining sides .
The property offers views of Almaden Reservoir to the northeast ,
and Los Gatos Creek Canyon to the south. Chaparral is the
dominant plant community on the site . No unusual plants or
animals were observed on the site . There are no structures on
the property .

The Board of Directors of the Midpeninsula Regional
Open Space District does resolve as follows :
Section 0 n e � The Board of Directors of the Midpeninsula
Regional Open Space District does hereby accept the offer
contained in that certain Purchase Agreement between Katherine G.
Green at al , and the Midpeninsula, Regional Open Space District , a
copy of which is attached hereto and by reference made a part
hereof , and authorizes the President or appropriate officers to
execute the Agreement on behalf of the District .
Sectio n Two . The President of the Board of Directors or
other appropriate officer is authorized to execute a Certificate
of Acceptance on behalf of the District .
Sect i on h ree . The General Manager or Assistant General.
Manager of the District shall cause to be given appropriate
notice of acceptance to the seller . The General Manager or
Assistant General Manager further is authorized to execute any
and all other documents in escrow necessary or appropriate to the
closing of the transaction .
Section Four . The General Manager of the District is
C nu A thoriz . to expend up to $1 , 000 to cover the cost of title
insurance , escrow fees , site clean-up, and other miscellaneous
costs related to this transaction .
Section Five . Tt is intended , reasonably expected and
hereby auth-o-&-sed that the District ' s General fund will be
reimbursed in the amount of $75 , 000 from the pi ore eds of the next
long term District note issue . This Section of this Resolution
is adopted by the Board of Directors of the Midpeninsula Regional
Open Space District solely for purposes of establishing
compliance with the requirements of Section 1 . 103-18 of the
Treasury Regulations . The reimbursement of this payment
expenditure is consistent with District ' s budgetary and financial
circumstances . There are no funds or sources of moneys of the
District that have been , or reasonably are expected tc be
reserved or allocated on a long-term basis , or otherwise set�
aside to pay the costs of this open space land acquisition
project which are to be paid or reimbursed out of proceeds of
indebtedness to be issued by District . The Board of Directors
hereby declares District ' s official intent to use proceeds of
indebtedness to reimburse itself for this open space land
acquisition project expenditure .
PURCHASE AGREEMENT
This Agreement is made and entered into by and between Katherine G.
Green and Ann B, Turner, as surviving joint tenants, hereinafter
called "Seller" and the MIDPENINSULA REGIONAL OPEN SPACE DISTRICT, a
Public District formed pursuant to Article 3 of Chapter 3 of Division
5 of the California Public Resources Code, hereinafter called
"District . "
WITNESSETH
WHEREAS, Seller is the owner of certain real property which has open
space and recreational value, located within an unincorporated area
of the County of Santa Clara, and being more particularly described
within the body of this Agreement; and
WHEREAS, Seller entered into that certain "Exclusive Authorization
and Right to Sell" agreement with Joe Beatty Real Estate on February
7, 1992, thereby offering said real property for sale to the general
public; and
WHEREAS, District was formed by voter initiative to solicit and
receive conveyances of real property by purchase, exchange, gift, or
bargain purchase for public park, recreation, scenic and open space
purposes; and
WHEREAS, District desires to purchase said property for open space
preservation and as part of the ecological and aesthetic resources of
the midpeninsula area; and
WHEREAS, Seller wishes to sell and convey the entirety of said
property to District, and District wishes to purchase said property
upon the terms and conditions set forth herein .
NOW, THEREFORE, IT IS MUTUALLY UNDERSTOOD AND AGREED as follows :
1 . Purchase and Sale . Seller agrees to sell to District and
District agrees to purchase from Seller, Seller ' s real property
located within an unincorporated area of the County of Santa Clara,
State of California, containing approximately twenty (20) acres, more
or less, and commonly referred to as Santa Clara County Assessor' s
Parcel No . 562-20-020 . Said property being further described in the
Legal Description attached to Preliminary Title Report number AL-
190886 dated January 31, 1992 from Continental Lawyers Title Company,
a copy of said preliminary title report attached hereto as Exhibit
"A, " and incorporated herein by this reference . Said property to be
conveyed together with any easements, rights of way, or rights of use
which may be appurtenant or attributable to the aforesaid lands, and
any and all improvements attached or affixed thereto. All of said

real property and appurtenances hereinafter called the "Subject
Property" or the "Property. "
2 . Purchase Price . The total purchase price ("Purchase Price")
for the Property shall be Seventy Five Thousand and No/100 Dollars
($75, 000 . 00) , payable in cash at the Closing (as further defined
herein . )
3 . Escrow. Promptly upon execution of this Agreement, in
accordance with Section 11 herein, an escrow shall be opened at
Continental Lawyers Title Company, 4991 Cherry Avenue, Suite A, San
Jose, CA 95118, phone number (408) 448-2500, or other title company
acceptable to District and Seller (hereinafter "Escrow Holder")
through which the purchase and sale of the Property shall be
consummated. A fully executed copy of this Agreement shall be
deposited with Escrow Holder to serve as escrow instructions to
Escrow Holder; provided that the parties shall execute such
additional supplementary or customary escrow instructions as Escrow
Holder may reasonably require . This Agreement may be amended or
supplemented by explicit additional escrow instructions signed by the
parties, but the printed portion of such escrow instructions shall
not supersede any inconsistent provisions contained herein . Escrow
Holder is hereby appointed and instructed to deliver, pursuant to the
terms of this Agreement, the documents and monies to be deposited
into the escrow as herein provided, with the following terms and
conditions to apply to said escrow:
(a) The time provided for in the escrow for the close thereof
shall be on or before May 15, 1992, provided, however, that the
parties may, by written agreement, extend the time for Closing. The
term "Closing" as used herein shall be deemed to be the date when
Escrow Holder causes the Grant Deed (as defined below) to be recorded
in the Office of the County Recorder of Santa Clara County.
(b) Seller and District shall, during the escrow period,
execute any and all documents and perform any and all acts reasonably
necessary or appropriate to consummate the purchase and sale pursuant
to the terms of this Agreement .
(c) Seller shall deposit into the escrow on or before the
Closing an executed and recordable Grant Deed covering the Property.
(d) District shall deposit into the escrow, on or before the
Closing:
(i) The required Certificate of Acceptance for the Grant
Deed, duly executed by District and to be dated as of the Closing .

(ii) District ' s check payable to Escrow Holder in the amount
of Seventy Five Thousand and No/100 Dollars ($75, 000 . 00) .
(e) Seller shall pay for the escrow fees, the CLTA Standard
Policy of Title Insurance, if required by District, and all recording
costs and fees . All other costs or expenses not otherwise provided
for in this Agreement shall be apportioned or allocated between
District and Seller in the manner customary in Santa Clara County .
All current property taxes on the Property shall be handled in
accordance with Section 4986 of the Revenue and Taxation Code of the
State of California.
(f) Seller shall cause Continental Lawyers Title Company, or
other title company acceptable to District and Seller, to be prepared
and committed to deliver to District a CLTA standard coverage Policy
of Title Insurance, dated as of the Closing, insuring District in the
amount of ($75, 000 . 00) for the Property showing title to the Property
vested in fee simple in District, subject only to: (i) current real
property taxes, and (ii) such additional title exceptions as may be
acceptable to District . In the event District disapproves of any
additional title exceptions and Seller is unable to remove any
District disapproved exceptions before the time set forth for the
Closing, District shall have the right either: (i) to terminate the
escrow provided for herein (after giving written notice to Seller of
such disapproved exceptions and affording Seller at least twenty (20)
days to remove such exceptions) and then Escrow Holder and Seller
shall, upon District ' s direction, return to the parties depositing
the same, all monies and documents theretofore delivered to Escrow
Holder or; (ii) to close the escrow and consummate the purchase of
the Property.
(g) Escrow Holder shall, when all required funds and
instruments have been deposited into the escrow by the appropriate
parties and when all other conditions to Closing have been fulfilled,
cause the Grant Deed and attendant Certificate of Acceptance to be
recorded in the Office of the County Recorder of Santa Clara County.
Upon the Closing, Escrow Holder shall cause to be delivered to
District the original of the policy of the title insurance if
required herein, and to Seller Escrow Holder' s check for the full
purchase price of the Subject Property (less Seller' s portion of the
expenses described in Section 3 (e) ) , and to District or Seller, as
the case may be, all other documents or instruments which are to be
delivered to them. In the event the escrow terminates as provided
herein, Escrow Holder shall return all monies, documents or other
things of value deposited in the escrow to the party depositing the
same .

4 . Rights and Liabilities of the Parties in the Evenof
Termination . In the event this Agreement is terminated and escrow is
cancelled for any reason, all parties shall be excused from any
further obligations hereunder, except as otherwise provided herein .
Upon any such termination of escrow, all parties hereto shall be
jointly and severally liable to Escrow Holder for payment of its
title and escrow cancellation charges (subject to rights of
subrogation against any party whose fault may have caused such
termination of escrow) , and each party expressly reserves any other
rights and remedies which it may have against any other party by
reason of a wrongful termination or failure to close escrow.
5 . Leases or Occupancy of PremiseZ . Seller warrants that there
exist no oral or written leases or rental agreements affecting all or
any portion of the Subject Property . Seller further warrants and
agrees to hold District free and harmless and to reimburse District
for any and all costs, liability, loss, damage or expense, including
costs for legal services, occasioned by reason of any such lease or
rental agreement of the Property being acquired by District,
including, but not limited to, claims for relocation benefits and/or
payments pursuant to California Government Code Section 7260 et se
Seller understands and agrees that the provisions of this paragraph
shall survive the close of escrow and recordation of any Grant
Deed(s) .
6 . Seller 's Representations and Warrant iez. For the purpose of
consummating the sale and purchase of the Property in accordance
herewith, Seller represents and warrants to District that as of the
date this Agreement is fully executed and as of the date of Closing:
6 . 01 Authority. Seller has the full right, power and authority
to enter into this Agreement and to perform the transactions
contemplated hereunder .
6 . 02 Valid and BindingAgreements . This Agreement and all other
documents delivered by Seller to District now or at the Closing have
been or will be duly authorized and executed and delivered by Seller
and are legal, valid and binding obligations of Seller sufficient to
convey to District the Subject Property described therein, and are
enforceable in accordance with their respective terms and do not
violate any provisions of any agreement to which Seller is a party or
by which Seller may be bound or any articles, bylaws or corporate
resolutions of Seller .
6 .03 Good Title . Seller has and at the Closing date shall have
good, marketable and indefeasible fee simple title to the Subject

Property and the interests therein to be conveyed to District
hereunder, free and clear of all liens and encumbrances of any type
whatsoever and free and clear of any recorded or unrecorded option
rights or purchase rights or any other right, title or interest held
by any third party except for the exceptions permitted under the
express terms hereof, and Seller shall forever indemnify and defend
District from and against any claims made by any third party which
are based upon any inaccuracy in the foregoing representations .
7 . integrity of Property. Except as otherwise provided herein or
by express written permission granted by District, Seller shall not,
between the time of Seller' s execution hereof and the close of
escrow, cause or allow any physical changes on the Property. Such
changes shall include but not be limited to grading, excavating or
other earthmoving activities, cutting or removing trees, shrubs,
brush or other vegetation, and damaging or demolition of improvements
or structures on the Property.
8 . Hazardous- Substances . "Hazardous substance" as used herein
means and includes polychlorinated biphenyls (PCB' s) , benzene,
asbestos or any other substance the placement, storage or removal of
which is prohibited or regulated by federal, state or local law.
(a) Seller warrants and represents that :
(i) During Seller' s ownership of the Property Seller has not
placed or stored or allowed to be placed or stored any hazardous
substance on the Property.
(ii) Seller has no knowledge of the presence on the Property
of any hazardous substance, whenever or however placed or stored.
(b) If hazardous substances are subsequently found to exist on
the Property, District may exercise its right to bring an action if
necessary to recover cleanup costs from Seller or any other person or
persons who are ultimately determined to have responsibility for the
hazardous substances on the Property. However, under no circumstances
shall Seller be held liable for costs other than those incurred in
the cleanup of the hazardous substances resulting from Seller' s
ownership and operation of the property.
9 . Wa ver of Statutory -Comi2ensation . Seller and District
understand and agree that Seller may be entitled to receive the fair
market value of the Property described in Exhibit "A", as provided
for by the Federal Uniform Relocation Assistance and Real Property
Acquisition Act of 1970 (Public Law 91-646) the Uniform Relocation
Act Amendments of 1987 (Public Law 100-17) , Title IV of the Surface
Purchase Agreement - Green & Turner Page 6
Transportation and Uniform Relocation Assistance Act of 1987 (101
Statutes, 246-256) , and California Government Code Section 7267, and
following. Seller hereby waives any and all existing and/or future
rights Seller may have to the fair market value of said Property,
appraisals, etc. , as provided for by said Federal Law and any
corresponding California Government Code Sections .
10 . Miscellaneous Provisions .
10 . 01 Choice of Law. The internal laws of the State of
California, regardless of any choice of law principles, shall govern
the validity of this Agreement, the construction of its terms and the
interpretation of the rights and duties of the parties .
10 . 02 Attorneys ' Fees . If either party hereto incurs any
expense, including reasonable attorneys ' fees, in connection with any
action or proceeding instituted by reason of any default or alleged
default of the other party hereunder, the party prevailing in such
action or proceeding shall be entitled to recover from the other
party reasonable expenses and attorneys ' fees in the amount
determined by the Court, whether or not such action or proceeding
goes to final judgment . In the event of a settlement or final
judgment in which neither party is awarded all of the relief prayed
for, the prevailing party as determined by the Court shall be
entitled to recover from the other party reasonable expenses and
attorneys ' fees .
10 . 03 Amendment and Waiver. The parties hereto may by mutual
written agreement amend this Agreement in any respect . Any party
hereto may : (i) extend the time for the performance of any of the
obligations of the other party; (ii) waive any inaccuracies in
representations and warranties made by the other party contained in
this Agreement or in any documents delivered pursuant hereto; (iii)
waive compliance by the other party with any of the covenants
contained in this Agreement or the performance of any obligations of
the other party; or (iv) waive the fulfillment of any condition that
is precedent to the performance by such party of any of its
obligations under this Agreement . Any agreement on the part of any
party for any such amendment, extension or waiver must be in writing.
10 . 04 Rights Cumulative . Each and all of the various rights,
powers and remedies of the parties shall be considered to be
cumulative with and in addition to any other rights, powers and
remedies which the parties may have at law or in equity in the event
of the breach of any of t'he terms of this Agreement . The exercise or
partial exercise of any right, power or remedy shall neither

constitute the exclusive election thereof nor the waiver of any other
right, power or remedy available to such party.
10 . 05 Notices . All notices, consents, waivers or demands of
any kind which either party to this Agreement may be required or may
desire to serve on the other party in connection with this Agreement
shall be in writing and may be delivered by personal service or sent
by telegraph, telefax communication or cable or sent by registered
or certified mail, return receipt requested, with postage thereon
fully prepaid. All such communications shall be addressed as follows :

addressee . Service of any such communication made only by mail shall

in writing served upon the other as aforesaid, designate a different

contained in this Agreement shall excuse either party from giving
oral notice to the other when prompt notification is appropriate, but

notice as provided in this Section .
10 .06 Severability. If any of the provisions of this Agreement
are held to be void or unenforceable by or as a result of a
determination of any court of competent jurisdiction, the decision of
which is binding upon the parties, the parties agree that such
determination shall not result in the nullity or unenforceability of
the remaining portions of this Agreement . The parties further agree
to replace such void or unenforceable provisions which will achieve,
to the extent possible, the economic, business and other purposes of
the void or unenforceable provisions .
10 . 07 Counterparts . This Agreement may be executed in separate
counterparts, each of which shall be deemed as an original, and when
executed, separately or together, shall constitute a single original
instrument, effective in the same manner as if the parties had
executed one and the same instrument .
10 . 08 Waiver . No waiver of any term, provision or condition of
this Agreement, whether by conduct or otherwise, in any one or more
instances, shall be deemed to be, or be construed as, a further or
continuing waiver of any such term, provision or condition or as a
waiver of any other term, provision or condition of this Agreement .
10 . 09 Entire Agreement . This Agreement is intended by the
parties to be the final expression of their agreement; it embodies
the entire agreement and understanding between the parties hereto; it
constitutes a complete and exclusive statement of the terms and
conditions thereof, and it supersedes any and all prior
correspondence, conversations, negotiations, agreements or
understandings relating to the same subject matter.
10 . 10 Time of Essence . Time is of the essence of each provision
of this Agreement in which time is an element .
10 . 11 Survival of Covenants . All covenants of District or
Seller which are expressly intended hereunder to be performed in
whole or in part after the Closing, and all representations and
warranties by either party to the other, shall survive the Closing
and be binding upon and inure to the benefit of the respective
parties hereto and their respective heirs, successors and permitted
assigns .
10 . 12 Assignment . Except as expressly permitted herein, neither
party to this Agreement shall assign its rights or obligations under

this Agreement to any third party without the prior written approval
of the other party.
10 . 13 Further Documents and Acts . Each of the parties hereto
agrees to execute and deliver such further documents and perform such
other acts as may be reasonably necessary or appropriate to
consummate and carry into effect the transactions described and
contemplated under this Agreement .
10 . 14 Binding on Successors and Assigns . This Agreement and
all of its terms, conditions and covenants are intended to be fully
effective and binding, to the extent permitted by law, on the
successors and permitted assigns of the parties hereto.
10 . 15 Broker' s Commission. District shall not be responsible
for any real estate commission or other related costs or fees in this
transaction . Seller agrees to and does hereby indemnify and hold
District harmless from and against any and all costs, liabilities,
losses, damages, claims, causes of action or proceedings which may
result from any broker, agent or finder, licensed or otherwise,
claiming through, under or by reason of the conduct of Seller in
connection with this transaction .
10 . 16 Captions . Captions are provided herein for convenience
only and they form no part of this Agreement and are not to serve as
a basis for interpretation or construction of this Agreement, nor as
evidence of the intention of the parties hereto.
10 . 17 Pronoun References . In this Agreement, if it be
appropriate, the use of the singular shall include the plural, and
the plural shall include the singular, and the use of any gender
shall include all other genders as appropriate .
11 . Acceptance . Provided that this Agreement is signed by Seller
and returned to District on or before March 27, 1990 District shall
have until midnight April 22, 1992 to accept and execute this
Agreement and during said period this instrument shall constitute an
irrevocable offer by Seller to sell and convey the Property to
District for the consideration and under the terms and conditions
herein set forth . As consideration for the tender of said offer,
District has paid and seller acknowledges the receipt of the sum of
Ten Dollars ($10 . 00) . Provided that this Agreement is accepted by
District, this transaction shall close as soon as practicable in
accordance with the terms and conditions set forth herein .

GENERAL MANAGER ' S RECOMMENDATION
Adopt the attached resolution annexing certain property to the
District in San Mateo County.
Discussion: On December 18 , 1991 you passed a resolution
initiating annexation of 114 . 42 acres of Long Ridge Open Space
Preserve and 229. 49 acres of Skyline Ridge Open Space Preserve to
the District (please see report R-91-147 dated December 10 ,
1991) . Santa Clara County Local Agency Formation Commission
(LAFCO) referred the matter to San Mateo County LAFCO for review,
and the latter approved the annexation on March 18 , 1992. Santa
Clara County LAFCO gave final approval on April 8 , 1,992.
The annexation has been referred back to the District as the
final conducting authority for the annexation. Santa Clara
County LAFCO has authorized the District to proceed without
further notice and hearing. Nonetheless , the public will have an
opportunity to speak on this agendized item at your meeting.

RESOLUTION OF THE BOARD OF DIRECTORS OF THE
MIDPENINSULA REGIONAL OPEN SPACE DISTRICT
ANNEXING CERTAIN PROPERTY TO THE MIDPENINSULA
REGIONAL OPEN SPACE DISTRICT (MIDPENINSULA
PRESERVES 1991 - SKYLINE AREA)
WHEREAS , the Midpeninsula Regional Open Space District filed
with the Local Agency Formation Commission, County of Santa
Clara , its Resolution No. 91-52 requesting initiation of
annexation procedures of District property, listed as San Mateo
County Assessor ' s Parcel Numbers 085-080-130; 085-160-090 and
-100, as described and shown on Exhibits "A-1" and "A-2" affixed
hereto, and 080-390-060 , -110 and -120 and 080-400-020 as
described and shown on Exhibit "B-1" and "B-2" affixed hereto, to
the Midpeninsula Regional Open Space District; and
WHEREAS , at the time and in the form and manner provided by
law the Local Agency Formation Commission of said County has made
its determination, by its Resolution No. 92-51 , dated April 8 ,
1992 that said annexation is proper and that proceedings may be
conducted by the Board of said District without notice and
hearing, or election, or both; and
WHEREAS , the Board of Directors of the Midpeninsula Regional
Open Space District nonetheless gave the public an opportunity to
speak on this item which was noticed in advance in its publicly
distributed agenda; and
WHEREAS , all of said property is owned by the Midpeninsula
Regional Open Space District, and the Board of Directors of the
Midpeninsula Regional Open Space District consents to the
annexation; and
WHEREAS , the Board of Directors has found that it is in the
best interests of both the District and the land that said
annexation should occur;
NOW, THEREFORE, BE IT RESOLVED by the Board of Directors of
the Midpeninsula Regional Open Space District that the property
described and shown on Exhibits "A-1 , " "A-2 , " "B-1 , " and "B-2"
attached hereto and made a part hereof is hereby annexed to and
made a part of the Midpeninsula Regional Open Space District .

Appointment of Auditor for 1991-1992 Fiscal Year
CONTROLLER'S RECOMMENDATION
Appoint Deloitte and Touche as the District's auditors for the
fiscal year 1991-1992 .
Discussion: For the last thirteen years, Deloitte and Touche has
served as the District' s auditor. Each year Deloitte and Touche
has performed its services in a competent, professional manner
and has regularly recommended worthwhile improvements in our
accounting practices and controls.
Proposed Terms: Deloitte and Touch has estimated a fee of
$10, 000 for the 1991-1992 audit including examination,
preparation and printing of financial statements, a management
letter containing recommendations for improving procedures and
controls, and providing on-going training and assistance to our
staff. This represents a $1, 000 fee increase over last year's
fee and is designed to recover 50% of the firm' s standard
commercial charges. I have reviewed the firm' s estimates and
believe the quoted fee to be reasonable.

We have been reviewing SB 2027 (version as introduced February
21 , 1992) and request the following clarifying amendment to page
3 , line 18 . After the word, "boundaries" please insert
including the sphere of influence, ".
The reason for the request is that the District has acquired
about 5, 170 acres of land outside our political boundaries but
within our LAFCO-adopted sphere of influence in the area east of
Mt. Umunhum (please see attached map) . We plan to initiate
annexation of the District lands when suitably contiguous parcels
are acquired.

As resources to fund government services become more scarce, local
jurisdictions find themselves competing with one another for the limited
state dollars available to fund necessary local services. As you know, this
became extremely evident after the passage of SB 2557, when members
of the Legislature were lobbied by the cities, school districts, special
districts and counties to protect funding for their particular jurisdictions,
sometimes at the expense of funding other local services.
In an effort to change this distressing situation and to create a more
positive environment in which to make these important budgetary
decisions, I called for the formation of a Local Government Task Force in
our county. The goal of the task force was to look into the existing fiscal
and structural problems of financing local services and develop a
cooperative approach to dealing with these issues. Thank you for your
support of this endeavor and the participation of your staff.
As you recall, the LGTF was composed of representatives of the cities,
special districts, schools, the county and state legislative staff. We met
regularly for almost one year and during that time the LGTF became
familiar with the funding mechanisms for the state as well as for all local
jurisdictions and the problems inherent in the current system. As
members of the task force came to understand mutual problems, much of
the parochialism that was evident in our early discussions gradually
changed to a more positive, cooperative desire to take the initial steps
necessary to develop a fair yet simple structure, with less restrictions and
greater flexibility.

The task force did prepare a position paper outlining our concerns and
recommendations on this subject. I am enclosing a copy of the position
paper for your consideration and I am also forwarding it to other members
of our county's state delegation. It is important to note that the position
paper received the support of the major groups representing local
government in Santa Clara County: the Santa Clara County Cities
Association, the Santa Clara County Special Districts Association, the
Santa Clara County School Board Trustees and the Board of
Supervisors.
John, the members of the task force are aware of the dimensions of the
state fiscal crisis and understand the limitations imposed under these
conditions. It is precisely because of this financial crisis that we
respectfully request that as you proceed with the budget process you look
for ways to simplify funding sources, remove mandates that cannot be
fully funded, reduce restrictions and increase local government flexibility,
and most importantly we ask that potential cuts be addressed in a way
that does not induce competitiveness and rivalry between local
government jurisdictions.
We are fortunate in Santa Clara County to have the best representation in
the State Legislature. We appreciate your long-standing support for the
services that local government provides the public and we want to offer
our support during this difficult time. Please let me know if you have

POSITION PAPER
August 23, 1991
After serious review and discussion of all aspects of local government funding, the
Local Government Task Force reached the following conclusions:
• Funding sources for local government-- i.e. cities, counties, schools,
special districts-- are complex, unpredictable and subject to
continual change through state and federal action.
• There is a finite amount of revenue available to local government,
causing fierce competition among jurisdictions serving the same
communities. The shift of costs of service and state revenue from
one jurisdiction to another to effect temporary financial solutions
exacerbates this problem.
• Revenue growth has not kept pace with the cost of government
services because the demand for government services and
caseload growth has surpassed population growth and inflation.
• More and more local government revenue, particularly for counties
and schools, is categorical and not available for general purposes.
• Local government is restricted in its ability to generate general
purpose revenue. Communities are unable to establish and fund
local priorities.
• There are often overlapping responsibilities among local
jurisdictions serving the same constituencies.

The Task Force endorses the following recommendations:
• Where a vote is required, local general-purpose, revenue-raising
options for all jurisdictions should be allowed with a simple majority
vote so that communities can determine priorities. Jurisdictions
should have the authority to work together on elections and to share
in revenue to minimize the confusion of the public.
• Local government funding to each jurisdiction from the State and
Federal Governments should be simplified and guaranteed so that
there is some predictability for budgetary and program planning
purposes.
• When there is an overriding state interest in a local government
program, the revenue should be provided by the state at the level
needed to fund the program.
• Lines of governmental authority/responsibility should be redefined
in order to create opportunities for better integration of services. For
example, schools can be linked with other local jurisdictions for the
provision of human services, library services, recreation, child care
and other services.
• A proactive approach to issues should be provided in the form of
preventive programs to reduce the need for expensive responses at
a later date. Innovative approaches to service delivery should be
examined.
• Revenue appropriated for local government should come with fewer
restrictions and more local autonomy with regard to how it is spent.
• The tax base must begin to take into consideration the changing
nature of the economy and reflect new potential major sources of
revenue.
• Public expectations of government responsibilities must conform to
the revenue base. Local government officials have a responsibility
to inform their constituencies about competing needs and the finite
amount of revenue available to local government.
• Models for county-wide governmental cooperation should be
examined.
