NOTICE OF PUBLIC MEETINGS
The Budget Committee will meet Tuesday, September 22, 1992
beginning at 4:00 p.m. at the District office, 330 Distel Circle,
Los Altos. The purpose of the meeting will be to review the
fiscal year 1992-1993 budget.
The Trails Committee will meet Wednesday, September 30, 1992
beginning at 7:30 p.m. at the District office, 330 Distel Circle,
Los Altos. The meeting will be a public trails workshop.
The Twentieth Anniversary Committee will meet Friday, October 9,
1992 beginning at 1:30 p.m. at the District office, 330 Distel
Circle, Los Altos. The purpose of the meeting will be to plan
events celebrating the District's twentieth anniversary.

MINUTES
I. ROLL CALL
President Robert McKibbin 'called the meeting to order at 7: 30 P.M.
Members Present: Ginny Babbitt, Richard Bishop, Betsy Crowder, Kay
Duffy, Teena Henshaw, and Robert McKibbin.
Members Absent: Nonette Hanko.
Personnel Present: Herbert Grench, Craig Britton, Jean Fiddes,
Malcolm Smith, Randy Anderson, John Escobar, Del Woods, and Deborah
Morvay-Zucker.
II . ORAL COMMUNICATIONS
There were no oral communications.
III. ADOPTION OF AGENDA
H. Grench requested that an urgency item concerning listing of
unopposed candidates on the ballot be added to the agenda for Board
consideration. He stated that Santa Clara County needed to be
advised immediately of the Board's decision regarding-whether or not
to list unopposed candidates on the ballot. R. McKibbin stated that
the agenda, with addition of the election item, was adopted by Board
consensus.
IV. ADOPTION OF CONSENT CALENDAR
G. Babbitt requested removal of written communications from Local
715, from Kathy Johnson, and from Judith Murphy, from the consent
calendar.
Motion: B. Crowder moved that the Board adopt the consent
calendar, as amended, including written communications
from Harry H. Haeussler, Jr. , 1094 Highland Circle, Los
Altos; Mrs. Carl P. McCarthy, 5 Eastlake Avenue,
Pacifica; and Nevo F. Capitina, 372 Castro Street,
Mountain View, the minutes of June 29,' July 8, and July
22, 1992 Board meetings, and Revised Claims 92-14 . G.
Babbitt seconded the motion. The motion passed 6 to 0.
V. WRITTEN COMMUNICATIONS
G. Babbitt and R. McKibbin requested wording changes in the draft
response to the letter from Local 715 dated July 14, 1992 .

G. Babbitt proposed changes to the draft response to the July 30,
1992 letter from Kathy Johnson, 15500 Benedict Lane, Los Gatos
regarding bicyclists at Fremont Older Open Space Preserve. K. Duffy
and R. McKibbin requested more proactive patrol at Fremont Older
Open Space Preserve to curb the trail use conflicts being created by
bicyclists. R. McKibbin stated that the changes in the letter were
accepted by Board consensus.
G. Babbitt asked for an update on fire suppression methods before
approving the response to the letter from Judith Murphy, 8 Portola
Green Circle, Portola Valley. J. Escobar provided an update, and
the draft response was approved by Board consensus.
VI . BOARD BUSINESS
A. .1991-1992 Program Evaluation (Report R-92-89)
H. Grench stated that the evaluation reported progress to date,
including the 1991-1992 fiscal year, and the first four months
of the 1992-1993 fiscal year.
Staff reviewed the District's program objectives and progress
and answered questions asked by Board members.
Motion: B. Crowder moved that the Board accept the 1991-1992
Program Evaluation report. G. Babbitt seconded the
motion. The motion passed 6 to 0.
B. Classification, Salary, and Fringe Benefit Study - Ralph
Anderson & Associates (Report R-92-88)
Douglas Johnson of Ralph Andersen & Associates briefed the Board
on the survey conducted by his organization, and explained the
general factors and the basis for the study' s conclusions that
were to be presented in specific detail to the Board in closed
session later in the meeting.
C. Listing of Unopposed Candidates on the Ballot (Report R-92-90)
J. Fiddes stated that by not listing the unopposed candidates,
Teena Henshaw (Ward 3) , Ginny Babbitt (Ward 4) , and Wim de Wit
(Ward 7) on the November ballot the District would save
approximately $36, 000. She noted that if the Board did not wish
to list unopposed candidates on the ballot the decision had to
be made at this Board meeting because of Santa Clara County
election scheduling deadlines.
Motion: G. Babbitt moved that the Board Adopt Resolution 92-40,
a Resolution of the Board of Directors of the
Midpeninsula Regional Open Space District Authorizing
Not Listing the Unopposed Candidates for Election on
the November 3 Ballots of San Mateo County and Santa
Clara County and direct staff to inform the registrar

of voters in Santa Clara and San Mateo Counties of the
Board' s decision. T. Henshaw seconded the motion. The
motion passed 6 to 0.
VII. INFORMATIONAL REPORTS
G. Babbitt stated that the 1993 Rails to Trails Conference would be
in California.
B. Crowder encouraged Board members to forego receiving the
directors ' fees in view of the State budget crisis and potential
impact on the District.
J. Escobar stated that the number of incidents of large groups on
preserves without permits was increasing. He stated that staff was
drafting a policy that would be presented to the Board.
H. Grench stated that the California Park and Recreation Society's
legislative committee had sent a letter to President Bush about the
Wetlands Reform Act of 1992 . He also reported on meetings and
potential exchange visits with visitors from Japan.
H. Grench reported on the staff waste reduction committee and its
activities. He said that he had arranged to meet with Senator
Morgan and Assembly Member Sher concerning the State budget. T.
Henshaw, G. Babbitt, and R. McKibbin stated they would also attend
the meetings.
C. Britton reported that no public comment had been received on the
McQueen property and the Ravenswood Drill property acquisitions and
escrow had closed on both properties. He noted that the date of the
El Corte de Madera Creek Open Space Preserve Use and Management Plan
workshop had been changed to Thursday, August 27 . Additionally, he
reported that an arson fire destroyed one of the buildings on the
former Hosking property in which Alan Hosking stored personal
property, including old vehicles.
J. Escobar reported on bicycle accidents on Monte Bello and Rancho
San Antonio Open Space Preserves, a solo running injury, and the
recovery of the body of a suicide victim on Rancho San Antonio open
Space Preserve.
M. Smith reported that the District hosted visitors from Metro
Greenspaces in Oregon.
VIII. CLOSED SESSION
H. Grench announced that personnel matters would be discussed in
closed session. C. Britton announced that litigation matters to be
discussed in closed session, M.R.O.S.D vs. Town of Los Gatos and
M.R.O.S.D. vs. Vidovich fell under Government Code Sections 54956. 9
(a) and (b) and that land negotiations to be discussed were Santa

Clara County assessor's parcel numbers 558-01-008, owner Neil Cullen
et al. , negotiating with Neil Cullen; assessor's parcel number 558-
36-001 and -008, owner Yvonne Lindemann, negotiated with Gary Beck;

Lyles, negotiated with Jim Lyles; Santa Clara County assessor's
parcel numbers 558-01-023 , and 502-03-001; and Santa Clara County

litigation, land acquisition, and personnel matters at 9 :45 P.M.

MINUTES
I. ROLL CALL
President Robert McKibbin called the meeting to order at 7: 30 P.M.
Members Present: Ginny Babbitt, Betsy Crowder, Kay Duffy, Nonette
Hanko, Teena Henshaw, and Robert McKibbin.
Members Absent: Richard Bishop.
Personnel Present: Craig Britton, Jean Fiddes, Malcolm Smith, Randy
Anderson, John Escobar, Stanley Norton, and Deborah Morvay-Zucker.
ORAL COMMUNICATIONS
Nancy Samuelson, 841 Esplanada Way, Stanford; Judith Bhushan, 3838
Mumford Place, Palo Alto; Christiana Cook, 1234 Emerson, Palo Alto;
Marion Richards, 63 Los Altos Square, Los Altos; Anna Gardener;
Larissa Kent; and Margaret Fruth, 1007 Peggy, Menlo Park, requested
that the Board reconsider its 1989 decision with respect to support
of the acquisition of the Saint Patrick's Seminary property in Menlo
Park. The various speakers encouraged the Board to recognize the
property as urban open space of regional significance, noting that
the property included vintage oak trees, potential bike trail
connections, and access by public transportation.
N. Hanko stated that when the District was formed an emphasis was
placed on preserving open space in the foothills and baylands
because of the potential for numerous requests to acquire urban open
space within city boundaries and urban lands were not affordable by
the District. C. Britton noted that the City of Menlo Park was not
expecting the District to participate in the acquisition.
Pat Cala, Menlo Park, stated her opposition to acquisition of St.
Patrick's Seminary property and to the proposal of a benefit
assessment district to help purchase the property.
R. McKibbin received Board concurrence to his proposal that he work
with staff to prepare a cover letter to the Menlo Park city council
along with a copy of the Board's 1989 St. Patrick' s Seminary
resolution.
Harry Block, P.O. Box 2577, Sunnyvale asked for an explanation of
bail out funding received by the District from the state.

R. McKibbin explained the purpose of the funding and the potential
effect its loss would have on the District if reduced as a result of
the current state budget deliberations.
III. ADOPTION OF AGENDA
R. McKibbin stated that the agenda was adopted by Board consensus.
IV. ADOPTION OF CONSENT CALENDAR
B. Crowder requested removal of the letter from Kimberly Gonzales,
received August 6, from the consent calendar. K. Duffy requested
removal of Budget for Architect's Fees for 330 Distel Remodel
(Report R-92-97) .
Motion: T. Henshaw moved that the Board adopt the consent
calendar as amended, including September Board Meeting
Schedule; Authorization to Solicit Bids for Repairs to
the Spillway at Sausal Dam on Windy Hill Open Space
Preserve; and Revised Claims 92-15. G. Babbitt
seconded the motion. The motion passed 6 to 0.
V. WRITTEN COMMUNICATIONS
B. Crowder suggested changes in the response to the letter from
Kimberly Gonzales, 778 Hacienda Ave. , Campbell, received August 6,
concerning her July 21 accident at Fremont Older Open Space
Preserve. The Board approved the recommended changes.
VI. BOARD BUSINESS
A. Proposed Addition of the Cullen et al. Property to the Cathedral
Oaks Area of Sierra Azul Open Space Preserve (Report R-92-91)
C. Britton showed the location of the two-acre parcel on
Cattermole Road in Los Gatos Creek Canyon. He stated that the
purchase price was $30, 000.
Manuel Austin, P.O. Box 26991, San Jose, owner of adjacent
property, stated that he opposed the District ' s acquisition of
the Cullen property and that he and his wife wished to purchase
the property, and that he had offered a higher purchase price
for the property. Linda Austin stated that she and Mr. Austin
wished to have a buffer between their home and public trails.
Motion: K. Duffy moved that the Board adopt Resolution 92-41, a
Resolution of the Board of Directors of the
Midpeninsula Regional Open Space District Authorizing
Acceptance of Purchase Agreement, Authorizing Officer
to Execute Certificate of Acceptance of Grant to
District, and Authorizing General Manager or Assistant
General Manager to Execute Any and All Other Documents
Necessary or Appropriate to Closing of the Transaction
(Sierra Azul Open Space Preserve - Lands of Cullen et
al . ) . N. Hanko seconded the motion. The motion passed
6 to 0.
Motion: K. Duffy moved that the Board tentatively adopt the
Preliminary Use and Management Plan recommendations

contained in the report, including naming the property
as an addition to the Cathedral Oaks Area of Sierra
Azul Open Space Preserve, and indicate its intention to
withhold the property from dedication as public open
space at this time. N. Hanko seconded the motion. The
motion passed 6 to 0.
B. Gift Policies (Report R-92-94)
C. Bruins stated that staff met with representatives of
Peninsula Open Space Trust (POST) and prepared draft gift
recognition guidelines and that POST was interested in
developing a cooperative gifts program. She stated that several
donors ' requests were awaiting the Board's decision determining
procedures and policies for memorials and gifts. Christy
Holloway, member of POST' s board of directors, and Audrey Rust,
POST executive director, discussed POST' s interest in developing
a cooperative gifts program with the District. Discussion
focused on seeking alternatives to the placement of benches, and
on a proposal to work cooperatively with POST to develop a
program for memorial and commemorative gift giving, as well as
to jointly develop mechanisms for enabling the public to
distinguish clearly between POST and the District. R. McKibbin
appointed N. Hanko, B. Crowder, and G. Babbitt to the Gift
Policy Committee to work with staff and POST.
Motion: B. Crowder moved that the Board approve the charge to
the Gift Policy Committee to revise existing site
naming and gift recognition policies, propose new
policies for Board adoption, and work with POST in
developing mechanisms to recognize gifts to MROSD as
separate from gifts to POST. G. Babbitt seconded the
motion. The motion passed 6 to 0.
C. Agreement with City of Mountain View to Provide Dispatch
Services (Report R-92-83)
J. Escobar reviewed the details of the proposed agreement with
City of Mountain View and an estimate of related costs.
Motion: N. Hanko moved that the Board authorize the general
manager to enter into an agreement with the City of
Mountain view to provide the District ' s twenty-four
hour radio dispatch services and authorize the general
manager to approve expenditures for radio system start-
up costs of approximately $21, 000. T. Henshaw seconded
the motion. The motion passed 6 to 0.
D. Proposed Building Demolition at the Former White et al. Property
in the Cathedral Oaks Area of Sierra Azul Open SiDace Preserve
_(Report R-92-98)
Motion: N. Hanko moved that the Board authorize staff to

proceed with the demolition of the main house and

E. Budget for Architect' s Fees for 330 Distel Remodel (Report R-92-
97)
C. Britton stated that the need for the increase in fees for
architectural services was due largely to the need for on-site
supervision by the project architects when the new contractor
took over the project after ROMA Construction Corporation's
financial failure. He said that most of the money would be part
of the claim against the bonding company.
Motion: K. Duffy moved that the Board approve an increase of
$25, 000 in the fees for architectural services. B.
Crowder seconded the motion. The motion passed 6 to 0.
Vii . INFORMATIONAL REPORTS
N. Hanko introduced Wim DeWitt, the unopposed candidate for Ward 7
who would assume Richard Bishop's seat in January.
C. Britton gave an update on the anticipated impact on the District
of the governor 's, the senate's and the assembly' s state budget
proposals.
R. Anderson stated that the District' s Americans With Disabilities
Act (ADA) draft transition plan was complete. The Board requested
that the ADA transition plan meetings be publicly noticed.
J. Escobar reported two solo bicycle accidents on Alpine Road and
lower Stevens Canyon Road.
M. Smith gave an update on the 20th Anniversary Committee' s plans
for a founder' s dinner scheduled for November 7, 1992 at the
University Club in Palo Alto.
VIII. CLOSED SESSION
S. Norton announced that existing litigation matters to be discussed
in Closed Session included M.R.O. S.D vs. Town of Los Gatos
M.R.O.S.D. vs. Vidovich, and M.R.O.S.D. vs. Acronico, and fell under
Government Code Sections 54956.9 (a) and (b) . The Board recessed to
Closed Session on litigation and personnel matters at 9: 58 P.M.

Board adopted Resolution 92-42 authorizing the purchase of the
46-acre parcel on the south side of Soda Springs Canyon for a
purchase price of 5150 , 000 . The Board tentatively adopted the
preliminary use and management plan , including the naming as an
addition to the Cathedral Oaks Area of Sierra Axul Open Space
Preserve .
Award of Contract for Sausal Dam Spillway Repair Project Mindy
Hill Open Space Preserve) - The Board accepted the lowest
responsible bid of $36 , 569 from George Bianchi construction of
San Jose for reconstruction of the spillway at Sausal Dam.
Procedure for Filling of Ward I Board Vacancy - The Board decided
to fill the Ward I vacancy created by Director Katherine Duffy ' s
resignation by appointment . The Board approved the documents to
be used in the application process and scheduled special meetings
for Thursday, November 12 and Wednesday, November 18 to interview

Dear Sirs,
While I sympathize with Kathy Johnson of Los Gatos regarding her experience with a
mountain biker in Freemont Older Open Space I am compelled to relate my own trail use
experiences. My conduct while riding in Midpeninsula Regional Open Space Preserves has
always been the antithesis of the finger-flying rider Ms. Johnson encountered, but I have
often been rewarded with insults and harassment by numerous equestrians. I routinely
stop up to 100 yards from an on-coming horse, and await the rider's approval prior to
passing. In spite of etiquette that goes far and above trail use policy I have encountered
verbal and physical harassment.
I recall and incident when four men on horseback, who were blocking the trail while
engaged in a conversation, refused to let me pass, hurled verbal assaults and threatened me
physically. I was alone and had no recourse but to ride in the opposite direction. While
jogging on trails in the open spaces I have been bumped by horses passing from behind,
and forced off narrow trails on steep grades without so much as a warning from the rider.
In contrast, my experiences with cyclists while running and hiking have been generally
positive.
The entire Midpeninsula Regional Open Space District policy seems dedicated to
equestrians, and the laws governing use of trails in open spaces apparently do not apply to
them. I've witnessed horses ridden on illegal trails, and ridden in an unsafe manner, as
well as riders smoking cigarettes, and drinking beer. I know of no cyclist who has seen an
equestrian cited for reckless or illegal trail use. Furthermore, the complete ignorance of
equestrians regarding the environmental damage they create, and the myth perpetuated by
equestrians that bicycles ruin trails borders on ridiculous. I can't count the number of
erroneous "eco-lectures" and snide comments I've received from passing equestrians.
Michael Hodgson;rrn,te an article on March 26, 1992 describing mountain bikers tearing
up wet trails. This winter I observed horses crossing Skyline onto Long Ridge while it
was closed due to wet ground. Ms. Johnson claims she won't use Freemont because of
cyclists. I won't use it because of the horses. Freemont Older Open Space was virtually
destroyed by horse tracks during the rainy season. At one point the fire roads and trails
were virtually impassable by foot or bike, with deep hoof prints spanning the entire
roadway. The fact is that mountain bikes cause less erosion than horses. Studies which
are not sponsored or financed by equestrian groups or anti-use groups such as the Sierra
Club indicate that on the whole mountain bikes cause less damage to trails than horses.
The equestrian community is facing up to cyclists encroaching on what they consider their
territory. For years the vast majority of trails furthest from a trail head were the exclusive
domain of the horse and rider. The increasing popularity of mountain bikes has led to a
conflict between cyclists and equestrians, who are unwilling to share these trails and
continue to paint mountain bikers as wild thugs raping the wilderness. This pervasive
attitude has been influential in shaping trail use policy in their favor.
Mountain bikers are the fastest growing trail use group and are wielding substantial
influence in reversing trail use discrimination. The vast majority of cyclists observe trail
etiquette, wear helmets, and have more control over their inanimate bicycle than the
equestrian has over his/her horse. I encourage the Directors of the Midpeninsula Regional
Open Space District to provide adequate trail use for mountain bikes, perhaps even
prohibiting horses from certain trails, as is done in Henry Coe State Park. This will
decrease the danger created by confining mountain bikes to a limited number of trails, and
will ultimately lead to decreased trail damage. The alternative is to face the challenge of
enforcing increasingly unpopular trail closures, a burden that the Midpeninsula Regional
Open Space District is ill equipped to handle.

growing problem as the District has developed its trail system,

these conflicts . More specific etiquette and trail use standards
are being developed for implementation by the, District and will
be discussed at a special Trails Committee meeting on' September
30., at 7 : 30 p.m. at the District office . We encourage you to
attend and voice your opinions .
Your letter will be referred to the Trails Committee and your

information about this subject.

This undeveloped 46-acre property lies on the south side of Soda
Spring Canyon about one-half mile east of Lexington Reservoir.
Soda Spring Road winds through the south central property boundary.
North of the road, the site slopes steeply toward Soda Spring
Canyon. South of the road, the property rises to a gentle knoll.
A road leads uphill from Soda Spring Road to District lands to the
south. It also provides access to the knoll area.
Chaparral and mixed evergreen forest are the dominant vegetation
types. Chaparral in the drier areas is replaced by forest in the
moister north-facing slopes and canyons. Some non-native plants
grow on the knoll above the road, including eucalyptus, Monterey
pine, and cedar. Natives include toyon, coffeeberry, poison oak,
coyote bush, chamise, and scrub oak. Charred skeletons of scrub
oaks remain from the 1985 Lexington fire.
The south-central boundary and the southeast corner of the property
adjoin the Cathedral Oaks Area of Sierra Azul Open Space Preserve.
Soda Spring Creek forms part of the northern boundary. Lands of
San Jose Water Works lie to the north. Private lands surround the
rest of the property.
There are no structures on the property.

USE AND MANAGEMENT PLAN
Planning Considerations
The property lies in unincorporated Santa Clara County within
District boundaries. The zoning is Hillside (HS) , requiring a 20
to 160-acre minimum lot size. The property received a medium
rating for suitability as open space in the District's Master Plan.
The property could help provide a trail connection between the
Cathedral Oaks and Kennedy-Limekiln Areas of Sierra Azul Open Space
Preserve. The trail would cross Soda Spring Canyon and connect
with the PG&E Road to El Sombroso and the Ridge Trail corridor.
Staff plans to review the Cathedral Oaks Area of Sierra Azul Open
Space Preserve in November 1994 .
Preliminary Use and Management Plan Recommendations
Dedication: Withhold dedication of this property as public open
space. This will allow the District to trade development rights,
or sell part or all of the property, if we are unable to acquire
other necessary land in the area.
Name: Name the property as an addition to the Cathedral Oaks Area
of Sierra Azul Open Space Preserve.
Signs: Install preserve boundary signs where appropriate.
Roads: Maintain access road for patrol.
Site Emphasis Description: Conservation Management Unit (CMU)
Public Safety Review: Staff performed a preliminary inspection of
the site and found no public safety hazards.
TERMS AND FUNDING
The full purchase price of $150, 000 ($3, 260 per acre) is payable in
cash at close of escrow in accordance with the District's standard
form of purchase agreement. Based upon real estate market activity
in the area and the fact that this parcel is a developable building
site with county road frontage, the purchase price is determined to
be fair and reasonable and represents market value.

RESOLUTION OF THE BOARD OF DIRECTORS OF THE
MIDPENINSULA REGIONAL OPEN SPACE DISTRICT
AUTHORIZING ACCEPTANCE OF PURCHASE AGREEMENT,
AUTHORIZING OFFICER TO EXECUTE CERTIFICATE OF

AUTHORIZING GENERAL MANAGER OR ASSISTANT
GENERAL MANAGER TO EXECUTE ANY AND ALL OTHER
DOCUMENTS NECESSARY OR APPROPRIATE TO CLOSING
OF THE TRANSACTION (SIERRA AZUL OPEN SPACE
PRESERVE - LANDS OF LINDEMANN ET AL. )
The Board of Directors of the Midpeninsula Regional
Open Space District does resolve as follows:
Section One. The Board of Directors of the Midpeninsula
Regional Open Space District does hereby accept the offer
contained in that certain Purchase Agreement between Yvonne G.
Lindemann et al. and the Midpeninsula Regional Open Space
District, a copy of which is attached hereto and by reference
made a part hereof, and authorizes the President or appropriate
officers to execute the Agreement on behalf of the District.
Section Two. The President of the Board of Directors or
other appropriate officer is authorized to execute a Certificate
of Acceptance on behalf of the District.
Section Three. The General Manager or Assistant General
Manager of the District shall cause to be given appropriate
notice of acceptance to the seller. The General Manager or
Assistant General Manager further is authorized to execute any
and all other documents in escrow necessary or appropriate to the
closing of the transaction.
Section Four. The General Manager of the District is
authorized to expend up to $5, 000 to cover the cost of title
insurance, escrow fees, and other miscellaneous costs related to
this transaction.
Section Five. It is intended, reasonably expected and
hereby authorized that the District's general fund will be
reimbursed in the amount of $150, 000 from the proceeds of the
next long term District note issue. This Section of this
Resolution is adopted by the Board of Directors of the
Midpeninsula Regional Open Space District solely for purposes of
establishing compliance with the requirements of Section 1. 103-18
of the Treasury Regulations. The reimbursement of this payment
expenditure is consistent with District's budgetary and financial
circumstances. There are no funds or sources of moneys of the
District that have been, or reasonably are expected to be
reserved or allocated on a long-term basis, or otherwise set
aside to pay the costs of this open space land acquisition
project which are to be paid or reimbursed out of proceeds of
indebtedness to be issued by District. The Board of Directors
hereby declares District's official intent to use proceeds of
indebtedness to reimburse itself for this open space land
acquisition project expenditure.

Procedure for Filling of Ward 1 Board Vacancy
GENERAL MANAGER'S RECOMMENDATIONS
1. Determine whether the Board vacancy in Ward 1 will be filled
by appointment or by the election process.
2 . If you decide to fill the vacancy by appointment, you need
to:
(a) approve the application form to be used;
(b) reaffirm the use of the general criteria for appoint-
ment to the Board of Directors or modify them as you
deem necessary;
(c) reaffirm the use of the procedures for interviews or
modify them as you deem necessary;
(d) establish a timetable for filling the vacancy, includ-
ing setting the dates for the first and second round of
interviews, assuming you reaffirm the procedures for
interviews.
3 . If you decide to fill the vacancy by calling an election,
you need to establish the date of the election. Staff would
subsequently return with the appropriate resolution for
calling the election and requesting consolidation services
from Santa Clara County.
Discussion•
Director Duffy has announced that she will resign her position as
director for Ward 1 effective November 7, 1992 (see attached
letter dated September 15, 1992) . Ward 1 includes Saratoga, Los
Gatos, Monte Sereno, portions of Cupertino, and portions of
unincorporated Santa Clara County in the Skyline-Lexington Hills
area. As the District's governing body, you can either fill the
vacancy by appointment or call an election to fill it. The
attached report R-90-106 dated September 17 , 1990 from your Legal
Counsel updates you on the procedure for filling the vacancy; the
procedure remains the same as detailed in legal counsel 's 1990
and 1987 reports.
The following material summarizes the actions you would have to
take to fill the Ward 1 vacancy by Board appointment or by
election.
A. APPOINTMENT
1. Appointment Date: The appointment would have to be

made by January 6, 1993, 60 days from K. Duffy's resig-
nation date.
2 . Approval of Application Form: The form used for previ-
ous ward vacancies is attached.
3 . Reaffirm the use of or modify as you deem necessary the
General Criteria for Appointment to the Board of Direc-
tors: You adopted the attached criteria at your July
8, 1987 meeting. Staff would distribute a copy of the
criteria to all Ward 1 applicants.
4 . Reaffirm the use of or modify as you deem necessary the
Procedures for Interviews: The attached procedures
were also adopted at your July 8, 1987 meeting.
5. Establish a Timetable for Filling the Vacancy: Govern-
ment Code Section 1780 requires the posting of a notice
of vacancy in three or more conspicuous places in the
District at least 15 days before the appointment is
made. Staff would post the notice accordingly, as well
as place notices concerning filling the vacancy in
appropriate newspapers.
In addition, assuming you determine to fill the vacancy
by appointment, you should schedule the dates for your
first and second round of interviews. These dates
would be included in the material distributed to all
Ward I applicants.
6. The person appointed to fill the vacancy would serve
only until the next District general election in Novem-
ber 1994 , which is the regular Ward 1 election date.
B. ELECTION
An election to fill the Ward 1 vacancy could be held on the
next available election date that is 130 or more days after
the vacancy occurs. This would be the June 8, 1993 elec-
tion. At this time, the Santa Clara County Registrar of
Voters does not know if any jurisdictions in Ward 1 will be
on the ballot.
The pro-rata cost of being on the June ballot would depend
on what other jurisdictions in Ward 1 are on the ballot. if
the District were the only jurisdiction on the ballot,
election costs are estimated at up to $110, 000 (up to $2 per
registered voter in Ward 1) . There are approximately 55, 000
registered voters in the ward.
As noted in item six above, the elected Ward 1 director
would serve until the regular Ward 1 election in November
1994 .

Discussion :
At your August 26 , 1992 meeting , you authorized staff to solicit
bids for repairs to the spillway to Sausal Dam at, Windy Hill Open
Space Preserve . The public bid opening was held on September 16 ,
1992 . Six contractors supplied complete bids on the project . A
summary of bids is attached . George Bianchi Construction of San
Jose was the low bidder .
The 1992-93 fiscal year budget contains $20 , 000 for completion of
this project . The budget for this project was formulated prior
to the preparation of detailed plans and specifications ,
accounting for the discrepancy in the figures . The engineer ' s
estimate for the project , based on the plans and specifications
for the lob, was more in line with the low bid figure obtained
from, George Bianchi Construction .
Additional funds for this project may be drawn from the Alpine
Dam project at Skyline Ridge Open Space Preserve . The Alpine Dam
revisions were budgeted for $50 , 000 in the 1992-93 fiscal year.

Thank you for your recent letter about your accident at Fremont Older Open Space Preserve.
At our August 27 Regular Meeting, the District's Board of Directors reviewed your
comments. The incident is disturbing to us, and we are relieved that your injuries were not
more serious.
The safety of all preserve visitors is a primary concern to us. We are in the process of
developing detailed trail use guidelines that will provide for a safe and enjoyable trail
experience and will accommodate a variety of users. We will add you to the mailing list for
our trails committee meetings. The District has published a trail etiquette brochure to
encourage courtesy among all trail users. Our staff is looking into installing more signs
where needed. Also, our rangers are patrolling problem areas at Fremont Older more
frequently. Rangers can issue citations for reckless cycling when they witness the violation.
We are sorry that your accident occurred. Considerate bicyclists use District trails, too. We
hope you will meet more of them during your future preserve visits.

§ 1780. Special districts; method of filling vacancies on elected governing boards: term
(a) Notwithstanding any other provision of law, a vacancy in any elective office on the governing
board of a special district, other than those specified in Section 1731,shall be filled as provided in this
section. The remaining district board members may fill the vacancy by appointment. The person
appointed shall'hold office until the next district general election that is scheduled 130 or more days
after the effective date of the vacancy, unless an election is also held on the same date for the
Purpose of electing a director to serve a full term in the same office to which the person was
appointed, in which event the person appointed to the vacancy shall fill the balance of the unexpired
term of his or her predecessor. Appointments pursuant to this subdivision shall be made within a
days
period of 60 immediately subsequent to the effective date of the vacancy and a notice of the
vacancy shall be posted in three or more conspicuous places in the district at least 15 days before the
appointment is made. In lieu of making an appointment the remaining members of the board may
within 60 days of the vacancy call an election to fill the vacancy. The election shall be held on the
next available election date provided by Chapter I (commencing with Section 2500) of Division 4 of
the Elections Code that is 130 or more days after the vacancy occurs.
(b) If the vacancy is not filled by the district board as specified, or if the board has not called for
an election within 60 days of the vacancy, the city council of the city in which the district is wholly
located, or if the district is not wholly located within a city, the board of supervisors of the county
representing the larger portion of the district area in which the election to fill the vacancy will be
held, may fill the vacancy within 90 days of the vacancy, or the city council or county supervisors
may order the district to call an election, to fill the vacancy. The election shall be held on the next
available election date provided by Chapter 1 (commencing with Section 2500) of Division 4 of the
Elections Code that is 130 or more days after the vacancv occurs.
(c)(1) If within 90 days of the vacancy the remaining members of the board or the appropriate'
board of supervisors or city council have not filled the vacancy and no election has been called for,
the district shall call an election to fill the vacancy. The election shall-be held on the next available
election date provided by Chapter 1 (commencing with Section 2500) of Division 4 of the Elections
Code that is 130 or more days after the vacancy occurs.
(2) If the number of remaining members of the board falls below a quorum at the request of the
district secretary, or a remaining board member, the boar o supervisors or the city council may
waive the 60-dav period provided in subdivision a and appoint immediately to fill the vacancy as
provided in subdivision (a) or may call an election to fill the vacancy. The election shall be held on
the next available election date provided by Chapter l (commencing with Section 2500) of Division 4
of the Elections Code that is held IN or more days after the vacancy occurs
The board of supervisors or the city council shall only fill enough vacancies to provide the board
with a quorum.
(d) Persons appointed to fill a vacancy shall hold office until the next district general election and
thereafter until the person elected at that election to fill the vacancy has been qualified, but persons
elected to fill a vacancy shall hold of i ce for the unexpired balance of the term of office.

PROCEDURES FOR INTERVIEWS
First Round
1 . Order of appearance of applicants established in a random drawing of names.
2. Each applicant allotted up to eight minutes for opening statement and clarifying questions by the Board
with a minimum of three minutes for the latter.
3. Round-robin questioning by Board members of applicants for maximum of 30 minutes.
4. Each applicant(order determined by another random drawing)will have two minutes maximum for final
statement.
5. Board recess for 10 minutes.
6. Each Board member casts a signed ballot for up to six top choices for second round interviews.
7. Clerk keeps ballots for later public inspection.
8. Voting tallied and announced by Clerk.
9. The field will be narrowed to half of the original number of candidates, but at least 3, and at most 6,
10. The candidates receiving the most votes will be those selected for the second round.
1 1 . If there is a tie, there will be additional votes on the full list until the tie is broken.
Second Round
1 . Random drawing for order of appearance.
2. Each finalist allotted 20 minutes for answering questions posed by the Board.
3. Random drawing for order of appearance for final statements.
4. 10 minute recess.
5. Each finalist will get 5 minutes for summary.

Dear Ms. Gonzales:
Thank you for your recent letter about your accident at Fremont Older Open Space Preserve.
At our August 27 Regular Meeting, the District's Board of Directors reviewed your
comments. The incident is disturbing to us, and we are relieved that your injuries were not
more serious.
The safety of all preserve visitors is a primary concern to us. We are in the process of
developing detailed trail use guidelines that will provide for a safe and enjoyable trail
experience and will accommodate a variety of users. We will add you to the mailing list for
our trails committee meetings. The District has published a trail etiquette brochure to
encourage courtesy among all trail users. Our staff is looking into installing more signs
where needed. Also, our rangers are patrolling problem areas at Fremont Older more
frequently. Rangers can issue citations for reckless cycling when they witness the violation.
We are sorry that your accident occurred. Considerate bicyclists use District trails, too. We
hope you will meet more of them during your future preserve visits.
