A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF TEMPLE CITY APPROVING THE INTERNAL CORPOR-
ATE REORGANIZATION OF FALCON COMMUNICATIONS
WHEREAS, the City has granted a cable television franchise to
Falcon Communications and said franchisee has commenced the con-
struction of facilities to provide cable television service to
residents of this City; and
WHEREAS, Falcon Communications is a limited partnership con-
sisting of D -H Cablevision, a partnership, and, closely held family
related companies and corporations owned by the Nathanson family;
and
WHEREAS, One of the partners, i.e. D -H Cablevision desires to
buy, and the Estate of Don Nathanson desires to sell, the remaining
partnership interest of one of the partners, i.e. Advance Company,
Ltd.; and
WHEREAS, the City has received a communication from Falcon Com-
munications dated August 1, 1984, outlining the change in its organ-
ization; and
WHEREAS, the change which is to take place will not affect the
management policies or management personnel of Falcon; or introduce
any new partners; and
WHEREAS, the City's franchise agreement provides for the approval
by this City Council of reorganization in the franchise, and Falcon
Communications has requested that this City approve the proposed re-
organization; and
WHEREAS, the City is satisfied that the change in the corporate/
partnership organization will not affect the manner in which cable
television service is to be provided to the residents of the City,
NOW, THEREFORE, the City Council of the City of Temple City does
hereby resolve, determine, and order as follows:
SECTION 1. The communication dated August 1, 1984, from Falcon
Communications is received.
SECTION 2. The City Council of the City of Temple City approves
the reorganization of Falcon Communication as is proposed.
SECTION 3. That the City Clerk of the City of Temple City is
hereby directed to forward a certified copy of this resolution to
Falcon Communications.
PASSED, APPROVED and ADOPTED THIS 21st day of August 1934.

held on the 21st day of August, 1984, by the following vote:
