MINUTES
I. ROLL CALL
President Betsy Crowder called the meeting to order at 7:34 P.M.
Members Present: Ginny Babbitt, Betsy Crowder, Wim de Wit, Nonette
Hanko, Teena Henshaw, Robert McKibbin, and Pete Siemens.
Personnel Present: Craig Britton, Jean Fiddes, Randy Anderson,
Malcolm Smith, Del Woods, Michael Foster, Stanley Norton, and
Deborah Zucker.
II. ORAL COMMUNICATIONS
There were no oral communications.
III. ADOPTION OF AGENDA
C. Britton noted for the record that the Board did not meet in
Closed Session on litigation matters at 7:00 P.M.
B. Crowder stated that the agenda was adopted by Board consensus.
IV. ADOPTION OF CONSENT CALENDAR
The following requests were made to remove items from the consent
calendar: N. Hanko - Approval of Nondiscrimination Regulations; P.
Siemens - Appointment of Auditor for 1992-1993 Fiscal Year; and B.
Crowder - written communications.
Motion: R. McKibbin moved that the Board adopt the consent
calendar, as revised, including approval of minutes of
March 10, 1993, adoption of Action Plan for the
Implementation of the Basic Policy of the Midpeninsula
Regional Open Space District for the 1993-1994 Fiscal
Year; acceptance of the insurance coverage package for the
period of April 1, 1993 through March 31, 1994, from
Flinn, Gray & Herterich, for premiums totalling $139,578;
adoption of Annual Claims List for 1993-1994; and approval
of Revised Claims 93-05. G. Babbitt seconded the motion.
The motion passed 7 to 0.
V. WRITTEN COMMUNICATIONS
In response to the letter from Robert Zatkin P.O. Box 620502,

Woodside, concerning benches on open space preserves, B. Crowder
revised the end of the first paragraph to read "Your comments will
be passed on to the committee which will next meet on April 19."

In response to the letter from Marcia E. Keimer, 475 Cervantes Road,
Portola Valley, regarding bicyclists on trails, B. Crowder deleted
the phrase "As Board President Robert McKibbin stated in December, "
from the second sentence in the first paragraph. She revised the
first sentence of the second paragraph to read "In January 1993 the
Board adopted Trail Use Guidelines and Mitigation Measures that
contain criteria for the characteristics of trails that are
acceptable to allow hiking, equestrian, and bicycle uses. " To the
end of the third paragraph, B. Crowder added "Please call me at 851-
0410 after reviewing these documents if you would like to discuss
this further. "
Motion: R. McKibbin moved that the Board approve the responses to
the written communications as revised. G. Babbitt
seconded the motion. The motion passed 7 to 0.
VI. BOARD BUSINESS
A. Approval of Nondiscrimination Regulations (Report R-93-46)
N. Hanko asked whether the procedure would apply if a complaint
were against the general manager or a director. J. Fiddes
stated that the procedure was applicable to all District
employees, including the general manager. She also stated that
the procedure did not apply to the Board, but that if a
complaint against a Board member were made, she would recommend
that the complaint be brought to the full Board's attention. D.
Dolan stated that the procedure was intended to be non-
hierarchical so that a complaint could be reported to any
supervisor or manager. J. Fiddes recommended that the Board
obtain the advise of legal counsel regarding the inclusion of
Board members in the procedure as presented. G. Babbitt
recommended that the procedure be approved and later amended if,
upon the advise of legal counsel, the procedure should
specifically include handling complaints against the general
manager or Board members.
Motion: G. Babbitt moved that the Board approve the proposed
nondiscrimination regulations and complaint procedure
with the understanding that staff would consult with
legal counsel about including the Board in the policy.
T. Henshaw seconded the motion. The motion passed 7 to
0.
B. Adoption of Budget for Fiscal Year 1993-1994 (Report R-93-45)
C. Britton stated that the changes recommended by the Board at
the March 10 meeting were included in the report, including the
information that the budget reflected an 18 percent reduction in
operating expenses and had been revised to incorporate
adjustments resulting from the Board's agreement with retiring
general manager Herbert Grench. J. Fiddes stated that the

salary and benefits for the general manager position included in
the budget represented one month for H. Grench and five months
for a new general manager. C. Britton said that the budget
presented did not include cost of living adjustments for staff
and reported that Local 715 had ratified the agreement to defer
negotiations until the state budget was approved.
Motion: R. McKibbin moved that the Board adopt Resolution 93-
10, a Resolution of the Board of Directors of the
Midpeninsula Regional Open Space District Adopting
Budget for Fiscal Year 1993-1994. G. Babbitt seconded
the motion. The motion passed 7 to 0.
C. Appointment of Auditor for 1992-1993 Fiscal Year (Report R-93-
44
P. Siemens stated that the District should consider a different
auditor next year because the same auditor had been appointed
for fourteen consecutive years. M. Foster stated that even
though the District had appointed Deloitte and Touche each of
those years, a different auditor from the firm was assigned to
perform the audit each year.
Motion: P. Siemens moved that the Board appoint Deloitte and
Touche as the District's auditor for the fiscal year
1992-1993. R. McKibbin seconded the motion. The
motion passed 7 to 0.
D. Proposed Addition of the Glaubiger Property to Rancho San
Antonio Open Space Preserve in Exchange for Interest in District
Land (Report R-93-27)
C. Britton explained the methods by which the District was
allowed to dispose of a dedicated parcel, including exchange for
contiguous land to a maximum of ten acres per year. He stated
that Peninsula Open Space Trust (POST) was selling the 1.2-acre
property on the west side of Ravensbury Avenue to Mr. and Mrs.
Glaubiger for the purpose of exchanging it to the District in
this transaction. He said that in the exchange the District
would relinquish fee title to the 1.3-acre former Cunningham
property while retaining a conservation easement and would
acquire the 1.2-acre parcel that was needed to improve drainage
for Rancho San Antonio Open Space Preserve. C. Britton stated
that the parcel was contiguous with a parcel owned by POST that
the District might want to acquire in the future. He briefed
the Board on the numerous conservation easement limitations in
the agreement restricting development of the property being
exchanged to the Glaubigers.
C. Britton noted that the resolution to be adopted included a
finding that the exchange was in accordance with the Basic
Policy of the District and was not detrimental to the open space

character of Rancho San Antonio Open Space Preserve.
Motion: N. Hanko moved that the Board adopt Resolution 93-11, a
Resolution of the Board of Directors of the
Midpeninsula Regional Open Space District Authorizing
Acceptance of Agreement to Exchange Interests in Real
Property, Authorizing officer to Execute Certificate of
Acceptance of Grant to District, and Authorizing
Assistant General Manager to Execute Any and All Other
Documents Necessary or Appropriate to Closing of the
Transaction (Rancho San Antonio Open Space Preserve
Lands of Glaubiger) , and stated that the Board finds
that the granting and releasing of the interests in
District property was in accordance with the Basic
Policy of the District and was not detrimental to the
open space character of Rancho San Antonio Open Space
Preserve. R. McKibbin seconded the motion. The motion
passed 7 to 0.
N. Hanko moved that the Board tentatively adopt the
Preliminary Use- and Management Plan recommendations,
including naming the property as an addition to the
Rancho San Antonio open Space Preserve, and indicate
its intention to withhold the property from dedication
as public open space at this time. R. McKibbin
seconded the motion. The motion passed 7 to 0.
E. —Process for Filling General Manager Position (Report R-93-42)
S. Norton stated that the Brown Act, Section 54957 of the
Government Code, provided that the Board may meet in closed
session during a regular or special meeting "to consider the
appointment, employment, evaluation of performance, or dismissal
of a public employee. " He said that the code further defines
employee to include general manager, adding that any and all of
the Board's discussion for filling the general manager position
could be done in open or closed session at the Board's
discretion. He stated that Board consideration to hire a
consultant or independent contractor should be done in a public
meeting.
Board members discussed their ideas concerning the process for
filling the general manager position. P. Siemens reviewed his
proposed process, noting that he thought the Board should
immediately begin step one, including having a public Board
workshop to identify the characteristics desired in a general
manager with consultant assistance. He suggested that a
consultant be hired immediately to begin the process.
T. Henshaw, citing the District's uncertain funding situation,
said she thought that the Board should be cautious in beginning

the selection process, and suggested that the Board consider
other options prior to hiring a new general manager. Her
! options included hiring a consultant with expertise in long-term
funding and legislative matters to fill an interim position with
specific and limited responsibilities, hiring an outside person
as an interim general manager, or appointing an interim general
manager from District staff or Board.
R. McKibbin stated that T. Henshaw's suggestion could be
expanded to include present and/or past Board members or someone
on the outside. He recommended that no decision on the process
be made at this meeting and that the matter be discussed at a
later meeting.
G. Babbitt and N. Hanko expressed their support for a public
workshop prior to May 1.
S. Norton counseled that any and all proceedings could be
handled in open or closed session, that any Board member
interested in the position of general manager should refrain
from participating in all proceedings related to the selection
process, including decisions about the selection process itself,
and that the Public Resources Code stated that the Board shall
appoint a general manager, with the intent that the general
manager would be an individual and not a group of individuals
such as the management team.
Motion: R. McKibbin moved that the Board stop the present
discussion and consider the process for hiring a
general manager at a meeting in April. T. Henshaw
seconded the motion.
Discussion: N. Hanko opposed an April 28 meeting date
because she would be absent.
The motion failed on the following vote.
Ayes: G. Babbitt T. Henshaw, and R. McKibbin.
Noes: B. Crowder, W. de Wit, N. Hanko, and P. Siemens.
The Board discussed other upcoming dates for meetings with full
attendance by the Board.
Motion: P. Siemens moved that the Board have a workshop to
discuss the process for selecting a general manager
immediately following the April 14 regular Board
meeting and that a facilitator be hired for the
workshop. N. Hanko seconded the motion.

Discussion: Board members agreed that the purpose of
the workshop should be to discuss various options and
consider processes for selecting a general manager. B.
Crowder stated that the Board needed to set parameters
on what actions to take. N. Hanko stated that it was
important for the Board to decide what the process
should be and that the decision whether to take action
might depend on the state budget outcome.
The motion passed 5 to 2 on the following vote.
Ayes: G. Babbitt, B. Crowder, N. Hanko, P. Siemens,
and W. de Wit.
Noes: T. Henshaw and R. McKibbin.
Motion: P. Siemens moved that the Board direct staff to arrange
for a facilitator. T. Henshaw seconded the motion.
The motion passed 7 to 0.
VII. INFORMATIONAL REPORTS
W. de Wit reported on his talk to the Redwood City Kiwanis Club.
T. Henshaw stated that the Legislative Committee was scheduled to
meet with Peninsula Open Space Trust's legislative committee on
March 25 at 4:30 p.m. She said that the meeting would be to discuss
the potential for legislation that would affect the District's
funding and invited members of the Finance Committee to attend.
B. Crowder reported on her participation on a panel at the
California Park and Recreation Society (CPRS) Conference in San
Francisco.
N. Hanko stated that the Palo Alto Centennial Committee was
developing priorities, including the establishment of a regional
trail, with a connection from the Arastra Preserve to District
P She said that a District representative should attend
the next meeting on April 29 since she could not attend. In
response to a question from Harry Hauessler, Los Altos, concerning
the proposed exchange of land between the District and the City of
Palo Alto, C. Britton stated that both the District and the City of
Palo Alto would agree that the lands be dedicated as public
recreation and open space lands. He said that the Land and Water
Conservation Fund Grant for the District land being exchanged and
the policies of the District and the City of Palo Alto would apply
to land use.
C. Britton stated that he had received 57 requests for bid packages
for the Teague Hill parcels. He also said that he would attend the

CPRS Legislative Conference on May 17 and 18 and asked if a couple
of Board members would be interested in attending. W. de Wit and T.
Henshaw said they would attend.
C. Britton reported that Michael Jurich and Paul McKowan were
selected to fill the two lead open space technician positions.

representative for a focus committee that would be involved in the

VIII. CLOSED SESSION
S. Norton announced that existing litigation matters to be discussed
in Closed Session, District vs. Meyer, and District vs. Haxthausen,
fell under Government Code 54956.9 (a) . The Board recessed to
Closed Session on litigation matters at 9: 15 P.M.

Subject: General Manager Selection Process Input
I wanted to take the opportunity offered to me by the Board,
to comment on some concerns I have about the future of the
District and the selection of a new General Manager. First, I
would like to state that I strongly support the continuance of
the acquisition of property to complete the green belt.
Second, I do not believe this to be a good time to be
selecting a permanent General Manager when we have a qualified
Assistant General Manager who can fill in until we have more
information regarding the State Budget Crisis . I feel this is
the time to stay with what has worked and postpone any
permanent hiring process until we somewhat know what the
District's financial future will be . Once we have that
information, the Board should begin a process that analyzes

The management team has discussed the hiring process options raised by the Board at the
March 24 meeting, and has come to a consensus on a number of suggestions and preferences.
The management team is read to implement whatever process or procedure the Board

decides to pursue. These recommendations are being made in the spirit of open communication
and cooperation, and in the best interest of the District, the staff and the public perception of
the District.
Our recommendations are as follows:
1. Craig Britton should be appointed as acting general manager.
In order to effectively operate the District with a high degree of consistency, until a new
permanent general manager is hired, it seems logical for Craig to assume those duties,
which are in fact part of his job in the absence of the general manager.
2. The Board should not hire an interim general manager from outside, including a current
or former Board member.

The management team believes that an outside interim general manager is not necessary,
particularly if a process is developed for the hiring of a permanent general manager. As
noted above, the assistant general manager should assume those duties during the
process. In addition, the Board has expressed a trust and confidence in the management
team to carry on, and has indicated that there has not been a shift in District philosophy
or direction, so there appears to be no need for an interim general manager from outside.
The public perception of a current or former Board member as interim general manager
would likely be negative. This could be perceived as a potential conflict of interest, and
the District could be seen as being too "closed." Secondly, the role of a Board member
is different than that of a general manager. Board members are elected to a position of
policy making; a general manager is hired, based on professional expertise in
management and administration, to carry out the policy formulated by the Board. That
separation should be maintained both in fact and in perception.
3. A legislative consultant or a long-term funding consultant should not be considered for
appointment as an interim general manager. Legislative and funding are two distinctly
different areas of expertise. The intent, in relation to a funding measure, would be to hire
a consultant that specializes in setting up and running campaigns; it is unrealistic to
expect that person to also act as general manager. In fact, those consultants who have
already been contacted would be very unlikely to even consider such an approach.
Legislative consulting services are already provided by Ralph Heim, and now also by
Herb. If specialists are hired, they should spend their time focused on their area of
expertise, not on District administrative duties.
4. The "background" work for hiring a new permanent, full time general manager should
begin now, including:
a. hiring a consultant to map out the process;
b. development of a public and staff input process to determine desired
characteristics of a new general manager, including staff and Board
interviews;
d. creation and approval of the general manager job description;
e. preparation of requests for proposal for a consultant to do the actual
search and assist with selection.
5. The management team recommends that the actual search and selection process should
not be initiated until after the state budget is signed and its impact on district funding is
known. At that time, the Board could re-evaluate the desired characteristics and hiring
process and make adjustments as necessary depending on the circumstances.

RESOLUTION OF APPRECIATION OF THE BOARD
OF THE MIDPENINSULA REGIONAL OPEN SPACE DISTRICT
HONORING HERBERT A. GRENCH
WHEREAS, Herbert A. Grench was appointed the first General Manager of the Midpeninsula Regional
Open Space District on April 29, 1973 and has served in that capacity for the last 20 years; and
WHEREAS, Herb helped guide the fledgling District to its present stature as a well-known and respected
District with one of the country's best records for creating public greenbelts; and
WHEREAS, Herb has maintained a vision of creating a regional open space greenbelt in order to enhance
the quality of life for the residents and visitors to the mdpeninsula region; and
WHEREAS, the District now includes over 200 miles of trails in 23 open space preserves encompassing over
35,000 acres of permanently preserved open space lands stretching through parts of San Mateo, Santa Clara
and Santa Cruz Counties; and
WHEREAS, Herb is recognized and admired throughout the environmental, conservation and governmental
communities as a leader in the creation and management of public greenbelts and open space lands
preservation;and
WHEREAS, Herb has long been a significant and valued member of a number of parks and open space
organizations including Open Space America, the National Recreation and Parks Association, the California
Park and Recreation Society, the County Park and Recreation Directors Association and the Bay Area Open
Space Council; and
WHEREAS, Herb has built the District administration into an effective organization of over 50 professional
office and field staff members; and
WHEREAS, Herb will retire from the duties of General Manager of the Midpeninsula Regional Open Space
District as of April 29, 1993, his 20th anniversary;
NOW, THEREFORE, BE IT RESOLVED that the Board of Directors of the Midpeninsula Regional Open
Space District do extend heartfelt thanks to Herb for all he has done to make the regional greenbelt vision
a reality, wish him well in all his future endeavors, and look forward to his continued support of the District
and its open space preservation efforts.

BID PROCEDURES
I
State statutes governing the sale of Midpeninsula Regional Open Space District surplus real property provide
for the acceptance by the Board of Directors, upon recommendation of the General Manager, or Assistant
General Manager, of sealed written offers to purchase. Once written offers are opened, the Board accepts
oral bids. Following are the procedures for the auction.
1. All sealed proposals must be actually received in the office of Midpeninsula Regional Open Space District,
330 Distel Circle, Los Altos, CA 94022, by 7:30 P.M. on April 14, 1993.
2. Sealed proposals must be submitted on the form provided by the District, entitled "Offer to Purchase Real
Property and Purchase and Sale Agreement," signed by the proposer and accompanied by a cashier's
check or certified check, payable to Midpeninsula Regional Open Space District, in the amount of Fifty
Thousand Dollars ($50,000) as part of the deposit to be applied toward the purchase price. Because all
offers must conform to the terms and conditions approved by the Board of Directors, the form to submit a
proposal must be obtained from the undersigned.
3. A person who desires to make an oral bid must be present at the auction. If a bidder is representing
another party, proof of capacity to act on the party's behalf will be required at the time of registering.
4. At the auction, prior to the opening of the proposals, anyone who wishes to make an oral bid must register
with the District representative outside the Board Room. Registration will begin at 7:00 P.M. and will
conclude when the Board calls its meeting to order (approximately 7:30 P.M.). No one may register to bid
without having a $50,000 deposit in the form of a cashier's check or certified check payable to
Midpeninsula Regional Open Space District. If a written proposal has been submitted, it is still necessary
to register to bid prior to the auction.
5. All qualified bidders wishing to make an oral bid will be given a card with a number on it to be raised when
making a bid.
6. At 7:30 P.M. (or as soon thereafter as possible) on the day of the auction sealed proposals will be opened,
examined and declared. After declaring the highest responsible sealed proposal, if any are received, the
Board of Directors, upon recommendation of the General Manager, or the Assistant General Manager, will
call for oral bids. If any written proposals are received, the opening oral bid must exceed by five percent
(5%) the highest sealed proposal. If no written proposals are received, the opening oral bid must be at
least One Million, Five Hundred Thousand Dollars ($1,500,000) for Parcel I and Two Million Dollars
($2,000,000) for Parcel 11. The sequence of the auction will be Parcel I followed by Parcel 11.
7. After the call for oral bids, the Board of Directors, upon recommendation of the General Manager, or other
authorized officer, may accept the highest responsible proposal or bid. If an accepted offer is an oral offer,
the successful bidder will be required to sign the Purchase and Sale Agreement in the form attached as
Exhibit B to the Resolution of Intention (Offer to Purchase and Purchase and Sale Agreement) immediately
following the auction.
8. Unsuccessful bidders will receive their deposits back at the conclusion of the auction.
9. In the event the successful proposer or bidder refuses to execute the Purchase and Sale Agreement at the
conclusion of the auction, he/she shall forfeit the right to purchase the Property and the Board, upon
recommendation of the General Manager, or the Assistant General Manager, may, at its discretion, reopen
the auction and select the second highest proposer or bidder for the purchase of the Property, who will be
required to execute said Agreement and comply with the terms of the Purchase and Sale Agreement.

DISCUSSION
The Use and Management Plan for the Kennedy Limekiln Area of Sierra Azul Open Space
Preserve was adopted at your May 10, 1989 meeting (see report R-89-79 dated May 4, 1989).
Final adoption occurred at your July 26, 1989 meeting (see report R-89-114 dated July 17,
1989). The plan contained a recommendation to negotiate a license agreement with the adjacent
property owners to accommodate the encroaching leach lines located near the Kennedy Road
entrance of the preserve. The existing septic tank and leach lines were installed prior to District
ownership of the property.

because the affected area is dedicated land and transfer of any permanent property rights is

municipal sewer pipeline capable of serving the adjacent property is constructed. As part of the
license agreement, the property owners are supporting the District's parking lot proposal for
Kennedy Road.

LICENSE AGREEMENT
THIS AGREEMENT, made and entered into this day of
1993 by and between MIDPENINSULA REGIONAL OPEN SPACE DISTRICT, a
Public District formed pursuant to Article 3 of Chapter 3 of Division
5 of the California Public Resources Code, hereinafter called
"District, " and FREDERICK O. HOLLEY and MAUD W. GLEASON, hereinafter
individually and collectively called "Licensee, "
WITNESSETH
1. THAT District, for a good and valuable consideration of the
faithful performance and observance by Licensee of all of the
covenants and agreements herein contained, does hereby give to
Licensee, subject to all of the terms and conditions hereof, a License
for the operation, maintenance and use of an underground leaching and
drain field forming a portion of Licensee' s septic system for the
disposal of sewage and waste water from no more than one single family
residence, together with the necessary underground piping and other
necessary underground appurtenances thereto, all her referred
to as "the Structure, " upon real property of District located in the
State of California, County of Santa Clara, Town of Los Gatos
immediately adjoining the general easterly line of that certain 1. 622±
acre parcel of property delineated as Parcel 1, Lands of Fluer, on
Record of Survey 537-M-41 as recorded in the official Records of Santa
Clara County. The Structure is located within the property outlined
in red on the drawing marked Exhibit "All attached hereto and made a
part hereof.
2 . This License is granted by District and accepted by Licensee
upon the terms and conditions contained herein and Licensee does
covenant with District as follows:
A. Licensee hereby acknowledges that District owns fee
simple absolute title in and to the real property of District herein
described and agrees never to assail or resist said fee simple
absolute title.
B. Licensee' s rights hereunder are strictly limited to the
subsurface portion of the property for as long as Licensee's septic
system is in good order and repair, and meets all applicable safety
and health laws, regulations and requirements.
C. Licensee shall have no rights of surface use nor entry
upon the surface of said property and, in particular shall not
excavate or cause any excavation upon said property for the
maintenance, repair, or replacement of any of Licensee 's Structures
except as further herein permitted, as follows:
Licensee shall have the right to enter upon and excavate
said property, at Licensee' s sole cost and expense, as may be
necessary to keep said septic system in good order and repair

providing that Licensee shall give District 10 days advance notice in
writing of intention so to do and receive District's written
permission to proceed. Such permission may specify the work to be
done and the time in which the work shall be completed. Upon
completion of any work hereunder Licensee shall promptly restore as
near as possible the surface of the ground to the condition in which
it was prior to the commencement of said work and leave said real
property in a clean and presentable condition. If Licensee fails so
to keep said property, then District may perform the necessary
restoration at the expense of the Licensee, which expense Licensee
agrees to pay to District on demand.
D. In the event that a municipal sewer pipe line capable
of serving Licensee's property is constructed at some future time,
this License shall be revoked by District and Licensee agrees to make
an appropriate connection to said municipal sewer pipe line at its
sole cost and expense, provided; however, that District and Licensee
can determine a mutually agreeable location for Licensee ' s sewer line
easement,
E. Said License may be revoked by District under the
circumstances described in Paragraph 112D. 11 above upon giving to
Licensee thirty (30) days previous notice in writing of District' s
intention so to do, and upon the expiration of said thirty (30) day
period all rights herein given to Licensee shall immediately cease and
terminate. Upon such revocation and the giving of such notice,
District may record in the office of the County Recorder of said
County of Santa Clara, a notice of such revocation and of having given
notice as hereinbefore provided; the recital of such facts in such
recorded notice shall be conclusive proof of the truthfulness thereof.
Upon expiration of said thirty (30) day period District shall have the
right to cut and plug any pipe line entering upon its property.
F. Licensee expressly agrees to indemnify, defend and hold
harmless District, its directors, officers, and employees from and
against any and all loss, liability, expense, claims, costs, suits,
and damages, including attorneys ' fees, arising out of Licensee' s
operation or performance under this License.
G. In the event District shall bring suit to compel
performance of or to recover for breach of any covenant, agreement or
condition herein contained and shall prevail in said suit, Licensee
agrees to pay District reasonable attorneys ' fees in addition to the
amount of the judgment and costs.
H. All rights herein given to Licensee are subject to all
existing rights, rights of way, reservations and easements by
whomsoever held in and to said real property.
I. Licensee understands that District intends to construct
and operate a public vehicular parking lot on the District's real

property approximately as shown on said Exhibit "A. " Said parking lot''�
is planned to have approximately twelve spaces, based upon an approved
plan, with gate(s) open during daylight hours. As a substantial
consideration for the rights herein granted, Licensee hereby approves
such construction and agrees not to oppose such construction or
subsequent use of the parking lot.
J. Licensee agrees that it has not acquired nor will it
hereafter acquire any rights or interest in said real property of
District, nor does Licensee have nor will it obtain any right or claim
to the use of said real property beyond those specifically given in
this Agreement, and any and all existing recorded rights of lessee to
take water from District property.
K. Licensee recognizes and understands that this License
may create a possessory interest subject to property taxation and in
such case Licensee would be subject to the payment of property taxes
levied on such interest and shall not call upon District to make any
of such tax payments.
L. No rights of Licensee hereunder shall be transferred or
assigned unless the written consent of District is first secured.
With that exception, this Agreement and each and all of the covenants
herein contained shall inure to the benefit of and be binding upon the
successors and assigns of the respective parties hereto.
M. It is understood that this document contains the entire
Agreement between the parties hereto and all prior understandings or
agreements, oral or written, or whatsoever nature regarding the
License hereby given are superseded by this Agreement and are hereby
abrogated and nullified.

Approval of Permit to Enter for the United States Geological Survey to Conduct a Seismology Study
on Windy Hill Open Space Preserve
ASSISTANT GENERAL MANAGER'S RECOMMENDATION
Authorize Assistant General Manager to sign the attached Permit to Enter
DISCUSSION: A representative of the United States Geological Survey (USGS) requested that the
District allow USGS to conduct a seismology study using Windy Hill Open Space Preserve as one of
the test sites. The field work on District land would be conducted between April 26 and June 1, 1993.
The study stems from an observation during the Loma Prieta Earthquake of 1989 that heavy property
damage was not necessarily related to distance from the epicenter. Heavy damage occurred in isolated
areas of Oakland and San Francisco, while areas closer to the epicenter registered little to no damage.
The USGS would like to conduct a study to determine if there are similar areas on the peninsula and
in the east bay where heavy damage could be expected due to an earthquake along the San Andreas or
Hayward Faults.
The portion of the study to be performed at Windy Hill Open Space Preserve consists of drilling a 100-
foot deep, 8-inch diameter hole. The site of the hole is located at the headwaters of Damiani Creek,
in the southwestern part of the preserve (see attached map). The hole will be loaded with an explosive
charge. The 250 pound charge will be detonated and measurements taken using seismographs. The
deton
ation will occur between the hours of 10:00 .m. and 3:00 a.m. to ensure minimal background

noise and round motion interference in the area. The detonation will sound like a shotgun being fired

and will cause minute ground motion in the area. From the information gathered at the Windy Hill site
and other similar sites nearby, the USGS proposes to determine where greater than normal shaking may
occur during an earthquake on the San Andreas Fault.
After the experiment is complete, USGS will restore the site. It is anticipated that a small (3 to 15 feet
in diameter) sinkhole may develop from the blast. This sinkhole and the surrounding area will be
restored with the soil removed from the hole.
The USGS has prepared an in-depth environmental assessment of the entire study. It will be available
at your meeting for anyone wishing more information on the activity or its impacts. USGS will also
be responsible for public information and responding to questions from District constituents.

PERIVIIT TO ENTER
This Permit to Enter is by and between the Midpeninsula Regional Open Space District, a public
District(hereinafter "MROSD"), and the United States Geological Survey (hereinafter "USGS").
The parties hereby agree as follows:
1.0 Property
MROSD grants USGS permission to enter the portion of Windy Hill Open Space Preserve
(hereinafter the "Property") located near the headwaters of Damiani Creek, as shown on the
attached map. Access to the Property will be via the gate marked WH03. USGS will be given
the combination to a lock on the gate prior to entry.
2.0 Purpose
This permit to enter is for the sole purpose of conducting a seismic refraction survey. This
involves drilling a single, 100 foot deep, 8 inch wide hole, loading it with a 250 pound charge
and detonating the charge. The effects will be monitored by seismograph. Following the
detonation, USGS will restore the site.
This activity will enable USGS to study the effects of seismic waves from the San Andreas
Fault. If successful, this project will enable USGS to identify those areas in the region which
can expect stronger than usual shaking during a earthquake along the San Andreas Fault.
3.0 Activity Conditions
The activity shall be subject to the following conditions:
a. USGS will be responsible for obtaining all necessary permits for the project.
MROSD will issue a use permit for the activity. The use permit must be on the
site at any time USGS employees or their contractors are working on the
Property.
b. USGS shall notify MROSD at least 48 hours prior to commencement of drilling.
C. USGS will provide MROSD with a schedule of operations and keep MROSD
informed of any changes in the schedule.

d. USGS shall secure the hole with a locked metal cap whenever the site is vacated
by USGS.
e. Following detonation of the charge and completion of all monitoring, USGS will
make every effort to restore the site to a condition equal to or better than that
which was originally found. The borehole will be capped and covered with a
steel plate buried two feet below ground level.
f. USGS shall notify MROSD upon completion of all work.
4.0 Term
Access to the site for the purposes of conducting this study is limited to the period between April
26, 1993 and June 1, 1993.
5.0 Notice
Any notice or notices required or permitted to be given pursuant to this license may be
personally served on the other party by the party giving such notice, or may be served by U.S.

6.0 Damage and Liability
The United States Geological Survey agrees that the use of equipment and tools on the property
of Midpeninsula Regional Open Space District shall be effected with all reasonable diligence and
precautions to avoid damage to the land, property, or personnel of the District; further, the
USGS agrees to cooperate, to the extent allowed by law, in the submission of claims pursuant
to the Federal Tort Claims Act against the United States by third parties for personal injury or
property damage resulting from negligent act or omission of any employee of the USGS in the
course of their employment (28 U.S.C. SS 2671, et seq.).
The above permit to enter has been read and understood and is hereby agreed to and accepted.

Letter of Support for Federal Funding for Bay Area Ridge Trail Council
ASSISTANT GENERAL MANAGER'S RECOMMENDATION:
Approve the attached letter in support of congressional appropriation of $125,000 for Fiscal
Year 1994 for the Bay Area Ridge Trail.
DISCUSSION: Director Crowder, your Board representative to the Bay Area Ridge Trail
Council, requested this item be placed on the agenda. As in the past, the council is
requesting letters of support from agencies throughout the bay area for continued federal
funding for the Ridge Trail project. The appropriation requested for fiscal year 1994 is
$125,000.
Individual copies of the attached letter would be sent to Senators Barbara Boxer and Dianne
Feinstein and Representatives Norman Mineta, Tom Lantos, and Anna Eshoo.
You adopted a similar letter of support for a Bay Area Ridge Trail appropriation in March
1991 (see report R-91-33 dated March 7, 1991).

Dear Senator Boxer:
The Midpeninsula Regional Open Space District is writing to request your continued support for the Bay
Area Ridge Trail by endorsing an appropriation'of$125,000 in fiscal year 1994 to support public education
and coordination.
We are sure you are aware of how rapidly the Ridge Trail project has been moving toward completion in
just six years since inception. Over one hundred forty-seven miles of the envisioned continuous 400-mile
Bay Area Ridge Trail have been dedicated to date. The Midpeninsula Regional Open Space District
strongly supports the efforts of the Bay Area Ridge Trail Council and has played an integral role in
implementing over 19 miles of the Ridge Trail in our region.
The federal seed money we are requesting for the Bay Area Ridge Trail will leverage a great deal of
support from state and other local agencies. The Ridge Trail Council is requesting $50,000 less than
requested in fiscal year 1993. This money will be used for trail planning, outreach, development and
coordination expenses. The Ridge Trail has been successful because of the tremendous amount of grass-
roots support. Dedicated volunteers in each county meet monthly to plan, and enthusiastic volunteers work
hard on trail building under the guidance of the local open space and park district personnel.
The Midpeninsula Regional Open Space District has responsibility for patrol and maintenance on its 35,000
acres of public land, through part of which the Ridge Trail runs. We urge you to continue to support
federal assistance to this truly regional project which will provide recreational opportunities to the entire
Bay Area.

Determine the process for filling the position of general manager, including timing, after
discussing the various options available to the Board.

Discussion: After an initial discussion on the process for filling the general manager's
position at the March 24 regular meeting, the Board elected to continue its discussion and
hold a public workshop on the matter at the April 14 regular meeting. The purpose of the
workshop is to discuss various options available related to the filling of the position, to
determine the process to be used, and to set parameters on what the next steps in an agreed
upon process should be. If time permits, the Board may want to discuss the duties and
responsibilities of the new general manager, as well as the qualifications and characteristics
the Board seeks in the new general manager.
Geoff Ball of Geoff Ball & Associates of Los Altos will be the facilitator for the workshop.

As part of the Ralph Andersen & Associates classification study, a job specification for the
general manager position was prepared at staffs direction. This draft specification is

This acquisition is so key to the park and open space of this area that the
Midpeninsula Regional Open Space District is willing to manage the property for at

THE BAY AREA OPEN SPACE COUNCIL
Summary of Programs and Organization
BACKGROUND: The San Francisco Bay Area is blessed with an abundance of parks
and other public open space, now totaling 858,000 acres -- almost
one-quarter of the region's open space. This outstanding legacy has
been created by the actions of over 150 agencies and organizations
whose primary responsibility is the permanent protection of open
land through acquisition or donation.
In 1990, a group of leaders from these agencies organized a
major international conference on open space, held in Palo Alto.
With the encouragement of the San Francisco Foundation, the
planning group was able to continue its collaboration and in 1991,
formed itself as the steering committee of the Bay Area Open Space
Council.
PURPOSE: The Open Space Council brings together public and non-profit open
space agencies to provide regional leadership and expertise for the
permanent protection of remaining open space in the nine county
Bay Area.
PROGRAMS: The Council is developing a long range program for its activities,
which include public education, information exchange, research and
technical support. In 1992, the Council sponsored two workshops
on funding opportunities for public agency staff, conducted a
preliminary survey of long term funding needs of Bay Area park and
open space agencies, and began developing its Strategic Plan. Also
during the year, the Council advised Greenbelt Alliance on a major
update to its comprehensive survey of public land in the region.
The Council expects to hire a part-time coordinator before mid-
1993, to begin implementing its programs.
ORGANIZATION: The Open Space Council is directed by a steering committee of
leaders from two dozen agencies and organizations in the Bay Area.
Staffing and organizational support for the group is provided by
Greenbelt Alliance. The council members meet on a bi-monthly
basis to monitor ongoing projects, exchange information and
develop opportunties for future action.
