Open Space ---------------------- MIDPENINSULA REGIONAL OPEN SPACE DISTRICT RESOLUTIONNo. 95- RESOLUTION OF THE BOARD OF DIRECTORS OF THE MiDPENiNsuLA REGIONAL OPEN SPACE DISTRICT HONORING JomNDEWrTT, ExEcunvE DIRECTOR OF THE SA vE-THE-REDWOODS LEAGUE WHEREAS, the Board of Directors of the Midpeninsula Regional Open Space District finds that the Save-the- Redwoods League has grown, since its inception in 1918, into the premier nonprofit agency dedicated to the preservation of California's heritage of ancient Redwoods, and has so far been instrumental in securing the permanent preservation of more than 80,000 acres of Redwoods; and WHEREAS, Mr. John DeWitt has been the Executive Director of the Save-the-Redwoods League since 19 71; and WHEREAS, Mr. DeWitt has a long and distinguished history in public service, including work as a ranger at Yosemite National Park, Mount Rainier National Park, and Death Valley National Monument, and the positions of Land Law Examiner, Information Officer, and Land Appraiser with the Bureau of Land Management; and WHEREAS, under Mr. DeWitt's astute leadership, the Save-the-Redwoods League flourished and rose to new heights of success in raising over$65 million for acquisition of over 30,000 acres of Redwood forest far public parks and reserves; and WHEREAS, the Save-the-Redwoods League, under the guidance and direction of Mr. DeWitt, contributed$2 million to help create the District's Purisima Creek Redwoods Open Space Preserve; and WHEREAS, Mr. DeWitt and the Save-the-Redwoods League were responsible for additions to Portola State Park that created crucial trail connections between the District's Long Ridge Open Space Preserve and Portola State Park and WHEREAS, Mr. DeWitt has shown an unceasing commitment to environmental preservation by his involvement in a variety of environmental and conservation groups including the Nature Conservancy, the Tuolumne River Preservation Trust, and the Trust for Public Land. ROLL CALL President Pete Siemens called the meeting to order at 5:42 P.M. Members Present: Pete Siemens, Nonette Hanko, Mary Davey, Wim de Wit, and Betsy Crowder. Director Teena Henshaw arrived at 6:00 P.M. and Director Ginny Babbitt arrived at 6:10 P.M. Personnel Present: Craig Britton, Sue Schectman, Jean Fiddes, John Escobar, Randy Anderson, and Malcolm Smith. II. ORAL COMMUNICATIONS There were no oral communications. III. ADOPTION OF AGENDA Motion: M. Davey moved adoption of the agenda. N. Hanko seconded the motion. The motion passed 5 to 0. Directors Henshaw and Babbitt were not present for the vote. IV. BOARD BUSINESS A. Agenda Item 1 - Status Review and Amendment of Guidelines for Board-Staff Relationships The Board and staff reviewed the Guidelines for Board-Staff Working Relationships. Based on the discussion, the following changes were recommended: 1) program managers shall confer with the general manager regarding Board members requests for use of staff time; 2) Board members are encouraged to put requests in writing where appropriate; 3) information (except trail conditions) from a Board members to staff should be routed through the general manager or program managers; 4) rephrase item five to encompass concept that staff reports will present areas of potential controversy and concern; and 5) Board members and management will not surprise each other with important information consistent with the Brown Act. With respect to the three meeting-related items, it was determined that they should be rewritten to include what is allowable under the new Brown Act. Schectman noted that she had previously distributed Brown Act guidelines for informational reports to the Board and staff. B. Agenda Item 2 - Review of Parliamentary Procedures and Protocol for Public Participation in Board Meetings S. Schectman highlighted rules of procedure for Board meetings, including the Brown Act, Robert's Rules of Order, and the District's adopted Rules of Procedure; various opportunities for public comments at Board meetings; Board deliberation; and motions and voting. T. Henshaw stated that she would prefer Board meetings run more tightly than they are now. S. Schectman proposed that a manual-type handbook be prepared that would incorporate both rules for working with the staff and Board meeting protocol and procedures, including Brown Act procedures for informational reports. There was Board consensus that legal counsel should prepare the handbook. C. Britton noted that legal counsel would probably not be able to work on the project for a couple of months. He said that the draft handbook would be presented to the Administration and Budget Committee for review prior to consideration by the full Board. C. Agenda Item 3 - Review of Capital Improvement Project Planning and Budgeting Process R. Anderson, as an informational item, reviewed the multi-year planning cycle used for the Skyline Ridge Open Space Preserve water system as an example of the various phases and factors, both known and unknown, that are involved in a planning project. P. Siemens noted that, in some cases, because of the complexity of projects the District might want to consider using outside project managers. T. Henshaw left the meeting at 7:14 P.M. D. Agenda Item 4 - Discussion of Various Public Participation Opportunities i Regional Open Space Plan R. Anderson reviewed initial staff work to date on a regional open space plan, noting that staff proposed that a task force appointed by the Board was anticipated as part of the process and that staff was still working on a timeframe for the various steps of the plan's preparation. Discussion centered on the amount of staff time required to work on the plan; what the end result of the plan was to be and why it was important; the role the plan could play in future potential funding measures; and the plan helping to clarify the Meeting 95-06 Page 3 District's Basic Policy. P. Siemens stated that he would like to see the plan show where the District wants to be in 20 years (how big, what properties District would like to purchase, what the District going to do with its lands; good costs estimates of funding required; and where funding to come from. N. Hanko noted that the plan is a means of involving the public in what the District is doing and what it is going to do. B. Crowder stated that the plan would help clarify the District's Basic Policy and would draw a picture of what the District should look like. V. CLOSED SESSION P. Siemens announced that the Board would meet in Closed Session for the purpose of discussing Closed Session agenda item one. The Board recessed to Closed Session at 7:34 P.M. and the Special Meeting Closed Session commenced at 7:42 P.M. The Closed Session concluded at 8:05 P.M. VI. ROLL CALL President Pete Siemens called the Special Meeting to order at 7:05 P.M. Members Present: Pete Siemens, Betsy Crowder, Nonette Hanko, Teena Henshaw, and Wim de Wit. Members Absent: Ginny Babbitt and Mary Davey. Personnel Present: Craig Britton, Jean Fiddes, John Escobar, and Sue Schectman. 11. CLOSED SESSION P. Siemens stated that the Board would be meeting in Closed Session for the purpose of discussing Special Meeting agenda item number one. The Board recessed to the Closed Session Special Meeting at 7:05 P.M. The Special Meeting was adjourned at 7:22 P.M. P. Siemens called the Regular Meeting to order at 7:31 P.M. and announced that the Board met in Closed Session to confer with its labor negotiators on Special Meeting agenda item number one. ADOPTION OF CONSENT CALENDAR P. Siemens requested agenda item 11, Adoption of Resolution Supporting Continued Funding for the Bay Conservation and Development Commission, be removed from the consent calendar and that agenda item 13 Annual Claims for Fiscal year 1995- 1996 and Revised Claims 95-06 be removed at the request of H. Haeussler. Motion: T. Henshaw moved that the Board adopt the consent calendar as revised including: approval of minutes dated February 22, 1995 and March 8, 1995; approval of the response to the written communication dated March 7, 1995 from Christine Mandras, 11,000 Pescadero Road, La Honda; agenda item number 1, Adoption of the Relative Site Emphasis Plan and Use and Management Plan Target Review Schedule; agenda item number 2, Adoption of the 1995-1996 Action Plan for the Implementation of the Basic Policy of the Midpeninsula Regional Open Space District; agenda item number 8, Adoption of Minor Amendment in District's Access Plan for Persons with Disabilities and Acceptance of Proposed Approach to Provide Trail Access Information; agenda item number 12, Acceptance of$34,800 Bid from Randazzo Enterprises of Castroville and Award of Contract for Demolition of Structure at 140 La Honda Road (La Honda Creek Open space Preserve). W. de Wit seconded the motion. The motion passed 5 to 0. VI. BOARD BUSINESS A. Agenda Item 3 - Acceptance of Insurance Coverage for 1995-1996 (Report R- 95-47) J. Fiddes highlighted the proposed insurance coverage package for 1995-1996 and reported staff will be working with Skip McIntyre of Flinn, Gray & Herterich to consider higher deductibles which may be fiscally prudent for the District, causing a decrease in the premiums. H. Haeussler, noting the 7 1/2% increase in premiums, asked if additional coverage was being provided. Skip McIntyre responded that coverage is the same as 1994-1995 and said that the increase is due to rising cost adjustments by the carriers. Motion: B. Crowder moved that the Board accept the package (property and general liability), auto, umbrella liability, public entity errors and omissions coverage, and fidelity bond insurance coverage bid totalling $149,421 from Flinn, Gray & Herterich. T. Henshaw seconded the motion. The motion passed 5 to 0. Meeting 95-07 Page 3 B. Agenda Item 4 - Approval of Memorandum of Agreement with Local 715 (LZ=rt R-95-46) S. Schectman explained that this item called for approval of a proposed two year agreement with the District employees represented by Local 715 and provided for a two point salary increase for the first year and second year of the contract. She said the District's open space technicians, lead open space technicians, rangers, and equipment mechanic operator had ratified the proposed contract. S. Schectman pointed out that Local 715 had requested the eighth separate letter referencing soft body armor be withdrawn, adding that the District had agreed to withdraw the letter. Motion: N. Hanko moved that the Board adopt Resolution 95-08, a Resolution of the Board of Directors of the Midpeninsula Regional Open Space District Approving the Memorandum of Agreement Between the Midpeninsula Regional Open Space District and Local 715, Service Employees International Union, AFL-CIO/CLC. B. Crowder seconded the motion. The motion passed 5 to 0. C. Agenda Item 5 - Approval of 1995-1996 Salary and Benefit Adjustments for Office. Supervisory. and Management Staff (Report R-95-49) J. Fiddes reviewed the proposed salary and benefit adjustment which included 1) approving the 1995-1996 salary pay plan that includes a 2 point adjustment for the District's office, supervisory, and management classifications effective April 1, 1995; 2) directing staff to request actuarial valuations from the Public Employees Retirement System (PERS) to determine the cost to the District of adopting the following PERS contract options: 2% at 55 retirement formula, credit for unused sick leave, and employer-paid member contributions as compensation and also to direct staff to study the PERS Health Benefits Program as a possible alternative to the current medical plan options; 3) approving an increase in vacation accrual for longer service employees as follows: 21 vacation days - 15 years of service, 23 vacation days - 20 years of service, and 25 vacation days - 25 years of service; 4) approving the elimination of the 8-hour Columbus Day holiday; adding 4 hours of holiday time to the workday preceding Christmas Day and 4 hours to personal leave time for staff in the District's administrative office; 5) approving, effective April 1, 1995, the replacement of the current long term disability plan with a new long term disability plan that is more costly but provides greater benefit coverage, with monthly premiums paid by the District; 6) approving the provision of medical, dental, and vision plan benefit coverage for same-sex domestic partners, if plan(s) allow domestic partner's enrollment; 7) approving the establishment of an administrative leave program for management employees, consisting of five days of administrative leave per year, and 8) based on the Board's determination, placing a $25,000 cap on the salary incentive program, directing staff to study the program to determine the best method for distributing awards. Meeting 95-07 Page 4 C. Britton commented that the overall package increase is 2.3% and that detailed administrative leave guidelines would be developed. Motion: N. Hanko moved that the Board approve the 1995-1996 salary and benefit adjustments for office, supervisory, and management staff as contained in Report R-95-49 dated March 22, 1995. B. Crowder seconded the motion. The motion passed 5 to 0. D. Agenda Item 6a - Adoption of Budget for Fiscal Year 1995-1996 (Report R 95-48) C. Britton noted that the Board had reviewed the proposed budget at its March 8 meeting, noting that no additional public comments had been received and that the only adjustments to the proposed budget related to salary and benefit adjustments from the previous two agenda items. C. Britton commented that staffs goal is to keep this more realistic budget within the six percent target guideline, using quarterly budget reviews. Motion: N. Hanko moved that the Board adopt Resolution 95-09, a Resolution of the Board of Directors of the Midpeninsula Regional Open Space District Adopting Budget for Fiscal Year 1995-1996. T. Henshaw seconded the motion. The motion passed 5 to 0. Motion: N. Hanko moved that the Board authorize the filling of the second, regular full-time equipment mechanic-operator position effective, July 1, 1995. T. Henshaw seconded the motion. The motion passed 5 to 0. Motion: N. Hanko moved that the Board authorize the filling of the current part-time receptionist position on the equivalent of a full- time basis, effective April 1, 1995. T. Henshaw seconded the motion. The motion passed 5 to 0. E. Agenda Item 6b - Proposed Budget for Fiscal Year 1995-1996 (Report R-95 431 T. Henshaw reminded the Board that the Administration and Budget Committee has not completed the salary review schedule for the general manager, legal counsel, and controller. Motion: T. Henshaw moved that the Board accept the Administration and Budget Committee's recommendations contained in report R-95- 36, including accepting the proposed 1995-1996 fiscal year budget. N. Hanko seconded the motion. The motion passed 5 to 0. Meeting 95-07 Page 5 F. Agenda Item 7 - Approval of Permits to Enter for the United State Geological Surva and Their Contractor, William Lettis & Associates. to Conduct a Seismology Study on Rancho San Antonio Oren Space Preserve (Report R-95-40) S. Cochran reported that the United States Geological Survey and their contractor, William Lettis & Associates, have requested access to Rancho San Antonio Open Space Preserve to conduct a two phase seismic study of the Monte Vista Fault in April and June. She introduced Tom Burdette, of the United States Geological Survey, who described the first phase as an active seismic survey using seismic sensors and a combination of seismic sources. He reported USGS personnel will conduct this study in the front meadow area of the preserve near the preserve entrance sign. Keith Kelson of William Lettis & Associates detailed the second phase of the study which involves digging a trench along the surface trace of the Monte Vista Fault as identified in phase one. He described the trench as 150 feet long, 3 feet wide, and about 14 feet deep and showed slides of similar projects. N. Hank o requested that educational sessions be made available to school age children during the study and T. Henshaw suggested that District docents and environmental volunteers who lead hikes at Los Trancos Open Space Preserve be made aware of this activity at Rancho San Antonio Open Space Preserve. After discussion, it was decided that a series of prescheduled talks at the study site would be coordinated. S. Schectman requested on behalf of William Lettis & Associates that as a technical change, the third paragraph of Section 6.0 be deleted from the Permit To Enter between Midpeninsula Regional Open Space District and William Lettis & Associates. Tom Burdette requested that, due to the unpredictability of the weather, the term for conducting the study be extended. S. Schectman suggested that the term of the permit be extended by an additional four weeks by written approval of the General Manager. Motion: N. Hanko moved that the Board authorize the General Manager to sign the Permits to Enter Rancho San Antonio Open Space Preserve as amended and that the term of the permit be extended by an additional four weeks by written approval of the General Manager. T. Henshaw seconded the motion. The motion passed 5 to 0. G. Agenda Item 9 - Review of Request for Proposals for Use of Mt. Umunhum Buildings and Facilities (Report R-95-43) Motion: T. Henshaw moved that the Board, based upon the results of the Request for Proposals process, determine that the former Air Force buildings and facilities are not suitable for alternative Meeting 95-07 Page 6 uses, except for potential recreational or District operational use on a very limited basis and approve staff s proposal for the follow-up process to implement this decision and to investigate alternatives for demolition or salvage of the remainder of the buildings and facilities, and restoration of the site. B. Crowder seconded the motion. The motion passed 5 to 0. H. Agenda Item 10 - Santa Clara County Participation in the Acquisition of the Bartkowski Property as an Addition to El Sereno Oren Space Preserve (Rogrt R-95-45) C. Britton reported that Santa Clara County has agreed to contribute $50,000 towards the $237,500 acquisition cost of this property making the District's contribution $187,500. C. Britton pointed out the only change is that the County has requested that this property be dedicated as public open space. Motion: B. Crowder moved that the Board adopt Resolution 95-10, a Resolution of the Board of Directors of the Midpeninsula Regional Open Space District Approving and Authorizing Execution of an Agreement with Santa Clara County for Purchase of Real Property, Authorizing Officer to Execute Scenic and Open Space Easement,and Authorizing General Manner to Execute Any and All Other Documents Necessary or Appropriate to the Transaction (El Sereno Open Space Preserve, Lands of Bartkowski, et al); approve waiver of the condition precedent as contained in Section 5 of the Purchase Agreement-Bargain Sale as accepted by Resolution 95-06 adopted on February 22, 1995; reaffirm their tentative adoption of the Preliminary Use and Management Plan recommendations including naming the Bartkowski property an addition to the El Sereno Open Space Preserve; and indicate their intention to dedicate the property as public open space at this time, which supersedes their motion of February 22, 1995. T. Henshaw seconded the motion. The motion passed 5 to 0. I. Agenda Item 11 - Resolution Supporting Continued Funding for the Bay Conservation and Development Commission (Report R-95-35) P. Siemens pointed out that in the last paragraph of the resolution the wording should read "Legislature" not "Legislation". N. Hanko requested that the District distribute a press release on this item. Motion: P. Siemens moved that the Board adopt Resolution 95-11, a Resolution of the Board of Directors of the Midpeninsula Regional Open Space District Supporting Continued Funding for the San Francisco Bay Conservation and Development Commission, as corrected. Fiddes responded that, based on H. Grench's separation agreement, he is entitled to benefit coverage, that certain employees receive a monthly mileage allowance, and that payments to PG&E need to be promptly made once billing is received. She noted that, while fuel may be purchased from more than one vendor, Valley Oil Company was the only vendor listed on annual claims. Motion: T. INFORMATIONAL REPORTS C. Britton reported that 1) Karen Foss, Director of Santa Clara County Parks is retiring July I and she is recommending that Alan LeFleur take over her position; 2) John DeWitt is retiring as Director of Save-the-Redwoods League and Mary Francini is taking over his position as Acting Director; 3) Santa Clara County Open Space Authority will be receiving their first acquisition, a gift from the District of the LaPoint property to be presented by P. Siemens and himself at their Board meeting on March 23, 1995; 4) the District's bill to include mountain bicycling as a hazardous recreational activity (AB700) is set for a hearing in Sacramento on April 18 and M. Smith, J. Escobar and he will attend; 5) he attended the Open Space Council meeting and it was reported that the District closed two of the Ridge Trail gaps; and 6) he will be unable to attend the May 4 joint meeting with San Mateo County Parks and Recreation Department. N. Hanko announced the founders' event has been set for Sunday, June 25 from 11:00 A.M. to 1:00 P.M. and the Legislative, Finance and Public Affairs Committee will be submitting their informational item on directors fees to the Board at their April 12 meeting. Crowder reported that Anna Eshoo is chairing an Endangered Special Forum in the Palo Alto Council chambers on April 19; 2) she attended a Bay Area Action Workshop on eliminating exotic plants from natural reserves; and 3) Jon Silver, Meeting 95-07 Page 8 former Mayor of Portola Valley, has been named to the San Mateo County Planning Commission. I assumed that the ban on dogs was not capricious or purposely discriminatory. So, I asked for the reasons for the ban. The conversation with the ranger raised some questions that I would appreciate having answered. She stated that a concern about dogs was the feces that they might leave behind. In view of the fact that any number of wild animals -- particularly those similar to dogs, such as coyotes and foxes -- will deposit similar scat, I ask why you consider domestic canine feces to be more objectionable? If you do so on the basis of domesticity and that they are not part of the natural biota, then I must respectfully ask how you justify allowing horses on the trails. Also, since I have not seen evidence of any sanitary facilities provided for humans, it must be assumed that human urine and feces are regularly deposited within the preserve. With respect to the potential for disease transmission, human feces must be considered to be a greater risk for humans than dog feces. With respect to the potential for disturbing wildlife, I would assume that human waste would be similar to that of any other predator, including dogs. Which leads me to my next question. She further stated thatthere was concern about disturbing wildlife. Humans are themselves 'a significant disturbance by their very presence. The mountain bikes that are allowed are a particular hazard to California Newts, Banana Slugs, snakes, toads, lizards and numerous other small animals that would not normally be stepped on by hikers; yet, you allow the bikes. However, more to the point: was this particular rationale based on any citable, veer-reviewed study by biologists or game management specialists, or was it just something the board felt to be self-evident? It is my impression that the experience of ranchers has been that individual dogs are rarely a threat to livestock and certainly never while under supervision. The problem has historically been with feral and/or domesticated animals running in packs that have been problems. The California Fish and Game Code specifically prohibits allowing dogs to harass animals that are not game animals being pursued legitimately during open season; therefore, the state provides you with a means of control . Why is it then necessary to exclude dogs for concern about them disturbing wildlife? While hiking, I noted a closed trail that specifically excluded bikes and horses because of the erosion resulting from their use. Since dogs have low impact on the terrain -- they are even easier on the ground than Vibram soles -- dogs would seem to have less permanent effects on the total system than horses or bikes. Is then political expediency the reason that you allow horses and bikes and not dogs? If you are pandering to the influence of what are typically economically-advantaged horse owners, I point out that dog owners certainly outnumber horse owners by a ratio of at least 1000 to 1 . Are you really serving the community equitably by allowing horses and not allowing dogs? Horses are usually a means of transportation. For many of us, our dogs are our friends and companions, however. we find it as objectionable to go somewhere without our dogs as some would find it to be forced to leave their children home. Do you prohibit seeing-eye dogs? Would it not be possible to at least open certain trails to dog owners? Lastly, I point out that with the more frequent attacks by mountain lions upon joggers and even bikers, you should be giving consideration to protection of users of the preserves. I could well imagine that if someone were killed or seriously hurt by a mountain lion you may well find yourself in litigation as a result of prohibiting users from any effective means of protection or deterrence from attacks. FOR BOARD CONSIDERATION San Jose, CA 95132 Dear Mr. Spencer: Thank you for your March 31, 1995 letter supporting increased access for dogs on District open space preserves. The District's Board of Directors reviewed your comments at our Regular Meeting last night. Your letter has been forwarded to the Board committee appointed to investigate the issue of access for dogs. The District allows dogs on leash at 6 of our 23 preserves: Pulgas Ridge, Windy Hill, Foothills, Long Ridge, Fremont Older, and St. Joseph's Hill. Guide and service dogs under physical control, specifically licensed to assist the blind, deaf, or disabled may go anywhere on the preserves with their owners. Current access allowed evolved during the period from 1983 to 1987. Based on continued support for additional access for dogs, the Board of Director's Dog Use Committee initiated a study process in September 1993 to carefully review the current program for dog access. A summary of the current status of our review of dog access is attached for your information. During the past year and one-half, District staff and a citizen's task force, under the charge of the Dog Use Committee, have conducted extensive research on the policies and experiences of other agencies regarding dogs, and on academic or scientific research on the issue. Very little hard evidence was available and the policies and opinions ranged widely among agencies. Research is currently focused on which of our preserves might be appropriate to open up to leashed dogs and under what criteria. Also, draft criteria have been developed for reviewing potential for an experimental off-leash subarea. A public meeting before the Dog Use Committee to review the results of this research is anticipated in May. After review by the committee, the issue will come before the full Board. I appreciate your various comments on this issue, and they will be given careful consideration. Schectman, Legal Counsel SUBJECT: Tau. Consequences of Donation to District of Boardmembers' Compensation Issue The Board is considering a program which would allow District Boardmembers to donate all or a portion of their monthly compensation to the District. The Board has requested an opinion concerning the feasibility and tax consequences of such a program. Summary Boardmembers who wish to make a donation of their compensation to the District have two alternatives: (1) A Boardmember may elect to receive the full compensation due him or her and make a donation of all or a portion of it back to the District. The Boardmember will be taxed on the full amount of the compensation received. However, the Director will be entitled to a charitable deduction for the donation up to 50% of adjusted gross income. (2) A Director may agree in advance to forego all or a part of his or her compensation before it is earned. If this income is waived, it will not be taxable income to the Director. No charitable deduction will be available. The Director may not direct that the foregone income be applied to a designated project. However, the District can publicly recognized the special contribution made by the Director by foregoing compensation and can give special recognition to him or her by identifying the amount of cost savings and the types of projects this savings enabled the District to accomplish. This choice has the most tax advantages to the Director, yet has the same financial benefit to the District as Scenario One. I am not attempting to advise any Director individually concerning his or her personal tax liability. Directors who wish to participate in this program should consult their own tax adviser to determine how such a program would affect them personally. Donation of a Directors' compensationg could fall into three scenarios with the following tax consequences: Scenario l: Director Smith is entitled to $500 in compensation for January. Smith receives the $500 and makes a $200 donation back to the District. Rem: Smith has received $500 in taxable income. The taxable income is reduced by a $200 charitable deduction. The District qualifies as a charitable organization for charitable deduction purposes. The total amount which may be donated for deduction purposes may not exceed 50% of the Director's adjusted gross income. Scenario Two: Director Smith is entitled to $500 in compensation for January. He instructs the District that he does not wish to receive $500 and instructs the District to send him only $300. Result: If a Director refuses compensation already earned, the result may very well be the same as Scenario One: the Director has received $500 in taxable income and made a $200 charitable contribution to the District. This is due to a tax principle known as the "Constructive Receipt Doctrine" which provides that a person who has earned income but refuses payment thereof is still taxable on the full income earned. However, if the Director instructs the District in advance of earning compensation that certain compensation will be waived or foregone, the Director will not be taxed on the amount of compensation foregone. A charitable deduction is not available for the amount foregone because it has never been earned. Scenario Three: Director Smith is due $500 in compensation in January. He instructs the District that he only wishes to receive $300 and instructs the District to direct the $200 he would otherwise have received to an earmarked special project of the District, such as building a trail, a memorial site, or other specified project. Result: If a Director refuses compensation already earned, the result is the same as Scenario Two: he will be taxed on the full amount earned and be entitled to $200 charitable deduction. 2 If the Director instructs the District in advance that the $200 in income will be waived, the Director should not direct the District to use the $200 he would otherwise have earned to a specific project. If he does so, he risks creating a situation where the full amount will be taxable income to him. Tax law holds that, where a person has the right to receive income but directs that it be paid elsewhere, that person is still chargeable with that income. To avoid this, the Director must make sure that the income is never earned and thus cannot be designated for expenditure on a specific project. However, even where the income is waived, the District Board of Directors can recognize Directors who have foregone compensation by giving them special public recognition. For example, annually, the Board could recognize such Directors, acknowledge the amount of compensation foregone and the resulting savings to the District, and acknowledge the types of projects the Board was able to accomplish as a result. If a Director wishes to participate in this type of program, the arrangements should be set up properly in writing prior to earning income. GENERAL MANAGER'S RECOMMENDATIONS 1. Authorize the general manager to execute the attached addendum to the contract with Enshallah Developments, Inc., real estate and development consultants, to continue to assist and represent the District in its dealings with the Town of Woodside to secure the necessary approvals to proceed with the sale of the surplus property at Teague Hill Open Space Preserve. 2. Approve a maximum $20,000 budget expenditure for Phase Two of Enshallah's services and a maximum$5,000 budget expenditure for engineering services and application filing fees for a total additional authorization of $25,000. DISCUSSION When the Teague Hill property in Woodside was originally purchased by the District in 1988, the acquisition was approved with the understanding that the District could not afford the total purchase price of $7,500,000 without recapture of a significant portion of the purchase price (see report R-88-59, dated May 15, 1988 and report R-88-87, dated July 18, 1988). Two 35- acre parcels were created by the District in the least objectionable part of the property to be sold for residential subdivision. At your regular meeting of October 26, 1994, you authorized the general manager and legal counsel to work with the Town of Woodside to use a lot line adjustment mechanism to establish up to six legal lots while preserving the maximum possible amount of public open space. You also authorized the general manager to negotiate a contract with Enshallah Developments, Inc. in the amount of $10,000 to assist and represent the District in working with the Town of Woodside and in marketing the property (see report R-94-105). Geraldine Steinberg of Enshallah has completed the first phase of research and discussions with Woodside officials. She has obtained very positive results in clarifying the potential and process for using lot line adjustments to create saleable parcels. This effort centered on a very detailed review of the history of parcelization of the property since the Spanish land grant to the present and review of the District's powers under the Subdivision Map Act. Based on these discussions, Woodside Town officials have agreed that the District has a basis for filing an application for certificates of compliance on up to seven parcels (six saleable parcels and the open space remainder). This application is approved administratively. They would still be subject to the proving of access, geotechnical, and septic system feasibility at the building permit stage. Enshallah's initial $10,000 budget for services to represent the District has been expended. A new authorization of$20,000 to continue these services through the submittal and review phase (Phase Two) is requested at this time. Costs will also be incurred for preparation of the lot line adjustment map by Brian, Kangas, Foulk, Civil Engineers, who have performed the previous studies of the site for the District and others, for filing fees for certificates of compliance with the Town, and for a preliminary soil percolation assessment. These costs are estimated roughly at $5,000 at this time, for a total requested additional authorization of $25,000. There is sufficient budget in the planning consultants category to cover these costs. All of Enshallah's fees would ultimately be credited against their real estate commission should they represent the District in the sale of the property. I. SCOPE OF WORK In consideration of mutual covenants contained herein, Consultants will render the following additional services to the District: PHASE II - SECURING CERTIFICATES OF COMPLIANCE AND LOT LINE ADJUSTMENTS A. Gather required information and prepare the prescribed applications and documentation for the Town of Woodside to obtain Certificates of Compliance and Lot Line Adjustments for the historic lots. B. Coordinate contract with civil engineer for preparation of plans or maps as needed. C. Coordinate contracts with additional consultants as needed when approved by District (i.e., soils engineers for percolation tests, etc.). D. Participate with Town Planning and Public Works Departments on processing all submittals and revisions. E. Attend Planning Commission and Town Council hearings and make presentations when appropriate. F. Coordinate the preparation of preliminary title reports for newly created lots. G. Submit a written report to District summarizing number and configuration of lots approved by Town of Woodside. Report to include a preliminary valuation of the lots and marketing alternatives for the District to evaluate. II. GENERAL PROVISIONS A. Resp-Qnsibility of Consultant - The Consultants shall be responsible for the professional quality, technical accuracy, and the coordination of all reports and other services furnished by the Consultants under this agreement. Subcontract - The Consultants shall advise District as to the need for subcontracting services necessary or the completion of the project and shall allow sufficient lead time for District to procure same. Changes to Special Services Contract - The District may at any time by written order, make changes within the general scope of services of work to be performed in accordance wit this contract. No services for which additional compensation will be charged by the Consultants shall be furnished without the written authorization of the District. I E. Termination - If the District determines that the services of the Consultants are no longer required by the District, District shall notify Consultants in writing to suspend work. In such event, Consultants shall be paid for the time expended to date of receipt of said notice. Consultants compensation in the event of termination shall be calculated by multiplying the hours actually expended by the hourly rates shown in the fee schedule, less any previously billed and paid fees. Upon knowledge of a termination notice, the Consultants shall promptly discontinue all services affected (unless the notice directs otherwise), and upon receipt of fee for work completed, Consultants shall deliver to District all data, drawings reports, summaries, and such other information and materials as may have been accumulated by the Consultants in performing this agreement whether completed or in process. DISCUSSIO At your June 30, 1975 meeting, you adopted Resolution 75-14 accepting the gift of a 20-acre scenic easement from Merrill E. and Dorothy J. La Point (see report R-75-93, dated June 27, 1975). Although located approximately seven miles due south of the southernmost edge of the District's sphere of influence, this easement was accepted as a gift and recorded just prior to the tax sale. This was a creative opportunity to assure that this property would be preserved, while declining to assume fee title and any liability associated with the tax delinquency and/or ongoing property tax obligations. Because of the property's location, it was hoped that a similar agency might one day be formed that would assume the preservation benefits of this easement. Now that the Santa Clara County Open Space Authority has been officially created to preserve desirable open space lands in most of the balance of Santa Clara County, they have been offered a gift transfer of this scenic easement. In fact, it is with great pleasure that our District is able to offer the Open Space Authority its very first parcel of open space for permanent preservation. Board President Siemens and I attended the Authority meeting of March 23, 1995, were introduced, and their Board expressed appreciation as they approved this proposed gift transaction. DISCUSSION For the past several months, staff has been working on securing the use of several new mutual aid fire and law enforcement frequencies. The use of these frequencies will improve the field staff's ability to communicate directly with other emergency service providers. Over one-half of District lands are within the jurisdiction of CDF. It is essential for District field staff members to communicate effectively with CDF when responding to fires and other emergencies on District preserves and adjacent lands. The attached agreement allows for the use of specific CDF radio frequencies for this purpose. This is being offered at no cost to the District and is subject to termination by either party with seven (7) days written notice. In addition to the CDF frequencies, the District recently acquired a FCC license for "fire blue," a Santa Clara County mutual aid fire frequency, and authorization to use "CLEMARS," the California Law Enforcement Mutual Aid System. The District will be seeking grant funds to pay for repairs to roads, trails, structures, and water systems damaged during the January and March 1995 storms. Two separate federal disasters were declared. Federal Disaster Number FEMA-1044-DR covers the incident period from January 3, 1995 to February 10, 1995, and Federal Disaster Number FEMA-1046-DR began on February 13, 1995 and is still continuing. The attached Exhibit B, "List of Projects," outlines the project areas with eligible damages. With the recent purchase of the property needed to complete the trail connection, the District now plans to build the trail segment later this spring. The District would also be willing to meet with the group to discuss this matter further if that is your wish. The purpose of this letter is to clarify the rights of the Portola Park Heights Homeowners Association and its members relating to easements over District land. The District hopes that this letter will help avoid future potential problems and ensure a smooth working relationship with our Portola Park Heights neighbors. After one of the January winter storms, one of the association's members was seen cutting trees on District property on the Long Ridge Open Space Preserve. The District investigated the circumstances thoroughly, and determined that the action appeared to be unauthorized and unwarranted. The District has decided, however, to refrain from taking further action in this instance and wants to take the opportunity to emphasize the importance of working together in advance to resolve such matters. This approach lessens the possibility of decisions or acts which could expose your association or its members to the risk of substantial legal liability. The association's members, who are property owners, have an easement through District property, and a right to maintain the easement in an open and safe condition. As an easement owner, however, your rights are specifically limited. Before the association or any easement holder enters and makes changes to District land for the purposes of maintaining and exercising easement rights, the association or easement holder must be able to prove that the work is necessary to protect or i f work, u does i anyway, that those rights. Unauthorized cutting of trees is a violation of both state law and District regulations. State law provides for either double or triple damages for the wrongful cutting of trees (Code of Civil Procedure Section 733; Civil Code Section 3346.) The cutting or removal of trees with a circumference more than 39" at 4 1/2 feet off the ground also violates San Mateo County ordinances. The District views the cutting, felling and/or removal of trees on District property as a very serious matter. In the management of its lands, the District takes such action with extreme caution and reluctance. Therefore, any concerns you may have regarding trees on District land should be resolved with District staff prior to taking any action without District permission. The District requests that the association and its individual members contact District staff before starting any maintenance work whenever you have concerns about interference with your access rights. They designed the proposed system which consists of two eight-foot gates, two motor operators to open and close the gates, a digital keypad and a backup battery system for the gate motors. As designed, the gates will open automatically when vehicles are exiting. Also, a safety feature will be installed which keeps the gates open until a vehicle passes beyond a specified point (in either direction) before the gate closes. The digital keypad can hold LIP to 10 different codes, allowing each household a separate code to trigger the gate-opening mechanism. I am hopeful that this provides enough code options. If more than one code per household is needed, a different model keypad will be required at a slightly higher cost. Portable transmitters are available. The cost is dependent upon how many are ordered. Purchase of a transmitter will be the responsibility of each homeowner, however, I can coordinate the purchase. They will cost $25.00 if 1-5 are ordered, $20.00 if 6-10 are ordered, or $17.50 if 11 or more are ordered. The following guidelines will apply: 1. Management employees will be granted 40 hours of administrative leave time on January 1 of each calendar year. 2. As a member of the Budget Committee, please be assured that I will do my best to ensure that the BCDC is financially able to continue serving these vital functions. This will include an effort on my part to see that the BCDC retains its institutional autonomy from the California Coastal Commission. I never know when it will arrive in my mailbox, but when it does I stop whatever I'm up to, brew a cup a tea, curt up in my favorite chair and read it - the Open Space News - cover to cover. I have a request. Would you please identify the pictures you use of open spaces in your newsletters. I have hiked into the Duveneck Windmill Pasture Area from Rancho San Antonio, from Rhus Ridge Road, and from Hidden Villa. But, I don't recognize where the photo on page 1 was taken from. I suspect Rhus Ridge. Anyway, I think a photo identifier would add another interesting dimension to the newsletter. I love to be able to take my newsletter to work and say, "Look, this is the trail to Duveneck Windmill Pasture Area from Rhus Ridge. The trail is right off Moody Road, and goes straight up for .9 miles. It's a killer during the hottest part of summer. But worth the effort." Anyway, that's my request. Since its formation in 1965, BCDC has been the agency responsible for protecting the San Francisco Bay and shoreline. It has effectively controlled and slowed development and expansion of landfill that would otherwise have resulted in dramatic and irreparable loss of Bay surface, sensitive wetlands, crucial habitat, and much-needed public access areas. Governor Wilson recently declared his intent to delete funding for BCDC, transferring its responsibilities to the Coastal Commission and/or other agencies, which do not have the resources, experience, or local representation to effectively carry out the long-term tasks of BCDC. The Board's resolution will be sent to Governor Wilson and to State Senator Alfred Alquist, Chair of the Budget and Fiscal Review Committee. The Midpeninsula Regional Open Space District, extending from the City of San Carlos to the Town of Los Gatos, is a public agency which has preserved over 37,000 acres of diverse open space and manages 23 open space preserves. Funding is provided by a small share of the annual total property tax revenues collected within District boundaries. The District permanently protects wildlife habitat, watershed, and a variety of ecosystems, restores damaged natural resources, and provides trail improvements for passive recreational use by the public. The District's goals are to acquire a continuous greenbelt of protected open space lands for public use and enjoyment, and to preserve open space for future generations to enjoy. There are approximately 20,000 - 30,000 acres of land still at risk of being lost to development within the District's planning area. The District is divided into seven geographic wards, each represented for a four year term by an elected Board member.
