This Assignment, Grant, Conveyance of Sewer Appurtenances Easement Rights and
Acceptance made effective as of the 31st day of August, 2017, by and between the CITY OF
McCALL, an Idaho municipal corporation organized and existing by virtue of Constitution and
laws of the state of Idaho, Grantor, whose address is 216 E. Park Street, McCall, Idaho 83638,
and the PAYETTE LAKES RECREATIONAL WATER AND SEWER DISTRICT, a
recreational water and sewer district organized and existing by virtue of Chapter 32 of Title 42,
Idaho Code, Grantee, whose address is 201 Jacob Street, McCall, Idaho 83638.
IT IS AGREED IN CONSIDERATION OF THE MUTUAL COVENANTS
CONTAINED IN THIS ASSIGNMENT, GRANT, CONVEYANCE OF EASEMENT
RIGHTS AND ACCEPTANCE AND OTHER GOOD AND VALUABLE
CONSIDE TION:
SECTION ONE
DEFINITIONS
For purposes of this Assignment, Grant, Conveyance of Sewer Appurtenances Easement
Rights and Acceptance, the following terms in bold shall have the meaning herein this Section
set forth, unless the context of the word clearly requires otherwise:
1.1 Assignee: means and refers to the PAYETTE LAKES RECREATIONAL WATER
AND SEWER DISTRICT, a recreational water and sewer district organized and existing

by virtue of Chapter 32 of Title 42, Idaho Code, whose address is 201 Jacob Street,
McCall, Idaho 83638.
1,2 Assignor: means and refers to the CITY OF McCALL, an Idaho municipal corporation
organized and existing by virtue of Constitution and laws of the state of Idaho, whose
address is 216 E. Park Street, McCall, Idaho 83638.
103 Sewer Appurtenances Easement Rights: means and refers to the Assignor's public
utility easement rights for the placement, maintenance and replacement of intercepting
sewers, outfall sewers, force mains, collecting sewers, pumping stations, ejector stations,
structures, buildings, machinery, equipment connections and all other appurtenances to
its said system used for the collection and transportation to the City of McCal1's
Wastewater Treatment Plant which are within the Highway System of the Assignor and
those within the Highway System of the State of Idaho Department of Transportation and
those that are otherwise existing by prescription.'
This definition is inclusive of for the following easement/license agreements as
referenced in Section 1.20 of the Agreement which is hereinafter referenced in section
2.1 of this assignment:
• Water User and Supply Agreement dated January 31, 1997
➢ Parties: City of McCall and J.R. Simplot Company and Extension
Agreement.
6 License dated December 16, 1996
➢ Parties: Lake Irrigation District and J.R. Simplot Company and Extension
Agreement.
• 21-Year Mixing Station and Pipeline Easement Agreement dated April 1, 1997
➢ Parties: City of McCall and J.R. Simplot Company and Extension
Agreement.
• Permanent Pipeline Easement and Temporary Effluent Transmission
Easement Agreement dated April 1, 1997
➢ Parties: Lake Irrigation District and J.R. Simplot Company and Extension
Agreement.
This definition is inclusive of and limited to sewer utility use as a non-exclusive easement
right and the Assignor is herein reserving any other public utility and/or pathway and/or
landscaping rights granted in the following easement conveyances:
1. Declaration of Public Utility Easement For Sewer, Water, and Other
Public Underground Utilities, Corinne Kay Mitchell -Samson and Mark
Roger Samson Grantor and the City of McCall, Idaho Grantee recorded in

3. Underground Sewer and Water Line Easement, J.R. Simplot Company
(Grantor) and the City of McCall (Grantee) recorded in the office of the
Valley County Recorder as Instrument Number 402070 on October 27,
2016; and
4. Declaration of Public Utility Easement For Sewer, Water, and Other
Public Underground Utilities, Royal Fork Restaurant Corporation
(Grantor) and The City of McCall (Grantee) recorded in the office of the
Valley County Recorder as Instrument Number 392311 on July 7, 2015;
and
5. Declaration of Public Utility Easement, Adelmer R. Dodd and Arlene M.
Dodd (Grantor) and the City of McCall (Grantee) recorded in the office of
the Valley County Recorder as Instrument Number 393635 on September
1, 2015; and
6. Declaration of Public Utility Easement for Sewer, Water, and Other Public
Underground Utilities, Todd Holbrook, dba Superior Custom Homes &
Renovations (Grantor) and the City of McCall (Grantee) recorded in the
office of the Valley County Recorder as Instrument Number 393707 on
September 3, 2015; and
7. Declaration of Public Utility Easement for Sewer, Water Mains, and Other
Public Underground Utilities, Martha A. Lane and Douglas E. Peterson
(Grantor) and the City of McCall (Grantee) recorded in the office of the

the office of the Valley County Recorder as Instrument Number 119737
on April 21, 1982.
This definition is also inclusive of any recorded or unrecorded easements and/or
agreements, wherein the Assignor is a party, as they relate to the Assignor's sewer system
assets being transferred to the Assignee pursuant to the Agreement which is hereinafter
referenced in Section 2.1 of this assignment.
SECTION TWO
RECITALS
The Parties recite and declare:
2.1 The Assignor and the Assignee, in accordance with their mutual authority pursuant to
Idaho Code Section 42-3240, entered into that certain Agreement of Annexation Plan,
Property Transfer and Agreement of Operations Subject to Conditions Precedent (the
"Agreement"); and
2.2 That the assignment grant and conveyance of the Sewer Appurtenances Easement Rights
from the Assignor to the Assignee is in consideration of and in the performance of the
Agreement; and

2.3 The conditions precedent of the Agreement, in regards to the assignment and conveyance
of the Sewer Appurtenances Easement Rights, have been completed including the
approval of the Agreement by Order and Judgment In the District Court of the Fourth
Judicial District Of the State of Idaho, In and For the County of Valley, Case No. CV-
2017-161-C, on the 5th day of June, 2017, wherein District Judge Jason D. Scott entered
the Findings of Fact, Conclusions of Law, and Order of Approval of Verified Petition and
Filing for Order and Judgment of Approval of: Annexation; Transfer of Assets;
Agreement of Operation; and Effective Date.
SECTION THREE
ASSIGNMENT, GRANT AND CONVEYANCE OF EASEMENT RIGHTS
3.1 The Assignor assigns, grants, conveys bargains, and sells, all of the Assignor's right title
and interest in and to its Sewer Appurtenances Easement Rights to the Assignee non-
exclusive to any other Assignor non -sewer utility use as that use now exists.
SECTION FOUR
ACCEPTANCE OF ASSIGNMENT, GRANT AND CONVEYANCE OF EASEMENT RIGHTS
4.1 The Assignee does hereby accept this Assignment, Grant, Conveyance of Sewer
Appurtenances Easement Rights herein provided for in accordance with the terms and
conditions of this Assignment, Grant, Conveyance of Sewer Appurtenances Easement
Rights and Acceptance agreement.
IN WITNESS WHEREOF, this Assignment, Grant, Conveyance of Sewer Appurtenances
Easement Rights and Acceptance has been executed on the 24`h day of August, 2017, with the
intent that it shall be recorded in the office of the Recorder of the County of Valley, state of
Idaho.
