AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE
MAYOR AND CITY CLERK TO EXECUTE A CONTRACT WITH SSI AERATION, INC.,
TO REPLACE THE AERATION DIFFUSERS AT THE REGIONAL WATER
RECLAMATION FACILITY.
WHEREAS, SSI Aeration, Inc., has provided the lowest and best bid to complete the work
needed to facilitate this project.
NOW, THEREFORE, BE IT ENACTED BY THE CITY COUNCIL OF THE CITY OF
JEFFERSON, MISSOURI AS FOLLOWS:
Section 1, The Mayor is hereby authorized to execute a contract with SSI Aeration,
Inc. for the replacement of aeration diffusers at the Regional Water Reclamation Facility.
Section 2. The contract shall be substantially the same in form and content as the
change order attached hereto as Exhibit A.
Section 3. This Ordinance shall be in full force and effect from and after the date
of its passage and approval.

REPLACEMENT OF DIFFUSER MEMBRANES
AND TUBE DIFFUSERS
AT THE
WASTEWATER TREATMENT PLANT
THIS AGREEMENT made and entered this day of September, 2012, by and between
the City of Jefferson,Missouri, a municipal corporation, hereinafter referred to as"City,"and
Stamford Scientific International, Inc. d/b/a SS1 Aeration, Inc., hereinafter referred to as
"Contractor."
WHEREAS, the City is desirous of installation of replacement of approximately
22,264 existing diffuser membranes and 16 tube diffusers and removal of existing units
located at the Jefferson City Wastewater Treatment Plant, 401 Mokane Road,Jefferson City,
Missouri; and
WHEREAS, Contractor is willing to enter into this Agreement with respect to
services upon the terms and conditions herein set forth,
NOW, THEREFORE, be it agreed as follows:
1. Scope of Services. The scope of services shall include the installation of replacement of
approximately 22,264 existing diffuser membranes and 16 tube diffusers and removal of exiting
units located at the Jefferson City Wastewater Treatment Plant, 401 Mokane Road, Jefferson
City, Missouri.
2. Manner and Time for Completion. Contractor agrees with the City to furnish all supervision,
labor, tools,equipment, materials and supplies necessary to perform, and to perform, said work at Contractor's
own expense in accordance with the contract documents and any applicable City ordinances and state and federal
laws,within ninety(90)calendar days from the date Contractor is ordered to proceed,which order shall be issued
by the Director of Public Works of the City of Jefferson within ten (10) days after the date of this contract.
4.. Contract Amount. The City hereby agrees to pay Contractor the work done pursuant
to this contract according to the payment schedule set forth in the Contract Documents upon
acceptance of said work by the Director of Public Works of the City of Jefferson,and in accordance
with the rates and/or amounts stated in the bid of Contractor dated July 31, 2012, which are by
reference made a part hereof. No partial payment to Contractor shall operate as approval or
acceptance of work done or materials furnished hereunder. The total amount of this contract
shall not exceed One Hundred Five Thousand, Seven Hundred Thirty-Seven Dollars and Fifty-
Two Cents ($105,737.52).

5. Indemnity. To the fullest extent permitted by law, the Contractor will indemnify and hold
harmless the City, its elected and appointed officials,employees, and agents from and against any and
all claims, damages, losses, and expenses including attorneys' fees arising out of or resulting from the
performance of the work, provided that any such claim, damage, loss or expense(1) is attributable to
bodily injury, sickness, disease, or death, or to injury to or destruction of tangible property(other than
the Work itself)including the loss of use resulting therefrom and(2)is caused in whole or in part by any
negligent act or omission of contractor,any subcontractor,anyone directly or indirectly employed by any
of them or anyone for whose acts any of them may be liable,regardless of whether or not it is caused in
part by a party indemnified hereunder. Such obligation shall not be construed to negate, abridge, or
otherwise reduce any other right or obligation of indemnity which would otherwise exist as to any party
or person described in this Paragraph.
6. Insurance. Contractor agrees to obtain and maintain throughout the term of this
contract
A. Workmen's Compensation Insurance for all of its employees to be engaged in work
under this contract.
B. Contractor's Public Liability Insurance in an amount not less than $2,000,000 for
all claims arising out of a single occurrence and $300,000 for any one person in a
single accident or occurrence,except for those claims governed by the provisions of
the Missouri Workmen's Compensation Law,Chapter 287,RSMo.,and Contractor's
Property Damage Insurance in an amount not less than $2,000,000 for all claims
arising out of a single accident or occurrence and$300,000 for any one person in a
single accident or occurrence.
C. Automobile Liability Insurance in an amount not less than$2,000,000 for all claims
arising out of a single accident or occurrence and$300,000 for any one person in a
single accident or occurrence.
D. Subcontracts-In case any or all of this work is sublet, the Contractor shall require
the Subcontractor to procure and maintain all insurance required in
Subparagraphs (a), (b), and (c) hereof and in like amounts.
E. The Certificates of Insurance furnished to the City showing proof of compliance
with these insurance requirements shall contain a provision that coverage under
such policies shall not be canceled or materially changed until at least fifteen days
prior written notice has been given to the City.
7. Failure to Perform. Should Contractor fail to provide services as set forth pursuant to
this contract, or fail to meet any of the contract provisions, this contract may be canceled at the
sole option of the City upon giving five (5) days written notice to Contractor.
8. Cancellation. This contract shall be subject to cancellation by the City at any time
following fifteen (15) days notice.

9. Notices. All notices, consents, authorizations, requests and statements hereunder shall
be deemed to have been properly given if delivered by and or mailed by first class United States
mail, postage prepaid, if to the City, to Terry Stephenson, Purchasing Agent, 320 East McCarty
Street, Jefferson City, Missouri 65101, and if to the Contractor, to SSI Aeration, Inc., 4 Tucker
Drive, Poughkeepsie, New York, 12603.
IN WITNESS WHEREOF the parties hereto have set their hands and seals on the day and year
first above written.

PAST PERFORMANCE:
Although the City has not awarded to this contractor in the past, staff feels the firm will complete

Staff recommends award of the bid to the lowest and best bld meeting specifications, SSI
Aeration, Inc., of Poughkeepsie, NY in the amount of$105,737.52.

Re: Aeration Diffuser Replacement Bid
Wastewater Division has completed a review of the bids opened on July 31, 2012 to
replace the existing diffusers for the SBR.
We would like to accept the lowest and best bid from SSI Aeration Inc. as it is the lowest
cost and the diffusers are identical to the ones we currently use. These diffusers have
exceeded the manufacturer's performance life by 3 years. Base bid and accepted
options total $105,737.52
We recommend that the diffsuers go to the August 2D, 2012 Council Meeting for bids
over $25,000.
